WHEREAS, on August 17, 1998, the City of Jefferson did pass Ordinance Number 12797 (thers rra'i:hf
Ordinance"),authorizing the Mayor and the City Clerk to execute agreements with Sprint Spectrum,L.P.for

WHEREAS, on September 15, 199S, pursuant to the aforementioned duly enacted ordinance, the
City of Jefferson did enter into that PCs Site Agreement,a copy of which is attached to this Amendment(the ft ;; Li3;r
"Site Agreement");
WHEREAS, on September 23, 1998, further pursuant to Ordinance Number 12797, the City of `' `ir+a;',ry+
Jefferson did enter into a Supplemental PCS Site Agreement,amending certain terms and conditions of they

.; WHEREAS,on February 14,2001,Roberts Wireless Communications,L.L.C.,while keeping their `'
interest in the antenna,mounting equipment,cabling and base station equipment,did assign to Roberts Tower

WHEREAS, while the Site Agreement states that the Site contains approximately eight hundred
seventeen square feet,the exact legal description of the Site has never been agreed upon between the parties,
WHEREAS the City desires additional compensation for any additional platforms erected upon the
X• tower in accordance with the terms and conditions set forth in the Agreement,
WHEREAS all capitalized terms not otherwise defined herein shall have the same meanings assigned �.. ;

4. Right to Curc/Reassignment. Lessor agrees that it will provide Lessee with written notice
of any default by Assignee under the Lease at the same time that any such notice is provided to "°}
