AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE

.t t MAYOR AND CITY CLERK TO EXECUTE A FRANCHISE EXTENSION AGREEMENT
BETWEEN THE CITY OF JEFFERSON AND TCI CABLEVISION OF' MISSOURI,
INCORPORATED AS IT RELATES TO CABLE TELEVISION
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS .
t FOLLOWS:
.4. Section 11. The Mayor and City Cleric are hereby authorized to execute a franchise
extension agreement with TCI Cablevision of Missouri, Inc.
Section . The agreement shall be substantially the same in form as that agreement i
attached hereto as Exhibit A.
Section 4. This Ordinance shall be in full force and effect from and after the date of `{

CITY OF JEFFERSON
p 4 AT&T/TiCI FRANCHISE, EXTENSION AGREEMENT
i WHEREAS,the City of Jefferson,Missouri,a municipal corporation,hereinafter designated"City,"entered
l ,,r' . into a Contract with TCI Cablevision of Missouri, Inc., hereinafter referred to as "Company," on t
February 1, 1988;
WHEREAS,the Contract was for the operation of a cable communications system; and
WHEREAS, the Contract was previously amended in July of 1992, November of 1992, January 1999 and
April 3,2000; and
WHEREAS,the parties have determined that it is in the best interest of both to extend the Contract for a brief
period to allow for the finalization of franchise tenns; and

WHEREAS, the parties wish to extend the Contract for a five (5) month period on the same terms and
conditions as currently exist with the exception of Section 3.01 and a new Section 3.01(a).

NOW,THEREFORE,be it agreed as follows: k.'
A. Section 3.01 of the Contract dated February 15, 1988, is amended to read as follows:
Section 3.01 Agreement of City and Company
The City of Jefferson granted a two month franchise extension agreement,to Company to construct
awn, operate, and maintain a cable communications system within the City. The term of this

agreement shall commence April 1, 2000, and end August 31, 2000.
B. All other sections of the Contract dated February 1, 1988, as previously adopted and amended,
shall remain in effect as stated.
IN TESTIMONY WHEREOF,the parties have hereunto set their hands and seals this ZjodUay of April,
2000.
