AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH SVERDRUP CIVIL, �
INC. FOR PROFESSIONAL SERVICES PERTAINING TO WASTEWATER TREATMENT
AND CONVEYANCE SYSTEM .
1 BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
t FOLLOWS:

�ctian 1. The Mayor and City Clerk are hereby authorized and directed to execute
an agreement with Sverdrup Civil, Inc. pertaining to Wastewater Treatment and 3
Conveyance System improvements.
'f Section 2.. The agreement shall be substantially the same in form and content as #
that agreement attached hereto as Exhibit A.

Section 3. This Ordinance shall be in full force and effect from and after the date of
its passage and approval.

AMENDMENT TO CONTRACT FOR PROFESSIONAL SERVICE'S �

WYMIKEAS,the City ofJeflerson,Missouri,a municipal corporation,with offices at 320 East McCarty,Jefferson City,
Missouri,65101,hereinafter designated"City,"entered into a Contract with Sverdrup Civil,Inc., hereinafter referaed
to as"Sverdrup,"on February 3, 1999; and
WHEREAS, the Contract was for professional services for Wastewater Collection and 'r'reatment System

Improvements; and
WHEREAS,the parties wish to amend the Contract; t
NOW,THEREFORE, be it agreed as fellows:
' A. Paragraph One of the Contract dated February 3, 1999, is hereby amended to read as follows:
1. Scope of Services. The scope of work as referenced in this paragraph is amended as described in
the attached"Amendment 1, Modifications to Appendix A,"
B. Paragraph Two of the Contract dated February 3, 1999, is hereby amended to read as follows:

2. Term of Contract. This Contract shall remain in force form the date of execution until September
30,2000.
C. Paragraph Eight of the Contract dated Febfuary"3,_1-999, is hereby amended to read as follows:

{ 8. Compensation. The City shall compensate Sverdrup for the performance of the services described
in the Scope of work in accordance with the Terms and Conditions of the attached "Amendment 1,
Modifications to Appendix B."

All.other sections of the Contract dated February 3, 1999 shall remain in effect as stated. f.

.23.Determine anticipated user charges if the sewer system improvement projects:
identified in previous paragraphs are implemented over different time periods. Based }
on user information supplied by the Owner and the current rate structure,estimate

information generated,work with Wastewater staff to develop several alternative
strategies for implementing the improvement projects.
24. Assist with presenting the implementation scenarios to the City Council. Two i

THIS CONTRACT, made and entered into this 'da of February, 1999 b and between the i s

Jefferson, a municipal corporation of the State of Missouri, with offices at 320 grist McCarty Street, i
Jefferson, City,Missouri,65101, hereinafter referred to as the"City,"and Sverdrup Civil,Inc..,hereinafter + '
referred to as the"Sverdrup."

WITNESSETH: ,
WHEREAS, the City of Jefferson, Missouri is desirous of hiring Sverdrup to provide professional services
for Wastewater Collection and Treatment System Improvements.
WHEREAS, Sverdrup is willing to enter into this Agreement with respect to Sverdrup's services upon the
terms and conditions herein set forth.
NOW THEREFORE,for the considerations herein expressed,it is agreed by and between the City and the

Sverdrup as follows:
1. Scope of Services. ,;
J Sverdrup shall provide for City professional services for Wastewater Collection and Treatment System
Improvements,hereinafter referred to as"Project. These services are identified and described in the Scope of
'` s } Work(Appendix A)attached to and made a part of this Agreement.
2. Terra of Contract.
This Contract shall remain in force from the date of execution until December 31, 1999.
3. Sverdrup's Responsibilities.
Sverdrup shall perform for or furnish to the City engineering and related services in all phases of the Project t
to which this Contract applies as hereto provided. Sverdrup shall serve as the City's prime design professional.
Sverdrup may employ subcontractors as Sverdrup deems necessary to assist in the performance or furnishing
of professional engineering and related services hereunder. Sverdrup shall not be required to employ any
:. subcontractors which are unacceptable to Sverdrup.
The standard of care for all professional engineering and related services performed or furnished by Sverdrup, '
under this Contract, will be the care and skill ordinarily used by members of the Sverdrup's,profession,
practicing under similar conditions at the same time and in the same locality. Sverdrup makers no warranties,
expressed or implied, under this Contract or otherwise, in connection with Sverdrup's se:vices. `
4. Citv's Responsibilities.
°t The City,as part of this Contract, shall provide Sverdrup with the following:
A. City shall designate in writing a person to act as City's Representative with.respect to the
r s, services to be rendered under this Agreement. Such person shall have complete authority.to
i transmit instructions, receive information, interpret and define City's policies and make
decisions with respect to Sverdrup's services to the Project.

B. City shall provide in a timely manner all criteria and full information as to City's If
i requirements for the Project, including design objectives and constraints,space,capacity and
performance requirements,flexibility and expandibi.lity;furnish copies of all special design and
construction standards which City will require to be included in the drawing and
specifications; and place at Sverdrup's disposal all available information pertinent to the
Project including previous reports and any other data relative to design or construction of the
Project;and promptly review and approve Sverdrup's submittal.
C. City agrees to comply with the"Hazard Communication Standard"of the Occupational Safety
and Health Administration.
D. If City provides a budget for Project,it shall include contingencies for bidding, changes ill the
work during construction and other costs which are the responsibility of City. Owner shall,
at the request of Sverdrup, provide a statement of funds available for the Project and their
source. i
E. City shall furnish to Sverdrup's as required for performance of Sverdrup's se>vices{except to ,
the extent provided otherwise in the Scope of Work), data prepared by cr services of others,
including,without limitation,soil borings,probings and subsurface explorations,hydro&zaphi.c
surveys, laboratory tests and inspections of samples, materials and equipment;appropriate
Professional interpretation of all the foregoing; environmental assessment and impact
statements; property, boundary, easement, right-of-way, topographic and ut?lity surveys;
property descriptions; zoning, deed and other land use restriction; and other special data or
consultation;all of which Sverdrup may use and rely upon in performing its services.
F. City shall provide engineering surveys to establish reference points for construction to enable
Sverdrup to proceed with the layout of the work.
G. City shall provide such accounting, independent cost estimating and insurance counseling
services as may be required for the Project,such legal services as City may require or Sverdrup
may reasonably request with regard to legal issues pertaining to the Project including any that
may be raised by Sverdrup, such auditing service as City may require to ascertain how or fox,
what.purpose,if any,Sverdrup has used the moneys paid under the construction contract,and

such inspection services as City may require(except to the extent provided otherwise in the
Scope of Work) to ascertain that Sverdrup) is complying with any law, rule, regulation,
ordinance, code or work applicable to their furnishing and performing the work. City shall
include in all construction contracts a requirement that Sverdrup be named either as(1)an
indemnity under Sverdrup's indemnity obligation or(2)an additional insured under Sverdrup's
General Liability Insurance Policy.
b. ACCESS AND APPROVALS
A. City shall arrange for access to make all provisions for Sverdrup to enter upon public, and
' private property as required for Sverdrup to perform its services under this Agreement.
B. City shall furnish, at it's cost,approvals and permits from all governmental authorities having
jurisdiction over the Project and such approvals and consents from others as may be necessary .
for completion of the Project. :. .;

G. Notice,
City shall give prompt written notice to Sverdrup whenever City observes or otherwise becomes aware of any
development that affects the scope or timing of Sverdrup's services,or any defect or nonconformance,in the work
of Sverdrup.
7. Insurance.
Without limiting its liability hereunder, Sverdrup shall maintain during the life of this.
Agreement the following insurance and furnish City, in duplicate,certificates of insurance 8.9
evidence thereof. Such certificates shall provide that cancellation of said insurance shall not be
effected without thirty(30) days prior written notice to City.The certificates shall plainly
designate the name of the project for which the certificate is provided.
I (1) Workers' Compensation Insurance,providing coverage in compliance with the laws
of the state in which any part of the work is to be performed, and Employer's
Liability Coverage in the minimum amount of$100,000 for each occurrence.
(2) Commercial General Liability Insurance written on an occurrence basis with the
following limits of liability:
General Aggregate $4,000,000
Products/Completed

Medical Expense $1,000
(3) Automobile Liability Insurance. Bodily injury and property damage combined single
limit- $1 million each occurrence, $1 million aggregate.
(4) Architect's and Engineer's Professional Liability Insurance.Bodily injury and
property damage combined single limit- $1 million each occurrence, $5 million ,
aggregate.
The Commercial General Liability and Architect's and Engineer's Professional Liability E.
Insuraince shall include Contractual Liability Coverage for the liability assumed by Sverdrup in
paragraph 10 herein. 0
` 5 Owner's Protective Liability Insurance. City will be named an additional insured under the
Sverdrup Commercial General Liability Policy.

9. Failure to Perform,Cancellation.
t
In the event Sverdrup fails to comply with any provisions of this Agreement,or if the progress or quality of they
work is unsatisfactory, City may serve written notice thereof upon Sverdrup, and if Sverdrup neglects within
a period of twenty(20)days thereafter to commence its efforts to correct such failure,City may terminate the
Agreement upon written notice to Sverdrup. Upon such termination, Sverdrup shall cease i,S:s performance of
this Agreement and shall deliver to City all completed or partially completed satisfactory work and City shall
pay to Sverdrup the amount due for such satisfactory work. City also reserves the right to terminate this i
Agreement in the event it shall abandon or indefinitely postpone the project. :such termination shall be
accomplished by written notice to the effect delivered to Sverdrup. Upon receipt of such notice,Sverdrup shall
immediately cease work and deliver to City all completed or partially completed work. Payment to Sverdnip
shall be made for work performed prior to receipt by Sverdrup of such termination notice, together with
Sverdrup's costs for ceasing its work, and Sverdrup shall have no claim for loss of anticipated profits or any i
additional compensation. In the event City fails to comply with any provisions of this Agreement,or if it fails
to timely pay compensation due to Sverdrup,Sverdrup may serve written notice thereof upon City,and if City
fails within a period of(20)days thereafter to correct such failure, Sverdrup may terminate this Agreement
upon written notice to City. Upon such termination,Sverdrup shall cease its performance of this Agreement
and when paid the amount due for such work,shall deliver to Owner all completed or partially completed work
for the project.

10. Indenmity.
Sverdrup shall indemnify City against all claims and suits by third parties for loss of or damage to property,
or personal injury, including death, to persons, and from all judgements recovered therefor, and from all
expenses for defending such claim or suit,including court costs and attorneys fees,arising out of the negligent
act3,errors,or omissions of Sverdrup in connection with Sverdrup's performance of this Agreement. In no ovent
1 shall Sverdrup have any duty to indemnify City hereunder against claims arising as a result of City'.-.;sole or
contributing negligence. Upon and after final completion of the Project,City shall indemnify and hold Sverdrup i
harmless from all claims and suits for damages arising from personal injuries, including death to persons,or
to property,and from all judgements recovered therefor,and from all expenses for defending such claim or suit,
including court costs and attorney's fees, which result from City's negligent use, operation or maintenance of
i the facilities, equipment or materials designed or provided by Sverdrup under this Agreement.
11. Assianment.
Sverdrup shall not assign any interest in this Contract,and shall not transfer any interest in the same(whether
by assignment or novation), without prior written consent of the City thereto. Any such assignment is
expressly subject to all rights and remedies of the City under this Contract, including the right to change or j
delete activities from the Contract or to terminate the same as provided herein,and no such assignment shall
require the City tc give any notice to any such assignee of any actions which the City may take under this
Contract, though the City will attempt to so notify any such assignee.
12. Confidentiality.
Any reports, data or similar information given to or prepared or assembled by Sverdrup under this Contract
which the City requests to be kept as confidential shall not be made available to any individual or organization
j by Sverdrup without prior written approval of the City.

13. Nondiscrimination.
Sverdrup agrees in the performance of the Contract not to discriminate on the grounds or because of race,creed,
color, national origin or ancestry, sex, religion, handicap, age or political affiliation, against any employee of
Sverdrup or applicant for employment and shall include as similar provision in all subcontracts lot or awarded
hereunder.
14. Inds yendent Contractor.
Sverdrup is an independent contractor and nothing contained herein shall constitute or designate Sverdrup or
any of its agents or employees as agents or employees of the City.

15. Benefits Not Available.
Sverdrup shall not be entitled to any of the benefits established for the employees of the City nor be covered
by the Workman's Compensation Program of the City.
1.6. Liability,
The parties mutually agree to the following:
(a) In no event shall the City be liable to Sverdrup for special,indirect or consequential damages,
except those caused by the City's negligence arising out of or in any way connected with a
breach of this Contract. The maximum liability of the City shall be limited to the amount of
i . money to be paid or received by the City under this Contract.
(b) Sverdrup shall indemnify and hold the City harmless from and against all claims,lossas and
liabilities arising out of personal injuries,including death,and damage to property which are
j caused by the negligent acts, errors and omissions of Sverdrup for which they would be
otherwise legally liable, arising out of or in any way connected with this Contract.

17. Documents. �
. At least one reproducible of tracings and maps prepared or obtained under the terms of this Contract shall be I
i delivered to the City upon termination or completion of the work. Such information shall be provided on discs
in digital form if available and at the request of the City. Copies of basic survey notes and sketches, charts,
computations,and other data prepared or obtained under this Contract shall be made available,upon request,

i 18. Nonsoliciitation.
Sverdrup warrants that he has not employed or retained any company or person, other than a bona fide
employee working solely for Sverdrup, to solicit or secure this Contract,and that he has not paid or agread to
pay any company or person, other than a bona fide employee working solely for the Sverdrup, any fee,

commission,percentage,brokerage fee,gifts,or any other consideration,contingent upon or resulting from the
award or making of this Contract. For breach or violation of this warranty, the City shall have the right to
annul this Contract without liability, or, in its discretion, to deduct from the Contract price or consideration,
or otherwise recover the full amount of such fee,commission,percentage,brokerage fee,gifts,or contingent fee.
19. Books and Records.
Sverdrup and all his subcontractors shall maintain all books,documents,papers,accounting records,and other .

following completion of the Contract.All documents including Drawings, Specifications, and CAM disca
prepared or furnished by Sverdrup pursuant to this Agreement are instruments of service with respect
to the project and Sverdrup shall retain an ownership and property interest therein whether or nct the
Project is completed. City may make and retain copies for information and reference iii connection.with
the use and occupancy of the Project by City and others; however, such materials are not intended or
represented to be suitable for reuse by City or others on extensions of the Project or on any other project.
Any reuse without written verification or adaptation by Sverdrup for the specific purpose intended will
be at City's sole risk and without liability or legal exposure to Sverdrup, and City shall indemnify
hold harmless Sverdrup from all claims, damages, losses and expenses including attorneys'fees arising
out of or resulting therefrom. Any such verification or adaptation will entitle Sverdrup to further
compensation at rates to be agreed upon by City and Sverdrup.
20. Delays.
Sverdrup shall not be liable for delays resulting from causes beyond the reasonable control of Sverdrup;
Sverdrup has made no warranties,expressed or implied,which are not expressly set forth in this Contract;and �
under no circumstances will Sverdrup be liable for indirect or consequential damages.
21. Time For Performanee. !

Sverdrup shall commence the performance of the services for the Project upon the date of this Aemet and
complete the work in accordance with such schedule as may be mutually agreed to by the parties. If
services for the Project are delayed for reasons beyond its control, the compensation provided for elsewhere in
this Agreement and the time for performance shall be subject to equitable adjustment,

All notices required or permitted hereunder and required to be in writing may be

26. Successors and Assigns.
1. City and Sverdrup each is hereby bound and the partners, successors, executors, administrators and
legal representatives of City and Sverdrup are hereby bound to the other party to this Agreement and
to the partners,successors,executors,administrators and legal representatives(and said assigns)of such
other party, in respect of all covenants, agreements and obligations of this Agreement.

2. Neither City nor Sverdrup shall assign, sublet or transfer any rights under or interest in this
Agreement without the written consent of the other,except to the extent that any assignment,subletting j
or transfer is mandated by law or the effect of this limitation may be restricted by law.Unless specifically
stated to the contrary in any written consent to an.assignment, no assignment will.release or discharge
the assignor from any duty or responsibility under this Agreement. Nothing contained in this paragraph
shall prevent Sverdrup from employing such independent professional associates .and consultants as
Sverdrup may deem appropriate to assist in the performance of services hereunder,

3. Nothing under this Agreement shall be construed to give any rights or benefits in this Agreement to
anyone other than City and Sverdrup, and all duties and responsibilities undertaken pursuant te.this
Agreement will be for the sole and exclusive benefit of City and Sverdrup and not for the benefit of any

27. Chanices in the Work.
,1 City reserves the right, without impairing this Agreement, to order changes or alterations in the work !
to be performed hereunder by Sverdrup. If changes or alterations ordered affect the cost or progress of
the work,adjustment shall be made in the time for performance of the work and compensation owing to
Sverdrup, as the case may be.
Should concealed or unknown conditions be encountered in the performance of the work which present �
the risk of discharge,dispersal,release or escape of asbestos,any hazardous substance or any hazardous 1
waste,Sverdrup shall promptly suspend its performance of the Work for the protection of the parties and i
their employees and notify City of the conditions encountered. City and Sverdrup shall promptly
investigate the conditions and, if warranted,equitable and necessary adjustments shall be made in the
terms and conditions of this Agreement. It is agreed, however, that Sverdrup shall have no duty to
determine the existence of asbestos or any other hazardous substance or hazardous waste at the site of
the work or to provide response action services even with equitable adjustments.
j28, Standard of Care.

Sverdrup represents that its services shall be performed with the skill and care which would be exercised
by comparable qualified design professionals performing similar services at the time and place such
services are performed. If the failure to meet these standards .results in deficiencies in the design,
Sverdrup shall furnish at its own cost and expense, the redesign necessary to correct such deficiencies.
If the failure to meet these standards results in damages incurred by City for the repair,or correction of 1
any part of the Project, Sverdrup shall be liable to City for the construction costs associated with such �
repair or correction except to the extent that such costs constitute an addition of value to the Project; {
Iprovided, however, that in no event shall such damage for which Sverdrup may be liable under this
paragraph or otherwise include any consequential, special, contingent or penal damages. i

t WAS'T'EWATER COLLECTION AND TREATMENT SYSTEM IMPROVEMENTS
SCOPE OF SERVICES
December 1998
The Owner plans to make improvements to the Water Pollution Control Facility (WPCF) and to
evaluate the wastewater collection and transmission system (collection system) that feeds the
WPCF toward possible improvements to this system. The work for the WPCF is likely to
progress in four phases: Facility Plan, Final Design, Construction, Post Constriction Services.
The collection system work will begin with a Master Plan. The Owner may decide later to
prepare a Facility Plan for projects where Missouri Department of Natural Resources(DNR)
administered revolving funds will be requested. Sverdrup will work with the Owner to provide
j the services for those phases as described below as well as other services the Owner may from
time to time add to the Agreement by amendment.
I. PLANNING PRASE
The Planning Phase scope of services is contracted as part of the initial Agreement and is listed
in detail in Appendix A (Initial)"Planning Phase Scope of Services" immediately following
Appendix A. The Planning Phase Scope of Services has three major components:
1. Facility Plan describing recommended improvements to the present Water Pollution Control
Facility located north of the Missouri River.
2. Master Plan describing the capacity of the collection system,potential improvements and
further study requirements
3. Preparation of contract documents to be used for a construction contract to replace the pumps

t and motors as well as related rehabilitation of the control system in the Walnut atreet Pump j
;. Station. The scope for this work assumes replacing the three existing pumps with three new
. pumps will provide an adequate pumping system for the year 2020. `
The planning area will include the sanitary sewer watersheds that are currently tributary to the
WPCF as well as any additional water shed area that may be determined, in consultation with the ;
t` Owner,to potentially be added to the WPCF by the year 2020. The current WPCF consists of
screening,pre-aeration, grit removal,primary clarification,high rate trickling filters and
secondary clarification. Sludge receives gravity thickening, belt press dewatering and line
r;. stabilization prior to land application. Major improvements to the sludge handling system are
currently under construction. IL

will be seal ed u p/down as needed for the various treatment processes evaluated in the facility
plan. Controls for each significant odor source will be addressed in terms of feasibility,
j effectiveness, and costs. Potential control technologies include such items as chemical
oxidation, biofiltration, and chemical scrubbers. Use and/or expansion of'the existing odor
i controls in lieu of new controls will also be considered. The most cost effective odor control,

15. Finalize the sections into the Preliminary Draft WPCF Facility Plana Population projections
and anticipated wastewater flow rates will be taken from the collection system portion of this
scope of work.
16. Review the Preliminary Draft Facility Plan with the Owner.
17. Modify the Preliminary Draft Facility Plan based on input from the Owner. Changes at this
i time are expected to be minor because of owner involvement during the facility planning
process. Print 20 copies of the Draft Facility Plan and submit to DNR for review.

18. Modify the Draft WPCF Facility Plan, as necessary, in response to DNR comments. Major
additional information and rewrites are not anticipated. The revised Facility Plan will then
be presented to DNR. Twenty copies of the WPCF Facility Plan will be printed.
19. Assist the Owner in presenting the results of the Facility Plan study to the public during a
} meeting conducted by the Owner. The Owner may wish to conduct a user charge rate
meeting at the same time. The Owner will advertise the meeting using information provided

aware this is the only point in the model where the impact of extraneous flow is directly
# calibrated. In the absence of up stream flow monitoring, impacts of the extraneous flows are

10. Prepare a memorandum report summarizing the flow monitoring and modeling results and

flow will be based on model results for a design storm. The design storm will be determined
in conjunction with the Owner. Review the memorandum report with the Owner. Upon
agreement by the Owner,the results will be the basis for the wet weather design flow
reaching the WPCF.
11. Based on review of flow monitoring and modeling results identify sewers and pump stations
which are potentially overloaded. Because flow monitoring will be located at the base of the {
watersheds, extraneous flows will be distributed proportionally over the sewer lengths.
Actual entry locations of infiltration and inflow are not identified.
12. Identify watershed basins which may benefit from Inflow Source Detection based on review '
of flow monitoring and modeling results. <
�.' 13. Evaluate alternatives to relieve overloaded sewers, including evaluation of parallel vs.
replacement sewers and sizing requirements for selected sewer design periods. Evaluate
pump station:improvement and odor control alternatives, including upgrade vs. replacement
and elimination through trunk sewer construction. Evaluate sewer extension alternatives in
areas of projected future growth for selected sewer design periods. Develop preliminary
project cost estimates for improvement alternatives.
14.In basins identified under task 13 with significant inflow, evaluate collection system

15.Develop a list of recommended projects to improve the collection system to adequately
convey the design storm. The projects will be conservatively sized and bayed on no inflow

16.Prioritize the improvement projects and schedule in 5-year increments(if appropriate).

A. SALARY COSTS, OVERHEAD& PROFIT
S To the extent and amount invoiced, Sverdrup shall be compensated for its services on tare
basis of reimbursement for the salary costs of its professional, technical and supporting

thereafter amended on June 7, 2000; July 7, 2000; July 21, 2000 and April 4, 2001 ("Contract");
and
WHEREAS, the Contract was for professional services for Wastewater Collection and
Treatment System Improvements; and
WHEREAS, the parties wish to further amend the Contract;
NOW, THEREFORE, be it agreed as follows:
A. Paragraph One of the Contract, is hereby amended as follows:
1. Scope of Services. The Scope of Work (Appendix A) as referenced in this paragraph
1 is amended as described in the attached: "Amendment 4, Modifications to Appendix
A;" and "Amendment 4, Appendix A-4."
B. Paragraph Two of the Contract does not require amendment.
C. Paragraph Eight of the Contract, is hereby amended to read as follows:
8. Compensation. The City shall compensate Sverdrup for the performance of the
services described in the Scope of Work in accordance with the Terms and Conditions of
i Appendix B as amended for the various phases of the services (i.e. Planning Phase,
Final Design Phase, Construction, Phase and Post Construction Phase and for Sludge
Storage System Improvements). Compensation for the Sludge Storage System
Improvements shall be in accordance with the attached "Amendment 4, Appendix B."
All other sections of the Contract shall remain in effect as stated.

ENGINEERING SERVICES FOR SLUDGE STORAGE SYSTEM
IMPROVEMENTS
April 2002
1.0 BACKGROUND
Jacobs Civil Inc., formerly Sverdrup Civil, Inc. provided master planning and preliminary
engineering services to the City of Jefferson, Missouri for improvements to the City's
wastewater collection and treatment facilities under an original Cost-Plus-Fixed-Fee
contract dated February 3, 1999.
Amendment No 1 to the contract, dated January 2000 modified the scope of work in the
original contract; however, there was no change to the contract ceiling.
We completed final design of the recommended improvements, namely:
■ Design of the Walnut Street Pump Station
■ Design of a horizontally directional-drilled force main from the Walnut Street
Pump Station, underneath the Missouri River to the Jefferson City WPCF; and,
■ Design of a new Sequencing Batch Reactor(SBR) process and related
improvements at the Jefferson City WPCF
This work was completed under Contract Amendment 2, dated June 2000.
We have completed or are currently in the midst of performing construction phase
engineering and resident engineering services for these three projects under
Amendment No. 3, dated February 2001.
This Amendment No. 4 to the contract is for an adjustment to the design phase contract
amount to compensate Sverdrup for additional costs incurred in completing the design
documents as identified in Rich Vedder's letter#322 dated August 17, 2001, and for
engineering services to design improvements to the existing sludge handling facilities
that will store and dewater sludge from the new SBRs. These improvements were
identified in October 17, 2001 from Jon Bergenthal to Rich Vedder. Specifically, we will
be designing the addition of aeration to both sludge storage tanks to oxidize sulfur and
ammonia and re-piping the exhaust from the storage tanks to the existing biofilters.
These changes are outlined in Alternative 4 in the October 17 memorandum.
The objectives of this effort are to:
1) Complete the final design for the improvements;
2) Prepare a Work Change Directive (WCD) to the WPCF General Contractor,
Goodwin Bros. Const., Inc. to implement the improvements; and,

3) Provide construction phase engineering (i.e., change order administration
• and submittal review) and resident engineering services to support the
General Contractor's implementation of the improvements.
2.0 PROJECT APPROACH
As stated and per the direction of City staff, we are approaching this effort as a Work
Change Directive (WCD) to the existing.General Construction Contract for the WPCF
improvements. As such, we will only prepare additional procurement specifications and
design sketches as is required to define the changes in construction scope and will rely
on Division 1 (front-end), and engineering specifications, details, and standards as are
currently in the contract documents.
The City and the General Contractor will negotiate price and schedule modifications to
execute the WCD and a Change Order reflecting these changes will be executed.
We have included nominal time to incorporate the necessary construction phase
engineering support, resident (field) engineering support and post-construction support
(i.e., O&M manual updates, record drawings)'for this additional work into our existing
scope.
Since the Missouri DNR may view these improvements as a change to the WPCF
process, we will notify them of the pending change. However, the changes are limited in
scope, so only minimal time is provided for coordination with the Missouri DNR. If
additional design or justification is required beyond that required by the General
• Contractor, we would complete this at an additional cost.
3.0 SCOPE OF SERVICES
We will perform the following specific tasks under this Amendment:
3.1 We will prepare drawings, sketches, specifications and/or written
instructions as required to remove media and to repair the biofilters
including rebuilding surfaces and coating for corrosion protection.
3.2 We will inspect the biofilter arch supports once the General Contractor
has removed the media and provided safe access for inspection. We will
advise the City of need repairs in writing following our inspection.
3.3 We will prepare procurement specifications and/or written instruction for
replacement of the media.
3.4 We will prepare drawings, sketches, specifications and/or written
instructions as required to repair the corroded trench in sludge building
basement
3.5 We will determine sludge storage tank air requirements for aeration and
mixing.
3.6 We will size the new aeration blowers and will prepare performance
specifications and/or equipment data sheets.
3.7 We will size the blower discharge and internal diffuser headers, supports
and accessories and will prepare performance specifications/sketches
and/or datasheets.

3.8 We will confirm that the existing biofilter feed piping from the grit chamber
• is adequately sized for the sludge tank exhaust and will advise the City in
writing and provide recommendations if it is not.
3.9 We will size the storage tank vent manifold, supports and accessories to
tie into the grit chamber biofilter feed (north of electrical box) and will
prepare performance specifications/sketches and/or datasheets.
3.10 We will prepare sketches and/or written instructions to repair the biofilter
and basement drains.
3.11 We will confirm that starters and related PLC monitoring for sludge tank
submersible mixers can be used for the new blowers. We will provide
performance specifications, written instructions, sketches and/or
equipment data sheets for their replacement if required.
3.12 We will confirm that the disconnects for current blowers on top of sludge
tank can be used-for the new aeration blowers. We will provide
performance specifications, written instructions, sketches and/or
equipment data sheets for their replacement if required.
3.13 We will perform structural analyses necessary to confirm whether the
storage tank structure will support and accept vibrations from blowers
located on top. Otherwise, vire will design a blower pad to be located on
the ground north of the storage tank if blowers cannot be placed on top of
tanks.
3.14 We will prepare sketches and or written instruction for demolition of the
existing Carbon feed blowers and carbon canisters.
3.15 We will perform an evaluation study of the sludge building roof top air-
handling units for heating sufficiency and will advise City of required
modifications in writing.
4.0 COST
We will perform the new services associated with the sludge system improvements
outlined in the previous section on a cost-reimbursable basis at,a combined overhead
and fee factor of 2.8 multiplied by base labor plus subcontractor costs multiplied by 1.1
(i.e., 10% mark-up) plus direct reimbursable costs. Specific cost reimbursement
provisions are described in Appendix B.
The design phase cost ceiling adjustment for the additional costs identified in Rich
Vedder's letter#322 dated August 17, 2001 is a lump-sum amount of costs only, and
does.not include any profit'as outlined in the previous Cost plus Fixed Fee Amendment.

6.0 CLARIFICATIONS
• This cost estimate and schedule are premised on the following'assumptions:
1) Corrosion issues in the Belt Filter Press Room identified in the WPCF
Sludge Systems Review Memorandum will be addressed as maintenance
repair issues, and are not included in this scope of services.
2) The air handler evaluation study for sludge building includes a report of
system options to the City, but does not include implementation of a final
design in the WCD package.
3) The two (2) submittals we anticipate are:
90% Draft WCD
■ Final WCD
4) Tom Jones, P.E.,will be the primary point of contact for The City of
Jefferson.
5) Robert Schmitt, P.E. will be the primary point of contact for Jacobs Civil
Inc.
6) We have not included costs for sampling, laboratory analysis, or for
bench or pilot-scale testing.
7) No provisions or costs for access or equipment for confined-space entry
as defined by OSHA, for purposes of inspecting the biofilters are
included. We assume that confined space entry for Jacobs personnel is
not required for this scope.
8) Submittals will be prepared using Jacobs' standard software, including
AutoCAD 14 or higher and Microsoft Office 2000 suite products.

TERMS OF PAYMENT - COST REIMBURSABLE BASIS
A. SALARY COSTS, OVERHEAD & PROFIT
To the extent and amount invoiced, Sverdrup shall be compensated for its services on the sludge
improvements scope on the basis of reimbursement for-the salary costsW its professional, technical
and supporting personnel for the time during which they are directly employed in work covered by
this Agreement, multiplied by a factor of 2.80 to cover overhead and profit. The total costs for all
services to be provided under this amendment are listed in attached Appendix A-4. The total
amount to be paid (costs plus fees) for all services to be provided under this Agreement is now
estimated to be $3,414,600. Sverdrup shall notify the Owner when costs incurred and obligated
amount to 95% of the total amount to be paid and shall not incur costs beyond the estimated cost
without prior approval from the Owner.
1. Salary costs are defined as the salaries paid for regular time and overtime (including any
premium overtime) worked.
• 2. Included in the overhead are:
(a) Applicable annual salary related expenses, including sick leave, vacation pay, holiday
pay and other ordinary and customary paid time off, bonuses, the employer's portion of
social security, unemployment and other payroll taxes, Employee's Retirement and
Benefit Plan contributions, employer's portion of group hospitalization and medical
insurance, and the cost of worker's compensation insurance.
(b) The salaries of officers,,except-for technical or advisory services directly applicable to the
project.
(c) The salaries of employees -doing general administrative .work; also nonproductive
professional and technical salaries, including maintenance of staff to provide readiness to
serve.
(d) Rent and costs of light, heat and water; equipment depreciation and maintenance cost;
costs of office supplies and reproduction of data for our internal use; general
communications expense, including local telephone calls and postage; taxes, insurance
premiums and license fees; automotive expense and other transportation and travel
expense not chargeable to specific contracts; and other miscellaneous costs.

B. OTHER REIMBURSABLE COSTS
• In addition, Sverdrup will be reimbursed for the following invoiced amounts:
1. Travel, subsistence, and incidental expenses of personnel while traveling in connection with
the work. The costs of a change of employee's residence are reimbursable if required by
the work.
2. Transportation by passenger automobiles that Sverdrup supplies intermittently in connection
with the work, at the current published Federal mileage reimbursement rate. This rate is
currently 36.5 cents per mile. All costs of owned, leased or rented passenger vehicles
assigned to the work and car allowances granted to management and supervisory
personnel are reimbursable. Reimbursement for the cost of special types of vehicles will be
at rates to be mutually agreed upon when such vehicles are required.
3. Reproduction of drawings, photographs, maps, charts and reports which are prepared for
the Owner's periodic or interim review and also the cost of the reproductions, which
constitute the delivery of work.
4. Wire and wireless communication of messages and data in connection with the work.
5. Insurance required by the Owner in addition to the coverages or in excess of the limits
normally carried.
6. Subcontracted services such as, but not limited to, borings, surveys, photogrammetry,
• testing and computing services, if required in the performance of the work, plus an amount
equal to 10%thereof to cover cost of handling.
7. Technical support services provided from our own facilities as required in the performance of
the work.
8. Special consultants, as approved by the Owner, if required in the performance of the work,
plus an amount equal to 10%thereof to cover the cost of handling.
9. Technical and advisory services of officers directly applicable to the project at the hourly rate
of$150.
C. TERMS OF PAYMENT
Invoices will be submitted monthly. Payment of the invoices shall be due upon presentation and
shall be made by check or wire transfer into an account designated by Sverdrup. , If there are
disputed items and/or amounts on any invoice, the balance of such invoice, after deducting any
disputed items, shall be paid in full, and the disputed items and amounts shall be presented to
Sverdrup for resolution as soon as such disputed items have been determined by Owner.
Payments due but unpaid more than thirty (30) days after presentation of the invoice, excluding
any amounts and items disputed by Owner, shall bear interest at one percent (1%) interest per
month (or any lesser legal limit applicable) until paid.
