THIS CONTRACT made and entered this day of March, 1998 by and between the City of Jefferson, Missouri, a municipal corporation, hereinafter referred to as "City," and Bradley Oligschlaeger, a sole. proprietorship, hereinafter referred to as"Contractor." WHEREAS , the grounds and lawns of the Fairview, Woodland and Longview Cemeteries in the City of � Jefferson need to be maintained; and WHEREAS,Contractor is willing to enter into this Contract with respect to his employment and services upon the terms and conditions herein set forth. NOW, THEREFORE,be it agreed as follows: 1. Scoge of Serviceg I Contractor agrees to perform the services related to lawn maintenance of City cemeteries, said services more particularly described in Exhibit A attached hereto. Said cemeteries for work to be performed are: the Fairview and Woodland Cemeteries located at East McCarty Street,Jefferson City,Missouri, and the Longview Cemetery, located on Scott Station Road,Jefferson City,Missouri. j t 2. Contract Period, f. This contract shall be in effect from April 1, 1998 through March 31, 1999. With the consent of both parties, the contract may be extended for two (2) additional one (1) year periods. The City may extend this contract on a !s 1 month-to-month basis beyond the three(3)year period, not to exceed six(6) months. 3. Contract Amount, The amount of this contract shall not exceed Thirty-Two Thousand Four Hundred Dollars($32,400.00),at the rates specified in paragraph 4. 4. Indemmnity. Contractor agrees to indemnify and hold harmless the City for any and all damages, injuries, actions, costs, attorney's fees and other expenses whatsoever arising out of the performance of said work whether the property or persons damaged are the servants and employees of the Contractor or third parties in no manner connected with d sai work. � f. 7 Insurance, � Contractor agrees to obtain and maintain throughout the term of this contract. i A. Mrkmen's Compensation Insurance for all of its employees to be engaged in work under this i contract. B. Contractor's Public Liability Insurance in an amount not less than $1,000,000 for all claims S { arising out of a single occurrence and $100,000 for any one person in a single accident or occurrence, except for those claims governed by the provisions of the Missouri Workmen's ' Compensation Law, Chapter 287, RSMo, and Contractor's Property Damage Insurance in an amount not less than$1,000,000 for all claims arising out of a single accident or occurrence and $100,000 for any one person in a single accident or occurrence. C. Automobile Liability Insurance in an amount not less than$1,000,000 for all claims arising out { of a single accident or occurrence and $100,000 for any one person in a single accident or occurrence. D. . D. Clvrner's Protective Liability Insurancq-The Contractor shall also obtain at its own expense and deliver to the City an Owner's Protective Liability Insurance Policy naming the City of Jefferson as the insured,in an amount not less than$1,000,000 for all claims arising out of a single accident or occurrence and$100,000 for any one person in a single accident or occurrence,except for those claims governed by the provisions of the Missouri Workmen's Compensation Law,Chapter 287, RSMo. No policy will be accepted which excludes liability for damage to underground structures or by reason or blasting, explosion or collapse. i E. Subcontracts - In case any or all of this work is sublet, the Contractor shall require the Subcontractor to procure and maintain all insurance required in Subparagraphs(a), (b), and(c) hereof and in like amounts. F. The Certificates of Insurance furnished to the City showing proof of compliance with these insurance requirements shall contain a provision that coverage under such policies shall not be canceled or materially changed until at least fifteen days prior written notice has been given to the City, [ 8. Failure to Perform. Mt Should Contractor fail to provide services as set forth pursuant to this contract,or fail to meet any of the contract �t f provisions, this contract may be canceled at the sole option of the City upon giving five(5)days written notice to Contractor. 9. Fairview and Woodland Cemeteries 1. Contractor shall provide maintenance and repair of the cemetery grounds located on East McCarty Street, j Jefferson City,Missouri in accordance with the terms and conditions set herein. 2. Contractor shall mow the grass and vegetation as often as needed to keep vegetation four inches(4")or less. 3. Contractor shall trim grass and vegetation along the cemetery wall and maintain the wall free from the i entanglement of vines and other vegetation. 4. Contractor shall trim grass and vegetation around all grave markers,headstones,and other appurtenances of the cemeteries. r i 5. Contractor shall cut and remove all brush and undergrowth from the hillside on the Chestnut Street and East Miller Street side of the street property lines and maintain the hillsides free of brush and + undergrowth. f 6. Contractor shall maintain all areas free of litter and unsightly debris. Contractor shall remove limbs, leaves and litter from the cemetery grounds as needed,but not less than one(1)timer per week. 7. Contractor shall secure a site to dispose of all litter and yard waste in accordance with applicable laws. 8. Contractor shall maintain headstones and section markers in proper alignment and position. 9. Contractor shall remove and dispose of grave decorations as needed or requested,but not less than four ' (4)times per year. i 10. Contractor shall level and re-seed all sunken grass areas as needed or requested by the City. E r 11. Contractor shall provide fertilizer, grass seed and pesticide(weed and insecticide)to maintain growth and healthy condition of all vegetation. 12. The cost of overall seeding and fertilization shall be at request only and shall be shown as a separate cost outside of the regular maintenance costs. The area to be covered will be 5.83 acres. Contractor shall be responsible for all supplies,equipment, and labor to make the stated applications as requested. ! 13. The City may request the application of pesticides as needed. The application of any pesticide must be by 1 a state licensed applicator and according to applicable rules and regulations of the State of Missouri. Contractor shall notify the City prior to any application of pesticides. 14. Contractor shall eliminate and keep away destructive vermin(including ground hogs)from harboring on the premises. B. Longview Cemetery 1. Contractor shall provide maintenance and repair of the cemetery grounds located on Scott Station Road in Jefferson City,Missouri in accordance with terms and conditions set herein. 2. Contractor shall mow grass and vegetation as often as needed to keep vegetation less than four inches 4" in height. p ve g - 3. Once Contractor has started mowing, it must be completed in a two (2) day period, unless weather f conditions do not permit the completion thereof. r 4. Contractor shall trim grass and vegetation on both sides of the cemetery fence and maintain the fence free from the entanglement of vines and all other vegetation. This must be coordinated at the same time as mowing is being done and as needed between mowing of the grounds. Contractor shall trim grass and vegetation around 11 grave markets, headstones,and other appurtenances of the cemetery. This also must be coordinated and done at the same time as items 3 and 4 above. 6. Contractor shall trim and care for shrubbery as directed by the City. 7. Contractor shall maintain all areas free of litter and unsightly debris weekly. Trash and debris must be disposed of properly by Contractor and not stored on the cemetery premises. 8. Contractor shall maintain the entrance road and the inner roadway free of mud and debris. Contractor { shall remove snow and ice as requested for funerals or by request from the City. . 9. Contractor shall maintain all headstones and section markers in proper alignment and position. ! 10. Contractor shall maintain fences, gates and storage buildings in good condition and good repair with materials provided by the City for repairs. 11. Contractor shall remove and dispose of grave decorations as needed or requested, but not less than four (4) times per year. 12. Contractor must submit a monthly statement of maintenance activity with the billing statement. 3. Contractor shall maintain a monthly log of all service performed that month,if any. The monthly log shall r remain at a mutually agreed upon location accessible to both Contractor and the designated contact person t for the City. The City shall maintain a monthly log of any service inadequately performed. r 4. The City shall maintain a monthly log of any service inadequately performed that month. The City will i monitor services weekly and will require Contractor to correct the services inadequately performed within twenty-four(24)hours. Contractor niust come to City Hall and indicate on this form that he has corrected the service that was inadequately performed. The log will be in City Hall accessible to both Contractor and the Director of Planning and Code Enforcement or his designee. t .
