Y t PCSS SITE AGREE MEATI THIS AGREEMENT, made and entered into this 15" day of September, 1998, by and between Sprint Spectrum, L.P., a Delaware limited partnership authorized to do business in the stage of Missouri, i hereinafter referred to as"SSLP,"and the City of Jefferson, Missouri, a municipal corporation of the state i of Missouri, hereinafter referred to as"City." WITNESSETH: THAT WHEREAS, the City is the owner of a. site appropriate for communications facilities located in Jefferson City,Missouri, hereinafter called "the premises" upon which SSLP desires to locate and operate PCS communications facilities. s NOW, THEREFORE, the parties hereto agree as follows: i I. �'�rP ih'es aI i Use, i The City leases to Sprint Spectrum L.P.,a Delaware limited partnership("SSLY),the site described as follows: real property identified as the lease area on Sheet A-2 of the Plans and Specifications for the PCS submitted to City for approval and dated August 13, 1998,which is located within Cole County,Missouri in the location(s) ! shown on Exhibit A attached hereto,and!further, illustrated by a site plan shown on Exhibit B attached hereto, ` together with a non-exclusive easement for reasonable access thereto and to the appropriate, in the discretion of the SSLP,souraa of electric and telephone facilities(collectively, the"Site"). The Site will be used by SSLP for the purpose of installing, removing, replacing, modifying, maintaining and operating, at its expense, a _( personal communications service system facility ("PCS"), including, without limitation, related antenna equipment and fixtures and specifcaRy including antenna which are surface-mounted. ?. Lease Not To interfere• SSLP's use of the space shall not interfere with the City's use of the Parking Garage("Garage). Further, the City may lease spare at the Garage to other communications providers. All installations at the Garage shall apply the concept of"last on." This means that any new user of the Garage shall be,technica)ly and financially responsible to resolve and cure any interference problems suffered by existing users caused by the last one's use of the Garage. •i It is understood and agreed that the rights granted by this agreement will not be exercised in such a way as to materially interfere with or adversely affect the use, operation, maintenance or development of the parking f garage. 3. Te . The term of this Agreement(the"Initial`Perm') is five (5)years, commencing on the date ("Commencement Date ) SSLP signs this Agreement. This Agreement may be renewed for four (4) additional terms (each a . k "Renewal Term")of five(5)years each. The first two(2)renewals shall be automatic unless SSLP provides the ' =' ! City notice of its intention not to renew not less than ninety(90)days prior to the expiration of the Initial Term. Subsequent renewals shall be automatic,unless the City shall give at least one hundred eighty(180)days notice of any intent not to renew or SSLP shall give at least ninety(90)days notice of its intent not to renew. The third and fourth renewals may he cancelled by the City for municipal purposes,but the City shall not exercise its right to non-renew for only economic reasons. 4. nnua.l Rents A Rent will be paid annually in advance beginning on thu Commencement Date and on each anniversary of it. Until the date which is thirty(30)Jaya after the issuance of a building permit for installation of the PCS, the rent will be One Hundred Dollars($100.00), receipt of which the City acknowledges. C. City shall provide access to Site for SSLP at ro charge through use of a pass card. 6. Tit—1e and *etlam9whm The City represents and agrees (a)that it is the Owner of the Site; (b) that it has the right to enter into this Agreement;(c)that the people signing this Agreement have the authority to sign;(d)that SSLP is entitled to l access to the Site at all times a.id to the quiet possession of the Site throughout the Initial Term and each fRenewal Term so Long as SSLP is not in default beyond the expiration of any cure period;and(e)that the City i will not have unsupervised access to the Site or to the PCS equipment. i 7. Assi Unmf,-rxt/. .fie in SSLP will not assign or transfer this Agreement or sublet all or any portion of the Site without the prior written cement of the City,which consent will not be unreasonably withheld,delayed or conditioned;provided,however, SSLP may assign or sublet without the City's prior written consent to any party controlling, controlled by or under common control with SSLP or to any party which acquires substantially all of the assets of SSLP. i 8. ears. All notices must be in writing and are effective when deposited in the U.S. mail, certified and postage prepaid, or when sent via overnight delivery,or as otherwise provided by law to the City of Jefferson,320 East McCarty Street, Jefferson City, Missouri, 65101, and Sprint Spectrum, L.P., Attention: Property Manager, Site# ST13XC215, 1341 West Mockingbirry,Lane,4600E,Dallas,Texas, 75247,with a copy to Sprint Spectrum,.L.P., � 4900 Main Street, 12`h Floor,Kansas City,Missouri,64112,Attention:Legal Department,Business Law Group i (Real Estate),or to such other address as the parties may have specified through proper notice. 4I E j 9. ImIRrovements. SSLP may,at its expense,wake such improvements on the Site as it deems necessary from time to time for the ' operation of a PCS with prior notification of the City. No such improvements shall interfere with the normal use of City property. SSLP shall be responsible, at its sole expense, for all maintenance of the Site. SSLP shall i have the right to fence that portion of the Site which contains the ground based equipment. The City agrees j. to cooperate with SSLP with respect to obtaining any required zoning approvals for the Site and such improvements. SSLP will substantially comply with all applicably: laws relating to its possession and use of the Site. , 11. Intgrenoe. SSLP will resolve technical interference problems with other equipment located at the Site on the Commencement Date or any equipment that becomes attached to the Site at any future date when SSLP desires to add additional equipment to the Site. Likewise, the City will not permit the installation of any future equipment which results in technical interference problems with SSLP's then existing equipment. 12. Utilities, i The City represents that utilities adequate for SSLP's use of the Site are available. SSLP will pay for all utilities used by it at the Site. The City will cooperate with SSLP in SSLP's efforts to obtain utilities from any location provided by the City or the servicing utility. All utilities shall be installed to the Site in conduit. Routing of all utilities shall be clearly marked and must be approved by the City prior to commencement of work. 13. Term irtax ioxx- SSLP may terminate this Agreement at any time by notice to the City without further liability if SSLP does not obtain all permits or other approvals )required(collectively,"approval" re red from an i q y governmental authority or any easements required fiom any third party to operate the PCS system,or if any such approval is canceled, expires or is withdrawn or terminated, or if the City fails to have proper ownership of the Site or authority to enter into this Agreement, or if SSLP, for any other reason, in its sole discretion, determines that it will be unable to use the Site for its intended purpose. Upon termination,all prepaid rent will be retained by the City. ' y"r•r,wh' 14. If either party is in default under this Agreement for a period of(a)ten(10)days following receipt of notice from the non-defaulting party%;ith respect to a default which may be cured solely by the payment of money, or(b) thirty(30)days following receipt of notice from the non-defaulting party with respect to a default which may not be cured solely by the payment of money, then, in either event, the non-defaulting party may pursue any remedies available to it against the defaulting party under applicable law, including, but not limited to, the right to terminate this Agreement, If the non-monetary default may not reasonably be cured within a thirty (30) days period, this Agreement may not be terminated if the defaulting party commences action to cure the default•within such thirty(30)day period and proceeds with due diligence to fully cure the default. 15. Insurance and pm City shall maintain in frill force and effect for and during the entire term of this Agreement and any extensions � i or renewals thereof general liability insurance on an occurrence basis*with SSLP as an additional insured with limits of$1,000,000 for bodily injury, $1,000,000 for property damage, $2,000,000 aggregate, occurring on, in i or about the Site, and contractual liability to cover assumed liabilities and indemnifications hereunder. City \. shall provide SSLP with a certificate of insurance evidencing that such insurance coverage is in effect and shall provide for at least fifteen (155) days prior written notice to SSLP before any amendment or cancellation of coverage. The City and SSLP each indemnifies the other against ;And holds the other harmless from any and all costs i (including reasonable attorneys'fees)and claims of liability or!o9a which ar6e cut of the use and/or occupancy i of the Site by the indemnifying paity. This indemnity does not :apply to, any cl irns arising from the sole negligence or intentional misconduct of the indemnified prarty. 17. x_ SSLP will be responsible for payment of all personal property taxes assessed directly upon and arising solely ' from its use of the communications facility on the Site. The City will be responsible for payment of all real property taxes, if any. 'i8. �Ia,�.gd�us nubs±mica's. i iThe City represents that it has no knowledge of any substance,chemical or waste(collectively,"substance")on the Site that is identified as hazardous, toxic or dangerous in any applicable federal, state or local law or regulation. SSLP will not introduce or use any such substance on the Site in violation of any applicable law and will remove any hazardous, toxic or dangerous substance in any applicable federal, state or local law or regulation which it introduces to the Site. 19. MiscqLjAn i A. This Agreement applies to and binds the heirs; successors, executors, administrators and assigns of the parties to this Agreement. B. This Agreement is governed by the laws of Missouri. � f C. This Agreement (including Exhibits A, B and C attached hereto) constitutes the entire agreement between the parties and supersedes all prior written and verbal agreements, � representations, promises or understandings between the parties.. Any amendment's to this Agreement must be in writing and executed by both parties. I D. If any provision of this Agreement is invalid or unenforceable with respect to any party, the remainder of this Agreement or the application of such provision to persons other than.those : i as to whom it is held invalid or unenforceable,will not be affected and each provision of this Agreement will be valid and enforceable to the fullest extent permitted by law. j E. ' The prevailing party in any action or proceeding in court or mutually agreed upon arbitration { r proceeding to enforce the terms of this Agreement is entitled to receive its reasonable- attorneys'fees and other reasonable enforceable costs and expenses from the non-prevailing k party. F. Such Agreement provides in part that the City leases to SSLP a certain site ("Site") located and identified as the lease area on. WITNESSETH: THAT WHEREAS, the parties entered into an agreement dated September. 15, 1998, in which it was I provided in paragraph 1, "Premises and Use," that: "The Site will be used by SSLP for the purpose of installing, removing, replacing, modifying, maintaining and operating, at its expense, a personal communications service system facility ("PC'S"), including, without limitation, related antenna equipment i and fixtures and specifically including a monopole with antenna. (one hundred forty (140) foot tall)"; and i THAT WHEREAS,the authority to construct the monopole. with antenna one hundred forty (140) foot tall is regulated by the FAA and subject to FAA approval before construction may commence; and i THAT WHEREAS, SSLP reasonably believes that FAA approval of an antenna above one hundred ten (110) feet will be granted; however, such approval may not occur within six (6) weeks of the date of the original agreement; and NOW, THEREFORE,the parties hereto agree as follows: 4 7 A. SSLP shall commence immediately to construct a monopole with an antenna one hundred (100) feet tall. ' B. SSLP covenants and agrees that it will endeavor to the best of its ability, to obtain FAA approval for extension of the antenna to one hundred forty (140) foot tall. C. In the event that the FAA fails to approve the extension of the antenna to one hundred forty (140)feet, SSLP shall be relieved of its obligation to extend the antenna to one hundred forty ! (140)foot. Nevertbeless, SSLP shall be obligated to comply with paragraphs 3, "Term," and 4, "Annual Rent," contained..in the original agreement. .E J D. Other Conaideratnoins. A. Provide hardline coax from Station One radio to a new VHF antenna, DB224 or equal, mounted at an elevation equal in height. B. Provide conduit and under-grounding the hardline coax between the new tower and fire station. C. City, at SSLI''s cost,shall arrange for relocation.of voter receiver equipment from City facility to nevi facility to include new hardline coax,receiver cabinet, receiver and antenna. Antenna to be mounted one hundred(100)feet above Ere transmitter antenna, and SSLP shall pay for signal alignment on the voting system. City shall bear the cost of the receiver and the receiver cabinet. ' D. SSLP will reimburse City for the cost of all.labor and material to make the City equipment fully functional not otherwise specified. E. SSLP will take down/disassemble the existing antenna,tower and cable. The concrete pier will also be removed to a depth of four(4)feet. SSLP will resolve technical interference problems with other equipment located at the Site on the Commencement Date or any equipment that becomes attached to the Site at any future date when SSLP desires to add .additional equipment to the Site. Likewise, the City will not permit the installation of any future equipment which msult3 in technical interference problems with SSLP's then existing equipment. 11. ilit'c� The City represents that utilities adequate for SSLP's use of the Site are available. SSLP will pay for all utilities used by it at the Site. The{amity will cooperate with SSLP in SSLP's efforts to obtain utilities from any location provided by the City or the servicing utility. All utilities shall ba installed underground to the Site in l conduit. No additional utility poles shall be installed on City property to accommodate SSLP's needs. SSLP shall verify all existing underground utility locations and shall be responsible for repair of any damage caused by installation of the Site. Routing of all utilities shall be clearly marked and must be approved by the City prior to commencement of work, 12. Turm-ination SSLP may terminate this Agreement at any time by notice to the City without further liability if SSLP does not obtain all permits or other approvals(,collectively,"approval")required from any governmental authority or any easements required from any third party to operate the PCS system,or if any such approval is canceled, expires or is withdrawn or terminated, or if the City:ails to have proper ownership of the Site or authority to enter into this Agreement, or if SSLP, for any other reason, in its sole discretion, determines that it will be unable to use the Site for its intended purpose. Upon termination, all prepaid rent will be retained by the City. 13. D-PS-AUlt If either party is in default under this Agreement for a period of(a)ten(10)days following receipt of notice from the non-defaulting party with respect to a default which may be cured solely by the payment of money,or(b) thirty(30)days following receipt of notice from the non-defaulting party with respect to a default which may not be cured solely by the payment of money, then, in either event, the non-defaulting party may pursue any remedi6i available to it against the defaulting party under applicable law, including, but not limited to, the right to terminate this Agreement. City and SSLP shall give written notice to their respective insurance carriers as to this mutual waiver of subrogation. 15. �nd>eatxi�y� The City and SSLP each indemnifies the other against and holds the other harmless from any and all costs (including reasonable attorneys fees)and claims of liability or loss which arise out of the use and/or occupancy ,.,d•f of the Site by the indemnifying party. This indemnity does not apply to any claims arising from the sole negligence or intentional misconduct of the indemnified party. 16. Taxes, SSLP will be responsible for payment of all personal property taxes assessed directly upon and arising solely j from its use of the communications facility on the Site. The City will be responsible for payment of all real property taxes, if any. 17. Hazardgvka St bq g% The City represents that it has no knowledge of any substance, chemical or waste(collectively, "substance")on ' the Site that is identified as hazardous, toxic or dangerous in any applicable federal, state or local law or ' regulation. SSLP will not introduce or use any such substance on the Site in violation of any applicable law and will remove any hazardous, toxic or dangerous substance in any applicable federal, state or local law or regulation which it introduces to the Site. 18. Miscellan�BUe A. This Agreement applies to and binds the heirs, successors, executors, administrators and i assigns of the parties to this Agreement. B. This Agreement is governed by the laws of Missouri, C.
