BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and City Clerk are hereby authorized and directed to execute f Cole Count Special Services for trans I a grant agreement with Col y transportation services for the p p developmentally disabled. Section 2. The agreement shall be substantially the same in form and content as that agreement attached hereto as Exhibit A. Section 3. NOW,THEREFORE,be it agreed as follows: µ. A. Paragraph 2 of the Agreement dated May 22, 1997 as previously amended, is hereby amended to read as follows: 2. Description of Pavment. In consideration of Handiwheel's performance,CCSS grants to the City the sum of Thirty Thousand Dollars($30,000.00). B. Paragraph 3 of the Agreement dated May 22, 1997 as previously amended,is hereby amended to read as follows: 3. Method of Payment. . Two Thousand Five Hundred Dollars($2,500.00)will be issued to the City for each of twelve(12)months beginning July 1,1999 through June 30,2000. The City agrees to and understands that these funds are intended to f � (� J) help maintain the present level of service offered by Handiwheel and are not intended to replace existing City funds. C. Paragraph 8 of the Agreement dated May 22, 1997,is hereby amended to read as follows: r:• 8. Renewal. No additional renewals are authorized under this agreement. D. NOW,THEREFORE,be it agreed as follows: I - A. Paragraph 2 of the Agreement dated May 22, 1997,is hereby amended to read as follows: 2. Deserintion of Payment. In consideration of Handiwlleel's performance,CCSS grants to the City j the sum of Twenty-Se%en Thousand Dollars($27,000.00). B. Paragraph 3 of the Agreement dated May 22, 1997,is hereby amended to read as follows: 3. Method of Payment. Two Thousand Two Hundred Fifty Dollars($2,260.00)will be issued to the City for each of twelve(12)months beginning July 1, 1998 through June 30, 1999. The City agrees to and understands that these funds are intended to help maintain the present level of service offered by Handiwheel and are not intended to replace existing City funds. C. Paragraph 8 of the Agreement dated May 22, 1997,is hereby amended to read as follows: 8. Renewal. By consent of the parties,this Agreement may be extended for one(1) additional one(1)year period. �. WITNESSETH: WHEREAS, the City of Jefferson's Handiwheel Service (hereinafter"Handiwleel") has requested from CCSS funds to operate in connection with its purpose and function of providing services and benefitting f citizens who are disabled. NOW,THEREFORE,in consideration of the premises and of the mutual covenants and premises contained i herein,it is agreed between the parties as follows: " 1. Services To Be Performed Handiwheel shall provide transportation which will benefit citizens who are developmentally disabled. 2. Description of Payment t .. In consideration of Handiwheel's performance,CCSS grants to the City the sum of Thirty Thousand Dollars ($30,000.00). i . 3. Monitoring. t The City agrees to permit CCSS to monitor the services covered by this Agreement allowing CCSS to inspect public records,interview personnel and review expenditures and records. 5. Discrimination The City agrees that it has adopted policies and practices to ensure that it will not discriminate either in employment or in the provision of services in violation of any applicable federal,state,county or municipal statutes or ordinances. 6. Termination I . This contract may be terminated by either party by giving thirty(30)days written notice. 7. Liability. (b) CCSS shall defend,indemnify and hold the City harmless from and against all claims,losses, and liabilities arising out of personal injuries,including death and damage to property which are caused by CCSS arising out of or in any way connected with this contract. 8. Renewal. GP-6.8 EMPLOYER'S LIABILITY AND WORKMEN'S COMPENSATION ..I Employer's and Workmen's Compensation Insurance as will protect him against any and all claims resulting from injuries to and death of workmen engaged in work under this contract, and in addition the Contractor shall carry occupational disease coverage with statutory limits, and Employers Liability with a limit of$100,000 per person. The"All State"endorsement shall be included. In case any class of employees is not protected under the Workmen's Compensation Statute, r . the Contractor shall provide and cause such contractor to provide adequate employer's liability coverage as will protect him against any claims resulting from injuries to and death of workmen engaged in work under this contract. GP-6.9 INSTALLATION FLOATER INSURANCE This insurance shall insure and protect the Contractor and the City from all insurable risks of I physical loss or damage to materials and equipment, not otherwise covered under Builder's Risk Insurance,when in warehouses or storage areas,during installation,during testing and until the work is accepted. It shall be of the"All Risks"type,with coverage designed for the circumstances which may occur in the particular work included in this contract. The coverage shall be for an amount not less than the value of the work at completion,less the value of the material and equipment insured under Builder's Risk Insurance. The value shall include the j aggregate value of the City-furnished equipment and materials to be erected or installed by the Contractor not otherwise insured under Builder's Risk Insurance. ^7 Installation Floater Insurance shall also provide for losses, if any, to be adjusted with and made payable to the Contractor and the City as their interests may appear. If the aggregate value of the City-furnished and Contractor-furnished equipment is less than $10,000 such equipment may be covered under Builder's Risk Insurance,and if so covered, t' this Installation Floater Insurance may be omitted. GP-6.10 CONTRACTOR'S RESPONSIBILITY FOR OTHER LOSSES For the considerations in this agreement heretofore stated,in addition to Contractor's other obligations,the Contractor assumes full responsibility for all loss or damage from any cause —� whatsoever to any tools owned by the mechanics,any tool machinery,equipment, or motor vehicles owned or rented by the Contractor's,his agents,sub-contractors, material men or his or their employees;to sheds or other temporary structures,scaffolding and staging, protective fences,bridges and sidewalk hooks. The Contractor shall also assume responsibility for all loss or damage caused by,arising out of or incident to larceny,theft,or any cause whatsoever (except as hereinbefore provided)to the structure on which the work of this contract and any _J modifications, alterations, enlargements thereto, is to be done, and to materials and labor connected or to be used as a part of the permanent materials, and supplies necessary to the work.
