Jackson an ORDINANCE 'NO. _ /�40 f AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH FREILICH, LEITNER &CARLISLE FOR PROFESSIONAL SERVICES RELATED TO DRAFTING NEW ZONING AND SIGN REGULATORY ORDINANCES. BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: z Section 1. The Mayor and City Clerk are hereby authorized and directed to execute an agreement with Freilich, Leitner & Carlisle for Professional Services related to drafting new zoning and sign regulatory ordinances. Section 2. The agreement shall be substantially the same in form and content as i that agreement attached hereto as Exhibit A. Section 3. This Ordinance shall be in full force and effect from and after the date of its passage and approval. NOW THEREFORE, for the considerations herein expressed, it is agreed by and between the City and the ` Consultant as follows: 1. Character and Exte nt of Consultant's Sprvices. a. General Descriution of eryices Consultant shall prepare, in Project 1, Phase 1 of this Contract,an ff� assessment of the zoning ordinance. Project 1, Phase 2 services include the preparation of an annotated i outline of proposed amendments to the zoning ordinance. Project 1,Phase 3 services include the drafting of an updated zoning ordinance for public hearing and adoption.Project 2 includes the update of the sign ordinance in four(4)phases:Project 2,Phase 1 includes the review of the sign ordinance;Project 2,Phase 2 involves the drafting of regulating provisions;Project 2,Phase 3 includes drafting of the sign ordinance; Project 2,Phase 4 includes public hearing support. b. A detailed scope of services, precisely describing the 'tasks involved in Phases 1-4 of the work program, is attached as an addendum hereto and identified as Exhibit A. (� C. Mqetun& The City and Consultant agree that meetings between the City staff and/or voluntary or ' elected public bodies and Consultant will be required in the execution of a number of the work Tasks descried in Exhibit A.The minimum number of person-trips and meetings for each associated Task or group of Tasks is described in Exhibit B attached hereto.Consultant may,at Consultant's discretion,bring additional personnel to meetings, subject to budgetary limitations specified in paragraph 6 of this Contract. The use of telephone conferences to clarify points or share thoughts are a,part of the cost of each Task as described in.Exhibit A. Additional meetings other than those described in Exhibit B may be t agreed to by the City and Consr ltant if approved by the City Administrator, and Consultant shall be compensated on an agreed upon time and,expense basis unless otherwise agreed to. Time costs will be based on the hours worked and the hourly costs listed in Exhibit C. All work as specified,in the scope of services shall be, completed, to the maximum extent possible, in accordance with the work schedule attached to Exhibit 7); provided, however, that the time schedule may be extended due to factors an eireumstanres beyond Consultant's control,including but not limited to, the number and timing of public meetings, the timing of receipt of notice to proceed with subsequent Phases, and the availability and/or need for additioinal supporting data and documentation. The Consultant shall undertake such changed activities only upon the direction of the City. All such directives and changes shall be in written form and approved by the Director of Planning and Code Enforcement and shall be accepted and countersigned by the Consultant or its agreed representatives. t The Consultant will perform any additional work requested by the City which is not specifically covered in the scope of work as defined herein compensation to be agreed to between the City and the Consultant at the time any such service may be required. 3. Existing Data, All information, data and reports as are existing, available and necessary for the carrying out of the work,shall be furnished to the Consultant without charge by the City, and the City shall cooperate with the Consultant in every reasonable way in carrying out the scope of services. 4. Personnel to e Pxovided. The Consultant represents that the Consultant has or will secure at its expense all personnel required to perform the services called for under this contract by the Consultant.Such personnel shall not be employees of the City or s have any contractual relationship with the City except as employees of the Consultant. All of the services required hereunder will be performed by the Consultant or under the Consultant's direct supervision and all personnel engaged in the work shall be fxxlly qualified and all work shall be performed under the supervision of personnel authorized under state and local law to perform such services. None of the work or services covered by this contract shall be subcontracted without the written approval of the City. f Consultant agrees that the following individuals shall perform work or services relative to the project: Martin L. Xotice to �� 1 The services of the Consultant shall commence as directed in the Notice to Proceed and shall be undertaken and i completed in accordance with the schedule contained in Exhibit D. ' The City agrees to pay the Consultant in accordance with the rates set forth in Exhibit A which shall constitute full and complete compensation for the Consultant legal and planning services and direct expenses hereunder. Direct expenses include, but are not necessarily limited to, long-distance telephone, copying and report , reproduction,travel,special postage, overnight delivery and word processing. Such compensation will be paid in progress payments. Consultant shall bill the City monthly for fees and expenses. The monthly invoices shall � itenAze the time spent and the expenses incurred by phase. The City shall render payment to Consultant pursuant. to such.invoice within thirty(30)days fallowing receipt of the invoice. Consultant shall have the right to cease work and terminate this Contract in the event of either non-payment of any invoice or failure to pay any invoice by the 451s day after receipt. The final payment will be subject to receipt of a requisition for payment and a statement of services rendered from the Consultant certifying that the Consultant fully performed all work to be paid for in such progress payments in conformance with the contract. If, through any cause, the Consultant shall fail to fulfill in timely and proper manner its obligations under this � contract,or if the Consultant shall violate any of the covenants, agreements, or stipulations of this contract, the City shall thereupon have the right to terminate this contract by giving written notice to the Consultant of such termination and specifying the effective date thereof, at least five (b) days before the effective day of such termination. F. 1 The Consultant or the City may terminate this contract upon thirty(30)days prior written notice. In the event of termination, all finished or unfinished documents,data,studies, surveys,drawings,maps, models,photographs, and reports or other materials prepared by the Consultant under this contract shall, at the option of the City, become its property, and the Consultant shall be entitled to receive just and equitable compensation for any satisfactory work completed on such documents and other materials. 9. Assignmgnt• The Consultant shall not assign any interest in this contract, and shall not transfer any interest in the same (whether by assignment or novation), without,prior written consent of the City thereto. Any such assignment is expressly subject to all rights and remedies of the City under this contract, including the right to change or delete I activities from the contract or to terminate the same as provided herein,and no such assignment shall require the City to give any notice to any such assignee of any actions which the City may take under this contract,though the City will attempt to so notify any such assignee. 10. CquBdentiality. Any reports,data or similar information given to or prepared or assembled by the Consultant under this Contract which the City requests to be kept as confidential shall not be made available to any individual or organization by the Consultant without prior written approval of the City except as may be required by a court of competent jurisdiction. 11. I+1a�ndispriniinatim j f The Consultant agrees in the performance of the contract not to discriminate on the grounds or because of race, E creed,color,national origin or ancestry, sex,.religion, handicap, age or political affiliation, against any employee of the Consultant or applicant for employment and shall include as similar provision in all subcontracts let or awarded hereunder. i „! 12• �lkend��rit Q;nn#raft t This Contract is a personal services contract. Consultant shall perform all work and services hereunder as an e: independent contractor, not as an officer, agent,servant or employee of the City. 1.3. . Nothing contained in this paragraph b shall be construed to require the Consultant to indemnify the City for damages caused by the City's actions or negligence. 1 G. Docume I& The reports,drawings, photographs, computerized databases, statistical materials and other contract documents prepared under this Contract by Consultant shall become the joint property of the City and Consultant upon compensation of Consultant for its services as herein described. Each party reserves the right to use any drawings, graphics,studies, reports, models or computation sheets in any manner without prior written consent of the other party. 16. Non sQ)ic ndl Ccst�flzc�: The Consultant warrants that it has not employed or retained any company or person., other than a bona fide employee working solely for the Consultant, to solicit or secure this contract, and that it has not paid or agreed to pay any company or person, other than a bona fide employee working solely for the Consultant, any fee, commission, percentage, brokerage fee, gifts, or any other consideration,contingent upon or resulting from the award or making of this contract. For breach or violation of this warranty, the City shall have the right to annul this contract without liability,or, in its discretion, to deduct fi-om the contract price or consideration, or otherwise 7 recover the full amount of such fee,commission,percentage,brokerage fee,gifts,or contingent fee. The Consultant warrants that no officer or employee of the City, whether elected or appointed, shall in any manner whatsoever be interested in or receive any benefit from the profits or emoluments of this Contract. 17. Boors and Records, ! The Consultant and all its subcontractors shall maintain all books,documents,papers, accounting records, and other evidence pertaining to costs incurred in connection with this Contract, and shall make such materials available at their respective offices at all reasonable times during the Contract and for a period of three(3)years following completion of the Contract. i i 18. D&L4ym The Consultant shall not be liable for delays resulting from causes beyond the reasonable control of the Consultant; the Consultant has made no warranties,expressed or implied,which are not expressly set forth in this contract; f:. and,under no circumstances shall the Consultant be liable for indirect or consequential damages. The date and delivery of any notice shall be the date falling on the third full day after the day of mailing. 20. V�u : Venue for any action arising out of agreement shall be in the Circuit Court of Cole County,Missouri;provided, however,that if either party is prevented or prohibited from filing or maintaining any action in the Circuit Court of Cole County,Missouri., suit maybe filed and maintained in any other appropriate jurisdiction.
