AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH SHO-ME COACH
` LINES FOR INTER-CITY BUS SERVICE.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS:
ection 1. The Mayor and City Clerk are hereby authorized and directed to
execute an agreement with Sho-Me Coach Lines, Inc., for inter-city bus service. The
amount of the agreement shall not exceed $4,000.00.
Section 2. The agreement shall be substantially the same in form and content
as that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect from and after the
date of its passage and approval.

s RURAL TRANSIT ASSISTANCE PROGRAM AGREEMENT

THIS AGREEMENT is entered into by the City of Jefferson, Missouri (hereinafter
"City") and Sho-Me Coach Lines, Inc. (hereinafter "Company").
WITNESSETH:
a; WHEREAS, the City has applied to the Missouri Highway and Transportation
f. Commission (hereinafter "Commission") for a grant of funds made available to
Commission under Section 18(h) of the Urban Mass Transportation Act of 1964, as
amended, and the Commission has awarded funds available pursuant to said Act to the
City's application for Section 18(h) assistance.
e WHEREAS, Company has indicated a willingness to operate an inter-city bus
service on a route from Columbia to Springfield; and
;3 WHEREAS, the City is desirous of maintaining bus service for its citizens and the low
surrounding area and believes that such service is vital to continued economic viability
of the City and important to growth factors.

NOW THEREFORE, in consideration of the mutual covenants, promises, and
g representations herein, the parties hereto agree as follows:
.` 1. Purpose and Source of Fund: The purpose of this agreement is to assist
the Company in financing operating losses which are eligible for financial assistance.
2. Scope of Work and Budget: The Company will provide inter-city bus
services between Springfield, Missouri and Columbia, Missouri. The schedule will consist
of at least one bus in the morning and one bus in the evening stopping at cities along the
route including the City of Jefferson. It is anticipated 12,000 annual one-way trips will be
provided during the project period. In return for such inter-city services, the City in
cooperation with other governmental and private entities will provide financial assistance
to the Company in an amount not to exceed Nineteen Thousand ($194000.00) for the
project period.
t 3. Audit of Records: The City will notify the Company if an audit will be
required. The Company must maintain all records relating to this contract, including but
not limited to invoices; payrolls, etc. These records must be available at all reasonable
s " times to the City and/or its designees during the contract period and any extension
thereof, and for three (3) years from the date of final payment at no charge.

4. _Project Time Period: The project period shall be from March 1, 1994 to

Loss Reimbursement: The City shall reimburse Company on a monthly
basis for any actual cash losses up to $19,000-00 incurred in providing inter-city bus
service as set out herein subject to the terms and conditions of this contract. The
Company shall present monthly cash flow reports during the project period on a form to
be prescribed by City which clearly states any requests for loss reimbursement. Any
request for payment will only be considered if it represents an actual out-of-pocket cash
loss to Company, exclusive of depreciation amounts and other non-cash items.
6. Amendments: Any change in the agreement, whether by modification and/or
supplementation, must be accomplished by a formal amendment signed and approved
on or between the duly authorized representatives of Company and City.
7, Indemnification: The Company shall be responsible for any and all injury
or damages as a result of any services and/or goods rendered under the terms and
conditions of the agreement. In addition to the liability imposed upon the Company on
the account of personal injury, bodily injury (including death) or property damage suffered
as a result of the Company's performance under the agreement, the Company assumes r.
the obligation to save the City, including its agents, employees and assigns, harmless and
to indemnify the City, including its agents, employees and assigns from every expense,
liability or payment arising out of such negligent act. The Company also agrees to hold
the City, including, its agents, employees and assigns, harmless from any negligent act
or omission committed by any subcontractor other than the person employed by or under
the supervision of the Company for the terms of the agreement.
8. Cancellation: The City may cancel the contract at any time for a material
breach of contractual obligations by providing the Company with a written notice of such
cancellation. Should the City exercise its right to cancel the contract for such reasons,
cancellation will become effective upon the date specified in the notice of cancellation
sent to the Company.
9. Disputes: Any dispute of facts regarding the Company's carrying out of the
project, or the City's financial participation, which might arise as a result of this agreement
shall be decided by the City.
10. Nondiscrimination Assurance: With regard to work under this agreement,
the Company agrees as follows:
A. Civil Rights Statutes: The Company shall comply with all state and
federal statutes relating to nondiscrimination, including but not limited to Title VI and Title
VII of the Civil Rights Act of 1964, as amended (42 U.S.C. 2000 d, e).

,. . `' B. State Nondiscrimination Clause: The Company shall comply with the
'= provisions of Executive Order No. 82-27. This order prohibits discriminatory employment
practices by Company or its subcontractors based on race, color, religion, creed, national y,
origin, ancestry, sex or veteran or handicap status. ti
C. Administrative Rules: The Company shall comply with the
;. administrative rules of the U. S. Department of Transportation relative to nondiscrimination
in federally-assisted programs of the U. S. Department of Transportation (49 C.F.R.
Subtitle A, Part 21) which are herein incorporated by reference and made a part of this {
contract.

D. Nondiscrimination: The Company shall not discriminate on grounds
of rate, color, religion, creed, sex, national origin, or ancestry of any individual in the

selection and retention of subcontractors, including procurement of materials and leases f'
of equipment. The Company shall not participate either direct) indirect)

G E. Solicitations for Subcontractors Including Procurements of Material
and Equipment: These assurances concerning nondiscrimination also apply to subcontractors and suppliers of the Company. In all solicitations either by competitive
bidding or negotiation made by the Company for work to be performed under a
subcontract including procurement of materials and equipment, each potential
subcontractor or supplier shall pp a I be notified by the Company of the requirements of this
agreement relative to nondiscrimination on grounds of the race, color, religion, creed, sex,
national origin or ancestry of any individual.
F. Information and Reports: The Company shall provide all information
and reports required by the contract, or orders and instructions issued pursuant thereto,
and will permit access to its books, records, accounts, other sources of information, and
{ its facilities as may be determined by the City or the U. S. Department of Transportation,
to be pertinent to ascertain compliance with other contracts, orders and instructions.
Where any information required of the Company is in the exclusive possession of another
who fails or refuses to furnish this information, the Company shall so certify to the City
or the Commission as appropriate and shall set forth what efforts it has made to obtain
the information:
G. Sanctions for Noncompliance: In the event the Company fails to
F comply with the nondiscrimination provisions of this contract, the City shall impose such
contract sanctions as it or the Commission may determine to be appropriate, including
but not limited to: (1) withholding of payments to the Company under the contract until
the Company complies, and/or (2) cancellation, termination or suspension of the contract,
in whole or in part.

H. Incorporation of Provisions: The Company shall include the
provisions of paragraph 12.A of this agreement in every subcontract, including
procurements of materials and leases of equipment, unless exempted by the statutes,
r ; executive order, administrative rules, or instructions issued by the City or the Commission ;a
-' pursuant thereto. The Company will take such action with respect to any subcontract or :x

:Y procurement as the City or the Commission may direct as means of enforcing such
provisions, including sanctions for noncompliance; provided, however, that, in the event
°£ the Company becomes involved in, or is threatened with, litigation with a subcontractor
or supplier as a result of such direction, the Company may request the City to intervene
"? in such litigation to protect the interests of the City, and in addition, the Company mayI
request the Commission to enter into such litigation to protect the interests of the
.: Commission.
't 11. Section 504 Assurances and the Americans with Disabilities Act of 1990: °
The Company shall comply with all the requirements imposed by the U. S. Department
of Transportation regulations implementing the Rehabilitation Act of 1973, as amended,
r' and the Americans with Disabilities Act of 1990 (and an subsequent amendmentsxy: �t
thereto) set forth in 49 C.F.R. Parts 27, 37, and 38, as well as all applicable regulations '° `;?#
and directives issued pursuant thereto by other Federal Departments or agencies.
12. Disadvantaged Business Enterprise: The Company agrees to prepare and
submit for City approval a Disadvantaged Business Enterprise plan as defined in 49
C.F.R. Part 23 dated July 21 1983 if the Company receives a total of $250,000 or more

of financial assistance from the U. S. Department of Transportation, Federal Transit
Administration.
13. Assignment: The Company shall not assign or delegate any interest in the
agreement and shall not transfer any interest in the agreement, (whether by assignment,
delegation or novation) without the prior written consent of the City.

14. Inspection of Work: The City, the Commission and FTA shall be accorded
proper facilities for review and inspection of the work hereunder and shall at all
reasonable times have access to the premises, to all books, records, correspondence,
' ty instruction, receipt vouchers, memoranda of every description pertaining to the work
hereunder. Arrangements for all reviews and inspections by FTA will be made by the
' City.

,. 15. Law of Missouri to Govern: This agreement shall be construed according
to laws of the State of Missouri. The Company shall comply with all local, state and
federal laws and regulations relating to the performance of the agreement.

by and between the City of Jefferson, Missouri, a municipal corporation, and the City of
Lebanon, Missouri
WHEREAS, the parries hereto desire to continue inter-city bus service to the mid-
Missouri 'area, and
WHEREAS, the City of Jefferson has successfully applied for a Section 18 Grant
(hereinafter "Grant") and entered into a contract with Sho-Me Coach Lines, Inc.
(hereinafter "Company"), and
WHEREAS, both the City of Jefferson and the City of will
benefit from the continued operation of a north-south inter-city bus service and are willing
to provide the appropriate local match required.
F NOW, THEREFORE, BE IT AGREED as follows:
1. The City of Jefferson shall be primarily responsible for all administration
related to the Grant and the contract between the City, of Jefferson and
Sho-Me Coach Lines, Inc.
Jefferson shall provide cop ies of all agreements and documents

` related to the Grant and the contract with Sho-Me Coach Lines, Inc. to the
City of Lebanon upon request.
' 3. The City of Lebanon agrees to participate in the local funding
required under the Grant to a maximum amount of$ 1.000.00
' 4. The City of Jefferson agrees to initially fund local match percentages on a
monthly basis and to file requests with the City of Lebanon on
' a quarterly basis for its contribution under the terms of this agreement. All
requests for reimbursement of funds from the City of Lebanon shall
be accompanied by copies of the requests filed by Company for the period.
5. Any change in the scope of the Company's responsibilities, or any
additional directions or changes to the Company shall be in writing and
mutually agreed to by the Director of the Department of Public Works for

AGREEMENT

WHEREAS, the parties hereto desire to continue inter-city bus service to the ¢;
mid-Missouri area and

WHEREAS the City of Jefferson has successfully applied for a Section 18
^§ Grant (hereinafter "Grant") and entered into a contract with Sho-Me Coach Lines,
Inc. ('hereinafter "Company"), and
WHEREAS, both the City of Jefferson and the City of Columbia will benefit > ;

;,;`•-. from the continued operation of a north-south inter-city bus service and are willing
to provide the appropriate local match required. .
NOW, THEREFORE, BE IT AGREED as follows:

1 r; 1. The City of Jefferson shall be primarily responsible for all administration
related to the Grant and the contract between the City of Jefferson and Sho-Me
:34'� Coach Lines, Inc.
2. The City of Jefferson shall provide copies of all agreements and
documents related to the Grant and the contract with Sho-Me Coach Lines, Inc. to
the City of Columbia upon 'request. The City of Jefferson shall be responsible for
63.2%of the local match not to exceed a total of$6,000 in conjunction with the Grant.
3. The City of Columbia agrees to participate in the local funding required
under the Grant to a maximum amount of $3,500.00, which is 36.8% of the local
r: match, or 18.4% of any loss suffered by Company.
: 4. The City of Jefferson agrees to initially fund local match percentages on
a monthly basis and to file requests with the City of Columbia on a quarterly basis
for its contribution under the terms of this agreement. All requests for
v reimbursement of funds from the City of Columbia shall be accompanied by copies of
the loss requests filed by Company for the period.
5. Any change in the scope of the Company's responsibilities, or any
' additional directions or changes to the Company shall be in writing and mutually
agreed to by the Director of the Transportation for the City of Jefferson and a
representative from the City of Columbia.

SECTION 1. The City Manager is hereby authorized to execute an agreement
with the City of Jefferson, Missouri in connection with bus .service between
Springfield and Columbia to be provided by Sho-Me Coach Lines, Inc.
SECTION 2. The form and content of the agreement shall be substantially

SECTION 3. At the request of the City Manager, the sum of $3,500.00 is
hereby transferred from the General Fund Contingency Account No. 94-559900-10-
