AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERIC TO EXECUTE AN AMENDMENT TO THE AGREEMENT
WITH GEORGE BUTLER AND ASSOCIATES FOR PROFESSIONAL SERVICES.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS:
Section I. The Mayor and City Clerk are hereby authorized and directed to execute
an amendment to the agreement with George Butler and Associates for professional
services for the Dix/Southwest Connector project. The amount expended for the amended
contract shall not exceed $225,000.
Section 2. The amendment to the agreement shall be substantially the same in form
and content as that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect from and after the date of
its passage and approval. .

WHEREAS,the City of Jefferson, Missouri, a municipal corporation hereinafter designated

"City", entered into an Agreement with George Butler Associates, Inc., hereinafter referred to as
t: "Engineer", on January 30, 1991;

WHEREAS,the Agreement was for certain technical and professional services described in }
f Exhibit "A," which was attached to the Contract dated January 30, 1991, in connection with the
Dix/Southwest Connector; and

WHEREAS,the parties wish to amend Exhibit "A"to the Contract dated Janu ary
30, 1991
entitled Work Plan, Engineering Design Services,to include an addition of a preliminary design.for
the greenway through the Project; and
WHEREAS, the parties wish to amend the Contract of January 30, 1991, to increase the '

contract amount as this change is necessitated by additional work requirements in the preliminary a b
design stage of the roadway connector project, separation of the sewer work south of Wears Creek
from the connector project, addition of a preliminary design for the greenway through this area, and
the span of time over with the project has been spread. .

k: NOW THEREFORE, be it agreed as follows:

1. The parties hereby agree to amend Exhibit "A"to the Contract dated January 30, 1991, '
concerning the scope of services entitled "Work Plan, Engineering Design Services,to include an
addition of a preliminary design for the greenway through the Project.
2. The first paragraph 6 of the Contract dated January 30, 1991, is hereby amended to
read as follows:
6. Compensation. The City will pay the Engineer in accordance with the
j rates set forth below,which shall constitute full and complete compensation for the
!i Engineer services hereunder. Such compensation will be paid in progress payments,
as established by the City. The final payment will be subject to receipt of a
requisition for payment and a statement of services rendered from the Engineer that
the Engineer fully performed with work to be paid for in such progress payments in
conformance with the contract. It is expressly understood that in no event will the
total compensation and reimbursement to be paid to the Engineer under the terms of
this Contract exceed the sum of Two Hundred Twenty-five Thousand Dollars
($225,000.00)for all services required unless specifically and mutually agreed to in rtz
writing by both the City and Engineer. No change shall be made unless there is a
substantial and significant difference between the work originally contemplated by
