CONTRACT FOR PROFESSIONAL SERVICES ;,' r Vc efi THIS AGREEMENT, made and entered into this 1 day of 994, by and between the ; City of Jefferson City, Missouri, a municipal corporation, her nafter referred to as "City" with offices at 320 East McCarty, Jefferson City, Missouri, 65 10 1, and Walker and Associates, Inc., = . hereinafter referred to as the "Consultant". {' 'R WITNESSETH: l WHEREAS, the City desires to engage the Consultant to render certain technical and professional services as to the 1994 Aerial Mapping Project hereafter described in Exhibit A. k;a n" WHEREAS, the Consultant made certain representations and statements to the City with r respect to the provision of such services and the City has accepted said proposal to enter into a p. 44 = contract with the Consultant for the performance of services by the Consultant. tf . NOW, THEREFORE, for the considerations herein expressed, it is agreed by and betweena }r. the City and the Consultant as follows: "r 1. Scope of Services. The City agrees to engage the services of the Consultant to perform the services hereinafter set forth in connection with project described in Exhibit A attached hereto and incorporated herein by reference. ' 2. Additional Services. The City may add to consultant services or delete therefrom activities E of a similar nature to those set forth in Exhibit A,provided that the total cost of such work does not exceed the total cost allowance as specified in paragraph 6 hereof. The consultant shall undertake yK.;tSL such changed activities only upon the direction of the City. All such directives and changes shall be in written form and approved by the Director of Public Works and shall be accepted and countersigned by the Consultant or its agreed representatives. f; 3. Existing Data, All information, data and reports as are existing, available and necessary for the carrying out of the work, shall be furnished to the Consultant without charge by the City, and the City shall cooperate with the Consultant in every reasonable way in carrying out the scope of ty, ' services. The Consultant shall not be liable for the accuracy of the information furnished by the City. prt`,r 4. Personnel to be Provided. The Consultant represents that Consultant has or will secure at its expense all personnel required to perform the services called for under this contract by the Consultant. Such personnel shall not be employees of or have any contractual relationship with the City except as employees of the Consultant. All of the services required hereunder will be performed by the Consultant or under the Consultant's direct supervision and all personnel engaged in the work shall be fully qualified and shall be authorized under state and local law to perform such services. Consultant reserves the right to use the services of subconsultants when, in Consultant's opinion, it is appropriate and customary to do so. Failure to Perform. Cancellation. Confidentiality. Documents. Reproducibles of tracings and maps prepared or obtained under the terms of this Contract shall be delivered upon request to and become the property p p rty of the City upon termination or completion of the work. Copies of basic survey notes and sketches, charts, computations and other data prepared or obtained under this Contract shall be made available, upon request,to the City without restrictions or limitations on their use. When such copies are requested, the City agrees to pay the Consultant its costs of copying and delivering same. .�.w p3'i g 15. Nonsolicitation. The Consultant warrants that he has not employed or retained any company -a or person,other than a bona fide employee working solely for the Consultant,to solicit or secure this Contract, and that he has not paid or agreed to pay any company or person, other than a bona fide employee working solely for the Consultant, any fee, commission,percentage, brokerage fee, gifts, ` or any other consideration, contingent upon or resulting from the award or making of this Contract. Foi•breach or violation of this warranty,the City shall have the right to annul this Contract without { liability, or,in its discretion, to deduct from the Contract price or consideration, or otherwise recover the full amount of such fee, commission, percentage, brokerage fee, gifts, or contingent fee. xy; 16. The solar angle will be 30 degrees or more above the horizon at the time of exposure. WALKER will produce two (2) sets of 9"x 9" contact prints from the aerial negatives. One (1) set will be delivered to the client and one (1) set will be retained by WALKER for control planning purposes. 1.2 Control Plan , ;� . The preliminary delivery area selected will be jointly determined by the CLIENT and WALKER. Assumin • .,r coordinates are provided in this datum) ( g Found control ." 1.4.2 Topographic Mapping j WALKER will stereo digitize'breaklines at strategically placed locations along roads, i j, ditches, ridge lines and other natural and manmade features that indicate a discernable difference in elevation change. The hard breaklines will be supplemented r, u pp emented with individually measured points to properly define the terrain. The individually measured mass points will be combined with the breakline file and a Triangulated (TIN) or surface file will be generated for each quarter section. Irregular Network generated at a 2-foot contour interval, with every fifth contour indicated and labeled as ` an index contour. The 3-D line string of the contour will be broken at ng purposes. However, the contour segments index labels and >_ removed from building structures for plotting suppressed for plotting will be saved to a designated layer and when all contour layers are displayed, the contour string will be uninterrupted and continuous. Spot elevations ' will be added after the contours have been generated using the Softdesk/DCA software to supplement the contour data and indicate elevations in areas where the contours are widely spaced. The contour files will contain the following topographic layer descriptions: Index contour, intermediate contour, depression index contour, depression intermediate contour, vertical control points, spot elevations and,dashed boundary line(s)indicating the extent of dense tree cover. Elevations will be referenced to Mean Sea Level, 1988 Datum. Spot elevations shall be labeled at every street intersection, every high point and any low point of a depressed area, and be labeled to the nearest one-tenth (1/10) of a foot elevation.
