WHEREAS, the City desires to engage the Consultant to render certain technical and
professional services as to the 1994 Aerial Mapping Project hereafter described in Exhibit A. k;a
n" WHEREAS, the Consultant made certain representations and statements to the City with r
respect to the provision of such services and the City has accepted said proposal to enter into a p.
44 = contract with the Consultant for the performance of services by the Consultant. tf .
NOW, THEREFORE, for the considerations herein expressed, it is agreed by and betweena }r.
the City and the Consultant as follows:
"r 1. Scope of Services. The City agrees to engage the services of the Consultant to perform the
services hereinafter set forth in connection with project described in Exhibit A attached hereto and
incorporated herein by reference.
' 2. Additional Services. The City may add to consultant services or delete therefrom activities
E of a similar nature to those set forth in Exhibit A,provided that the total cost of such work does not
exceed the total cost allowance as specified in paragraph 6 hereof. The consultant shall undertake

such changed activities only upon the direction of the City. All such directives and changes shall be
in written form and approved by the Director of Public Works and shall be accepted and
countersigned by the Consultant or its agreed representatives.
f; 3. Existing Data, All information, data and reports as are existing, available and necessary for
the carrying out of the work, shall be furnished to the Consultant without charge by the City, and the
City shall cooperate with the Consultant in every reasonable way in carrying out the scope of

' services. The Consultant shall not be liable for the accuracy of the information furnished by the City.

4. Personnel to be Provided. The Consultant represents that Consultant has or will secure at
its expense all personnel required to perform the services called for under this contract by the
Consultant. Such personnel shall not be employees of or have any contractual relationship with the
City except as employees of the Consultant. All of the services required hereunder will be performed
by the Consultant or under the Consultant's direct supervision and all personnel engaged in the work
shall be fully qualified and shall be authorized under state and local law to perform such services.
Consultant reserves the right to use the services of subconsultants when, in Consultant's opinion, it
is appropriate and customary to do so. Such persons and entities include, but are not limited to,
` surveyors, scanning services and specialized consultants.

5. N!2tice to Proceed, The services of the Consultant shall commence as directed in the Notice .

6. Compensation. The City agrees to pay the Consultant Forty-one Thousand Eight Hundred
Dollars ($41,800.00), which shall constitute complete compensation for all services t rendered

under this contract. The final payment will be subject to receipt of a requisition for payment and a 1r`.
IN, statement of services rendered certifying that the Consultant fully performed all work to be paid for
:. in such progress payments in conformance with the contract. It is expressly understood that in no
event will the total compensation and reimbursement to be paid to the Consultant wider the terms

Consultant will submit invoices to the City for services accomplished during each calendar
month. For services provided, the amount of each monthly `

"percentage of completion," whereby Consultant will estimate the percentage of total services
accomplished during the invoicing period.
;i 7. Failure to Perform. Cancellation. If,through any cause,the Consultant shall fail to fulfill in
•;;, t timely and proper manner its obligations under this contract, or if the Consultant shall violate any
of the covenants, agreements, or stipulations of thus contract,the City shall thereupon have the right
< to terminate this contract by giving written notice to the Consultant of such termination and
specifying the effective date thereof, at least five 5 days before the effective day of such( ) Y
termination. The Consultant or City may terminate this contract upon 30 days prior written notice.
In the event of termination, all finished or unfinished documents, data, studies, surveys, drawings,
` maps, models, photographs, and reports or other materials prepared by the Consultant under this '

' 8. Assigoment. The Consultant shall not assign any interest in this contract, and shall not
transfer any interest in the same(whether by assignment or novation), without prior written consent
of the City thereto. Any such assignment is expressly subject to all rights and remedies of the City
under this agreement, including the right to change or delete activities from the contract or to
? ;? terminate the same as provided herein, and no such assignment shall require the City to give any
notice to any such assignee of any actions which the City may take under this agreement,though City
( will attempt to so notify any such assignee.
9. Confidentiality. Any reports,data or similar information given to or prepared or assembled
by the Consultant under this contract which the City requests to be kept as confidential shall not be

12. Benefits not Available The Consultant shall not be entitled to any of the benefits established
for the employees of the City nor be covered by the Workmen's Compensation Program of the City,

a. In no event shall the City be liable to the Consultant for special, indirect, or
consequential damages, except those caused by the City arising out of or in any way

14. Documents. Reproducibles of tracings and maps prepared or obtained under the terms of this
Contract shall be delivered upon request to and become the property p p rty of the City upon termination
or completion of the work. Copies of basic survey notes and sketches, charts, computations and
other data prepared or obtained under this Contract shall be made available, upon request,to the City
without restrictions or limitations on their use. When such copies are requested, the City agrees to
pay the Consultant its costs of copying and delivering same.

15. Nonsolicitation. The Consultant warrants that he has not employed or retained any company
-a or person,other than a bona fide employee working solely for the Consultant,to solicit or secure this
Contract, and that he has not paid or agreed to pay any company or person, other than a bona fide
employee working solely for the Consultant, any fee, commission,percentage, brokerage fee, gifts,
` or any other consideration, contingent upon or resulting from the award or making of this Contract.
Foi•breach or violation of this warranty,the City shall have the right to annul this Contract without
{ liability, or,in its discretion, to deduct from the Contract price or consideration, or otherwise recover
the full amount of such fee, commission, percentage, brokerage fee, gifts, or contingent fee.
xy; 16. Books and Records. The Consultant and all his subcontractors shall maintain all books,
documents,papers, accounting records and other evidence pertaining to costs incurred in connection

which are not expressly set forth in this Contract; and under no circumstances will the Consultant
be liable for indirect or consequential damages.

given by first class mail addressed to City of Jefferson, c/o City Clerk and c/o Director of Public
Works, 320 East McCarty Street, Jefferson City,Missouri 65101, and Walker and Associates, Inc.,
1650 Headland Drive, Fenton,Missouri 63026. The date and delivery of any notice shall be the date
falling on the second full day after the day of its mailing.

i WALKER shall provide black and white aerial photography at a scale of 1"=800' suitable

Aerial photography will be obtained when the sky is sufficiently clear; the ground is
g a'• sufficiently free from snow, haze, smoke, dust, and cloud shadows; deciduous trees are
sufficiently barren to permit the intended use(s) of the photography. The solar angle will
be 30 degrees or more above the horizon at the time of exposure. WALKER will
produce two (2) sets of 9"x 9" contact prints from the aerial negatives. One (1) set will
be delivered to the client and one (1) set will be retained by WALKER for control
planning purposes.

Prior to full production, WALKER will digitize and bliver one (1) complete quarter
section,Acontaining approximately 160 acres of land. The preliminary delivery area
selected will be jointly determined by the CLIENT and WALKER. The purpose of
' preliminary delivery is to finalize the exact delivery items for the remaining project area,
confirm exact digital delivery products,devise the plotting characteristics and review other

Map compilation scale shall be designed for hardcopy plotting at a scale of 1 '=100',
with

section of land. Digital map data will be delivered as a seamless database on 3,5"
diskettes or other mutually agreed upon media formats. The planimetric and topographic
files will be delivered in an AutoCAD V.12 DWG format and the DTM data will be
delivered in Softdesk/DCA format.

." 1.4.2 Topographic Mapping

WALKER will stereo digitize'breaklines at strategically placed locations along roads, i
j, ditches, ridge lines and other natural and manmade features that indicate a discernable
difference in elevation change. The hard breaklines will be supplemented r, u pp emented with
individually measured points to properly define the terrain. The individually measured
mass points will be combined with the breakline file and a Triangulated
(TIN) or surface file will be generated for each quarter section. Irregular Network
generated at a 2-foot contour interval, with every fifth contour indicated and labeled as
` an index contour. The 3-D line string of the contour will be broken at ng purposes. However, the contour segments
index labels and

suppressed for plotting will be saved to a designated layer and when all contour layers
are displayed, the contour string will be uninterrupted and continuous. Spot elevations
' will be added after the contours have been generated using the Softdesk/DCA software
to supplement the contour data and indicate elevations in areas where the contours are
widely spaced. The contour files will contain the following topographic layer
descriptions:
Index contour, intermediate contour, depression index contour, depression intermediate
contour, vertical control points, spot elevations and,dashed boundary line(s)indicating the
extent of dense tree cover. Elevations will be referenced to Mean Sea Level, 1988
Datum. (Assuming ground control coordinates are'provided in this datum)

1.4.3 Digital Ortho Photos ;.
A sample orthophoto mylar map will be produced for the initial mapping
area. The

rectifying the raw image file using the DTM collected for the topographic mapping" The 4`s

(90)percent of all planimetric features which are well defined on the photographs
and that are stereo digitized will be plotted so that their position on the finished maps will
be accurate to within at least one-fortieth (1/40) of an inch (+-2,5')of their true coordinate
position, as determined by test surveys, and none of the features tested will be misplaced
on the finished map by more than one-twentieth (1/20) of an inch (+-5.01) from their true
coordinate position.
Toporauahic Mappine
Ninety (90) percent of the contour elevations determined from the solid-line contours of
the topographic maps will have an accuracy with respect to true elevation of one-half
( (1/2) the contour interval (+-1.01) or better and the remaining ten (10) percent of such
} elevations will not be in error by more than one (1) contour interval. In checking
elevations taken from the map, the apparent vertical error may be decreased by assuming
a horizontal displacement of one-fortieth (1/40) of and inch or by moving the contour by
the acceptable horizontal accuracy tolerance. In densely wooded areas where heavy brush
or tree cover,obscures the ground, the contours shown in those areas will be identified
with a dashed out line and labeled "Dense Tree Cover".
Coordinate Grid Tics
The plotted position of each plane coordinate tic will not vary by more than one-
hundredth (1/100) of an inch from true grid value on each map file.
