ORDINANCE NO. 12084
AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO ENTER INTO A PARKING LEASE AGREEMENT
WITH UNITED TELEPHONE COMPANY OF KANSAS.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized to enter into a
parking lease agreement between the City of Jefferson, Missouri, and United
Telephone Company of Kansas.
Section 2. The parking lease agreement shall be substantially the same in form
as that agreement attached hereto as Exhibit A.
Section-_3. This Ordinance shall be in full force and effect from and after the
date of its passage and approval.

WHEREAS,the parties wish to renew the Agreement for a one(1)year period, exercising the final renewal option.

amended to read as follows:
1. Premises. Fifty (50) spaces (non-assigned) on City Parking Lot#24 located at the
southeast corner of McCarty and Adams Street. ;u
2. Section 2 of the Parking Lease for the period beginning June 1, 1994 and ending May 31, 1996 is

4. All other sections of the Parking Lease for the period beginning June 1, 1994 and ending May 31, 1996
shall remain in effect as previously amended.

AMI3NDMENT TO PARKING LEASE

..;.-_s WHEREAS,the City of Jefferson, Missouri, a municipal corporation,hereinafter
desi gnated "City", entered into a Parking Lease with United Telephone Company of
' Missouri, a Missouri corporation, hereinafter referred to as "Tenant" for the period
beginning June 1, 1994 and ending May 31, 1995 and renewed for the period beginning
June 1, 1995 and ending May 31, 1996; and
WHEREAS, the Parking Lease was for spaces (non-assigned) on City Parking
Lot#24 located at the southeast corner of McCarty and Adams Street; and
WHEREAS, the parties wish to renew the Agreement for a one year period.
>NOW THEREFORE, agreed be it a eed as follows:
1. Section 1 of the Parking Lease for the period beginning June 1, 1994 and
ending May 31, 1995, is amended to read as follows:

1. Premises. Sixty-five (65) spaces (non-assigned) on
City Parking Lot #24 located at the southeast corner of
McCarty and Adams Street.
2. Section 2 of the Parking Lease for the period beginning June 1, 1994 and
ending May 31, 1995, is amended to read as follows:
2. Term. The term of this Parking Lot Lease is for one
(1) year beginning June 1, 1996 and ending May 31, 1997.
f The parties shall have the right to renew and extend this
Lease, upon written notice, for two (2) additional one (1)
year periods.

ending May 31, 1995, is amended to read as follows:

3. Rental. Rental shall be at a rate of$15 per month
per space or Eleven Thousand Seven Hundred Dollars
($11,700.00) annually, payable in advance in monthly
installments of Nine Hundred Seventy-Five Dollars
($975.00).
4. All other sections of the Parking Lease for the period beginning June 1,
1994 and ending May 31, 1995, shall remain in effect as previously amended.

AMENDMENT TO PARMNG LEASE
WXIEREAS,the City of Jefferson, Missouri, a municipal corporation, hereinafter designated
"City", entered into a Parking Lease with United Telephone Company of Missouri, a Missouri
corporation, hereinafter referred to as "Tenant" for the period beginning June 1, 1994 and ending
May 31, 1995.
WHEREAS,the Parking Lease was for sixty(60)spaces (non-assigned)on City Parldng Lot
#24 located at the southeast comer of McCarty and Adams Street;and
WHEREAS, the parties wish to renew the Agreement for a one year period.
NOW, THEREFORE, be it agreed as follows:
1. Section 2 of the Parking Lease for the period beginning June 1, 1994 and ending May
31, 1995, is amended to read as follows:
2. The term of this Parking Lot Lease is for one (1)year beginning
June 1, 1995 and ending May 31, 1996. The parties shall have the right to
renew and extend this Lease,upon written notice,for three(3)additional one (1)
year periods

THIS PARKING LEASE is entered into by and between the City of Jefferson, Missouri
("City"), and United Telephone Company of Missouri, a Missouri corporation ("Tenant"), for the
purpose of renting parking spaces situated in Jefferson City, Missouri ("Leased Property"), more j

written notice, for four(4) additional one (1)year periods.

a. City will pay all taxes and special assessments imposed against the Subject Property
during the term of the Lease. �.

b. City will not be responsible for any damage or loss of Tenant's property unless such
damage or loss is caused.by the negligent acts or omissions of City, its agents or employees.
This Lease does not constitute a bailment of any kind and Tenant shall carry the necessary
f insurance against all losses including; but not limited to, fire, wind, water, theft,
{ vandalism, or any other causes.
C. The City will provide 60 hang tag permits. The Tenant will provide a list of names
with license numbers of vehicles authorized to use the permits. All permit holders shall
comply with the City's Rules for Permit Parking dated April 1, 1994, Exhibit 1, as modified.
Tenant may modify its list of permit holders, as needed.
5. Lessee Covenants and Agraes:
a. At the end of the Lease term or any extensions, Tenant will remove all of its
property and leave the area in as good physical condition as when received, usual wear and
tear excepted.
N: b. Without the prior written consent of the City, which consent will not be
unreasonably withheld, Tenant shall not assign or in any manner transfer this Lease or n,
any interest therein nor sublet the Subject Property or any P ortion thereof, except to its

parent or an affiliated company.
6. Option tQ Renew Lease Lessee is hereby given an option to renew its leasehold interest
-. in the premises for four additional terms of 1 year each at the expiration of the initial one-year r
term of this lease. If Lessee exercises any of its options under this Lease, the rental fee shall be
