ORDINANCE NO. 12097__
AN ORDINANCE AUTHORIZING RETENTION OF THE FIRMS OF SERVICES
FISCHER, P.C., FOR THE PURPOSES OF PROVIDING
RELATED TO INTERVENTION IN THE CAPITAL CITY WATER COMPANY RATE
CASE.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON,
MISSOURI, AS FOLLOWS:
Sect, eon 1: The Mayor and City Clerk are hereby authorized and directed to
execute an engagement letter with the law firm of James M. Fischer, P.C., for legal
services related to the Capital City Water Company rate case.
Section 2: The engagement letter shall, be substantially the same in form and.
content as that attached hereto as Exhibit A.
Sect_ ion 3: This Ordinance shall be in full force and effect from and after its
passage and approval.

BIOGRAPHICAL SKETCH
OF
JAMES M. FISCHER
Mr. Fischer is an attorney in private law and regulatory
consulting practice in Jefferson City, Missouri. Mr. Fischer has
worked as an attorney and expert witness for various
municipalities, municipally-owned public utilities, and
investor-owned utilities in proceedings before various state public
service commissions, the Federal Communications Commission, and the
state legislature. His work has included negotiation of
franchises, ordinance drafting, applications for certificates of
authority, mergers and acquisitions, and representing clients in
traditional rate cases and other proceedings involving public
utility issues.
Prior to entering private law practice in January, 1990, Mr.
Fischer served for six years as a member of the Missouri Public
Service Commission. He served on the National Association of
Regulatory Utility Commissioners Communications Committee, serving
as its litigation task force chairman. He also served as a member
4 NARUC's Task Force on Cable Television/Telco Cross-Ownership. He
was appointed as a member of the Federal Communications
Commission's Federal-State Joint Board which determines the rules
for allocating all telecommunications property between federal and

state jurisdictions.
Mr. Fischer also represented the states in oral arguments
before the federal district court (Judge Harold Greene) which
supervised the break-up of the Bell System concerning issues
relating to restrictions on the Regional Bell Operating Companies.
Prior to his appointment to the Missouri Public Service
Commission, Mr. Fischer served as the Public Counsel for the State
of Missouri from 1981 to 1984 . From 1976 to 1981, he was an
Assistant Public Counsel in that office. This office represents
the public in utility cases before the Public Service Commission
and the courts.
Mr. Fischer was raised in Raytown, Missouri and graduated from
the University of Kansas in 1973 majoring in Economics and
Political Science. He received his law degree from KU in 1976,
where he was ariassociate editor of the Law Review.

Dear Mr. Garner:
Pursuant to your letter of April 19, 1994, this letter will
serve as a proposal to provide legal services to the City of
Jefferson in the above-referenced matter.
As you know, I represented the City of Jefferson in the 1990
Capital City Water rate proceeding (and related proceedings)
before the Missouri Public Service Commission. I am therefore
- familiar with recent rate case issues related to Capital City
°r Water Company. I have also enclosed a brief biographical summary
for your consideration.
In the last Capital City Water case, I represented the City

a Preparation and analysis of testimony and exhibits of
all parties;
a Preparation and review of discovery information;
0 Assisted in the preparation of expert testimony for
City witnesses;
Attended prehearing conferences;
€ Assisted in the presentation of City's case and
cross-examination •of opposing witnesses;
X Preparation of Initial and Reply Briefs; and
CIE Analysis of PSC decision and preparation of
post-hearing motions.

..v I would propose to provide similar services in connection
with the 1994 rate case at a rate of $75 per hour. In addition,
reasonable expenses incurred on the City's behalf would also be
billed on a monthly basis. If you have any questions regarding
this proposal, please let me know.
If this proposal is acceptable to the City of Jefferson,
please sign below and return on of the duplicate originals to me. '
The other original may be retained for your files.
