CONTRACT FOR PROFESSIONAL SERVICES
THIS AGREEMENT, made and entered into this gr�da, of

by and between the City of Jefferson City, Missouri ,Missouri ' a au-n
corporation, hereinafter referred to as the "City with offices at 320 East
McCarty, Jefferson City, Missouri , 65101, and Black & Veatch, a Missouri
partnership, hereinafter referred to as the "Consultant".
WITNESSETH:
THAT, WHEREAS, the City desires to engage the Consultant to render certain
technical and professional engineering services hereafter described in
Attachment A, Scope of Services, below.

WHEREAS, the Consultant made certain representations and statements to the

City with respect to the provision of such services and the City has accepted
said proposal to enter into a contract with the Consultant for the performance
of services by the Consultant.
NOW, THEREFORE, for the considerations herein expressed, it is agreed by and
between the City and the Consultant as follows:

1. Scope of Services. The City agrees to engage the services of the
Consultant to perform the services hereinafter set forth in connection with
the project described in Attachment A.
2. Additional Services. The City may add to consultant services or delete
therefrom activities of a similar nature to those set forth in the Scope of
Services above, provided that the total cost of such work does not exceed the
total cost allowance as specified in paragraph 6 hereof. The Consultant shall
undertake such changed activities only upon the direction of the City. All
such directives and changes shall be in written form and aroved by the
Director of the office of Public Works and shall be accepted pp and countersigned
by the Consultant or its agreed representatives.
3. Existing Data. All information, data and reports as are existing,
available and necessary for the carrying out of the work, shall be furnished
to the Consultant without charge by the City, and the City shall cooperate
with the Consultant in every reasonable way in carrying out the scope of
services. The Consultant shall not be liable for the accuracy of the
information furnished by the City.
4. Personnel to be Provided. The Consultant represents that Consultant has
or will secure at its expense all personnel required to perform the services
called for under this contract by the Consultant. Such personnel shall not be
employees of or have any contractual relationship with the City except as
employees of the Consultant. All of the services required hereunder will be
performed by the Consultant or under the Consultant's direct supervision and
,all personnel engaged in the work shall be fully qualified and shall be
authorized under state and local law to perform such services. None of the
work or services covered by this contract shall be subcontracted except as
provided in Attachment A without the written approval of the City.

+` 5. Notice to Proceed. The services of the Consultant listed in Attachment
A, Sections A and B shall commence as directed in t `
he Notice to Proceed and
shall be undertaken and completed by October 29, 1994, if the Notice to
' Proceed is given by August 12, 1994. {

6. Compensation. The City agrees to pay -the Consultant in accordance with
the terms set forth in Attachment B, which shall constitute complete
compensation for all services to be rendered under this contract. The final �~
payment will be subject to receipt of a requisition for payment and a
s; statement of services rendered certifying that the Consultant fully performed
all work to be paid for in such progress payments in conformance with the
contract. It is expressly understood that in no event will the total

7. Failure to Perform, Cancellation. If, through any cause, the Consultantt{(,r ;f:

contract, or if the Consultant shall violate any of the covenants, agreements,
4 ' or stipulations of this contract, the City shall thereupon have the right to
terminate this contract by giving written notice to the Consultant of such aA` y

cause terminate this contract upon 30 days' prior written notice. In either

8. Assignment. The Consultant shall not assign any interest in this Y Vie„
contract, and shall not transfer any interest in the same (whether by
assignment or novation) , without prior written consent of the City thereto. G` ;1
Any such assignment is expressly subject to all rights and remedies of the at;
City under this agreement, including the right to change or delete activities
from the contract or to terminate the same as provided herein, and no such
assignment shall require the City to give any notice to any such assignee of
any actions which the City may take under this agreement, though City will
F attempt to so notify any such assignee.
9. Confidentiality. Any reports, data or similar information given to or

prepared or assembled by the Consultant under this contract which the City
requests to be kept as confidential shall not be made available to any
' individual or organization by the Consultant without prior written approval of
the City. n

•: 10. Nondiscrimination. The Consultant agrees in the performance of the 3
contract not to discriminate on the grounds or because of race, creed, color,
national origin or ancestry, sex, religion, handicap, age or political
" affiliation, against any employee of Consultant or applicant for employment
'4 and shall include a similar provision in all subcontracts let or awarded
' hereunder.
t` 11. Independent Contractor. The Consultant is an independent contractor and
nothing herein shall constitute or designate the Consultant or designate the
Consultant or any of its employees as agents or employees of the City.
12. Benefits not Available. The Consultant shall not be entitled to any of
the benefits established for the employees of the City nor be covered by the a
Workmen' s Compensation Program of the City.

14. Documents. The Consultant agrees that reproducibles of tracings and

maps prepared or obtained under the terms of this Contract shall be delivered •
upon request to and become the property of the City upon termination or
completion of the work. They are not intended for reuse without prior written ky :'
verification and approval by the Consultant. Copies of basic survey notes and P.
4#; sketches, charts, computations and other data prepared or obtained under this
1 Contract shall be made available, upon request, to the City without 4
restrictions or limitations on their use. When such copies are requested, the
<� City agrees to pay the Consultant its costs of copying and delivering same. }
15. Nonsolicitation. The Consultant warrants that he had not employed or
retained any company or person, other than a bona fide employee working solely
-for the Consultant, to solicit or secure this Contract, and that he has not '}
;i paid or agreed to pay any company or person, other than a bona fide employee
working solely for the Consultant, any fee, commission, percentage, brokerage
fee, gifts, or any other consideration, contingent upon or resulting from the
award or making of this Contract. For breach or violation of this warranty, `.
a the City shall have the right to annul this Contract without liability, or, in

otherwise recover the full amount of such fee, commission, percentage,

16. Books and Records. The Consultant and all his subcontractors shall
maintain all books, documents, papers, accounting records and other evidence
:: pertaining to costs incurred in connection with this Contract, and shall make
such materials available at their respective offices at all reasonable times
during the Contract and for a period of three (3) years following completion ;9
of the Contract.
17. Delays. The City agrees that the Consultant shall not be liable for
' delays resulting from causes beyond the reasonable control of the Consultant;

that the Consultant has made no warranties, expressed or implied, which are
npt expressly set forth in this Contract; and that under no circumstances will
ti the Consultant be liable for indirect or consequential damages.
18. Notices, All notices required or permitted hereinunder and required to ;
be in writing may be given by first class mail addressed to the Director of
W Public Works, 320 East McCarty, Jefferson City, Missouri 65101, and Black & t
Veatch, 8400 Ward Parkway, P.O. Box 8405, Kansas City, Missouri 64114. The
date and delivery of any notice shall be the date falling on the second full
day after the day of its mailing.
'4 19. Third Party Rights. Nothing in this Agreement shall be construed to '-
give any rights or benefits to anyone other than the City and Consultant. tJa
20. Insurance. During the performance of the services under this Agreement,

Project : Wastewater Residuals Management Study
SCOPE OF SERVICES
Task 101 - Initial Project Meeting
Meet with Owner's staff to clarify the objectives and scope of the
study. Sludge processing and final disposal options to be evaluated
will be confirmed. This scope of services is based upon considering the
following processes:
• Sludge Stabilization
- Lime Stabilization
• Sludge Thickening
- Dissolved Air Flotation Thickeners
- Gravity Belt Thickeners
- Centrifuges
• Sludge Dewatering
- Belt Filter Press
- Centrifuges
• Final Disposal
- Land Application - Liquid Sludge
- Land Application - Dewatered Sludge
- Composting w/Green Waste
- Incineration
These alternatives will be evaluated assuming processing of sludges at
the existing treatment plant site or at an off-site sludge processing
' facility, and final disposal within a twenty mile radius from the
existing treatment plant.
A workshop will be held concurrent with this meeting to discuss the
options, the approach to be used for the evaluations, and format for
presentation of the results of the analyses. Operating data will be
obtained. Existing treatment plant sludge processing and disposal

Using the data collected in Task 102, develop summary descriptions of
existing operations. Current performance and compliance with regulatory

will be discussed.

Task 105 - Establish Design Criteria y
Define the process design criteria for the study. Establish treatment
plant design loadings and sludge production quantities for the design
period. This scope of services is based upon continued use of the
trickling filter process to treat up to 15 million gallons per day
average flow to the plant. The design period is assumed to be 1995-
.. . 2015.
Task 106 - Develop Alternatives
Conduct a preliminary screening workshop to identify up to three sludge
management programs which best meet the overall goals of the program.
Preliminary screening considerations will include ability to meet
regulatory requirements, constructibility, compatibility with existing
facilities, impact on the surrounding community, reliability, and
operational flexibility.
The workshop, to be conducted at Black & Veatch offices in Kansas City,
will define design criteria, up to three program alternatives, and
evaluation criteria. This scope -of services is based upon developing
the programs from the processes listed in Task 101.

Task 107 - Evaluate Alternatives
Develop conceptual plans for the alternative systems agreed upon in the '
workshop. Major facility and equipment requirements will be identified,
impacts on existing systems and facilities will be identified, and
operation and maintenance staff requirements will be defined.
Develop a preliminary opinion of project cost for implementing each
q' alternative. The project cost shall include opinions of the
construction cost, construction contingencies, engineering costs, and
administrative costs. Costs will be based upon cost curves and
historical project cost data available to the Engineer; detailed
+< quantity take-offs will not be conducted. Opinions of required landi

COMPENSATION
a
A. For the preparation of the Wastewater Residuals Management Plan
and Report as described in Attachment A, an amount based on the
Consultant's Billing Rates as listed herein. The maximum billing
amount for this service shall not exceed $29,500.00, without
further authorization by the City.
B. For Supplemental Services, an amount agreed to and established '
with the City based on the Consultant's Billing Rates as listed ;
herein.
C. The following expenses are reimbursable. 4
1. Travel , subsistence, and incidental costs.
2. Use of motor vehicles on a monthly rental basis for assigned
vehicles and on a mileage basis or rental cost basis for
vehicles used for short periods. Mileage basis shall be 29
cents per mile.
3. Telegraph costs, long distance telephone costs and project ,
"onsite" telephone costs.
4. Reproduction of reports, drawings, and specifications.
5. Postage and shipping charges for project-related materials.
6. Computer time charges including p 9 g program use charges.
7. Rental charges for use of equipment, including equipment
owned by the Consultant.
8. Cost of acquiring any other materials or services
specifically for and applicable to only this project. x
H. Monthly payments shall be made to the Consultant by the City based
on the Consultant's statement. The statement shall be itemized to
indicate the amount of work performed and the associated
reimbursable expenses and subcontract costs.
The entire amount of each statement shall be due and payable upon
receipt by the City. Carrying charges of 1-1/2 percent per month
from the billing date shall be due for accounts which are not paid
within 60 days after the billing date.

CITY'S RESPONSIBILITIES
Jt The City will furnish, as required by the Work and not at the expense of
the Consultant, the following items:
1. All maps, drawings, reports, records, audits, annual reports, and
,t other data that are available in the files of the City and which
?; may be useful in the work involved under this contract. Data and
records required include but are not limited to facility operating
records, including treatment plant operations, flow records, and
sludge production and testing data.
2. Access to public and private property when required in performance
of the Consultant's services.
3. Office desk space for the Consultant's personnel during
preliminary investigations.
M 4. The services of at least one of the City's employees or staff who
has the right of entry to, and who has knowledge of, the existing
wastewater treatment plant.
5. Property, boundary, easement, right-of-way, topographic, and
utility surveys and property descriptions.
