A.LR. 935-40B THIS AGREEMENT, made and entered into this _ � day of o, 1994. BY AND BETWEEN the City of Jefferson, Missouri, hereinafter called the "Sponsor," ` and Bucher,Willis & Ratliff,Consulting Engineers, Planners and Architects,with offices located in Kansas City, Missouri, hereinafter called the "Consultant." WHEREAS,the sponsor is desirous of improving the Jefferson City Memorial Airport as follows: 1. Replace the high intensity runway lighting system (HIRL) for Runway 12-30. 2. Install medium intensity taxiway lighting (MITE) on Taxiways A and Al. 3. Replace the medium intensity runway lighting system (MERL) for Runway 9-27. 4. Install runway end identification lights (REIL) on Runways 9, 27 and 12. 5. Install precision approach path indicators (PAPI) on Runways 9 and 27. 6. Install lighted wind cone. 7. Replace guidance sign legends. 8. Apply pavement markings'to all airfield pavements. 9. Safety area grading, debris removal and seeding to repair flood damage. WHEREAS,the Sponsor has agreed to employ'the Consultant to perform the engineering services in preparing designs, construction plans, contract documents/technical specifications, tabulation of construction quantities, construction cost estimates and bidding services for the above-stated airport improvements. '';(�s#,i*FTr WHEREAS, while the Aviation Section of the Missouri Highway and Transportation Department (MHTD) is not a party of this Agreement, it will administer federal funds, review and approve documents, etc. The Aviation Section will be hereinafter refenxd to as MHTD. '- Although the Federal Aviation Administration (F.A.A.) is not a party to this Agreement, F.A.A. design and construction criteria and other requireme nts will be utilized unless specifically i approved otherwise by MHTD. NOW,THEREFORE,in consideration of these premises and the mutual covenants he contained, the parties hereto agree as follows: ARTICLE I SCOPE OF SERVICES The consultant, in consideration of the payment on the part of the sponsor, agrees-to perform the engineering services entunerated as follows: The Consultant will roduce engineer's design P g report, construction plans, contract documents/ technical specifications, tabulation of construction quantities, and an estimate of construction costs. The Consultant will assist the Sponsor in the advertisement for construction bids, receipt of bids, award of construction contract, material testing, and observation of construction. All services will be performed in accordance with good engineering practice and applicable published design criteria of the Federal Aviation Administration (F.A.A.), primarily F.A.A. Advisory Circular 150 15300-13, Airport Design, dated September 2 p 9, 1989, with Change 2. The following is a detailed description of the specific services that are a duty of this Agreement. A. BASIC SERVICES I. Preliminary Phase a. Site inspection and coordination with the Sponsor and the MHTD. b. Attend two(2) meetings in Jefferson City, Missouri with the Sponsor and MHTD representatives as follows: • Predesign Conference • review of Preliminary Plans b. Prepare Engineer's Design Report: The design report will include a narrative regarding the Airport improvements in this project, a brief discussion of design elements and design criteria, engineer's opinion of probable construction cost, project budget and identification of deviations from P.A.A. design criteria. The Engineer's Design Report will be submitted to the Sponsor(three [3] copies) and the MI-TTD (two [2] copies) for review and approval. c. Prepare Construction Plans and Contract Documents/Technical Specifications for one (1) bidding package: (1) Prepare construction plans: >:8 Title Sheet • General Airport Layout Plan • Safety Plan Typical Grading Sections General Notes and Summary of Quantities • Runway 12-30.Lighting Plans • Taxiway A and Al Lighting Plans • Runway 9-27 Lighting Plans i Pavement Marking Plans • Grading and Surface Drainage Plans • REIL Plans and Details • PAPI Plans and Details • Lighted Wind Cone Plan and Details • Airport Lighting Electrical Vault Plan and Details • Guidance Sign Legend Sheet • Miscellaneous Electrical Details • Cross Sections (2) Prepare Contract Documents/Technical Specifications. (5) Finalize Plans and Contract Documents/Technical Specifications with consideration of preliminary review comments. (6) Submit Final Plans, Contract Documents/Technical Specifications, and engineer's opinion of probable construction cost, and project budget to Sponsor (two [2] copies) and MHTD (two [2] copies). 3. Bidding Phase: a. Assist the sponsor with advertisement for bids and send "Notice to Bidders" v` to prospective contractors. (Sponsor shall-place advertisement in appropriate ' media.) b. Print and distribute Plans and Contract Documents/Technical Specifications to Plan holding houses and prospective Bidders. r ' c. Answer questions and clarify points pertaining to the Plans and Contract ;ax Documents/Technical Specifications during the bidding phase. d. Attend and conduct one (1)prebid conference. e. Assist the sponsor with one (1) receipt of bids. r f. Tabulate and analyze bid results, prepare project budget, review DBE subcontractor's list provided by the contractor and snake recommendation of `S contract award. g. Prepare Contract Documents for award to successful Bidder. B. SPECIAL SERVICES 1. Field Survey -, Engineering Design a. Establish construction bench marks. b. The construction services for the proposed Airport improvements are not a part of this Agreement. The scope of engineering services required for construction of the improvements may be added to this Agreement by Supplement upon completion of Item A-2., Design Phase. ARTICLE H SPONSOR'S RESPONSIBILITIES The Sponsor, as a part of this Agreement, shall provide the Consultant with the following: 1. Arrange for access to and make all provisions for the Consultant to enter upon public and private property as required for the Consultant to perform his services. 2. Assist in approvals and permits from all governmental entities having jurisdiction over the project and such approvals and consents from others as may be necessary for completion of the project. 3. Designate in writing arperson to act as Sponsor representative with respect to the services to be rendered under this Agreement. Such person shall have complete authority to transmit instructions, receive information, interpret and define sponsor policies and decisions. 4. Give prompt written notice to the Consultant whenever Sponsor observes or knows of any development that affects the scope or timing of consultant's services,or any defect in the work of contractor(s). 5. Pay publishing cost for advertisements of notices, public hearings, request for bids, and other similar items. CONSTRUCTION SERVICES The basis of compensation for C. Construction Services,may be added to this Agreement by Supplement upon completion of Item A.2., Design Phase. g meat i The Consultant shall not proceed with the services described herein until written authorization in the form of Notice to Proceed is received from the Sponsor. For Item A. Basic Services and Item B. Special Services partial payment shall be made to the Consultant for those portions of the services completed. The consultant shall submit to the Sponsor a monthly statement showing an estimate of completion,and the portion of compensation requested for each element and phase of the services. The request for partial payments will not r be in excess of the value of the services completed at the time the statement is rendered. The method of payment for Item C. Construction Services, will be added to this Agreement by Supplement on or near completion of Item A.2 Design Phase. F ARTICLE V { u, STANDARD DOT TITLE VI ASSURANCE <..; During the performance of this Contract, the Consultant for itself,its assignees and successors in interest agree as follows: 1. Com liance with- P Regulations. The Consultant shall comply with the regulations relative { x to nondiscrimination in Federally-assisted programs of the Department of Transportation (hereinafter "DOT") Title 49, Code of Federal Regulations, Part 21, as they may be amended from time to time, (hereinafter referred to as the Regulations), which are herein incorporated by reference and made a part of this Contract. 2. Nondiscrimination. The Consultant, with regard to the services performed during the Contract, shall not discriminate on the grounds of race, color, or national origin in the Y selection and retention of subcontractors, including procurement of materials and leases of equipment. The Consultant shall not participate either directly or indirectly in the discrimination prohibited by Section 21.5 of the Regulations, including employment t . practices when the Contract covers a program set forth in Appendix B of the Regulations. 3. Solicitations for Subcontracts including Procurement of Materials and Equi meat. In all solicitations either by competitive bidding or negotiation made by the Consultant for services to be performed under a subcontract,including procurement of materials or leases of equipment, each potential subcontractor or supplies shall be notified by the Consultant of the Consultant's obligations under this Contract and the Regulations relative to nondiscrimination on the grounds of race, color, or national origin. 4. Information and Reports. The Consultant shall provide all information and reports required by the Regulations or directives issued pursuant thereto, and shall permit access to its books, records, accounts, other sources of information,-and its facilities as may be determined by the Sponsor or the Federal Aviation Administration to be pertinent to ascertain compliance with such Regulations, orders and instructions. Where any information required of a Consultant is in the exclusive possession of another who fails or refuses to furnish this information,the Consultant shall so certify to the Sponsor or the i Federal Aviation Administration as appropriate, and shall set forth what efforts it has i made to obtain the information. s r `.7 *i.' e+ ,. In the event of the Consultant's noncompliance with the nondiscrimination provisions of this Contract, the Sponsor shall impose such Contract ;x. sanctions as it or the Federal Aviation Administration may determine to be appropriate, including, but not limited to: a.. Withholding of payments to the Consultant under the Contract until the Consultant ,t complies; and/or b. Cancellation, termination or suspension of the Contract, in whole or in part; . 6. Incorporation of Provisions. The Consultant shall include the provisions of paragraphs 1 through 6 in every subcontract, including procurement of materials and leases of equipment unless exempted by the Regulations or directives issued pursuant thereto. The Consultant shall take such action, with respect to any subcontract or procurement, as the wG Sponsor or the Federal Aviation Administration may direct as a means of enforcing such provisions including sanctions for non-compliance. Provided, however, that in the event a Consultant becomes involved in or is threatened with litigation with a subcontractor or supplier as a result of such direction,the Consultant may request the Sponsor to enter into such litigation to protect the interest of the Sponsor and, in addition, the Consultant may request the United States to enter into such litigation to protect the interest of the United States. #" ARTICLE VI DISADVANTAGED BUSINESS ENTERPRISE (DBE) ASSURANCE 1. Policy. It is the policy of the Department of Transportation (DOT) that disadvantaged business enterprises as defined in 49 CFR Part 23 shall have the maximum opportunity to participate in the perfommance of contracts financed in whole or in part with Federal funds under this agreement. Consequently, the DBE requirements of 49 CFR Part 23 apply to this agreement. . 2. DBE Obligation. The,Consultant agrees to ensure that disadvantaged business enterprises as defined in 49 CFR Part 23 have the maximum opportunity to participate in the performance of contracts and subcontracts financed in whole or in part with Federal funds provided under this agreement. In this regard, the Consultant shall take all necessary and reasonable steps in accordance with 49 CFR Part 23 to ensure that disadvantaged business enterprises have the maximum opportunity to compete for and perform contracts.
