i. ,, WHEREAS, the City of Jefferson, Missouri, ("City"), and Capitol Queen & Casino, Inc., a
.i'..il Missouri Corporation together with Becker Gaming,Inc.(collectively known as `Developer')entered into
a riverfront development agreement on the first day of September, 1993(the"Agreement"); and
WHEREAS,subsequent to the execution of the Agreement a number of events and actions have i"
!Jr taken place affecting the relationship between developer and City;and ,r
WHEREAS, the Developer and the City have determined that certain modifications to the
Agreement would be in their collective best interest;and
!Z :' WHEREAS, the parties have agreed on certain amendments to the Agreement. t
a, .t NOW, THEREFORE, in consideration of the premises and mutual promises and covenants

satisfactory to each party. If such negotiation is not successful, and the parties cannot agree on mutually :s

Convention Center is constructed by Developer,then a Frustration of Purpose will be deemed to ..1::..,

however,that if City and Developer agree on the Development Plans for the riverfront development and
do not agree on the Development Plans for the Convention Center, Developer may commence
'. construction on the riverfront development as provided herein and continue negotiations with City with

(c) Once the Development Plans have been approved by the City,Developer shall submit
them to any other governmental authorities,such as the Corps of Engineers, which must approve the
