WITNESSETH: r.:1.4:1 WHEREAS, the Commission has applied to the Federal Transit funds made available to the Commission under Chapter 53 of title 49 U.S.0 rrefer referred to as 5309. , WHEREAS, the Federal Transit Administration has awarded funds available pursuant to said act to the Commission with the understanding that such funds will be Ls used for capital project(s) pursuant to this Agreement for the purposes specified in the 1, Grantee's application for 5309 assistance. . r NOW, THEREFORE, in consideration of these mutual covenants representations, the parties agree as follows: , promises, and a ti 1 (1) PROJECT EQUIPMENT: The purpose of this Agreement is to assist the il Grantee in financing the project's expenses that are eligible for federal financial assistance. The following conditions are applicable to equipment financed under this Agreement: (A) The Grantee agrees to observe the property management standards set forth in 49 CFR sections 18.31, 18.32, and 18.33, or OMB Circular A-110 r` Attachment N, as appropriate, as now or hereafter amended, and any guidelines or `• regulations that the United States Government may issue. Any exceptions to these requirements must be specifically approved by the Commission. The Commission ,, reserves the right to require the Grantee to transfer title to any equipment financed with y. federal assistance made available by this Agreement as set forth in 49 CFR section 18.32 f$ (g) or OMB Circular A-110, Attachment N as may be appropriate. The Commission also reserves the right to direct the disposition of equipment financed with federal assistance funds made available under this Agreement, as set forth in 49 CFR sections 18.31 and t, 18.32 or OMB Circular A-110, Attachment N as may be applicable. (B) The Grantee agrees to maintain the project equipment in good operating order, and in accordance with any guidance, directives, and or regulations that the FTA may issue. If, during the period, any project real property not used in mass transportation service, whether by planned withdrawal, misuse or casualty loss, the • Grantee shall Immediately notify the Commission. Unless otherwise approved by the Commission, the Grantee shall remit to the Commission a proportional amount of the fair ° -. s`:' market, if arty, of the equipment whose aggregate value exceeds shall be determined on the basis of the ratio of the federal assistance awarded value y• Commission to the actual cost of the project.
