this concludes the "paper" part of this project .
As you and I discussed last week, World Trans would be glad
to have you and David Awbry, Missouri state grants coordinator,
come to the plant for pre-production meetings with our key
engineering, purchasing and production staff members.

CONTRACT FOR PURCHASE OF
MULTI-PURPOSE TRANSIT COACHES f

THIS CONTRACT is made and entered into by the City of Jefferson, a municipal
T` corporation, located at at 320 East McCarty Street, Jefferson City, Missouri 65101,
(hereinafter called "City") and World Trans, Inc., (hereinafter referred to as the
` "Manufacturer") having its principal place of business at 1401 Spencer Road, Newton,
' Kansas 67114.

WITNESSETH:
`1 WHEREAS: City enters into this Contract for the purchase of Multi-Purpose Transit
Coaches offered by the Manufacturer; and M
WHEREAS: Manufacturer offers to sell Multi-Purpose Transit Coaches, to the City; and

execution by both parties with a requirement that Manufacturer deliver the first of five (5)

units order by the City within twenty-six(26) weeks of the receipt by Manufacturer of an
executed copy of this contract subject to extension upon mutual agreement of the
ell.. Manufacturer and the City and an additional vehicle every two (2) weeks thereafter until

WHEREAS: The City will have an option to purchase two (2) additional identical units at
the .same price per unit for which delivery of the first optional unit to the City must be
': within twenty-six(26)weeks of the delivery of the notice of the exercise of the option to the
Manufacturer and the second optional unit must be delivered within (2)weeks thereafter
but no earlier than twenty-six (26) weeks after delivery of notice of the exercise of the
option for said unit except that Manufacturer shall have no obligation to accept an order
for or build or deliver said optional units unless notice of the exercise of the option is
received on or before December 31, 1995. Y 4'
' WHEREAS: The City has determined to purchase certain spare parts from the
Manufacturer at a total cost of$17,153.64.

Article 46 INDEPENDENT S TATUS
VM
The execution of this Contract does not change the independent status of City or the
Manufacturer. No provision of this Contract or act of City in performance of the Contract
shall be construed as making the Manufacturer the agent, servant or employee of City.

Employees of the Manufacturer are subject to the exclusive control and supervision of the
Manufacturer. The Manufacturer shall be solely responsible for employee payrolls and
claims arising thereof.

` The Manufacturer agrees to hold harmless City, their Council members, officers,
'd agents, officials and employees from any and all claims, causes of action,judgments, liens, "
and costs and expenses relating thereto, including reasonable attorney fees, arising from
any act or omission by Manufacturer under this Contract,Manufacturer's non-performance
of this Contract, or Manufacturer's non-performance of any law, regulation, or matter
incorporated herein; (provided,however,Manufacturer will not be liable for any incidental,
special or consequential damages.)

prevented from performing its responsibilities within the term specified of any obligation
or duty placed on such party by reason of, or through strikes, stoppage of labor, riot, fire,
flood, acts of war, insurrection accident order of any court act of God orspecific cause
t reasonably beyond the party's control and to attributable to its neglect or nonfeasance, in
such event, the time for the performance of such obligation or duty shall be suspended
until such disability to perform is removed.

modified by responses to amended Proposals and correspondence from City to
Manufacturer dated April 21, 1995 and May 2, 1995 and correspondence from
Manufacturer to City dated April 26, 1995 and May 9, 1995 including but not limited to, A' ;
prices and options offered all of which are incorporated within the Contract, and constitute <'
the complete agreement between the parties hereto. This Contract supersedes any and all
oral or written agreements between the parties relating to matters herein. Except as }}
