` City of Jefferson, a municipal corporation of the State of Missouri, hereinafter r erred to as the "City,"with
offices at 320 East McCarty, Jefferson City, Missouri, 65101, and D. R. Preston, Consultant, a sole '

THAT WHEREAS, the City desires to engage the Consultant to render certain technical and consulting rn

THAT WHEREAS, Consultant has made certain representations and statements to the City with respect
to the provision of such services and the City has accepted said proposal to enter into a contract with the
Consultant for the performance of services by the Consultant. a °

NOW THEREFORE, for the considerations herein expressed, it is agreed by and between the City and the
Consultant as follows: r.:

's°* The City agrees to engage the services of the Consultant to perform the services hereinafter set forth in Exhibit
A, attached hereto and incorporated herein by reference. '

` The City may add to consultant services or delete therefrom activities of a similar nature to those set forth in

Exhibit A, provided that the total cost of such work does not exceed the total cost allowance as specified in
y paragraph 6 hereof. The Consultant shall undertake such changed activities only upon the direction of the City.
All such directives and changes shall be in written form and approved by,the Director of Planning and Code
t�. Enforcement and shall be accepted and countersigned by the Consultant or its agreed representatives.

The Consultant will perform any additional work requested by the City which is not specifically covered in the 4
scope of work as defined herein at a reasonable fee or compensation to be agreed to between the City and the
Consultant at the time any such service may be required.

All information,data and reports as are existing,available and necessary for the carrying out of the work, t
be furnished to the Consultant without charge by the City, and the City shall cooperate with the Consultant 4
in every reasonable way in carrying out the scope of services.
4. Personnel to be Provided.

The Consultant represents that the Consultant has or will secure at its expense all personnel required to
`y: perform the services called for under this contract by the Consultant. Such personnel shall not be employees s
L of the City or have any contractual relationship with the City except as employees of the Consultant. All of the
services required hereunder will be performed by the Consultant or under the Consultant's direct supervision
and all personnel engaged in the work shall be fully qualified and shall be authorized under state and local law
to perform such services. None of the work or services covered by this contract shall be subcontracted without
the written approval of the City.

The services of the Consultant shall commence as directed in the Notice to Proceed and shall be undertaken
and completed in accordatnce with the schedule contained in Exhibit A. u'

{ The total amount for professional services rendered under this nine (9) month contract shall not exceed Niner`
r;? Thousand Dollars($9,000.00). Each month during the course of this contract, the Consultant shall submit to '
,•,' the City an invoice for payment in the amount of One Thousand Dollars ($1,000.00) for professional services
rendered. In addition, the Consultant may submit billings for expenses directly related to this annexation
services contract. The total,amount billed for such expenses shall not exceed a total of Nine Hundred Fifty
Dollars($950.00). Every associated expense shall be documented by proper receipts. No payment is to be made
' for travel expenses incurred in Cole or Callaway Counties and prior approval must be obtained from the City
for any single expense in excess of Seventy-Five Dollars($75.00).
The services of the Consultant shall be available to the City after the termination of this contract for$50.00
per hour. This hourly figure will remain firm for one(1)year following the contract termination date. $
7. Failure to Perform Cancellation s ;s•} .I.

( • 8. Assignment.
The Consultant shall not assign any interest in this contract, and shall not transfer any interest in the same
(whether by assignment or novation),without prior written consent of the City thereto. Any such assignment Er
is expressly subject to all rights and remedies of the City under this agreement, including the right to change
or delete activities from the contract or to terminate the same as provided herein, and no such assignment shall
require the City to give any notice to any such assignee of any actions which the City may take under this'
agreement, though the City will attempt to so notify any such assignee. > `

9. Confidentiality. .
1, Any reports, data or similar information given to or prepared or assembled by the Consultant under this
5 Contract which the City requests to be kept as confidential shall not be made available to any individual or
organization by the Consultant without prior written approval of the City. '

^i The Consultant agrees in the performance of the contract not to discriminate on the grounds or because of race,
creed,color,national origin or ancestry, sex,religion,handicap,age or political affiliation, against any employee e
a' of the Consultant or applicant for employment and shall include as similar provision in all subcontracts let or
awarded hereunder. ;21
11. Ind.ggendent Contractor, ¢
The Consultant is an independent contractor and nothing contained herein shall constitute or designate the
Consultant or any of its agents or employees as agents or employees of the City.

The Consultant shall not be entitled to any of the benefits established for the employees of the City nor be *i
covered by the Workman's Compensation Program of the City.

(a) In no event shall the City be liable to the Consultant for special, indirect or consequential
damages,except those caused by the City's negligence arising out of or in any way connected
with a breach of this contract. The maximum liability of the City shall be limited to the
i amount of money to be paid or received by the City under this contract.
` (b) The Consultant shall indemnify and hold the City harmless from and against all claims, losses
and liabilities arising out of personal injuries,including death, and damage to property which ;
are caused by the acts,errors and omissions of Consultant for which they would be otherwise •t

SCOPE OF SERVICES
1997
This scope of services is appended to and made a part of the contract dated
between the City of Jefferson, Missouri, hereinafter called the "City," with offices at 32 East McCarty,
Jefferson City, Missouri, 66101, and D R.Preston, Consultant, a sole proprietorship, hereinafter referred
} to as the"Consultant," with offices at 816 South Summit Drive, Holts Summit, Missouri, 66043.
A. General
The Consultant will provide professional and technical services desired by the City in the City's efforts to annex
certain areas. In addition to general advice and assistance, the Consultant shall also provide certain specific
services for three(3)identified potential annexation areas. These areas are:
(1) the Mall Ridge Area;

(2) the Algoa Area; and
(3) the Frog Hollow Area.
B. ,Specific Se si-g-
1. Plans o£Intent
The Consultant will work cooperatively with City departments in developing the municipal services section of
each plan. The Consultant shall prepare a preliminary zoning plan for each area including, if required,
suggested text changes. The Consultant shall review the zoning as proposed with staff, the Planning and
II Zoning Commission and others. Final map preparation shall be the responsibility of the City. The preparation

�;:• of the taxation and effective date sections of each Plan shall be the responsibility of the City.
2. Hearin on Plans
a. Notification of owners
k -a The Consultant shall work with and advise the City on owner identification methodology and
°L record keeping actual identification, mailings, and the filing of completed certified receipts
shall be the responsibility of the City. The Consultant shall render assistance with difficult
identifications.

b, Hearings
(1) Preparatory Work
The Consultant will advise and assist the City with the content of agendas and handouts,plus +
the information to be presented on display boards, slides and/or overhead projections. The N
actual production of written and graphic hearing materials is the responsibility of the City.
i The Consultant shall participate in at least one(1),but not more than three(3),rehearsals for
each public hearing.

(2) Public Hearing
The Consultant shall participate in each of the public hearings. His role in the .formal
presentations shall be as agreed upon in the rehearsals. The Consultant shall remain in
attendance for the question/answer session and participate when called upon to_do so.

The following services shall be limited to the need for such services during the period covered by this
contract.
a. Defendants
The Consultant shall work with and advise the City on inhabitant identification and methods
to be used in properly selecting defendants. Actual identification/selection shall be the
responsibility of the City.
b. Pre-court Work Sessions
Conduct of work sessions are the responsibility of the City Counselor. The Consultant will
attend all such sessions to offer assistance and to determine his role in each of the court
proceedings.
C. Circuit Court
The role,of the Consultant in the courtroom shall be as determined in the pre-court work
sessions.

D. R. Preston, Consultant, a sole proprietorship, hereinafter referred to as the
"Consultant".

THAT, WHEREAS, the City desires to engage the Consultant to render certain
technical and professional planning services hereafter described in Exhibit A.
WHEREAS, the Consultant made certain representations and statements to the ; a.

proposal to enter into a contract with the Consultant for the performances of services by

the direction of the City. All such directives and changes shall be in written form and

countersigned by the Consultant or its agreed representatives. "
3. EKI:stina Data. All information, data and reports as are existing, available '
and necessary for the carrying out of the work, shall be furnished to the Consultant )
without charge by the City, and the City shall cooperate with the Consultant in every

4. Personnel to be Provided. The Consultant represents that Consultant has or will
secure at its expense all personnel required to perform the services called for under this
contract by the Consultant. Such personnel shall not be employees of or have any

Consultant's direct supervision and all personnel engaged in the work shall be fully
qualified and shall be authorized under state and local law to perform such services.

schedule contained in Exhibit A.

g.�nsation. The City agrees to pay the Consultant in accordance with
t r the terms set forth in Exhibit A., which shall constitute complete compensation for all ;
` services to be rendered under this contract. The final payment will be subject to receipt
{}; of a requisition for payment and a statement of services rendered certifying that the
Consultant fully performed all work to be paid for in such progress payments in
conformance with the contract. It is expressly understood that in no event will the total
compensation and reimbursement to be paid to the Consultant under the terms of this
contract exceed the sum of$15,500.00 for all services required unless specifically and
mutually agreed to in writing by both the City and Consultant. Such compensation will
be paid in progress payments, as specified in Exhibit A, except ten percent(10%) shall fi`'i'<<=rf=._•. ,
be withheld from each phase until it is satisfactorily completed and the finished product

the terms of this Contract shall be delivered upon request to and become the
property of the City upon termination or completion of work. Copies of basic

obtained under this Contract shall be made available, upon request, to the City '
without restrictions or limitations on their use. When such copies are requested, r'
the City agrees to pay the Consultant its costs of copying and delivering same.
15. Nonsolicitation, The Consultant warrants that he had not employed or
retained any company or person, other than a bona fide employee working solely for
the Consultant, to solicit or secure this Contract, and that he has not paid or agreed to
pay any company or person, other than a bona fide employee working solely for the
Consultant, any fee, commission, percentage, brokerage fee, gifts, or any other :>
consideration, contingent upon or resulting from the award or making of this Contract. i

and that under no circumstances will the Consultant be liable for indirect or
consequential damages.

ARTICLE 1: SCOPE OF SERVICES
The Consultant shall perform all the necessary services described in this Article
5 for the following planning area:

on the Comprehensive Plan update. I realize this update has not been finalized. The
eta goals, demographics, and land use information contained in the Plan will be used. `

t changes in land use and number of housing units if this information cannot be
derived for the Comprehensive PIan update.
' With the consent of the City I propose to take one, small, high priority area and
cover the entire scope of services for this specific area. This area would be the pre-

thoughts and the City's on desired content of the proposed annexation report are iden-
