R. Preston, Consultant, a sole ' z-+3 proprietorship,hereinafter referred to as the "Consultant," with offices at 816 South Summit Drive, Holt 7r .s • Summit, Missouri, 65043. WITNESSETH: ' t' 3 {hE THAT WHEREAS, the City desires to engage the Consultant to render certain technical and consulting rn >'3 services pertaining to annexation hereafter described in Exhibit A; and THAT WHEREAS, Consultant has made certain representations and statements to the City with respect to the provision of such services and the City has accepted said proposal to enter into a contract with the Consultant for the performance of services by the Consultant. a ° Aa' NOW THEREFORE, for the considerations herein expressed, it is agreed by and between the City and the Consultant as follows: r.: 1. cope of Services 's°* The City agrees to engage the services of the Consultant to perform the services hereinafter set forth in Exhibit A, attached hereto and incorporated herein by reference. The Consultant shall undertake such changed activities only upon the direction of the City. All such directives and changes shall be in written form and approved by,the Director of Planning and Code t�. Enforcement and shall be accepted and countersigned by the Consultant or its agreed representatives. R The Consultant will perform any additional work requested by the City which is not specifically covered in the 4 scope of work as defined herein at a reasonable fee or compensation to be agreed to between the City and the Consultant at the time any such service may be required. Existing Data. i .�3 sha ,t All information,data and reports as are existing,available and necessary for the carrying out of the work, t be furnished to the Consultant without charge by the City, and the City shall cooperate with the Consultant 4 in every reasonable way in carrying out the scope of services. 4. Personnel to be Provided. i 5 ti The Consultant represents that the Consultant has or will secure at its expense all personnel required to `y: perform the services called for under this contract by the Consultant. Such personnel shall not be employees s L of the City or have any contractual relationship with the City except as employees of the Consultant. All of the services required hereunder will be performed by the Consultant or under the Consultant's direct supervision and all personnel engaged in the work shall be fully qualified and shall be authorized under state and local law to perform such services. NQtiep to Proceed .; The services of the Consultant shall commence as directed in the Notice to Proceed and shall be undertaken and completed in accordatnce with the schedule contained in Exhibit A. u' ' 6. _C g115ation. t �i �' •;�a f { The total amount for professional services rendered under this nine (9) month contract shall not exceed Niner` r;? Thousand Dollars($9,000.00). Each month during the course of this contract, the Consultant shall submit to ' ,•,' the City an invoice for payment in the amount of One Thousand Dollars ($1,000.00) for professional services rendered. In addition, the Consultant may submit billings for expenses directly related to this annexation services contract. The total,amount billed for such expenses shall not exceed a total of Nine Hundred Fifty Dollars($950.00). Every associated expense shall be documented by proper receipts. No payment is to be made ' for travel expenses incurred in Cole or Callaway Counties and prior approval must be obtained from the City for any single expense in excess of Seventy-Five Dollars($75.00). The services of the Consultant shall be available to the City after the termination of this contract for$50.00 per hour. This hourly figure will remain firm for one(1)year following the contract termination date. $ 7. Failure to Perform Cancellation s ;s•} .I. The Consultant shall not assign any interest in this contract, and shall not transfer any interest in the same (whether by assignment or novation),without prior written consent of the City thereto. Any such assignment Er is expressly subject to all rights and remedies of the City under this agreement, including the right to change or delete activities from the contract or to terminate the same as provided herein, and no such assignment shall require the City to give any notice to any such assignee of any actions which the City may take under this' agreement, though the City will attempt to so notify any such assignee. > ` r >�t F 9. Nondiscrimination. ^i The Consultant agrees in the performance of the contract not to discriminate on the grounds or because of race, creed,color,national origin or ancestry, sex,religion,handicap,age or political affiliation, against any employee e a' of the Consultant or applicant for employment and shall include as similar provision in all subcontracts let or awarded hereunder. ;21 11. (5) 13. �j z� } The parties mutually agree to the following: t s (a) In no event shall the City be liable to the Consultant for special, indirect or consequential damages,except those caused by the City's negligence arising out of or in any way connected with a breach of this contract. A. General The Consultant will provide professional and technical services desired by the City in the City's efforts to annex certain areas. In addition to general advice and assistance, the Consultant shall also provide certain specific services for three(3)identified potential annexation areas. These areas are: (1) the Mall Ridge Area; 4 (2) the Algoa Area; and (3) the Frog Hollow Area. B. ,Specific Se si-g- 1. Plans o£Intent The Consultant will work cooperatively with City departments in developing the municipal services section of each plan. The Consultant shall prepare a preliminary zoning plan for each area including, if required, suggested text changes. The Consultant shall review the zoning as proposed with staff, the Planning and II Zoning Commission and others. Final map preparation shall be the responsibility of the City. The preparation 1 �;:• of the taxation and effective date sections of each Plan shall be the responsibility of the City. 2. Hearin on Plans a. Notification of owners k -a The Consultant shall work with and advise the City on owner identification methodology and °L record keeping actual identification, mailings, and the filing of completed certified receipts shall be the responsibility of the City. The Consultant shall render assistance with difficult identifications. Y b, Hearings (1) Preparatory Work The Consultant will advise and assist the City with the content of agendas and handouts,plus + the information to be presented on display boards, slides and/or overhead projections. The N actual production of written and graphic hearing materials is the responsibility of the City. i The Consultant shall participate in at least one(1),but not more than three(3),rehearsals for each public hearing. i (2) Public Hearing The Consultant shall participate in each of the public hearings. His role in the .formal presentations shall be as agreed upon in the rehearsals. Circuit Qo ur•ArtiQn The following services shall be limited to the need for such services during the period covered by this contract. a. Defendants The Consultant shall work with and advise the City on inhabitant identification and methods to be used in properly selecting defendants. Actual identification/selection shall be the responsibility of the City. b. Pre-court Work Sessions Conduct of work sessions are the responsibility of the City Counselor.
