Scope of Services: The Chamber shall perform functions and services including, but

b. Solicitation of propects
C. Preparation and distribution of community promotion material
d. Grant applications related to specific economic development
prospects.
Accounting and Reporting: Chamber shall submit to the City a separate
accounting of economic development expenditures including the specific use of ethe
` City's contribution on a monthly basis. The Chamber shall also submit quart y
report to the City and make itself available to meet with representatives of the City.

Payment: The City agrees to pay the Chamber for services to be rendered hereunder
the sum of One Hundred Thousand Dollars ($100,000.00), to be paid in four equal
payments on or about January 1,April 1, July 1 and October 1.
' Audit: The Chamber agrees to furnish the City, at the end of each contract period, a
.. y complete financial audit report prepared by a Certified Public Accountant.
j Independent Contractor Status: The execution of the contract by the Mayor and
the City of Jefferson and the approval thereof by the City Council of Jefferson City is
not intended to and does not in any manner make the Chamber an agent, agency, or
� servant of the City of Jefferson, Missouri, it being expressly understood that the

'{ Chamber is in all respects an independent contractor, and the only liability of City
` F created by the terms of this contract is the obligation to pay Chamber for services a

Books and Records: Chamber shall keep its books and records open for inspection
at reasonable times by the City or by any persons or entities designated by the City to :;;.

perform audits.
Establishment of Special Fund: The City agrees to establish a special fund for ��-
'' economic development purposes with an initial appropriation of One Hundred Twenty
Five Thousand Dollars ($125,000). This fund shall be used to provide capital money
needed for infrastructure improvements related to economic development projects and

to provide funds for necessary professional services associated with economic
development projects, both specific and general. The fund shall remain under the `

control and management of the City and shall be established in such a way as to
u provide for requests to be made by the Chamber for expenditures either on a
reimbursement or an anticipation of expense basis. All requests for funds shall be in
writing' g with appropriate documentation provided and shall be directed to the City
Administrator. Approval of expenditures from the fund shall be made after ener

appropriation by the Mayor, Council Finance Committee Chairman and the City `Y
Administrator.

Cost Benefit Analysis: On all requests for City funding and participation related to '
specific economic development projects, the Chamber shall provide to the City a cost
benefit analysis reflecting the anticipated cost to the City and others in carrying out
the project and the potential for financial benefits to the City both as a community and
as an entity. Such analysis will be necessary only on requests exceeding $20,000.00

Termination:
This contract may be terminated by either party with just cause,
provided that the terminating party shall give written notice to the other party at least 4
sisty (60) days prior to termination of this contract. In the event of termination, all
moneys due and owing shall be determined on a monthly prorata basis over the life of
the contract until the effective date of termination.

CITY OF JEFFERSON
AMENDMENT TO SERVICE CONTRACT
WHEREAS,the City of Jefferson,Missouri, a municipal corporation hereinafter designated"City," entered into
an Agreement with the Jefferson City Area Chamber of Commerce, a corporation formed and existing under The
General Not for Profit Corporation Act of Missouri, hereinafter referred to as the "Chamber," on the 18th day of
October 1995;
WHEREAS, the Agreement was for performance of certain functions and services described in the Scope of
Services of the Agreement of October 18, 1995 as follows:
a. Industrial and business development;
b. Solicitation of prospects;
C. Preparation and distribution of community promotion material; and
d. Grant applications related to specific economic development prospects;
WHEREAS,the parties wish to amend the term of the Contract dated October 18, 1995.
NOW, THEREFORE,be it agreed as follows:
• 1. The parties hereby agree to amend the paragraph entitled, "Term"to read as follows:
Term: The services of the Chamber are to commence upon the first day of January, 1998
and shall be for a period expiring December 31, 1998. By agreement of both parties, this
contract shall may be extended for two(2)additional twelve(12)month periods running
January 1 to December 31.
2. All other sections of the Contract dated October 18, 1995 shall remain in effect as stated.
IN TESTIMONY WHEREOF,the parties have hereunto set their hands and seals this 1�day of December,
1997.
