CONTRACT FOR PROFESSIONAL SERVICES
:p THIS AGREEMENT, made and entered into this 29th day of January, 1996 by and between the
City of Jefferson City, Missouri, a municipal corporation,hereinafter referred to as "City" with
offices at 320 East McCarty, Jefferson City, Missouri, 65101, and Donna M.White,hereinafter
referred to as "Attorney".
WITNESSETH:
THAT,WHEREAS, , the City desires to employ the Attorney on a part-time basis with
benefits to render professional legal services. v ;Y
.; WHEREAS, the Attorney made certain representations and statements to the City with !'�
respect to the provision of such services and the City has accepted said proposal to enter into a

contract with the Attorney for the performance of services by the Attorney.
NOW, THEREFORE, for considerations herein expressed, it is agreed by and between
the City and the Attorney as follows:
{ 1. Scope of Services. The City agrees to employ the Attorney to perform legal services under r
the direction of the City Counselor. The attorney shall perform services to the sole satisfaction of
�`' s4Fs 'F the Law Department for a minimum average of 25 hours per week.

2. Compensation. The City agrees to pay the Attorney an annual salary of$25,000 plus benefits
as provided by personnel rules for a part-time with benefits position. ;
3. Professional Good Standing. The Attorney agrees to maintain Missouri Bar licensure in good

standing throughout the effective period of the contract.
'z 4. Conflict of Interest. The Attorney must ensure that there is no real or perceived conflict of $;
interest at any time throughout the effective period of the contract. The Attorney agrees and

conflict of interest and that the decision of the City Counselor shall be final and without recourse.
The Attorney shall further agree and understand that a determination by the Law Department of

the existence of a conflict of interest, either real or perceived,may be grounds for termination of
the contract.
5. Renewability of contract. Renewal of this contract shall be at the discretion of the City.

6. Termination. This contract shall be terminated by either party upon 30 days advance notice
of termination.
