with offices at 320 E. McCarty Street, Jefferson City, Missouri, 65101, and Walker and Associates,
Inc.,hereinafter referred to as the"Consultant" and/or"Walke r with offices at 1650 Headland Drive,
Fenton, Missouri, 63026.
WUNESSETH:
WHEREAS, the City desires to engage the Consultant to render certain technic al and
professional services as to the 1996 Aerial Mapping Project hereafter described in Exhibit A.
WHEREAS, the Consultant made certain presentations and statemen ts to the City with
al to enter into a
respect to the provision of such services and the City has accepted said propos
contract with the Consultant for the performance of services by the Consultant.
NOW,THEREFORE,for the consideration herein expressed,it is agreed by and between the A AP5

Scope of Services, The City agrees to engage the services of the Consultant to erform the
services hereinafter set forth in connection with the project described in Exhibit A attached hereto
and incorporated herein by reference.
2. Additional &nj.=L The City may add to consultant services or delete therefrom activities
of a similar nature to those set forth in Exhibit A,provided that the total cost of such work does not

exceed the total cost allowance as specified in paragraph 6 hereof.The Consultant shall undertake
such changed activities only upon the direction of the City. All such directives and changes shall be
in written form and approved by the Director of Public Works and shall be accepted and

5. Nofio to Proceed. The services of the Consultant shall commence as directed in the Notice
to Proceed and shall be undertaken and completed in accordance with the schedule contained in

6, (_.ompl�at'o . The City agrees to pay the Consultant Four Hundred Eleven Thousand `
Dollars ($411,000.00), which shall constitute complete compensation for all services to be rendered

under this contract. The final payment will be subject to receipt of a requisition for payment and a
' statement of services rendered certifying that the Consultant fully performed all work to be paid for
in such progress payments in conformance with the contract. It is expressly understood that in no
event will the total compensation and reimbursement to be paid to the Consultant under the terms
* : of this contract exceed the sum of Four Hundred Eleven Thousand Dollars ($411,000.00) for all
services required unless specifically and mutually agreed to in writing by both the City and
Consultant. No change in compensation shall be made unless there is a substantial and significant

7. Failure to Perform Cancellation g y

to terminate this contract by giving written notice to the Consultant of such termination and
{ specifying the effective date thereof, at least five (5) days before the effective day of such
termination. The Consultant or the City may terminate this -contract upon thirty (30) days prior s;
written notice. In the event of termination, all finished or unfinished documents, data, studies,
' surveys, drawings, maps, models, photographs, and reports or other materials prepared by the

Consultant under this contract shall, at the option of the City, become its property, and the
compensation for any satisfactory work completed on such documents and other materials shall be
determined and paid by the City. Notwithstanding the above, the Consultant shall not be relieved of n <,
liability to the City for damages sustained by the City by virtue of any such breach of contract by the
' Consultant.
8. Assignment. The Consultant shall not assign any interest in this contract, and shall not
transfer any interest in the same (whether by assignment or novation),without prior written consent
of the City thereto. Any such assignment is expressly subject to all rights and remedies of the City :t
under this agreement, including the right to change or delete activities from the contract or to ,
terminate the same as provided herein, and no such assignment shall require the City to give any
notice to any such assignee of any actions which the City may take under this agreement,though the
City will attempt to so notify any such assignee. •

9. ntiality. Any reports, data or similar information given to or prepared or assembled
r by the Consultant under this Contract which the City requests to be kept as confidential shall not be
made available to any individual or organization by the Consultant without prior written approval
of the City.
10. Nondiscrimination. The Consultant agrees in the performance of the contract not to A'
discriminate on the grounds or because of race,creed,color,national origin or ancestry, sex,religion,
handicap, age or political affiliation, against any employee of the Consultant or applicant for
employment and shall include as similar provision in all subcontracts let or awarded hereunder. k

shall constitute or designate the Consultant or designate the Consultant or any of its employees as ;s

A 13. Insurance. Consultant shall procure and maintain at its own expense during the life of this

. ; (b) Contractors Public Liability Jnsumace in an amount not less than$1,000,000 for
all claims arising out of a single occurrence and$100,000 for any one person in a single
accident or occurrence, except for those claims governed by the provisions of the =±
' Missouri Workmen's Compensation Law, Chapter 287, RSMo., and Contractor's
Property Damage Insurance in an amount not less than$1,000,000 for all claims arising
out of a single accident or occurrence and $100,000 for any one person in a single
accident or occurrence.

(c) .Automobile Liability Insurance in an amount not less than $1,000,000 for all
claims arising out of a single accident or occuurence and$100,000 for any one person in
a single accident or occurrence.
(d) Owner's Protective Liability Insurance - The Contractor shall also obtain at its '
own expense and deliver to the City an Owner's Protective Liability Insurance Policy
naming the City of Jefferson as the insured, in an amount not less than $1,000,000 for
all claims arising out of a single.accident or occurrence and$100,000 for any one person
in a single accident or occurrence, except for those claims governed by the provisions of
the Missouri Workmen's Compensation Law, Chapter 287, RSMo. No policy will be
accepted which excludes liability for damage to underground structures or by reason of
blasting,explosion or collapse.

(e) Incase any or all of this work is sublet,the Contractor shall require

j1 (a) CADD Documents The City and Walker agree that all CADD documents

under this agreement shall become the property of the City upon the completion of

the full amount of such fee, commission, percentage, brokerage fee, gifts, or contingent fee.

1.0 Aerial Pl>lotography
WALKER shall provide black and white aerial photography at a scale of 1" =833' suitable for
mapping at a scale of 1" = 100'with a two (2)foot contour interval for a area of approximately ;
105 square miles. The initial topographic mapping area will consist of approximately 40 square
miles and the orthophoto mapping will consist of 105 square miles. Other topographic mapping
'. areas may be designated to be mapped in the future. The project area is defined on "Exhibit C"
which is attached to this Scope of Services. a

Aerial photography will be obtained when the sky is sufficiently clear; the ground is sufficiently
free from snow, haze, smoke, dust, and cloud shadows; deciduous trees are sufficiently barren
to permit the intended use(s) of the photography.The solar angle will be thirty degrees (30°) or
more above the horizon at the time of exposure.

WALKER will produce two (2) sets of 9"x 9"contact prints from the aerial negatives. One (1)
4 set will be delivered to the CITY and one(1) set will be retained by WALKER for photo index a
preparation and control planning purposes.
WALKER will prepare a photo index of the 1" = 833'scale photography by assembling the 9" {
x 9" contact prints together.The index will be reduced in scale and photographically reproduced
to a sheet size no greater in size than 30" x 40". One (1) paper and one (1) mylar copy will be
furnished to the CITY.
2.0 Survey Control

WALKER will prepare a preliminary control/monumentation plan and submit the plan to both
the CITY and Central Missouri Professional Services, Inc. (CMPS), located in Jefferson City,
Missouri. CMPS is a subcontractor for the project and will be responsible for conducting the
aerial targeting, monumentation, GPS surveys and conventional vertical control surveys
necessary to control the photography for mapping purposes. WALKER and CMPS will jointly
cooperate to complete the required survey activities that are needed to commence with the digital
mapping services.

The horizontal positional accuracy of the monuments shall meet the Federal Geodetic Control
OIL Committee (FGCC) standards for Second Order Class I, (1:50,000) control, concernin the

Prior to full production, WALKER will digitize and deliver one (1) complete quarter section, '

containing approximately 160 acres of land. The pilot area will be selected by the CITY. The V
purpose of the pilot project is to finalize the exact delivery items for the remaining project area, 7;

Mapping compilation scale shall be designed for hardcopy plotting at a scale of 1" = 100, with
two(2)contour intervals.Each digital file and hardcopy map will cover one quarter(1/4) section
of land.Digital map data will be delivered as a seamless database on CD-ROM or other mutually
agreed upon media formats.The planimetric and topographic files will be delivered in AutoCAD

4.1 Planimetric Mapping
WALKER will stereo digitize the items that are visible and discernable on the photography for
the pilot area.

Digitized planimelric fe ncludra paved roads, unpaved roads, and streams.
Each feature will be individually layered and symbolized. All features digitized will be
referenced to the Missouri State Plane Coordinate System,Central Zone, NAD83 Datum.
4.2 Topographic Mapping
WALKER will stereo digitize breaklines at strategically placed locations along roads, ditches,
ridge lines, and other natural and manmade features that indicate a discernable difference in
elevation change. The hard breaklines will be supplemented with individually measured points
to properly define the terrain. The individually measured mass points will be combined,with the
breakline file and a Triangulated Irregular Network (TIN) or surface file will be generated for
each quarter section. Contours will be generated at a two,(2) foot contour interval, with every
fifth contour indicated and labeled as an index contour. The 3-D line string of the contour will
not be broken at index labels. The contour files will contain the following topographic layer tip
descriptions: index contour, intermediate contour, depression index contour, depression
intermediate contour,vertical control points, spot elevations, and dashed boundary line(s) will
U, indicate the limits of dense tree cover. Elevations will be referenced to Mean Sea Level,
NAVD88 Datum.
4.3 Orthophoto Images
The orthophoto will be produced by scanning the aerial film diapositive and differentially
rectifying the raw image file using the DTM digitized. The image shall be capable of being
displayed and be compatible with the Softdesk GSX Cad Overlay software.

The film diapositives will be scanned with a scanner capable of geometric quality scans at twelve
(12) microns or better. The DTM digitized shall be used to perform a rigorous pixel-by-pixel
differential rectification and correction of the image file. The digital orthophoto image file will
be scaled and geo-referenced to the Missouri State Plane Coordinate System, NAD83 Datum.

The hardcopy mylar will be directly generated from the digital ortho image on a MapSetter 5000
or equivalent. The output pixel size provided to the CITY in ground units on the hardcopy maps
will be 0.50'.The digital ortho files will be provided to the CITY for each quarter section of land.
The files will be delivered in a 8-BIT TIFF,raster format, geo-referenced for use with the Cad
Overlay GSX software. Quarter section files will also be delivered at one (1) foot ground
resolution and digital mosaic files will be delivered at two (2)foot, three (3)foot or four(4)foot
resolutions, depending on the gross file size of the final mosaic.

quarter section at 1 100 scale. Maps shall be 34" x 36" in size and the title block content shall
v be approved by the CITY. The final mylar plots shall have a minimum of fifty (50) feet of
overlap between adjacent 1/4 sections. The original film negatives and diapositives used for
mapping and scanning purposes shall belong to the CITY, but retained by WALKER until
requested by the CITY.
4.4 Map Accuracy Standards

Ninety (90) percent of all planimetric features which are well defined on the photographs and
a that are stereo digitized will be plotted so that their position on the finished maps will be accurate
to within at least one-fortieth (1/40) of an inch (t23) of their true coordinate position, as '
determined by test surveys,and none of the features tested will be misplaced on the finished map
by more than one-twentieth (1/20) of an inch (±5.0') with their true coordinate position.

Ninety (90) percent of the contour elevations determined from the solid-line contours of the
topographic maps will have an accuracy with respect to true elevation of one-half (1/2) the
contour interval (t1.0') or better and the remaining ten (10) percent of such elevations will not
be in error by more than one (1)contour interval. In checking elevations taken from the map, the {3
apparent vertical error maybe decreased by assuming a horizontal displacement of one-fortieth <}
` (1/40) of an inch or by moving the contour by the acceptable horizontal accuracy tolerance. In

{ CMPS will independently conduct a minimum of five (5) and a maximum of twenty (20) test
profiles throughout the project area prior to mapping. The test profiles will be provided to 3 .
WALKER immediately following the completion of the map area. The location of the test
profiles will be selected after viewing the photography and will not be less than 500 feet in
length.The field check surveys will start at existing GPS monuments and be run by conventional
leveling procedures to another horizontal position. The location criteria will be open areas that x
are unobscured by shadows or dense tree cover. Any deficiencies discovered in the mapping in
"t regard to NMAS will be corrected by WALKER at no cost to the CITY. ;
