BUS LEASE
This Lease is entered into by the City of Jefferson, Missouri (hereinafter City ) and Sho-Me Coach
Lines, Inc. (hereinafter"Company").
WITNESSETH:
WHEREAS,the City has entered into a Rural Transit Assistance Agreement with the Company; and
WHEREAS, the City owns a used bus, a 1991 Ford (12 passenger plus two wheelchair spaces) lift
ri equipped bus VIN#FDKE37G6MHA19573 ,,?7 619 miles) (hereinafter"Equipment"); and

NOW THEREFORE, in consideration of the mutual covenants,promises,and representations herein,the parties hereto agree as follows:
1. Pulpose:The City agrees to lease to the Company and company agrees to accept the lease ill
for use on the intercity bus route between Columbia, Missouri and Springfield, Missouri per the City's '
agreement with the Company dated �6 ��95� � ,•,
2. Term:The term of this lease shall commence on March 1, 1996 and be.from March 1, 1996 U'
r to October 31, 1996. The lease may be extended up to one (1)year by mutual agreement.
3. Arse do ments:Any change in the agreement,whether by modification and/or supplementation,
must be accomplished by a formal amendment signed and approved by the duly authorized representatives
of Company and City.

4. B t;As rent for the Equipment the Company shall pay City at 320 East McCarty,Jefferson v.
' City, successive installments of$100.00 each, beginning March 1, 1996 payable in eight installments to be
w promptly paid on the 1 st day of each succeeding month. Any past due payment of rent shall beare interest
Y U at the rate of eight percent(8%) per annum.

5. Use. Company shall use the Equipment in a careful and proper manner and shall comply with x
and conform to all national,state, municipal, and other laws, ordinances and regulations in any way relating
to the possession, use or maintenance of the Equipment. If at any time during the term hereof City supplies `
• Company with labels, plates or other markings, stating that the Equipment is owned by City, Company shall
affix and keep the same upon a prominent place on the Equipment. {
6. Inspection by Lessee. Company shall inspect the Equipment within Seventy-Two (72) hours d
after receipt thereof. Unless Company within said period of time gives written notice to City specifying any
defect in or other proper objection to the Equipment,Company agrees that it shall be conclusively presumed, >
as between City and Company,that Company has fully inspected and acknowledged that the Equipment is

in good condition and repair,and that Company is satisfied with and has accepted the Equipment in such good
condition and repair.

7. R6,12ion b�city. City shall at any and all times during business hours have the right to enter
y into and upon the premises where the Equipment may be located for the purpose of inspecting the same or
observing its use. Company shall give City immediate notice of any attachment or other judicial process
5 affecting any item of Equipment and shall,whenever requested by City,advise City of the exact location of the

8. Aerations, Company is hereby given the right to make alterations,additions or improvements x:

t : to the Equipment, so long as the value of the Equipment is not reduced thereby. All additions and

9. Repr2irs. At its own cost and expense. Company shall service, repair and maintain the xk :tiY
Equipment so as to keep the Equipment in as goad condition,repair,appearance and working order as when
- delivered by City hereunder, ordinary wear and tear excepted.At its own cost and expense Company shall

replace any and all pads and devices which may from time to time become wom out, lost,stolen, destroyed,
damaged beyond repair or rendered unfit for use for any reason whatsoever. All such replacement parts, `; ,, u
mechanisms and devices shall be free and clear of all liens, encumbrances and rights of others, and shall '
become the property of City and shall be covered by this agreement to the same extent as the Equipment

originally covered by this agreement. ]
"Y 10, Loss and Damage. City shall not be liable or responsible to Company for any loss,
damage, liability or expense of any kind caused by or related to the Equipment, or resulting from any defect "
in or deficiency of the Equipment,or resulting from the use or operation of the Equipment. `
In the event of loss or damage of any kind whatever to the Equipment,or any part thereof, Company x r
at the option of City shall within 30 days of such event:
(a) Place the same in good repair, condition and working order; or z
(b) Replace the same with like property in good repair,condition and working order;which property
shall thereupon become subject to this lease;
(c) Pay City therefor in cash the"Stipulated Loss Value"of the Equipment during the successive years J

,Y The Stipulated Loss Value of each item of Equipment shall be that portion of the total Stipulated Loss Value ;
Y.• which equals the percentage which the cost of that item bears to the total cost of the Equipment. Upon such
payment this lease shall terminate with respect to the Equipment or part thereof so paid for and Company
thereupon shall become entitled thereto.
r.. 11. Termination. Upon the expiration or earlier termination of this lease, with respect to the
Equipment or any part thereof, Company shall (unless Company has paid City in cash the "Stipulated Loss .
` Value"of the Equipment or any part thereof pursuant to Paragraph 10 hereof) return the same to City in good

(a) By delivering the Equipment at Company's cost and expense to
such place as City shall specify within the county in which the same }
was delivered to Company or to which same was moved with the '
written consent of City; or
a' t (b) By loading the Equipment at Company's cost and expense on
board such carrier as City shall specify and shipping the same,
freight collect, to the destination designated by City.

12• Insurance, At its own cost and expense, Company shall cause casualty insurance to be

carried and maintained on all Property and shall carry public liability and property damage insurance, with all }+
such coverage to be in such amounts, against such risks, in such form and with such insurers as City may
specify from time to time. All insurance policies shall name both City p and Company

qrF: proceeds from casualty losses to the extent of the then current option price of the respective Property shall
be payable solely to City. Company shall deliver to City the policies of evidence of insurance satisfactory to

together with receipts showing the payment of the applicable premiums, shall be delivered to City at least 30

days before termination of the policies being renewed. By endorsement upon the policy or by an independent

4' instrument furnished to City, each insurer shall agree that it will give City at least 30 days'written notice prior ^{
to cancellation or alteration of the policy. Company shall also carry workmen's compensation insurance s�'{
covering all its employees working on, in or about the Property and shall require any other person, corporation,
partnership or other entity working on, in or about the Property to cant'such coverage, and will fumish to City
certificates evidencing such coverage throughout the term of this agreement. The Company shall be
responsible for providing a minimum of $7,000,000 liability insurance. The Company shall also provide a
minimum of$10,000 Collision Insurance. s _
13. Taxes. Company shall pay and discharge all license fees, assessments and sales, user

• property and other tax or taxes now or hereafter imposed by any State, Federal or local government upon the
t Equipment ownership, leasing, renting, sale, possession or use of the Equipment whether the same �� ,

Federal, State or focal government taxes, or payments in lieu thereof, imposed upon or measured by income
of the City. If any tax is, by law, to be assessed or billed to City, Company at its expense will do any and all .gip. 1
things required to be done by City in connection with the levy, assessment, billing or payment of such taxes
and is hereby authorized by City to act for and on behalf of City in any and all such respects; Company will
cause all billings of such taxes to City to be made to it in care of Company and will from time to time, on
request of City,submit written evidence of the payment of all of the governmental obligations mentioned in this

paragraph. Company will, on any property tax returns required to be filed by it, include the property covered
by this lease or any substitutions or additions thereto as property owned by the Company for purposes of tax
assessments. It is expressly agreed that Company will not, without obtaining prior written permission of City

' 14. Permits' Company shall provide all permits and licenses necessary for the installation,
operation and use of the Equipment, Com an shall comply with all laws, rules, regulations and ordinances ' ^'
applicable to the installation, use, possession and operation of the Equipment. If compliance with any law, rule, <,
regulation, ordinance, permit or;icense requires changes or additions to be made to the Equipment, such
changes or additions shall be made by the Company at its own expense.

and keep harmless City from and against any and all liability,obligations, losses, damages, penalties, claims,

of the initial term or any renewal term for a purchase price equal to the Stipulated Value of the Property as of

RURAL TRANSIT ASSISTANCE PROGRAM AGREEMENT

THIS AGREEMENT is entered into by the City of Jefferson, Missouri (hereinafter
"City") and Sho-Me Coach Lines, Inc. (hereinafter "Company").
WITNESSETH:
WHEREAS, the City has applied to the Missouri Highway and Transportation
Commission (hereinafter "Commission") for a grant of funds made available to Commission •
under Section 18(1) of the Urban Mass Transportation Act of 1964, as amended, and the
Commission has awarded funds available pursuant to said Act to the City's application for
Section 18(I) assistance.
WHEREAS,, Company has indicated a willingness to operate an inter-city bus service P r
on a route from Columbia to Springfield; and
WHEREAS, the City is desirous of maintaining bus service for its citizens and the
surrounding area and believes that such service is vital to continued economic viability of the
City and important to growth factors.
NOW THEREFORE, in consideration of the mutual covenants, promises, and
representative herein, the parties hereto agree as follows:
I Purpose and Source of Fund: The purpose of this agreement Is to assist the
Company in financing operating losses which are eligible for financial assistance.
2. Scope of Work and Budget* The Company will provide inter-city bus services
between Springfield, Missouri and Columbia, Missouri. The schedule will consist of at least
one bus in the morning and one bus in the evening stopping at cities along the route including
the City of Jefferson. It is anticipated 1,000 annual one-way trips will be provided during
the project period. In return for such inter-city services, the City in cooperation with other
governmental and private entities will provide financial assistance to the Company in an
amount not to exceed Four Thousand ($4,000) cash plus the rent on the Jefferson City Bus
Station as soft match to the Section I 8(l) grant for the project period. The City Will lease
H;!T (by separate agreement) the Jefferson City Bus Station to the Company and the rent shall be
waived and used as soft match for the operating grant. The City will lease (by separate
agreement) a-us.0,1991 Ford bus (12 passenger plus two wheelchair spaces) to the
'Co.mpany for $100 per month. The City will apply for capital assistance for a new bus
(approximately $30,,000). If an approved grant Is received the City will lease (by separate
agreement) the bus to the Company, and the Company will pay.$300 per month rent to the
City until the local share of the grant Is paid back.

! B. Cancellation- The City may cancel the contract at any time for a materials

A. Civil Rights Statutes: The Company shall comply with all state and federal
r statutes relating to nondiscrimination, including but not limited to Title VI and Title VII of
the Civil Rights Act of 1964, as amended (42 U.S.C. 2000 d,e).
E. State Nondiscrimination Clause: The Company shall comply with the provisions ;

M. Incorporation of Provisions: The Company shall include the provisions of
paragraph 12.A of this agreement in every subcontract, including Procurements of materials
and leases of equipment, unless exempted by the statutes, executive order, administrative
rules, or instructions issued by the City or the Commission pursuant thereto. The Company
will take such action with respect to any subcontract or procurement as the City or the
Commission may direct as means of enforcing such provisions, including sanctions for
noncompliance; provided, however, that, in the event the Company becomes involved in, or
Is threatened with, litigation with a subcontractor or supplier as a result of such direction, the
Company may request the City to intervene in such litigation to protect the interests of the
City, and in addition, the Company may request the Commission to enter into such litigation

13. Assignment: The Company shall not assign or delegate any interest in theXY '

delegation or novadon) without the prior written consent of the City.
14. Inspection of Worke The City, the Commission and FTA shall be accorded
proper facilities for review and inspection of the work hereunder and shall be at all reasonablew'� %s

for all reviews and inspections by FTA will be made by the City.
15. Law of Missouri to Govern: This agreement shall be construed according to laws :{

regulations relating to the performance of the agreement. }
16. City Representative: The City's Director of Public Works is designated as the
City's representative for the purpose of administering the provisions of this agreement. z

MISSOURI HIGHWAY AND TRANSPORTATION COMMISSION
NONURBANIZED AREA PUBLIC TRANSPORTATION
OPERATING ASSISTANCE GRANT AGREEMENT
THIS GRANT AGREEMENT is entered into by the Missouri Highway and
Transportation Commission (hereinafter, "Commission") and the City of Jefferson
(hereinafter, "Grantee").
WITNESSETH:
WHEREAS, the Grantee has applied to the Commission for a grant of funds made
available to the Commission under Chapter 53 (5311) of Title 49, United States Code,
herein referred to as 5311 to defray a portion of the costs of a general public
transportation project carried out by the Grantee; and
A,
WHEREAS, the Commission has awarded funds available pursuant to said act to
the Grantee with the understanding that such funds will be used for projects pursuant to
this Agreement for the purposes specified in the Grantee's application for 5311
assistance. (Appendix A)

NOW, THEREFORE, in consideration of these mutual covenants, promises, and
representations the parties agree as follows:
(1) PURPOSE AND SQURCE OF FUND: The purpose of this Agreement is
to assist the Grantee in financing the projects expenses that are eligible for federal
financial assistance.
(A) Net 0pergtng_Q=: Net operating cost is the total cost of operation
less revenues received from the service provided. Such net operating cost is estimated
to be the amount determined from the Grantee's projected operating budget (Appendix
13).
(13) The Commission will make a grant from available federal funds in
the amount not to exceed 50% of the net operating cost in a manner consistent with the
administrative rules of the United States Department of Transportation as contained in
the Federal Transit Administration Circular 9040.1B dated July 1, 1988, and any other Al
regulations pursuant to the Federal Transit Act, as amended (49 U.S.C. 1614).
(C) The Grantee will provide funds from sources other than (a)
unauthorized restricted federal funds; (b) receipts from the use of the project facilities
and equipment; or (c) revenues of the general public transportation system in which
such facilities and equipment are used in an amount sufficient, together with the grant
pursuant to this Agreement, to pay the actual operating cost. The operating portion of
the grant under this Agreement will not exceed 50%of the actual operating cost.
(2) SCOPE OF WORK AND BUDGET: The Grantee will undertake and
complete the project specified in the approved project application and budget
(Appendixes A and 13).

(3) USE OF PROJECT FACILITIES AND EQUIPMENT:

(A) The project facilities and equi ment shall be used to provide general

public mass transportation service within the Grantee's transportation service area,
substantially as described in the project description (Appendix A).

(B) The Grantee agrees to observe the property management
standards as set forth in OMB Circular A-102 Attachment N, or OMB Circular A-110, =
Attachment N, as appropriate, as now or hereafter amended in order to protect the
interest of the United States Department of Transportation.
(C) Exceptions to the requirements of Attachment N must be specifically
approved by the Commission.
(D) If during the period, any project facilities/equipment are not used in '
mass transportation service, whether by planned withdrawal or casualty loss, the z

(7) AUDITS. INSPECTION AND RETENTION OF RECORDS: The Commission
and the United-States Department of Transportation, or any of their representatives, shall
have full access to and the right to examine, during normal business hours and as often
as.the Commission or the United States Department of Transportation deems necessary
at no charge to the Commission and/or its designees or representatives, all ofsthe
Grantee's records with respect to all matters covered by this contract. Such }
representatives shall be permitted to audit under the guidelines of OMB Circular A-128

(12) NONDISCRIMINATION ASSURANCE: With regard to work under this
Agreement, the Grantee agrees as follows:
(A) 'vil Rights Statutes: The Grantee shall comply with all state and
federal statutes relating to nondiscrimination, including but not limited to Title VI and Title '

.` herein by reference and is made a part of this Agreement. This Executive Order which a,
rornulgates a Code of Fair Practices in regard to nondiscrimination, is incorporated ;

the Grantee or its subcontractors based on race,
color, religion, national origin, sex, age, disability or veteran status.
(C) Administrative Rules: The Grantee shall comply with the

(17) REIMBURSEMENT: Net Operating Sost: The Commission, using funds
C' made available it from the grant made to it by the United States Department of
Transportation, shall reimburse the Grantee for 50% of the net operating cost described

amount reimbursed by the Commission for net operating cost exceed the maximum

.� (18) PAYMENT: Progress payments, based upon actual allowable costs, for
Ic;'a not less than one (1) month may be made upon receipt of an itemized invoice from the
ri Grantee. The itemized'invoice shall be reviewed by the Commission prior to payment. A �
}' retainage of five (5) percent of the approved invoice cost will be withheld from each
requisition until the ro ect is completed, accepted, and the final audit has been made.
Any costs deemed n elgible for reimbursement by the Commission in accordance with
the terms of this Agreement shall be deducted from the retainage before final payment is
made. Any rejected or unaccepted costs shall be•borne,by the Grantee.

{ (B) The Commission may terminate this Agreement without recourse in
the event that, for any reason, federal funds are not appropriated, allotted, or available to
the Commission for the purpose of meeting the Commission's obligation hereunder. The
Commission will provide written

p n notice of such termination to the Grantee at least eve (5)
days prior to the effective date of termination.
(C) Either party may terminate this Agreement at any time by giving
' written notice to the other party of such termination and specifying the effective date
thereof at least forty-five (45) days in advance of such termination date. {'
.h (23) TATEMENT OF REVENUE AND EXPENDITURES: The Grantee agrees

x; that a statement of revenue and expenditures, based on actual figures, will be submitted .
with each invoice in a format approved by the Commission upon completion of the : '+
project. The Grantee shall provide the Commission with a final invoice indicating the
detailed costs, revenues and actual operating loss, when applicable, to the 5311 grant.
Upon receipt of the final invoice, an audit will be performed by the Commission.
(24) SOURCE OF CQMMISSION FUNDS: The obligation of the Commission for '
7 financial assistance in the project is contingent upon this Agreement being approved by
the Federal Transit Administration and the United States Department of Transportation,
and upon federal funds being allocated to, and approved, for the project.
(25) LACK OF WAIVER: In no event shall payment of grant funds to the
Grantee by the Commission constitute.or be construed as a waiver by the Commission
of any breach of covenants, or any default which may exist on the part of the Grantee
and the making of any such payment by the Commission while any such breach or
default shall exist shall in no way impair or prejudice any right or remedy available to the
Commission with the respect to such breach or default. ;
26) SECURITY: The Grantee agrees that upon purchase with funds provided ' ' .7,'
under this Agreement of any equipment for which a title certificate may be obtained br is ?`
?' required under the laws of Missouri that the Grantee will execute such documents as
may be necessary to protect and secure a lien upon such equipment in favor of the
Commission, if so requested by the Commission. Any,and all fees required to be paid to

(27) CONTRACTS FOR PROVIDERS OF TRANSIT SERVICE: The
Commission

reserves the right to review and concur in the Grantees specifications and

prospective bidders. The Commission will concur in award of bid by the Grantee prior to

(28) BUY AMERICA: The Grantee agrees to abide by the provision of the Buy
America requirements of the 49 CFR Part 661.

(34) NONSOLICITATION: The Grantee warrants that it has not employed or
retained any company or person, other than a bona fide employee working for the
Grantee, to solicit or secure this Agreement, and that it has not paid or agreed to pay ?
any company or person, other than a bona fide employee, any fee, commission,
percentage, brokerage fee, gift, or any other consideration, contingent upon or resulting
from the award or making of this Agreement. For breach or violation of this warranty, the
Commission shall have the right to annul this Agreement without liabili or in its

General description of the Project: The City proposes to subsidize (if necessary)the inter-city bus
route between Springfield,Missouri and Columbia, Missouri. The current provider is Sho-Me 'x
Coach Lines, Inc. The owner, Mr. Dale Adkinson of Columbia, Missouri,has requested financial �.
help to, if necessary, defer losses up to $4,000.00. The City will use rent on the Jefferson City Bus ;
Station as local match to the project to defer additonal loss. The current and proposed schedule
provides one bus in the morning and one bus in the evening stopping at cities along the route. A
total of 14J.000 annual one-way trips are projected during this proposed project period.
