WITNESSETH:

THAT, WHEREAS, the City desires to engage the Consultant to render
certain technical and rofessional engineering gineex•ing services hereafter
described in Attachment A, Scope of Services .

NOW, THEREFORE, for the considerations herein expressed, it is
agreed by and between the City and the Consultant as follows:
I. Governing Law. This agreement shall be governed by the laws
of the State of Missouri.
2. Scope of Services. The City agrees to engage the services of
?'t Consultant to perform the services hereinafter set forth in
connection with the project described in Attachment A.
3. Additional Services. The City may add to consultant services ���,:A,;:=.;.;�;'.•fs
or delete therefrom activities of a similar nature to those sett= � 'L'
forth in the Scope of Services above

cost of such work does not exceed the total cost allowance as

p paragraph 7 hereof. The Consultant shall
undertake such changed activities only upon the direction of '�"' ��"'� `
the City. All such directives and changes shall be in written
form and approved by the Director of the office of Public Works
and shall be accepted and countersigned by the Consultant or
its agreed representatives. -
4 . Owner's Responsibility. City shall be responsible for all ���;! ,t�� "'�•t'"
matters described in Attachment C, Owner's Responsibilities.
5 . Personnel to be Provided. The Consultant represents that ? 'W,
Consultant has or will secure at its expense all

by the Consultant. Such personnel shall not be employees of �b •''
or have any contractual relationship with the City except as ;
employees of the Consultant. All of the services required x ± ` 4
hereunder will be performed by the Consultant or under the
Consultant's direct supervision and all personnel engaged in Y

except as provided in Attachment A without the written approval
of the City.
6 . Notice to Proceed. The services of the Consultant listed in
Attachment A, Phases I, II, and IV shall commence as directed
in the Notice to Proceed and shall be undertaken and completed
by June 1, 1998, if the Notice to Proceed ig given by April 1,

1996 . Services for Phase III shall be completed by a date
agreed upon with the City at the time this work commences .
7 . Compensation. The City agrees to pay the Consultant, for
services required by this Contract in accordance with the terms
set forth in Attachment B. Payments made to the Consultant
shall constitute complete compensation for all services to be
rendered under this contract. The final payment shall be
subject to receipt of a requisition for payment and a statement
i::.;,e;;4 l , of services rendered certifying that the Consultant fully
performed all work to be paid for in such progress payments in
conformance with the contract.

The total compensation for Phase I-Trickling Filter
Rehabilitation Design, Bidding, and Construction Services,
Phase II - Solids Facilities Conceptual Design, and Phase IV.
Treatment Plant Conceptual Design shall not exceed Two Hundred

Compensation shall be paid to the Consultant in periodic
progress payments as specified in Attachment B. No changes in
compensation shall be made unless there is a change between the
work originally contemplated by this contract and the work
actually required.
8. Standard of Care. Engineer shall exercise the same degree to
care, skill, and diligence in the performance of the Services
as is ordinarily possessed and exercised by a professional
ray engineer under similar circumstances . No other warranty,
express or implied, is included in this Agreement or in any
drawing, specification, report, or opinion produced pursuant
to this Agreement.
9. Failure to Perform, Cancellation. If, through any cause, the
Consultant shall fail to fulfill in a timely and proper manner
its obligations under this contract, or if the Consultant shall
violate any of the covenants, agreements, or stipulations of
this contract, the City shall thereupon have the right to
terminate this contract by givng written notice to the
Consultant of such termination and specifying the effective
date thereof, at least five (5) days before the effective day

10. Assignment. The Consultant shall not assign any interest in `

agreement, including the right to change or delete activities �
from the contract or to terminate the same as provided herein, l
and no such assignment shall require the City to give any

11. Confidentiality. Any reports, data or similar information

given to or prepared or assembled by the Consultant under this .Y
contract which the City request to be kept as confidential
shall not be made available to any individual or organization

12. Nondiscrimination. The Consultant agrees in the performance
of the contract not to discriminate on the grounds or because

of race, creed, color, national origin or ancestry, sex,
religion, handicap, age or political affiliation, against any
employee of Consultant or applicant for employment and shall 4,
include a similar provision in all subcontracts let or awarded
hereunder.

13 . Inde endent Contractor. The Consultant is an independent � ?
contractor and nothing herein shall constitute or designate the
f` Consultant or designate the Consultant or any of its employees
as agents or employees of the City. n+

�� 14 . Benefits not Available. The Consultant shall not be entitled
I�,;• : to any of the benefits established for the employees of the
City nor be covered by the Workmen's Compensation Program of ;

15 . Liability and Indemnification.
a. General. Having considered the potential liabilities that
may exist during the performance of the Services, the benefits
of the Project, and the Consultant's fee for the Services, an

b. indemnification. Consultant and City each agrees to
defend, indemnify, and hold harmless each other, their
respective agents and employees, from and against legal

extent such claims, losses, damages, or expenses are caused by
their respective negligent acts, errors, or omissions. In the
event claims, losses, damages, or expenses are caused by the
joint or concurrent negligence of Consultant and City, they

shall be borne by each party in proportion to its own
negligence. �

C. Consequential Damages. To the fullest extent permitted
by law, Consultant shall not be liable to City for any special,
indirect or consequential damages resulting n an way from
the performance of the Services. g Y Y „
d. Survival. Upon completion of all Services, obligations,
rti and duties provided for in this Agreement, or if this Agreement
c2 is terminated for any reason, the terms and conditions of this
rsj Article shall survive.
} 16 . Documents. The Consultant agrees that reproducibles of

tracings and maps prepared or obtained under the terms of this ,
X Contract shall be delivered upon request to and become the
;y property of the City upon termination or completion of the
work. Consultant shall retain its rights in its standard

drawing details, specifications, data bases, computer software,
and other proprietary property. Rights to intellectual =t.
' '•(w'�°:�, property developed, utilized, or modified in the performance
of the Services shall remain the property of Consultant. ` s

The drawings, documents, and reports prepared under this
agreement are not intended for reuse without prior written
'. 3 verification and approval by the Consultant. Copies of basic :ya
survey notes and sketches, charts, computations and other data
i prepared or obtained under this Contract shall be made ,
available, upon request, to the City. When such copies are
requested, the City agrees to pay the Consultant its costs of
copying and delivering same.
Any reuse without prior written verification or adaptation by `�,
Consultant for the specific purpose intended will be at City's
sole risk and without liability or legal exposure to
Consultant. Any verification or adaptation of documents will :M
' entitle Consultant to additional compensation at rates to be ?
agreed upon by City and Consultant. '
17 . Limitations of Responsibility. Consultant shall not be ?'
responsible for: ( 1) construction means, methods, techniques,
'. sequences, procedures, or safety precautions .and programs in
connection with the Project; (2) the failure of any contractor, t
subcontractor, vendor, or other Project participant, not under

18 . Opinions of Cost and Schedule. Since Consultant has no
control over the cost of labor, materials, or equipment
furnished by others, or over the resources provided by others
to meet Project schedules, Consultant's opinion of probable
costs and of Project schedules shall be made on the basis of
, `. experience and qualifications as a professional engineer. 4
Consultant does not guarantee that proposals, bids, or actual
Project costs will not vary from Consultant's cost estimates
or that actual schedules will not vary from Consultant's
' projected schedules .
19 . Nonsolicitation. The Consultant warrants that he has not
k�r employed or retained any company or person, other than a bona
fide employee working solely for the Consultant, to solicit or

solely for the Consultant, any fee, commission, percentage,
brokerage fee, gifts, or any other consideration, contingent

For breach or violation of this warranty, the City shall have
the right to annul this Contract without liability, or, in its
` discretion, to deduct from the Contract price or consideration,

or otherwise recover the full amount of such fee, commission, It
percentage, brokerage fee, gifts, or contingent fee. ;.
20 . Books and Records. The Consultant and all his subcontractors
shall maintain all books, documents, papers, accounting records
and other evidence pertaining to costs incurred in connection
with this Contract, and shall make such materials available at
their respective offices at all reasonable times during the :t
Contract and for a period of three (3) years following
completion of the Contract. '

21 . Delays. The City agrees that the Consultant shall not be
liable for delays resulting from causes beyond the reasonable '=
control of the Consultant; that the Consultant has made no ;
warranties, expressed or implied, which are not expressly set
forth in this Contract; and that under no circumstances will
}s the Consultant be liable for indirect or consequential damages.
' Should such circumstances occur, the Consultant shall, within
n a reasonable time of being prevented from performing, give 4
written notice to the City describing the circumstances
preventing continued performance and the efforts being made to
resume performance of this Agreement.
22 . Notices. All notices required or permitted hereinunder and
required to be in writing may be given by first class mail
addressed to the Director of Public Works, 320 East McCarty,

the date falling on the second full day after the day of its

23 . Third Party Rights. Nothing in this Agreement shall be
' construed to give any rights or benefits to anyone other than
the City and Consultant.
24 . Insurance. During the performance of the services under this
{ Agreement, Consultant shall maintain the following insurance:
a. General Liability Insurance with a combined single limit
of $1, 000 ,000 for each occurrence and $1, 000, 000 in the y
aggregate.
b. Automobile Liability Insurance, with a combined single ,
i limit of $1, 000,000 for each person and $1, 000, 000 for
each accident.
C. Workers ' Compensation Insurance in accordance with
�iT•,s,�: statutory requirements and Employers' Liability Insurance,
with a limit of $500, 000 for each occurrence.
d. Professional Liability Insurance, with a limit of

25. Waiver. A waiver by either City or Consultant of any breach

affect the waiving party's rights with respect to any other or
further breach.

26. geverability. The invalidity, illegality, or unenforceability
r •_++, of any provision of this Agreement or the occurrence of any
event rendering any portion or provision of this Agreement void it
shall in no way affect the validity or enforceability of any
other of this Agreement. Any void

rr provision shall be deemed severed from this Agreement, and they
balance of this Agreement shall be construed and enforced as
if this Agreement did not contain the particular portion or wA
provision held to be void. The parties further agree to amend
this Agreement to replace any stricken provision with a valid Y
provision that comes as close as possible to the intent of the
stricken provision. The provisions of this Article shall. not t
prevent this entire Agreement from being void should be e

s 27 . Integration. This Agreement represents the entire and

PHASE I TRICKLING FILTER REHABILITATION
DETAILED DESIGN, BIDDING, AND CONSTRUCTION SERVICES

ill Phase I services include those required to provide detailed
design, bidding, and construction services to rehabilitate the
two existing trickling filters. Services are provided based upon
the following improvements.

Replacement of the existing hydraulically driven
distributor arms with electrically driven units.
0 Removal and replacement of damaged media in the top four
feet of the filters.
• Addition of a ventilation system -to provide induced

down-draft ventilation through the filters. 2
o Installation of a synthetic membrane curtain along the
inside perimeter of the top four feet of the filters to
direct flow away from the precast wall system.
Rehabilitation of deteriorated concrete in the -filter

EXPANSION CONCEPTUAL DESIGN
A. Preliminary and General Work
1. Conduct a project initiation meeting to clarify City's
requirements for the Project, review pertinent available
data, review project staffing and organization, present
initial work plan, and present initial work schedule.
2 . Conduct telephone consultations as needed and attend one
meeting with Missouri Department of Natural Resources
officials in Jefferson City to determine their

agrees to pay the Consultant as follows:

For design, bidding, and construction services for Phase
I Trickling Filter Rehabilitation, Phase II - Solids
Facilities Improvements Conceptual Design, and Phase' IV
Treatment Plant Expansion Conceptual Design as described in
Attachment A, an amount based on the Consqltant's Billing
rates as listed herein. The maximum billing limit for these
services shall not exceed Thousand
Dollars and No Cents ($ without further
authorization by the City.

2 . For Phase III - Solids Facilities Improvements Detailed
Design, Bidding and Construction services, an amount to be
defined after completion and acceptance by the City of the

4 D. Periodic payments shall be made to the Consultant by the
City based on the Consultant's statement. The statement shall be

The entire amount of each statement shall be due and payable upon
receipt by the City. Carrying charges of 1 1/2 percent per month
from the billing date shall be due for accounts which are not

Owner: City of Jefferson city, Missouri

The City will furnish, as required by the work and not at the
expense of the Consultant, the following items:
yT A. All maps, drawings, reports, records, audits, annual
reports, and other data that are available in the files of the
City and which may be useful in the work involved under this
contract.
B. Access to public and private property when required in
performance of the Consultant's services.

C. The services of at least one of the City's employees or
staff who has the right of access to, and who has knowledge of,
the existing wastewater treatment plant.
D. Releases to the news media concerning public hearings,
prebid conferences, preconstruction conferences, and the time and
location of anticipated street closings or partial closings.
E. Hall or auditorium space for public hearings, prebid

equipment and projection equipment required for such hearings and
conferences.
F. Legal advertisement of project letting or bid date and such
other publications of the "Invitation to Bid" as desired by the

G. Royalties and fees for patented processes used in the work,

part of the construction contract.
