AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH SHO-ME COACH
LINES, INC. FOR BUS LEASE.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS: ,
Section 1. The Mayor and City Clerk are hereby authorized and directed to execute
an agreement with Sho-Me Coach Lines, Inc, for bus lease. f

Section 2. The agreement shall be substantially the same in form and content as
that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect from and after the date
of its passage and approval.

TS-7.3.3.3 Commercial Mixture:A commercial mix may be used if approved by the
Engineer. To request approval of a commercial mix, the Contractor shall
submit to the Engineer the
.� materials, Marshall properties, and a�list of projects onrtwhich it has been
used.
TS-7.3.4 Construction Requirements:
TS-7.3.4.1 Weather Limitations: Bituminous mixtures shall riot be placed (1)when
either the air temperature of the temperature of the surface on which the
i mixture is to be placed is below 40 degrees F. (except that base courses
3 inches or more in thickness may be placed when the air temperature is
35 degrees F.) (2) on any wet or frozen surface, or (3) when weather
_ conditions prevent the proper handling or finishing of the mixture.
I Mixture shall not be placed during inclement weather.

TS-7.3.4.2 Asphalt Plant:The asphalt plant or plants shall meet the requirements or
Standard Specifications Sec. 301.6. Plant calibration shall be the sole
J responsibility of the Contractor.
TS-7.3.4.3 Preparation of the Mixture• Preparation of the mixture shall be in
accordance with applicable portions of Standard Specifications Section
404.6.2.1 through 404.6,3.
t _ Transportation of the mixture shall conform to Standard Specifications
Sec.301.8. An adequate number of trucks to provide constant supply of
�( mix to the laying machine shall be used. The location of the plant shall be
J close enough to the project that excessive cooling does not occur.
The provisions of Standard Specifications 301.9 and 404.6.3 shall be met.

TS-7.3.4.4 SpM ding the Mixture:Asphaltic mixtures shall be spread in accordance
J with Standard Specifications Section 301.9 and 301.9.1.
Allowance shall be made for the slope of the outside edge so that the `I
finished top dimensions match those shown on the plans. The curb and !
gutter shall be used as a grade reference for the automatic screed control.
TS-7.3.4.5 Compaction: Rolling shall begin as soon s practicable after the
spreading. The Contractor shall submit to the Engineer the rolling system

he proposes to use or the compaction of the mixture. Rollers shall be in
good condition,capable of operation without backlash. Steel wheel rollers
shall be equipped with scrapers. All rollers shall have a functioning water
system for moistening each roller or wheel. Base course shall be

compacted to 95% of laboratory density. Surface course shall be
' compacted to 98%of laboratory density.

TS-7,4 Asphaltic Concrete:This work shall consist of asphaltic concrete surface
course.
TS-7.4.1 Materials. Material shall conform to the applicable sections of Standard
Specifications for Highway Construction,Section 401,403,and TS-7.3.3.1

TS-7.4.2.3 Aggregate for Asphaltic Concrete Shall conform to the applicable
i
sections of the Standard Specifications for Highway construction with the I'
additional requirement that supplier shall crush and stockpile 50%of the
needed approved aggregates prior to placement of any asphaltic base or
pavement.
TS-7.4.3 _Construction Requirements: Construction requirements shall be
specified in TS-7.3.4 as amended herein.

TS-7.4.3.1 Weather Limitations: Weather limitations shall be as specified in TS-
7.3.4.1 except that o asphaltic concrete shall be placed when the
temperature of the air or the surface on which the asphalt will be placed
is less than 40 degrees F.
TS-7.4.3.2 Spreading Spreading of the mixture shall be in accordance with Sections "
TS-7.3.4.4 except that automatic screed control shall not be used on the i
surface source unless directed by the Engineer.
TS-7.5 Tack Coat:A Tack Coat will be required over all existing pavement to be
overlaid and between each lift of the new asphaltic concrete pavement
unless the preceding lift has been protected from all dirt and traffic since
' its placement.
Tack Coat will be placed after cleaning and preparing of the surface is
complete. Application rate will generally be 0.10 to 0.15 gallon per square
! yard as directed by the Engineer. Tack Coat material shall be RC-70,SS-
1, or SS-111 unless otherwise approved by the Engineer.
J There will be no direct payment for tack coat. This work will be
considered subsidiary to the asphaltic concrete pavement or base.
TS-7.6 Measurement and Payment: Measurement will be made for the various
type of pavement as per the itemized bid form.
Where the existing pavement is being overlaid, payment will be for Base
Leveling Course per ton and for Surface Course per square yard as
shown on plans.
Where all new pavement is to be constructed,payment will be made per
square yard of full-depth base and surface course per typical section.

Payment will include all costs of cleaning existing pavement or previously
laid lifts and all costs of tack coat.

Sho-Me Coach Lines, Inc., is currently leasing a 1996, 20 passenger Ford bus from the City
a monthly fee of$300.00. This agreement expires on October 14, 1999. The Sho-Me
ach owner, Dale Adkinson has informed me that he is not interested in purchasing this
bus at the time the lease expires.
Sho-Me's certificate of insurance covering this bus expired on March 4, 1999. Attached is a
new certificate of insurance.

BUS LEASE AGREEMENT
THIS LEASE AGREEMENT,executed this-"day of UiWbcr, 1el6by and between the City �
of Jefferson,Missouri, a municipal corporation, hereinafter referred to as"City,"and Sho-Me Coach
Lines,Inc.,hereinafter referred to as"Company."
" WITNESSETH:
WHEREAS,the City has entered into a Rural Transit Assistance Agreement with the Company;and n.
WHEREAS,the City owns a 1996 Ford(20 passenger)lift equipped bus,VIN: 1FDLE40G1THI345598
(340 miles),hereinafter referred to as"Equipment";and
WHEREAS,the Company desires to lease the Equipment and the City is willing to enter into a lease
agreement with the Company.
NOW THEREFORE,in consideration of the mutual covenants,promises,and representations herein,
the parties hereto agree as follows:
1. PurRose,
The City agrees to lease to the Company and the Company agrees to accept the lease for use on
the intercity bus route between Columbia,Missouri and Springfield,Missouri per the City's
agreement with the Company dated February 5, 1996.
2. Term.
The term of this lease shall commence on October 15,1996,and be from October 15, 1996 to
October 14, 1999.
3. Amendments.
i
Any change in the agreement, whether by modification and/or supplementation, must be
accomplished by a formal amendment signed and approved by the duly authorized
representatives of the Company and the City.
4. Rent.
As rent for the Equipment,the Company shall pay the City at 320 East McCarty,Jefferson
City,successive installments of Three Hundred Dollars($300.00)each,beginning October 15,
1996,payable in monthly installments to be promptly paid on the 15th day of each succeeding
month until the amount of Eight Thousand Six Hundred Eighty-One Dollars and Forty Cents
I ($8,681.40)is paid. Any past due payment of rent shall bear interest at the rate of eight percent
(8%)per annum.
6. Use.
1 The Company shall use the Equipment in a careful and proper manner and shall comply with

way relating to the possession,use or maintenance of the Equipment. If at any time during the
term hereof the City supplies the Company with labels,plates or other markings,stating that
w. the Equipment is owned by the City, the Company shall affix and keep the same upon it
prominent place on the Equipment.
G. Inspection by the Company,
The Company shall inspect the Equipment within seventy-two(72)hours after receipt thereof. fi
Unless the Company within said period of time gives written notice to the City specifying any
idefect in or other proper objection to the Equipment, the Company agrees that it shall be
conclusively presumed, as between the City and the Company, that the Company has fully
inspected and acknowledged that the Equipment is in good condition and repair,and that the
Company is satisfied with and has accepted the Equipment in such good condition and repair.

7. Inspection by the City.
i
The City shall at any and all times during business hours have the right to enter into and upon
the premises where the Equipment may be located for the purpose of inspecting the same or
observing its use. The Company shall give the City immediate notice of any attachment or
other judicial process affecting any item of Equipment and shall,whenever requested by the

City,advise the City of the exact location of the Equipment.
8. Alterations,
The Company is hereby given the right to make alterations,additions or improvements to the
Equipment,so long as the value of the Equipment is sot reduced thereby. All additions and
improvements of whatsoever kind or nature made to the Equipment shall immediately become
the property of the City and subject to the terms of thin lease.
9. Repairs.
At its own cost and expense,the Company shall service,repair and maintain the Equipment so
as to keep the Equipment in as good condition,repair,appearance and working order as when
delivered by the City hereunder,ordinary wear and tear excepted. At its own cost and expense,
the Company shall replace any and all parts and devices which may from time to time become
worn out,lost,stolen,destroyed,damaged beyond repair or rendered unfit for use for any reason
whatsoever. All such replacement parts,mechanisms and devices shall be free and clear of all
liens,encumbrances and rights of others,and shall become the property of the City and shall
be covered by this agreement to the same extend as the Equipment originally covered by this
agreement.
10. Loss and Damage,
i
The City shall not be liable or responsible to the Company for any loss,damage,liability or
expense of any kind caused by or related to the Equipment,or resulting from any defect in or
deficiency of the Equipment,or resulting from the use or operation of the Equipment.
In the event of loss or damage of any kind whatever to the Equipment,or any part thereof,the
Company at the option of City shall within thirty(30)days of such event:
(a) Place the same in good repair,condition and working order;or

(b) Replace the same with like property in good repair, condition and working
order;which property shall thereupon become subject to this lease;
(c) Pay the City therefor in cash the "Stipulated Loss Value" of the Equipment
during the successive years of the lease term,as follows:
1st year $37,000 2nd year $32,000 3rd year $27,000 (
The Stipulated Loss Value of each item of Equipment shall be that portion of the total
Stipulated Loss Value which equals the percentage which the cost of that item bears to the total
cost of the Equipment. Upon such payment, this lease shall terminate with respect to the
Equipment or part thereof so paid for and the Company thereupon shall become entitled

thereto.
11. Termination.
Upon the expiration or earlier termination of this lease,with respect to the Equipment or any
part thereof,the Company shall(unless the Company has paid the City in cash the"Stipulated
Loss Value"of the Equipment or any part thereof pursuant to Paragraph 10 hereof)return the
same to the City in good repair,condition and working order,ordinary wear and tesar resulting
from proper use thereof alone excepted,in the following manner as may be specified by the City:
(a) By delivering the Equipment at the Company's cost and expense to such place
as the City shall specify within the county in which the same was delivered to
the Company or to which same was moved with the written consent of the City;
or
(b) By loading the Equipment at the Company's cost and expense on board such
carrier as the City shall specify and shipping the same,freight collect,to the
destination designated by the City.
12. Insurance.
At its own cost and expense,the Company shall cause casualt y
insurance to be carried and
maintained on all Property and shall carry public liability and property damage insurance,with

all such coverage to be in such amounts,against such risks,in such form and with such insurers
as the City may specify from time to time. All insurance policies shall name both the City and
the Company as insured. Insurance proceeds from casualty losses to the extent of the then
current option price of the respective Property shall be payable solely to the City. The Company j
shall deliver to the City the policies of evidence of insurance satisfactory to the City Counselor,
together with receipt for the initial premiums before the Property is delivered to the City. }
Renewal policies,together with receipts showing the payment of the applicable premiums,shall I .
be delivered to the City at least thirty (30) days before termination of the policies being
renewed. By endorsement upon the policy or by an independent instrument furnished to the
City,each insurer shall agree that it will give the City at least thirty(30)days written notice
prior to cancellation or alteration of the policy. The Company shall also carry workmen's
compensation insurance covering all its employees working on,in or about the Property and
shall require any other person,corporation,partnership or other entity working on,in or about
j the Property to carry such coverage,and will furnish to the City certificates evidencing such
coverage throughout the term of this agreement. The Company shall be responsible for

providing a minimum of$7,000,000 liability insurance. The Company shall also provide a
minimum of$40,007 collision insurance.
13. Taxes,
The Company shall pay and discharge all license fees,assessments and sales,use,property and i
I other tax or taxes now or hereafter imposed by any state,federal or local government upon the
Equipment ownership,leasing,renting,sale,possession or use of the Equipment whether the
same be assessed to the City or the Company, together with any penalties or interest in
a connection therewith,excepting federal,state or local government taxes,or payments in lieu
thereof,imposed upon or measured by income of the City. I£any tax is,by law,to be assessed r
or billed to the City,the Company at its own expense will do any and all things required to be
done by the City in connection with the levy,assessment,billing or payment of such taxes and
is hereby authorized by the City to act for and on behalf of the City in any and all such respects;
I the Company will cause all billings of such taxes to the City to be made to it in care of the
Company and will from time to time, on request of the City,submit written evidence of the
payment of all of the governmental obligations mentioned in this paragraph. The Company will,
on any property tax returns required to be filed by it,include the property covered by this lease
or any substitutions or additions thereto as property owned by the Company for purposes of tax
assessments. It is expressly agreed that the Company will not,without obtaining prior written
permission of the City, assert on its behalf, or on behalf of the City, any immunity from
taxation.
14. Permits.
The Company shall provide all permits and licenses necessary for the installation,operation and
use of the Equipment. The Company shall comply with all laws, rules, regulations and
ordinances applicable to the installation, use,possession and operation of the Equipment. If
compliance with any law, rule, regulation, ordinance, permit or license requires changes or
additions to be made to the Equipment, such changes or additions shall be made by the
Company at its own expense.
16. The Comuanv's Failure to Pay Taxes Insurance etc.I '
Should the Company fail to make any payment or do any act as herein provided,then the City
shall have the right,but not the obligation,without notice to or demand upon the Company,and
without releasing the Company from any obligation hereunder,to make or do the same,and to
pay,purchase,contest or compromise any encumbrance,charge or lien which in the judgment
of the City appears to affect the Equipment, and in exercising any such rights, incur any
liability and expend whatever amounts in its absolute discretion it may deem necessary. All
sums so incurred or expended by the City shall be without demand immediately due and
payable by the Company and shall bear interest at the rate of nine percent(9%)

In addition to the City's rights set out herein,the City may terminate the contract as set out in
paragraph 20.
10. Indemnificntion
The Company hereby assumes liability for and agrees to indemnify, protect, save and keep
harmless the City from and against any and all liability,obligations,losses,damages,penalties,
claims,actions,costs and expenses(including attorneys'fees)of whatsoever kind and nature
imposed on,incurred by or asserted against the City which in any way related to or arise out

hi delivery,lease,possession,use,operation,condition,sale or other disposition of

the Property. Without limiting the generality of the preceding sentence,the Company expressly
and unequivocally agrees to indemnify the City against and hold the City harmless from any
and all claims,actions,suits,proceedings,costs,expenses,damages and liabilities,including
attorneys' fees, arising out of or relating to any negligent acts of the City, or any claim of
negligent arts of the City,or arising out of or related to any strict liability in tort,or any claim
o£strict liability in tort,imposed upon.the City for placing the Equipment on the market having
any defect,or claimed to have any defect,it being agreed that the Company shall inspect the
Equipment and remedy any defect whatsoever. The Company expressly and unequivocally
agrees to be held responsible for any and all negligent acts of the City in failing to discover and
remedy any and all defects and for the strict liability in tort imposed upon the City for placing
the Equipment on the market in a defective condition.

17. Warranties,
The Company acknowledges that the Equipment is of a size,design,capacity,and manufacture
designed by the company. The City is not a

of the Equipment or a dealer in
similar equipment,does not inspect the Equipment prior to delivery to the Company and has
not made and does not make any representation,warranty, or covenant,with respect to the
condition,quality,durability,suitability or merchantability of the Equipment in any respect,
or any other representation,warranty or covenant,express or implied. The City will,however,
take any steps reasonably within its power to make available to the Company any
manufacturer's or similar warranty applicable to the Equipment. The City shall not be liable
to the Company for any liability,loss or damage caused or alleged to be caused directly or
indirectly by the Equipment by any inadequacy thereof or deficiency or defect therein or by any
incident whatsoever in connection therewith.
18. Option to Purchase.
Subject to the concurrence of the City and the Missouri Department of Transportation, the
Company shall have the option to purchase the Property at the end of the initial term or any
renewal term for a purchase price equal to the Stipulated Value of the Property as of the end
of such term plus the interest accrued on the Principal Balance, if any,since the last rental
payment due date. The purchase option is exercisable by written notice to the City not less than
I thirty (30) days prior to the end of the current term and is subject to the standards and
procedures for the disposition of surplus property set forth in Code of the City of Jefferson and
the Missouri Department of Transportation.
19. Notices.
Any communications between the City and the Company,payments and notices provided herein
to the given or made, may be given or made by mailing the same to the City at 320 East
McCarty, Jefferson City, Missouri 65101 and to the Company at P.O. Box 773, Columbia,
Missouri 65205,or to such other addresses as either party may in writing hereafter indicate.
20. Cancellation.
The City may cancel the contract at any time for a breach of any contractual obligations,
including failure to pay any tax or other obligation when due,by providing the Company with
a written notice of such cancellation. Should the City exercise its right to cancel the contract (.

for such reasons,cancellation will become effective five(5)days from the date of the notice of
cancellation sent to the Company.
21, Disputes.
Any dispute of facts regarding the Company's carrying out of the project,or the City's financial
participation,which might arise as a result of this agreement,shall be decided by the City.
22. ]Nondiscrimination Assurance.

With regard to work under this agreement,the Company agrees as follows:
A, ivil Rightshts Statutes
The Company shall comply with all state and federal statutes relating to
nondiscrimination,including but not limited to Title VI and Title VII of the Civil Rights
Act of 19G4,as amended(42 U.S.C.2000 d,e).
B. State Nondiscrimination Claus
jThe Company shall comply with the provisions of Executive Order No. 82-27. This
order prohibits discriminatory employment practices by the Company or its
subcontractors based on race, color, religion, creed, national origin, ancestry, sex or
veteran or handicap status.
C. Administrative Rules.
qty The Company shall comply with the administrative rules of the U.S.Department of
Transportation relative to nondiscrimination in federally-assisted programs of the U.S.
Department of Transportation (49 C.F.R. Subtitle A, Part 21) which are herein
incorporated by reference and made a part of this contract. t'
D. Nondiscrimination.
The Company shall not discriminate on grounds of race, color, religion, creed, sex,
national origin, or ancestry of any individual in the selection and retention of
subcontractors, including procurement of materials and leases of equipment. The
Company shall not participate either directly or indirectly in the discrimination
prohibited by 49 C.F.R. Subtitle A, Part 21, Section 21.5 including employment

practces.

These assurances concerning nondiscrimination also apply to subcontractors and
{ suppliers of the Company. In all solicitations either by competitive bidding or
negotiation made by the Company for work to be performed under a subcontract

supplier shall be notified by the Company of the requirements of this agreement relative
to nondiscrimination on grounds of the race,color,religion,creed,sex,national origin
or ancestry of any individual.

F. Information and Reports.
The Company shall provide all information and reports required by the contract, or
orders and instructions issued pursuant thereto,and will permit access to its books,
records,accounts,other sources of information,and its facilities as may be determined
by the City or the U.S. Department of Transportation, to be pertinent to ascertain
compliance with other contracts, orders and instructions. Where any information
required of the Company is in the exclusive possession of another who fails or refuses
to furnish this information,the Company shall so certify to the City or the Highway and
Transportation Commission(hereinafter"Commission")as appropriate and shall set
forth what efforts it has made to obtain the information. "
G. Sanctions for Noncompliance.
i In the event the Company fails to comply with the nondiscrimination provisions of this
contract, the City shall impose such contract sanctions as it or the Commission may
determine to be appropriate,including but not limited to: (1)withholding of payments
to the Company under the contract until the Company complies,and/or(2)cancellation,
termination or suspension of the contract,in whole or in part.
iH. Incorporation of Provisions.
The Company shall include the provisions of paragraph 22 of this agreement in every
subcontract, including procurement of materials and leases of equipment, unless
exempted by the statutes,executive order,administrative rules,or instructions issued
by the City or the Commission pursuant thereto. The Company will take such action
with respect to any subcontract or procurement as the City or the Commission may
direct as means of enforcing such provisions,including sanctions for noncompliance;
provided,however,that,in the event the Company becomes involved in,or is threatened
with, litigation with a subcontractor or supplier as a result of such direction, the
Company may request the City to intervene in such litigation to protect the interests
of the City,and in addition,the Company may request the Commission to enter into
such litigation to protect the interests of the Commission. 1
23. Section 504 Assurances and the Americans with Disabilities Act of 1990.
The Company shall comply with all the requirements imposed by the U.S. Department of
Transportation regulations implementing the Rehabilitation Act of 1973,as amended,and the
Americans with Disabilities Act of 1990(and any subsequent amendments thereto)set forth in
49 C.F.R. Parts 27, 37, and 38, as well as all applicable regulations and directives issued
pursuant thereto by other federal departments or agencies.
24. Compliance with Federal and State Regulations.
The parties agree to comply with all applicable regulations,including those of the United States
Department of Transportation, and the Federal Transit Administration, and the Missouri
1 Transportation Department,and covenants in any grant and loan agreement. If any such law,
regulation or covenant is inconsistent with the terms of this agreement,that provision shall
supersede and be incorporated by reference.

shall comply with all local,state,and federal laws and regulations relating to the performance
of the agreement.
29. City Representative.
The City's Director of Public Works is designated as the City's representative for the purpose
of administering the provisions of this agreement.

I have received the revised Bus Lease and will forward it to Mr. Neal Bisges for
execution.
Once the City executes the agreements Public Works'will need a copy.
