Jo� 83 AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A MEMORANDUM OF UNDERSTANDING WITH GTLR DEVELOPMENT CORPORATION AND BIG BEN LLC FOR THE DEVELOPMENT AND ANNEXATION OF COVINGTON GARDENS SUBDIVISION. The Mayor and City Clerk are hereby authorized to enter into an i memorandum of understanding with GTLR Development Corporation and Big Ben LLC for the development an annexation of Covington Gardens Subdivision. I Section 2. The memorandum of understanding shall be substantially the same in form and content as that document attached hereto as Exhibit A. Section 3. This Ordinance shall be in full force and effect from and after the date of its passage and approval. BETWEEN CITY OF JEFFERSON AND GTLR DEVELOPMENT CORPORATION AND BIG BEN LLC WHEREAS,the City of Jefferson,Missouri,a municipal corporation,hereinafter designated"City,"entered into a Memorandum of Understanding with GTLR Development Corporation and Big Ben LLC,hereinafter referred to as "Developer,"on h'ebruary 17, 1997. WHEREAS,the Memorandum was for development of the project known as Covington Gardens Subdivision;and WHEREAS,both parties wish to amend the Memorandum by adding language establishing a credit for construction of a force main. . t NOW,THEREFORE,be it agreed as follows: A. Paragraph IA.of the Memorandum of February 17, 1997,is hereby amended to read as follows: i 4. Contribution, i Developer shall pay to the City the sum of One Hundred Thousand Dollars($100,000)as q. contribution for improvements by the City in order to provide services to Developers property. i Fifty Thousand Dollars($50,000)shall be paid to the City prior to the letting of any contract 1 for work related to the development and the remaining Fifty Thousand Dollars($50,000)shall be paid to the City upon completion of the initial wastewater improvement work to be } performed by the City. As an offset to the above described contribution,Developer shall 1 env' install approximately thirteen hundred feet (1,300') of force main along London Way. Developer shall document the cost for installation of the force main based upon Eighteen Dollars and Ninety-Five Cents($18.95)per linear foot.for pipe installed and Fifty-Five Dollars ($55.00)per cubic yard for trench rock removed. Total estimated credit for installation of the force main is Thirty Thousand Nine Hundred and Five Dollars($30,905). B. All other sections of the Memorandum of February 17, 1997,shall remain in effect as stated. IN TESTIMONY WHEREOF,the parties have hereunto set their hands and seals this a —day of October,1997. ATTEST: BIG BEN,LLC hyllis .Powell, City Clerk Robert M_ Manager PPROVED AS TO FO M: B.Allen rner, ity Counse or if (.l y r , alL r� MEMORANDUM OF UNDERSTANDING B'ET9 EEN CITY OF JEFFERSON AND GTLR DEVELOPMENT CORPORATION AND BIG BEN LLC COMES NOW the City of Jefferson, by and through its Mayor,hereinafter referred to as"City,"and GTLR Development Corporation and Big Ben LLC, hereinafter referred to as "Developer," and enter into the following agreement: WITNESSETH: WHEREAS, the City and Developer have entered into a advance their mutual interest;and series of meeting and negotiations in order to 4 WHEREAS, it is in the best interest of the City to advance the orderly development of property in and around the city;and WHEREAS,it is in Developer's best interest that his development be incorporated into the City provided certain financial and development concerns are addressed. NOW,THEREFORE,the parties enter into this agreement. I. DEVELOPER OBLIGATIONS 1. Voluntary Annexation. Developer shall file with the City on or before February 10, 1997,a petition for voluntary annexation of the entire tract of land as set out in Exhibit A. 2. County Plat Review Process Developer shall request the Cole County plat review process be placed on hold pending the outcome of voluntary annexation petition and other items contained in this agreement. At any time this agreement ceases to be applicable due to the inability of either party to perform its terms,the County plat process may be pursued by Developer. 3. Zoning. Developer shall file on or before February 10, 1997, a request in conjunction with its voluntary annexation petition to have the entire tract set out in Exhibit A rezoned from RS-1 to RS-3. 4• gontributinn. Developer shall pay to the City the sum of One Hundred Thousand Dollars($100,000)as contribution for improvements by the City in order to provide services to Developer's property. Fifty Thousand Dollars($50,000)shall be paid to the City prior to the letting of any contract for work related to the f development and the remaining Fifty Thousand Dollars ($50,000)shall be paid to the City upon completion of the initial wastewater improvement work to be performed by the City. j 5• C mnliance with City Regulations. Access to Cotmty Pnli, r Developer shall provide in its layout plans of the development for acce83 by residents in the ! development to the County Park which is adjacent to Developer's property. The access shall be provided through the dedication of a public easement fifty(50)feet wide. 7. Wnstewater Collection System. In order for the City to meet the deadline outlined in"II. City's Obligations,Paragraph 3"Developer will: TASK DEADLINE Provide Development Plan identifying: a)which lots will be as soon as possible developed in what time frames;and b)location of gravity sewers. Provide location of future gravity lines that will tie into Station March 1,1997 A—to accommodate placement of stubs into wet well. Provide detailed plan and profile drawings for London Way. March 1,1997 Provide locations of utilities along London Way. These March 1,1997 locations should be attested by utility companies, i. Provide final sewer plan and profile drawings for gravity lines March 20, 1997 needed in the first phase of the project. �^ Provide reasonable access by an all weather road map to Pump June 1, 1997 J Station A. Complete London Way road work so to accommodate force main June 1, 1997 construction. Arrange three phase power to Pump Station A sized for power July 15, 1997 service for future Pump Stations B and C. Developer will be responsible for providing sanitary sewer easements to serve the outlying properties as shown on Exhibit B. Gravity sewer in Covington Gardens shall be designed and constructed at the Developer's expense. The gravity sewer through Section 1 serving IKON needs to be constructed by August 1, 1997. Developer's responsibility is to the property line only. �r 8. Sidewalks, Developer shall provide for sidewalks on both sides of all streets throughout the development. H. CITY'S OBLIGATIONS i 1. Annexation. �. Wastewater Main Extensions, City shall design and build the necessary(lift)pump stations(maximum of three(3))and force main (including any outfall gravity line necessary)to bring the development wastewater to the City's existing wastewater collection system, 111110 City cony pay for additional collection system gravity lines to eliminate a pump station, if possible. Street Design Variance, City staff shall consider and recommend a variance to street design for speed limitations as previously approved by Cole County in their review process. While recognizing that annexation of the property described in Exhibit A is being done on it voluntary basis,which does not require n formal plan of intent,City stnff shall develop n reduced scope plan of intent recognizing RS-3 its an appropriate zoning category for the tract,providing for the extension of wastewater mains to the area and addressing other approprinte areas to assist the Planning and Zoning Commission and the City Council in contemplating a:,d approving the development. 7• Streetlights, City agrees that street lights shall be installed within the development according to existing City i l policies. i 8. Grading Permits, The City's requirements for grading permits apply to property which is being altered without the benefit of an approved stormwater or street grading plan. The City represents to Developer that as long as Developer's grading is clone pursuant to no approved plat, complete with stormwater improvements and street plans,that no additional grading permits will be required by the City. No representation is being made regarding any requirements by the State of Missouri or its Department of Natural Resources for grading which affects five(5)acres or greater. GENERAL PROVISIONS 1 Electric Utility Service City recognizes that Developer is engaged in negotiations with two utility providers seeking to obtain utility service on the most favorable terms. Should Developer request an extension on any time set out in the attached timetable or request any delays,these shall be granted if legally permissible,but not to exceed more than ninety(90)days. Developer shall arrange for or cooperate in the arrangements � isions for supplying power to two other possible pump for power to the initial pump station with prov stations. 2• Inability,to Perform. In the event that either party is unable to proceed in completing the entire agreement as set out herein, this agreement shall cease to operate in its entirety with the exception that Developer shall be required to pay to the City the sum asset out in Section I,Paragraph d for wastewater service and the City shall s as set out in Section II,Paragraph still be obligated to design and build wastewater main extension 3. In the event that either party is unable to perform,then Developer shall be permitted to withdraw his request for annexation up until the time it is adopted by the Council and approved by the Mayor. 3. Timetable. Attached as Exhibit C is the suggested and anticipated timetable for various actions as contemplated by this agreement. Both parties recognize that the introduction and passage of ordinances is a matter of legislative prerogative and is not controllable by any agreement. The parties also recognize that whether or not the Mayor will choose to approve of such ordinances or exercise his Mayoral powers is j F"may solely within his discretion.
