ORDINANCE NO.
AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AMENDMENT TO THE AGREEMENT
WITH BLACK AND VEATCH FOR PHASE III WASTEWATER TREATMENT PLANT
IMPROVEMENTS. s
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized and directed to execute
" an amendment to the agreement with Black and Veatch for Phase III Wastewater Plant
Improvements,
Section 2. The amendment shall be substantially the same in form and content
as that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect from and after the date of
its passage and approval.

AMENDMENT NO. 1
TO
CONTRACT FOR PROFESSIONAL SERVICES .
THIS AMENDMENT NO. 1 amends the Contract for Professional
Services (Agreement) between the City of Jefferson City, Missouri
(City) and Black & Veatch (Consultant) dated July 25, 1996.
WHEREAS, the Agreement authorized the Consultant to provide
engineering services for wastewater treatment plant improvements
(the Project) as outlined in Attachment A to the original
Agreement; and
WHEREAS, the City now wishes to authorize the Consultant to
provide Phase III - Solids Facilities Improvements, Detailed
Design, Bidding, and Construction Services;
NOW THEREFORE, the terms and conditions of the Agreement are
modified as specifically set out below. All parts of the
Agreement not specifically amended by this Amendment No. 1 remain
unchanged and in full force.
MODIFICATIONS
Article 2 of the Agreement is amended by adding the following
Section 2.1:

2.1. Consultant shall perform Phase III - Solids Processing
Improvements, Detailed Design, Bidding, and Construction
Services as set forth in Attachment A, Pages Al-1
through Al-13, inclusive.
Attachment B of the Agreement is amended by adding the following
Sections 7.1 and 7.2: ti
7.1. In Article A, Item 2, City agrees to pay Consultant for
Phase III - Solids Processing Improvement in accordance
with Attachment B to the Agreement. The maximum billed
for Phase III services shall not exceed Six Hundred,
Seventy-Eight Thousand and No Cents ($678,000.00),
without further authorization by the City.

7.2. In Article E, billing rates for Phase III services shall
be as indicated on the Engineering Services Billing Rate f
Schedule listed herein.

AMENDMENT NO. 1
PHASE III - SOLIDS PROCESSING IMPROVEMENTS
DETAILED DESIGN, BIDDING, AND CONSTRUCTION SERVICES
Phase III services include those required to provide detailed
design, bidding, and construction services for improvements to
the solids processing system at the Water Pollution Control Plant
(WPCP) . Services are provided based upon the following
improvements as outlined in the Design Memorandum dated
January 22, 1997:
• Addition of one Concrete gravity thickener for thickening of
primary and secondary sludge from existing clarifiers and
Pumping systems. Thickened sludge pumps located in the
basement of the Dewatering Building will pump thickened
sludge to the new sludge storage tanks.
Addition of two concrete sludge storage tanks, complete with
mixers and activated carbon odor control units.
• Conversion of the existing Administration Building
Incinerator Room to a Dewatering Building. Existing sludge
dewatering and incineration equipment will be removed.
Structural modifications include construction of two
suspended concrete slabs and a new enclosed stair tower.
New equipment to be added includes two belt filter presses,
a polymer preparation system, a post-dewatering lime
i stabilization system, heating and ventilating equipment,
power supply to new equipment, and electrical lighting.
Odor control equipment will include a wet chemical scrubbing
system for treatment of odors from the belt filter press
room and a ferrous chloride feed system for pretreating
sulfides in the sludge prior to dewatering. Sodium
hypochlorie and sodium hydroxide feed systems will supply
chemicals to the scrubber.
• Replacement of the existing influent bar screen with a finer
screen similar to Parkson's "Aqua Guard". The screen
installation is expected to include a heated enclosure.
• Addition of a new

The following tasks are anticipated for completion of this
project.
DESIGN SERVICES
A. Preliminary and General Items
1. Meet with City to clarify understanding of scope and
parameters of the project.
2. Meet with City's building code officials to discuss code
interpretation issues involving the proposed
construction.
3. Communicate with state agency to advise them on design
objectives, obtain concurrence on performance
requirements, and determine requirements for State
Revolving Fund kSRF) contract requirements.
4. Attend progress meetings throughout the project design.
A total of four progress meetings are anticipated.
B. Field Surveys
1. Provide, through a subcontract, the necessary field
design surveys for the preparation of construction
drawings and specifications. Surveys will determine
site topography, contours, and insofar as possible,
utility locations for the entire plant site.
C. Geotechnical Services
1. Provide, through a subcontract, geotechnical engineering
services to conduct exploratory work, laboratory and
field testing, and professional guidance in tests to be I
made at test locations based on preliminary drawings and
c;. designs.
it 2. Provide, through a subcontract, draft and final reports
summarizing the findings of the exploratory work and
testing. The first draft shall include recommendations
based on preliminary drawings. The second draft shall
be based on more refined structural layout, estimate of
loads, and bearing levels. The final report shall
incorporate all Owner and Consultant comments, and will
be furnished to prospective bidders.
D. Update Design Memorandum
1. Update the Design Memorandum dated January 22, 1997
based on comments from the City in initial meetings,
input from City code officials or the state agency, and
input from field surveys or preliminary geotechnical
r information. Submit five copies to City for review,

2. Submit the design memorandum to the state regulatory
agency and/or USEPA as required. Attend one meeting in
Jefferson City to discuss the design memorandum with
regulatory agency officials.
3. Update and distribute the design memorandum periodically
as required during the design phase.
E. Construction Contract Documents
1. Prepare detailed drawings and specifications and other
contract documents for the proposed construction work
and for the materials and equipment required. The ,
documents shall be prepared for selection of private
construction contractors on a competitive bid basis.
One contract will be prepared for performance of all
construction work, including equipment procurement.
2. Prepare an opinion of probable construction cost for the
proposed work covered by the contract documents.
3. Review the contract documents for completeness,
bidability, and constructability.
4. Provide three sets of contract documents to Owner for
review at 50 percent, and 90 percent project completion
and after the contract documents are completed to the
point where the final formal review processes by City
-� and agencies can begin.
.. J 5. Following City's review of the completed contract
documents meet with City to discuss them and to resolve
any questions.
6. After the conference with City, make any necessary
modifications and submit three sets of revised contract
documents to state agency for review, and two sets to ; .
City for the record.

j 7. Attend one meeting in Jefferson City to discuss the
documents with regulatory agency officials.
B. After receipt of agency review comments and City's
i comments on final documents, revise if necessary and
j resubmit, if necessary, three sets to state agency and
two sets to City.
9. Upon completion of the review of the contract documents,
review the opinion of probable construction cost and
revise and expand as required.
10. Attend one public hearing in Jefferson City to assist
City in presenting the project to the public, to answer
questions, and to advise City as necessary.

F. Permits Acquisition
1. Provide in the specifications a list of the permits
which must be obtained by the construction
contractor(s) . It is understood the construction
contractors must obtain the following permits for this

City Building Permit
2. Provide assistance to City in securing a State Revolving
Fund loan for the project. Assistance will include:
1 a. Preparation of applications, exhibits, drawings and
Jspecifications as necessary for City's execution
and submittal.
b. Furnishing additional information about the project
design as required by the Department of Natural
Resources. )
G. Preaward Services
1. Coordinate bid letting date, time, and place with City
and prepare final Invitation to Bid.
2. Assist and advise City in placing the advertisements of f .
the Invitation to Bid.
i 3. Identify potential contractors and suppliers, and
distribute copies of Invitation to Bid. Maintain a
record of prospective bidders and suppliers to whom
contract documents have been issued.
4.. Provide a sufficient number of sets of construction

documents for bidding purposes, and distribute the
contract documents to prospective bidders.
5. Distribute plan holders list to recipients of contract
documents prior to bid opening. � .

Process refunds to unsuccessful bidders. To reduce
reproduction and mailing expenses, Consultant shall
retain any portion of the deposit which is not
refundable.
7. Interpret construction contract documents. Prepare and
issue addenda to the construction contract documents
when required.

�.� 8. Conduct, at a date and time selected and a place
provided by City, a pre-bid conference to:
a. Instruct prospective bidders and suppliers as to
the types of information required by the contract
documents and the format in which bids should be
presented.
b. Review special project requirements and contract
documents in general.
C. Receive requests for interpretations which will be
issued by addendum. .
d. Prepare minutes of the conference and issue by
addendum.
9. Assist City during bid opening. Answer questions
arising from bid opening, make preliminary tabulation of
bids, and review questionnaires and bids for
completeness. Attendance at the bid opening is not
anticipated.
10. Review and evaluate the qualifications of the apparent
successful bidder and the proposed major or specialty
subcontractors. The review and evaluation will include
such factors as work previously completed, equipment
that is available for the work, financial resources,
technical experience, and responses from references.
11. Prepare and distribute formal bid tabulation sheets,
evaluate bids, and make written recommendations to City
concerning contract award.

12. Prepare and distribute conforming copies of the
construction contract documents. These services will
include review of contractor's bonds, furnishing the
Contractor unsigned construction contract documents, and
transmitting the construction contract documents to City
for signature and distribution.

13. Distribute 5 sets of the construction contract documents
to the successful bidder.

CONSTRUCTION PHASE SERVICES
A. Project Administration
Consultant will perform project administration services
during the construction phase of the project. By performing
these services, Consultant shall not have authority or
responsibility to supervise, direct, or control the
Contractor's work or the Contractor's means, methods,
techniques, sequences, or procedures of construction.
Consultant shall not have authority or responsibility for
safety precautions and programs incident to the Contractor's
work or for any failure of the Contractor to comply with
laws, regulations, rules, ordinances, codes, or orders
applicable to the Contractor furnishing and performing the
work.
A 365 day construction contract period (Contract Time) is
anticipated. If the Contractor exceeds the anticipated
Contract Time, Consultant shall be compensated for
additional construction phase services. Owner's cost will
be recovered from the Contractor through liquidated damages
or overall reduction in the construction contract price.
Specific services to be performed by Consultant are as
follows:
1. Review the Contractor's insurance certificates and
forward the certificates to City for acceptance by
City's legal. counsel. Consultant's review of the
insurance certificates is only for the purpose of
determining if the Contractor maintains the general
' types and amounts of insurance required by the contract
documents, and is not a legal review to determine if the
Contractor's insurance coverage complies with all
applicable requirements.
2. At a date and time selected by City and at a facility
provided by City, conduct a preconstruction conference.
i Consultant shall prepare an agenda for the conference,
( and prepare and distribute minutes. The preconstruction
conference shall include a discussion of the Con-
tractor's tentative schedules, procedures for
transmittal and review of the Contractor's submittals,
processing payment applications, critical work
sequencing, change orders, record documents, and the
Contractor's responsibilities for safety and first aid.
3. Provide, through a subcontract, photographs or video
tapes of the construction site prior to the start of the

Contractor and forward the wage rate information to
City.
13. Provide documentation and administer the processing of
change orders, including applications for extension of
construction time. Evaluate the cost and scheduling
aspects of all change orders and, where necessary,
negotiate with the Contractor to obtain a fair price for
the work. Said negotiation shall be subject to the
approval of City.

14. Act on claims of City and the Contractor relating to the
acceptability of the work or the interpretation of the
requirements of the construction contract documents.

maintenance data provided by the equipment suppliers
through the Contractor. Each set will be placed in

the Contractor.
19. Upon completion of the project, revise the construction
contract drawings to conform to the construction
records. Submit 3 copies of the prints.
20. Upon completion or correction of the items of work on
the punch-list, conduct a final inspection to determine
if the work is completed. Provide written
recommendations concerning final payment to City,
including a list of items, if any, to b,3 completed prior
to making such payment.
21. Apply for consent of surety to final payment.
22. Provide assistance to City in completing State Revolving
Fund loan forms for partial payment requests and for the
final payment request.
RESIDENT SERVICES DURING CONSTRUCTION
Consultant will furnish a part-time Resident Project
Representative as may be required on the work. The Resident
Project Representative will observe the Contractor's work and
perform the services listed below. The Resident Project
Representative shall not have responsibility for the superin-
`.J) tendence of construction site conditions, safety, safe practices
or unsafe practices or conditions, operation, equipment, or
personnel other than employees of the Consultant. This service
will in no way relieve the Contractor of complete supervision and
inspection of the work or the Contractor's obligation for
complete compliance with the drawings and specifications. The
Contractor shall have sole responsibility for safety and for
maintaining safe practices and avoiding unsafe practices or con-

ditions.
A total of 1,120 manhours months of resident services are i .
anticipated over a 365 day construction contract period. If the
Contractor exceeds the anticipated Contract time or Owner
requests additional resident services, Consultant shall be
compensated for additional services. Owner's costs due to
Contractor delays will be recovered from the Contractor through
liquidated damages or overall reduction in the construction
contract price.

A. Site Observations and Liaison with City and Contractors)
1. Conduct on-site observations of the general progress of
the work to assist Consultant in determining if the work
is proceeding in accordance with the construction
contract documents.
2. Serve as Consultant's liaison with the Contractor,
working principally through the Contractor's
superintendent, and assist Consultant in providing
interpretation of the construction contract documents.
Transmit Consultant's clarifications and interpretations
of the construction contract documents to the '
Contractor.
3. Assist Consultant in serving as City's liaison with the
Contractor when the Contractor's operations affect
City's on-site operation.
4. As requested by Consultant, assist in obtaining from
City additional details or information when required at
the jobsite for proper execution of the work.
5. Report to Consultant, giving opinions and suggestions
based on the Resident Project Representative's
observations regarding defects or deficiencies in the
Contractor's work and relating to compliance with
drawings, specifications, and design concepts.
6. Advise Consultant and the Contractor or its
superintendent immediately of the commencement of any
work requiring a shop drawing or sample submission if
the submission has not been accepted by Consultant.
7. Observe pertinent site conditions when the Contractor
maintains that differing physical conditions have been
encountered, and document actual site conditions.
Review and analysis of the Contractor's claims for
differing subsurface and physical conditions are
supplemental services.
8. Establish and furnish the Contractor with necessary
baselines and control points which will be used as datum
for the work. Actual construction staking will be done
by the Contractor.
9. Visually inspect materials, equipment, and supplies
delivered to the worksite. Reject materials, equipment,
and supplies which do not conform to the construction
contract documents.
i 10. Coordinate on-site materials testing services during
construction. Copies of testing results will be
forwarded to City for review and information.

piping, and review the resulting reports, commenting to
Consultant, as appropriate.
B. outside Liaison Services
1. Accompany visiting inspectors representing public or
other agencies having jurisdiction over the project.
Record the names of the inspectors, and the results of
the inspections, and report to Consultant.
C. Meetings, Reports, and Document Review and Maintenance
1. Attend the preconstruction conference, and assist
Consultant in explaining administrative procedures which
will be followed during construction.
2. Schedule and attend monthly progress meetings, and other
meetings with City and the Contractor when necessary, to
review and discuss construction procedures and progress
scheduling, engineering management procedures, and other
matters concerning the project.
3. Submit to Consultant, with a copy to City, monthly
construction progress reports containing a summary of
the Contractor's progress, general condition of the
work, problems, and resolutions or proposed resolutions .
to problems.
4. Review the progress schedule, schedule of shop drawings
submissions, and schedule of values prepared by the i
����✓✓✓ Contractor, and consult with Consultant concerning their
acceptability.
5. Report to Consultant regarding work which is known to be I ti
defective, or which fails any required inspections,
tests, or approvals, or has been damaged prior to final
payment; and advise Consultant whether the work should
be corrected or rejected, or should be uncovered for
observation, or requires special testing, inspection, or
approval.
6. Review applications for payment with the Contractor for
compliance with the established procedure for their
submission, and forward them with recommendations to
Consultant, noting particularly their relation to the
schedule of values, work completed, and materials and
equipment delivered at the site, but not incorporated
into the work.
7. Record date of receipt of shop drawings and samples.
Receive samples which are furnished at the site by the
Contractor, and notify Consultant of their availability
for examination.

8. During the course of the work, verify that specified
certificates, operation and maintenance manuals, and
other data required to be assembled and furnished by the
Contractor are applicable to the items actually
installed; and deliver this material to Consultant for
his review and forwarding to Owner prior to final
acceptance of the work.
9. Maintain a marked set of drawings and specifications at
the jobsite based on data provided by the Contractor.
This information will be combined with information from
the record documents maintained by the Contractor, and a
master set of documents conforming to construction
records will be produced.
10. Review certificates of inspections, tests, and related
approvals submitted by the Contractor as required by
laws, rules, regulations, ordinances, codes, orders, or
the Contract Documents (but only to verify that their
content complies with the requirements of, and the
results certified indicate compliance with, the
construction contract documents) . This service is
limited to a review of items submitted by the Contractor
and does not extend to a determination of whether the
Contractor has complied with all legal requirements.
11. Maintain the following documents at the jobsite. I
a. Correspondence files.
b. Reports of jobsite conferences, meetings, and
discussions among the Consultant, City, and
Contractor.
C. Submittals of shop drawings and samples.
d. Reproductions of original construction contract
documents. `.
e. Addenda.
f. Change orders. i
g. Field orders. I.
h. Additional drawings issued subsequent to execution
of the construction contract documents.
i. Progress reports.
j. Names, addresses, and telephone numbers of all
contractors, subcontractors, and major suppliers of
materials and equipment.

12. Maintain a daily diary or log book of events at the
jobsite, including the following information:
a. Days the Contractor worked on the jobsite.
b. Contractor and subcontractor personnel on jobsite.
C. Construction equipment on the jobsite.
d. Observed delays and causes. * .•
e. Weather conditions. �.
f. Data relative to claims for extras or deductions.
g. Daily activities.
h. Observations pertaining to the progress of the
work.
i. Materials received on jobsite.
The diary or log book shall remain the property of
Consultant.
D. Assistance in Certification of Substantial Completion
1. Before Consultant issues a Certificate of Substantial

Completion, submit to the Contractor a list of items
observed to require completion or correction.
2. Assist Consultant in conducting final inspection in the
company of City and the Contractor, and prepare a final
list of items to be completed or corrected.
3. Verify that all items on the final list have been
completed or corrected, and make recommendations to
Consultant concerning acceptance.
ADDITIONAL SUPPLEMENTAL SERVICES i
Any additional work that is not included in one of the items
listed in any other phase will be classified as supplemental
services. Supplemental services may include, but are not limited
to:
1. Prepare an operations manual for the sludge processing
improvements, including the belt filter presses, sludge
stabilization system, and odor control systems.
2. Provide on-site operations and maintenance training for
i the sludge processing improvements. A total of four (4)
days training on site is anticipated with two separate
trips.
