AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH EVERREADY
TOWING & RECOVERY, INC. FOR TOWING OF ABANDONED VEHICLES. "
WHEREAS, Everready Towing & Recovery, Inc. has become the apparent lowest and
best proposer for towing of abandoned vehicles;
NOW, THEREFORE, BE IT ENACTED BY THE COUNCIL OF THE CITY OF
JEFFERSON, MISSOURI, AS FOLLOWS:
Section 1. The proposal of Everready Towing&Recovery, Inc. is declared to be the
lowest and best proposal and is hereby accepted.
Section 2. The agreement shall be substantially the same in form and content as
that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect from and after the date of
its passage and approval.

WHEREAS,the City of Jefferson, Missouri, a municipal corporation,with offices at 320 East McCarty,
Jefferson City, Missouri, 65101, hereinafter designated "City," entered into a Contract with Everready
Towing&Recovery,Inc„a corporation of the State of Missouri,with offices at 629 Jefferson,Jefferson Cit
If Missouri,65101, hereinafter referred to as"Contractor,"on March 10, 1997;and y'
WHEREAS,the Contract was for towing and storage services of abandoned n
Of the City;and rotor vehicles from all areas
WHEREAS,the parties executed an amendment contract on February 23, 1998 for the 1
' "Year;and
WHEREAS,the parties wish to renew the Contract for a one(1)year period.
NOW,THEREFORE,be it agreed as follows:
r � 1• Paragraph 2 of the Contract dated March 10, 1997,is hereby amended to read as follows:
2• Contract Period.
This contract shall be in effect from March 1, 1999 through February 28, 2000. With the
consent of both parties, the contract may be extended for two(2) additional one (1)

i. THIS AGREEMENT made and entered this day of March, 1997, by and between the City of
Jefferson, Missouri,a municipal corporation, hereinafter referred to as"City,"and Everready Towing&
Recovery,Inc., hereinafter referred to as"Contractor,"
WITNESSETH:
WHEREAS, the City of Jefferson, Missouri, is desirous of obtaining towing and storage service of r
abandoned motor vehicles from all areas of the City;and
WHEREAS,Contractor is willing to enter into this Agreement with respect to his employment and services
upon the terms and conditions herein set forth.
NOW,THEREFORE,be it agreed as follows:
1. Scope of Services,
The Contractor agrees to perform the services as described on the attached Exhibit A.
2• Contract Period
This contract shall be in effect from March 1,1997 through February 28,1998. With the consent of both parties,
the contract may be extended for four(4)additional one(1)year periods.
3. Contract Amount
The amount.of the contract shall be One Dollar($1.00)per month for a total of Twelve Dollars($12.00)per year,
to be paid annually,in advance,to the City. No sums shall be paid by the City to Contractor under the terms
of this contract for towing performed under the auspices of this contract.
4. Insurance Taxes Utilities.

Contractor shall be solely liable for all insurance taxes,utilities and other costs associated with the towing and
storage of vehicles as provided by the terms of this contract.
5. Sale and Redemption of Abandoned Vehicles
Contractor shall be authorized to sell and redeem abandoned vehicles as provided by the statutes of the State
of Missouri and shall be solely responsible for any such sales and redemptions of such towed vehicles.
Contractor may charge owners of vehicles which come into his possession under the terms of this contract such
rates as Contractor then has in effect for towing and storage of vehicle. Contractor shall be permitted to keep
any salvage value of any abandoned vehicle and the proceeds from the auction or sale of such vehicles for towing
and storage as may be provided by the statutes of Clio State of Missouri.
G. Insurance.

occurrence,except for those cdninis governed by the provisions of the Missouri Workmen's
Compensation Low,Chapter 287,RSMo,and Contractor's Property Damage Insurance in an
amount not less than$1,000,000 for all claims nrising out,of a single accident or occurrence
and$100,000 for any one person in a single accident or occurrence.
C. Automobile Liability insurance in an amount not less than$1,000,000 for nil claims arising
out of a single accident or occurrence and$100,000 for any one person in a single accident or
occurrence.
D. Towine insurance-If above insurance does not include risk specifically associated with towing,
Contractor may be required to provide towing specific insurance.
C. Subcontracts - In case any or nil of this work is sublet, the Contractor shall require the
j Subcontractor to procure and maintain all insurance required in Subparagraphs(a),(b),and
(c)hereof and in like amount:.
P. The Certificates of Insurance furnished to the City showing proof of compliance with these
insurance requirements shall contain a provision that coverage under such policies shall not
be canceled or materially changed until at least fifteen days prior written notice has been given
to the City.
7• Prevailing Wage Law.
To the extent that the work performed by Contractor is subject to prevailing wage law,Contractor shall pay
a wage of no less than the"prevailing hourly rate of wages"for work of a similar character in this locality,as
established by Department of Labor and Industrial Relations of the State of Missouri,and as established by
the Federal Employment Standards of the Department of Labor. Contractor acknowledges that Contractor
knows the prevailing hourly rate of wages for this project because Contractor has obtained the prevailing hourly
y) rate of wages from the contents of Annual Wage Order No. 3 in which the rate of wages is set forth. The
Contractor further agrees that Contractor will keep an accurate record showing the names and occupations of
all workmen employed in connection with the work to be performed under the terms of this contract. The record
shall show the actual wages paid to the workmen in connection with the work to be performed under the terms
of this contract. A copy of the record shall be delivered to the Purchasing Agent each week. In accordance with
Section 290.260,RSMo,Contractor shall forfeit to the City'ren Dollars($10.00)for each workman employed,
for each calendar day or portion thereof that the workman is paid less than the stipulated rates for any work
done under this contract,by the Contractor or any subcontractor under the Contractor.
8. Subcontractors.
The Contractor further agrees that lie will not assign or sublet the work or any part thereof without prior
approval of the Police Department or the Purchasing Division except on special occasions when Contractor may
need assistance in moving a vehicle.
9. Indemnification.
Contractor agrees to indemnify and hold hnrarless the City for any and all damages,injuries,actions,costs,
attorney's fees and other expenses whatsoever arising out of the performance of said work whether the property
or persons damaged are the servants and employees of the Contractor or third parties in no manner connected
i with said work.

10. Indemnification for City Error,
The City agrees to indemnify and hold harmless the Contractor,its employees,agents,and assigns,from suits,
claims or actions of evory nature and description brought for or on account of or sustained by any person or
persons as a result of any act or acts of Lhe City,its employees,agents,or assigns in the performance of service
under terms of the contract.

SCOPE OF SERVICES
i
1. INTRODUCTION
A. Estimates indicate that 375 vehicles are abandoned in the City of Jefferson every year. It is the
intent of the City to contract for services to cover the removal of abandoned vehicles which are left i
on public streets and roads as well as on public and private property in the City. The above number j
! i
of vehicles is an estimate only,the actual number may be more or less.
B. The contractor selected shall pick up abandoned motor vehicles and any other tows as directed by
the City of Jefferson,Police Department from public right-of-ways and private property. The vehicles
will then be towed,or transported to their storage area.
I C. The contractor selected shall provide all necessary equipment and personnel to fulfill the
requirements of this contract. The contractor is to list his equipment on Attachment B.
D. Storage of Vehicles. Some motor vehicles,required to be towed under this contract shall be
stored in an inside facility. Example,all vehicles held for evidence purposes shall be stored inside.
In the event the number of'vehicles required to be stored exceeds the capacity of the building,
Contractor shall at his sole cost and expense provide alternative storage facilities to maintain inside
( storage of additional vehicles to the extent Contractor has available inside storage space owned or
controlled by Contractor. In the event the contractor's facility is full and the contractor does not have
additional inside storage, the City may at its option provide additional inside storage space. In
addition,all outside storage in the City limits must meet City code prior to the award of a contract.
E. The equipment must be operational and available to the City twenty-four(24)hours per day,seven
(7)days per week.
F. The contractor or his employee shall not dismantle or remove any parts or contents from any
vehicle. The contractor shall be responsible in his storage area for the vehicle and personal property.
G. Response Time. Successful contractor shall respond to a call for service under this contract
within thirty(30)minutes after receipt of call if an emergency and one(1)hour for non emergencies
as determined by the Police Department.
H. City of Jefferson Municipal Code Section 18-171. REMOVAL AND DISPOSITION OF
ABANDONED OR DISABLED VEHICLES.
(a) Any police officer may have any abandoned or disabled motor vehicle towed away and j
stored by any service station or garage licensed to do business in the City. If the vehicle is
unclaimed after a period of seventy-two (72)hours, the vehicle may be stored outside the i
corporate limits by the service station or garage; provided, that the storage areas are within
reasonable distance of the City and the vehicle is accessible for reclaim during normal business
hours.

�+ Contractor shall provide City in addition to monthly invoices,towing incident reports on all vehicles towed and
a report of all vehicles sold pursuant to paragraph 9. The report of vehicles sold shall be provided within ten
j (10)days of the date on which the vehicles were sold.
12. Failure to Perform
Should Contractor fail to provide services as set forth pursuant to this contract, or fail to meet any of the
contract provisions,this contract may be canceled at the sole option of the City upon giving five(5)days written
notice to Contractor.
13. -Cancellation, C
This contract shall be subject to cancellation by the City at any time following fifteen(15)days notice.
14. Notices.
All notices,consents,authorizations,requests and statements hereunder shall be deemed to have been properly
given if delivered by and or mailed by first class United States mail,postage prepaid,if to the City to the City
Clerk at 320 East McCarty,Jefferson City,Missouri,05101,and if to the Contractor to 629 Jefferson,Jefferson
City,Missouri,65101.

This Contract and every question arising hereunder shall be interpreted according to the laws and statutes of
the State of Missouri.

(b) The owner of any vehicle removed from any roadway in this City under the provisions of
subsection(a)of this section,or the holder of a security interest in the vehicle,whicL interest
is in default, may reclaim such vehicle from the service station or garage upon proof of
ownership or valid security interest which is in default and full payment of all charges for the
towing and storage of the vehicle.
(r,)Contractor shall be authorized to sell and redeem abandoned vehicles as provided by the
I statutes of the State of Missouri and shall be solely responsible for any such sales and

any motor vehicle sold under the provisions of subsection(c)of this section.

I. Annual Report. The successful contractor shall make an annual report(or within ten(10)days
of the date on which the vehicles were sold) of all sales of vehicles towed under this contract to
