AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE A CONTRACT WITH THE MISSOURI
HIGHWAY AND TRANSPORTATION DEPARTMENT FOR COMMUTER PARKING LOT
SHUTTLE BUS SERVICE.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,
AS FOLLOWS:
Section 1. The Mayor and Clerk are hereby authorized and
directed to execute a contract with the Missouri Highway and
Transportation Department for commuter parking lot shuttle bus
service.
Section 2. The contract shall be substantially the same in
form and content as that contract attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect
from and after the date of its passage and approval.

CONTRACT FOR SERVICES
This Agreement made and entered this � 3 � day of
, 1989, by and between the City of Jefferson,
issouri a municipal corporation, hereinafter referred to as
"City, " and The Missouri Highway and Transportation Commission of
the State of Missouri.
WHEREAS, The Missouri Highway and Transportation Commission
is building a companion structure to the Route 54 Missouri River
Bridge in Jefferson City. The construction will last three (3)
years and will at various times, cause some traffic disruption in
the Jefferson City area; and
WHEREAS, In order to mitigate the disruption and help reduce
traffic and the resulting congestion on the Missouri River Bridge
and its approaches during the construction period, the Missouri
Highway and Transportation Commission will construct a commuter
parking lot on the site of the former Bridge Drive-In Theater north
of the river; and
WHEREAS, A survey of state employees living north of the
Missouri River was conducted and indicates sufficient interest in
using the commuter parking lot if convenient shuttle bus service
is provided to the Capital Complex.
NOW, THEREFORE, Be it agreed as follows:
1. Scope of Services. The City of Jefferson shall provide
air conditioned shuttle bus service to the capital complex from the
commuter parking lot at the former Bridge Drive-In in the morning
with return services in the evening. Off peak service to the
parking lot shall be provided by Jefferson City Cab Company on
demand through an agreement with the City.
2. Funding. The Missouri Highway and Transportation
Commission shall reimburse the City based on a rate of $27 . 00 per
service hour, which includes direct, indirect and overhead cost.
The Missouri Highway and Transportation Commission shall pay eighty
(80%) percent of the per service hour cost ($21. 60/service hour) .
The loss incurred from the operation of the new bus service and cab
service shall be eligible for Section 18 funding and the Missouri
Highway and Transportation Commission shall increase the present
Section 18 funding cap to the City of Jefferson, Missouri, to allow
for funding the eligible loss on a fifty (50%) percent basis.
The Missouri Highway and Transportation Commission shall
provide one hundred (100%) percent funds for retro-fitting two (2)
1988 Wayne (school-type) forty-four (44) passenger buses with
transit bus seating and front and rear doors, with air
conditioning, not to exceed $11, 000. 00 per bus and provide an
additional $1500. 00 for two mobile radios to be placed into used
buses as further consideration for the City entering into this
contract.
3 . Schedule. The shuttle bus service will begin from the
lot at approximately 7: 15 a.m. each work day, Monday through

Friday. Initially two (2) buses will run one service hour each
providing fifteen (15) minute headways to the capital complex.
Return bus service from the capital complex to the lot would begin
® at approximately 4:30 p.m. each working day, also with two (2)
buses each working day, providing fifteen (15) minute headways.
Scheduling will remain flexible and exact pickup locations and time
will be established by written agreement between representatives
of the Missouri Highway and Transportation Commission and the City
Director of Transportation or his representative. The City will
provide a third bus if requested.
The City shall provide all personnel, material, equipment, and
supervision to provide the bus service.
Off peak special cab service from the capital complex to the
lot would be available thirty (30) minutes after the last bus
leaves the commuter parking area and would discontinue thirty (30)
minutes prior to starting the evening bus service.
4. E=. There will be no fare for the bus service, unless
requested by Missouri Highway and Transportation Commission and
agreed to by the City. A $1.00 fare shall be charged by the cab
company for the special service between the capital complex and the
parking lot.
5. Eguipment. The City shall use 1988 Wayne (school-type)
forty-four (44) passenger buses with transit bus seating and front
and rear doors. The City reserves the right to substitute
equivalent buses from time to time due to scheduling and mechanical
problems.
6. Bus Identification. The City shall provide some type of
identification on the shuttle buses identifying this service.
7. Commuter Parking Lot. The Missouri Highway and
Transportation Commission shall construct a commuter parking lot
on the site of the old Bridge Drive-In Theater. The Missouri
Highway and Transportation Commission shall provide at the lot the
following:
a) Bus turn around
b) Shelter for riders
c) Pay phone
d) Lighting
e) All maintenance on lot and above items
8. Term. This contract will be in effect from November 1,
1988, for one (1) year, with the option of renewing the contract
for two (2) additional one-year periods. Any options shall be
exercised by the Missouri Highway and Transportation Commission in
writing at least sixty (60) days prior to the end of the term or
option period.
9. Insurance. The City of Jefferson shall provide insurance
coverage for the personnel and equipment used in providing this
service, excluding any items on the commuter parking lot.
10. Indemnify. The parties mutually agree to the following:
® The parties herein shall assume any liability for all damages
or claims for damages which are the result of each party's
negligence and which are attributable to said party. The City
does not assume or accept any liability or responsibility for
any negligent acts or admissions of the Commission or the
Commission's employees and agents. The Commission does not
assume or accept any liability or responsibility for any
negligent acts or admissions of the City or the City's
employees and agents.
11. Third Party Rigs. This contract is designed to
establish the rights, duties and obligations of the signatories
hereto and shall not give rise to any third party beneficiary
rights.
12. Termination. The contract may be terminated by the
Missouri Highway and Transportation Commission by giving the City
sixty (60) days notice in writing.
13. Equipment Ownership. The City will retain ownership of
the two (2) retro-fitted air conditioning systems upon termination
without any obligation to the Missouri Highway and Transportation
Commission.
