D/B/A JEFFERSON CITY TAXI COMPANY FOR NON-PEAK SHUTTLE SERVICE TO THE CAPITOL COMPLEX. BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and Clerk are hereby authorized and directed to execute an agreement with T.F.L. d/b/a Jefferson City Taxi Company for non-peak shuttle service to the Capitol complex. Section 2. The agreement shall be substantially the same in form and content as that agreement attached hereto as Exhibit A. Section 3., This Ordinance shall be in full force and effect from and after the date of its passage and approval. NOW, THEREFORE, Be it agreed as follows: 1. Scope of Services. The Company shall provide taxi service in conjunction with the shuttle bus service provided Missouri Highway and Transportation Department. 2. Hours of Service. Company shall provide off peak special cab service from the capital complex to the Old Bridge Drive-in commuter lot between the hours 8:45 a.m. and 4:00 p.m, Monday through Friday, except State Holidays and days the State offices are closed. 3 . Pick. up Points. Company will pick up passengers for returning to parking lot at the following locations: Truman Building, Broadway Building, Supreme Court Building, Jefferson Building, the corner of High & Jefferson Streets, the Missouri Highway & Transportation ® Department Building and the Capitol Building. 4. Consideration. The City shall pay to Company the amount of two dollars ($2.00) multiplied by ten percent (10%) of the total monthly average of one way shuttle riders in the morning, or twenty dollars ($20.00) per day, whichever is greater. The Company shall also be entitled to receive one additional dollar per passenger from any passengers transported pursuant to this contract. The City assumes no liability for the additional one dollar ($1. 00) charge. Payment to Company shall be made on a monthly basis. 5. Emergency Closings. In the event that State offices are closed in midday due to an emergency, the City reserves the right to run the shuttle buses at other than the regularly scheduled times. 6. Reviews. This contract shall be reviewed every three months to determine ridership and cost effectiveness of the program. Following each review, adjustments may be made to the contract by mutual agreement. 7. Notices. All notices required to be in writing may be given by first class mail address to the City of Jefferson, 320 E. McCarty, Jefferson City, Missouri 65101, and Company at 1000 St. Mary's Blvd. , Jefferson City, Missouri 65101. The date of delivery of any notice shall be the second full day after the day • of its mailing. B. Reports. Company agrees to provide the City with a ® monthly report reflecting the number of riders utilizing the program during the preceding thirty (30) days. 9. Term. This contract will be in effect from November 1, 1988, for one (1) year, with the option of renewing the contract for two (2) additional one-year periods. Any options shall be exercised by the City in writing at least sixty (60) days prior to the end of the term or option period. 10. Insurance. Contractor agrees to completely indemnify and hold harmless the City for any and all damages, injuries, actions, costs, attorney's fees and all other expenses whatsoever, arising out of the performance of said work whether the property or persons damaged are the servants and employees of the Contractor or third parties in no manner connected with said work. Contractor shall procure and maintain during the life of this contract: A. Workmen's Compensation Insurance for all its employees to be engaged in work under this contract. B. Contractor's Public Liability Insurance in an amount not less than $800,000 for all claims arising out of a single occurrence and $100,000 for any one person in a ® single accident or occurrence, except for those claims governed by the provisions of the Missouri Workmen's Compensation Law, Chapter 287, RSMo, and Contractor's Property Damage Insurance in an amount not less than $800,000 for all claims arising out of a single occurrence and $100,000 for any one person in a single accident or occurrence. C. Automobile Liability Insurance in the amount not less than $800,000 for all claims arising out of a single occurrence and $100,000 for any one person in a single accident or occurrence. D. Owner's Protective Liability Insurance. The contractor shall also obtain at its own expense and deliver to the City an Owner's Protective Liability Insurance Policy naming the City of Jefferson as the insured in an amount not less than $800, 000 for all claims arising out of a single occurrence and $100.000 for any one person in a single accident or occurrence. E. The Certificates of Insurance furnished to the City showing proof of compliance with these insurance requirements shall contain a provision that coverage under such policies shall not be cancelled or materially changed until at least fifteen (15) days' prior written notice has been given to the City. 11. Termination. The contract may be terminated by either party provided sixty (60) days notice is given in writing prior to termination. 12. Entire Agreemrgt. The entire agreement between the Buyer and Seller shall consist of this contract. 13. Law of Missouri. The contract shall be construed according to the laws of the State of Missouri. Company shall comply with all local, state and federal laws and regulations related to the performance of the contact to the extent that the same may be applicable.
