BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,
AS FOLLOWS: ?7
'rr Section 1. The Mayor and City Clerk are hereby authorized and #'+
is directed to execute agreements with Union Electric Company and
Jefferson Community Betterment Association for the exchange of
lights and for historical lighting in the downtown area. '.
�{ Section 2 . The agreements shall be substantially the same in
'.5 form and content as that agreements attached hereto as Exhibits A
and B.
yt Section 3 . This Ordinance shall be in full force and effect
from and after the date of its passage and approval .

THIS AGREEMENT made and entered this day of , p'
1989, by and between the Union Electr c Company, a corporation

operating under the laws of the State of Missouri, hereinafter Ez mot,
ti referred to as "Company"; Jefferson Community Betterment
i ` Association, a not for profit organization existing under the laws

of the State of Missouri, hereinafter referred to as "Association",
and the City of Jefferson, Missouri, a municipal corporation, � Y
hereinafter referred to as "City".

WHEREAS, Company has approximately sixty-two (62) mercury
vapor luminaires which it wishes to donate to the Association;
and
WHEREAS the City of Jefferson Missouri utilized its funds
at some time for the installation and maintenance of these fixtures Est
and the City might have some legal claim to said fixtures; and ZN
WHEREAS, the Association is interested in replacing said
fixtures with others of a historical architecture that will be more
in keeping with the nature of the downtown business district.

NOW, THEREFORE, be it agreed as follows: °'
1. Company agrees to donate to the Association the following
items: t
11 - 400 Watt Mercury Vapor Luminaires on 29k foot post with
lamp and photocell T
51 - 250 Watt Mercury Vapor Luminaires on 19z foot post with `
lamp and photocell

f 62 - Splice boxes
'.; 62 - Concrete foundations for posts
Approx. 5500 foot - # 1/0 Triplex' 600 volt cable
Approx. 3000 foot - 3" PVC conduit
Associated trench labor, minor and incidental materials

2 . Company certifies that the estimated depreciated replacement
cost of items listed in paragraph 1 is approximately Sixty
Seven Thousand Dollars ($67,000) .
3. Company shall receive appropriate 'tax credit for donation.
After credit has been received, Company agrees to assert no
4`'>r claim for any items listed in paragraph 1 against either the
Association or the City.

4 . Association agrees to accept donation from Company and to sign
any and all documents necessary to allow Company to receive
appropriate tax credit.

Association agrees to enter into separate agreement with City
=, for the exchanging of lights and fixtures donated by Company
for those of historical structure and for the operation of
said lights.

6. City agrees not to assert any claims against Company

NOW, THEREFORE, be it agreed as follows:

1. Association agrees to lease to the City on the terms and N ;

conditions set out below the following items: •f
�T 11 - 400 Watt Mercury Vapor Luminaires on 29k foot post with

51 - 250 Watt Mercury Vapor Luminaires on 191 foot post with
lamp and photocell �{

Approx. 5500 foot - # 1/0 Triplex 600 volt cable s.
Approx. 3000 foot - 3" PVC conduit
Associated trench, labor, minor and incidental materials
2. City shall have complete custody and control of the lighting
system during the term of the lease.

3 .
During the term of the lease the City shall cause the lighting
system to be maintained and operated.
4 . The term of the lease shall be from January 1, 1990, through
December 31, 1994. At the expiration of the lease term the
City shall purchase the lighting system for the sum of One
Dollar ($1. 00) .
5. City agrees to participate in applying for a state grant for
historical lighting. If the grant is received, City will
change fixtures g listed d i

in paragraph as needed, within the Union Electric
undergrounding project area in the event historical lighting

is installed. City may use remainder of the fixtures for any
public purposes at City's discretion.
7• If the grant is not received, City agrees to retrofit the
fixtures to high pressure sodium lights at their current
locations.

8. The City shall furnish all tubes and other equipment necessary
to maintain and operate the lighting system in the downtown
area and shall provide all labor and equipment necessary.
9. Association shall transfer and convey all of its right, title
and interest in the equipment listed in paragraph I upon the
expiration of the lease term.
10. City shall provide at its cost all electricity to operate the
lighting system in the downtown area, not including any
seasonal or special event lighting.
