A MAINTENANCE AGREEMENT FOR SOFTWARE IN THE JEFFERSON CITY POLICE
` DEPARTMENT.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,
c. AS FOLLOWS:
.: Section 1. The Mayor and City Clerk are hereby authorized and
' directed to execute an agreement with Chiefs, Inc. , for a
maintenance agreement for software in the Jefferson City Police
` Department. '
Section 2 . The agreement shall be substantially the same in r�

CHIEFS SOFTWARE
MAINTENANCE AGREEMENT
This maintenance agreement between CHIEFS, Inc. ("CHIEFS") and the
City of Jefferson. Missouri ("Licensee") specifies the application software
support responsibilities provided by CHIEFS, Inc.
TERM: The term of this maintenance agreement is from January 1 1991. through
October 31. 1991 . This agreement is automatically renewed for a one-year term
every year hereafter at the maintenance price in effect at the time of renewal.
CANCELLATION: This agreement may be cancelled by Licensee at any time with 60
days' written notice to CHIEFS.
LICENSEE AGREES TO:
1. Maintain the system in a current operational state, i.e. , all IBM and
CHIEFS releases must be applied within 30 days of receipt. If Licensee
does not maintain the system with current IBM and CHIEFS releases, the
maintenance contract is void. Not applying releases in a timely and proper
Manner could severely impact the integrity of Licensee data.
2. Operate the licensed CHIEFS applications on Platform S/36

for all unreturned-media at the following rates:

Tape Reels 25.00

4. Pay for all modem-related telephone long-distance charges incurred by
CHIEFS during on-line diagnostic modem support.
CHIEFS AGREES TO:
1. Provide- telephone support on Monday through Friday from 8:00 AM to 5:00
PM (EST) .
2. Provide on-line diagnostic modem support on Monday through Friday from
8:00 AM to 5:00 PM (EST) . System 36 and 38 customers will realize a
discounted maintenance cost if a modem compatible to and approved by CHIEFS
is acquired. All modem-related telephone line charges will be billed to
Licensee.
3. Provide enhancements and releases including loading instructions and user
manual revisions. The loading of the releases is the responsibility of
Licensee. Diskettes, tape cartridges, and tape reels are the property of
CHIEFS and should be returned by Licensee. Licensee will be charged for
all unreturned media.-

24-HOUR MAINTENANCE
If 24-hour maintenance is selected, telephone and modem support are provided 24
hours per day, seven days a week in addition to the services listed above. All
Licensees have the benefit of 24-hour maintenance; however, the rate for coverage
outside the hours of 8:00 AM through 5:00 PM (EST) is $50.00 per hour with a one-
hour minimum. The monthly payment option may be subscribed to at any time during
the year. .
To use 24-hour support: Call (513) 844-0020, wait for the tone, then enter your
area code and telephone number using a touch tone phone. A customer support
representative will return your call, normally within two hours.
SUPPORT NOT PROVIDED UNDER THIS AGREEMENT
Maintenance coverage does not include support at Licensee's site. If an on-
site visit is deemed necessary by both parties, Licensee is responsible for all
reasonable travel expenses incurred by CHIEFS staff. If it is determined that
the problem is not caused by a malfunction of the CHIEFS software, Licensee may
be charged an on-site support fee of $75.00 per hour.
IF MAINTENANCE COVERAGE IS NOT SELECTED
If Licensee elects to not be covered under the CHIEFS maintenance agreement:
1. The Licensee will not be provided enhancements or releases to the CHIEFS
software. Retail prices will be charged for enhancements and releases
purchased by Licensee.
2. All support provided to Licensee will be charged to Licensee at a rate of
$35.00 per hour for telephone and modem support and $75.00 per hour plus
expenses for support provided at Licensee's site.
If Licensee chooses at a later date to reactivate maintenance:
1. Licensee will be charged the current maintenance fee plus 20s for each - _-
month maintenance was not paid.
2. Licensee will be charged an enhancement upgrade and system evaluation fee
of $2,000.00.
3. A system evaluation and installation visit must be conducted at Licensee's
site by a CHIEFS employee which will be charged to the Licensee at a rate
of $65.00 per hour plus reasonable travel expenses (airfare, car rental,
meals, lodging) .

ADDENDUM E
MAINTENANCE AGREEMENT
This maintenance agreement between CHIEFS Inc. ("CHIEFS") and the �7 f� fe'r-Soitv.

the application software support provided by CHIEFS. Charges for this support are
outlined in the attached Maintenance Fee Schedule.

Operate the licensed CHIEFS applications on the System 36 platform Serial Number
1047986 from November 1, 1992 through April 30, 1993. Effective May 1, 1993 through
October 31, 1993, Licensee will begin maintenance coverage on the CHIEFS AS/400
applications at the rate specified herein on the attached maintenance fee schedule.
System 36 maintenance coverage and the associated fee attached to said coverage
would be discontinued at the same time (May 1, 1993) as the AS/400 coverage and fee
structure go into effect.
3. Return all media containing CHIEFS releases. Licensee will be charged for all
unreturned media.
CHIEFS AGREES TO:
Regular Maint-enance
1. Provide telephone support on Monday through Friday from 8: 00 AM to 5: 00 PM (EST).
2. Provide on-line diagnostic modem support on Monday through Friday from 8: 00 AM to
5: 00 PM (EST).
3. Provide enhancements and releases including loading instructions and user manual
revisions. Installation of releases is the responsibility of Licensee. Diskettes,
tape cartridges, and tape reels are the property of CHIEFS and should be returned by
Licensee. Licensee will be charged for all unreturned media.
