AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI
AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH HOOD-RICH, INC. ,
FOR ARCHITECTURAL SERVICES IN CONJUNCTION WITH FIRE STATION NO.
5.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,
AS FOLLOWS:
Section 1. The Mayor and city Clerk are hereby authorized and
t. directed to execute an agreement with Ho od-Rich, Inc. , for
architectural services in conjunction with Fire Station No. 5. The
amount of the contract shall not exceed 6% of construction costs
or Twenty-eight Thousand Dol lars ($28, 000- 00) , whichever is less.
Section 2. The agreement shall be substa ntially the same in ki
form and content as that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect
from and after the date of its passage and approval. c.

II. BASIC SERVICES

The Architect shall render all architectural services necessary ingrX.
the clearin of the develo ment site and construction of the

`f project which without limitations shall consist of four (4) phases,
being the Preliminary Phase, the Construction Documents Phase, the

' Bidding Phase and the Construction Phase.
1. In connection with the Preliminary Phase:
a. Attend, when requested by the Owner, conferences and
meetings regarding the proposed project with the Owner, d
local, state and federal authorities or other appropriate
groups. „
b. Make a Preliminary Report which will include the
following: >�
1. Preliminary plot plan, layouts sketches, outline
specifications, and schematic design studies leading to
an acceptable design plan together with a general
description of the project for approval by the owner.

2 . Tentative cost estimates of proposed construction

including estimated quantities and estimated unit prices.
In the event said estimated cost is not approved by
Owner, paragraph VIII shall apply. r

5. Analysis of the electrical and mechanical systems
with an estimation of maintenance and operating costs.
;- 6. Design criteria, including a statement as to the is
.L� correctness of all basic design assumptions and
estimates.
{<< 7. The preliminary plans and other exhibits included
with the preliminary report are to be sufficiently '
comprehensive to permit, without need for .further
architectural study, prompt completion of final detailed
F . plans and specifications. Owner agrees to promptly
examine and return to Architect the approved Preliminary '
Plans and exhibits in order to allow the architect to
proceed diligently with the Construction Documents Phase
when so directed by the Owner.
8. Furnish five (5) copies of the Preliminary Report. :
2. When directed by the owner to proceed with Construction
Documents Phase: <;
i a. Assist Owner in preparing the necessary application for
non-construction permits, for the submission to and approval }

b. Prepare the detailed construction drawings and t;
specifications for the improvements authorized by the Owner, {
after full consideration has been given to the preliminary
studies, sketches, estimates and recommendations contained in
the preliminary report. Assist owner in procuring approvals
of state or other agencies to the drawings and specifications.
Prepare proposal forms, notices to bidders, complete working
drawings, specifications setting forth in detail and
K prescribing the work to be done, and the materials, workman
ship, finishes and equipment required for the architectural,
structural, mechanical, electrical, service-connected
'equipment, and site work, and contract documents satisfactory
to the Owner for the effective coordination and efficient
execution of the construction work.
C. Furnish a detailed estimate of the cost of constructing

specifications as approved.
d. Designate areas needed for rights-of-way or easements, and
furnish necessary surveys.
e. Furnish five (5) copies of drawings and specifications.

consultation with the .Architect, shall determine the number,
r•G,; if an y, of additional copies of
plans and specifications
� .; required. If additional copies are required, the Owner shall
pay only the actual cost if obtaining the additional
reproductions.
b. Render assistance in obtaining bids.
c. Attend bid opening.
d. Make an analysis of bids received and make recommendation
on award of contracts.
e. Render assistance in award of contracts and assembly of
contract documents.

f. The Architect shall complete the work under this contract
in a manner that will provide the Owner with ample time to
place for bid the final construction contract prior to or on
September 1, 1990. The Owner shall not cause any delays that
will prevent the Architect from meeting this deadline.
4. With respect to the Construction Phase:
a. Furnish ten (10) copies of the completed plans and
specifications for construction purposes.
b. The construction phase will commence with the award of the
contract for construction. The Architect shall be a
representative of the owner during the construction phase, and
shall advise and consult with the owner. The. Architect shall
r have authority to act on behalf of the owner in relation to
the work performed by the contractor to the extent provided
in the Contract documents.
,. C. The Architect shall visit the site at intervals
appropriate to the stage of construction or as otherwise
agreed by the Architect in writing with enough frequency and
duration of visit to become generally familiar with the
' progress and quality of the work and to determine in general
if the work is proceeding in accordance with the contract
documents. In addition, the Architect shall review the work
performed by inspecting bureaus and testing laboratories as
maybe employed by the Owner. The observation or construction
'i and review of work performed by inspecting bureaus and testing
laboratories shall be in accordance with professional
standards and the Architect shall endeavor to guard the Owner
against defects and deficiencies in such work, and may condemn
work as failing to conform to the contract documents. The
Architect shall have access to the work, at all times,
whenever it is in preparation or progress.

'. contractor. By issuing a certificate of payment, the '{M1
Architect will be representing to the Owner that, to the best
of his knowledge, information and belief, based on what his
inspections have revealed, the quality of the work is in xl;
+' accordance with the contract documents and that the work had
progressed to the point indicated. The Architect shall } <
determine the amount owing to the contractor based on
observations at the site and an evaluation of the contractor's k'
_4 application for payment and shall issue certificates of
payment as provided in the contract documents. f
e. Prepare such large-scale or full-sized detail drawings to
supplement the working drawings as to permit the proper ' `;:
completion of the work; check all shop 'and working drawings
submitted in connection with the construction work. °
f f. The architect shall conduct inspections to determine and
advise the Owner concerning the date of substantial completion
t and shall receive and forward to the Owner written warranty
and related documents required by the contract documents and
f. assembled by the Contractor and shall issue a finalNf +
<,:r certificate of payment upon a determination being made that
substantial completion has occurred. r:
g. Make final inspections of the project prior to expiration ,:
of the guarantee period or at the end of one (1) year, r 4t`9
` ANIL whichever may be first, and report observed discrepancies
under guarantees provided by the construction contracts.

3:- 5. To deliver to the owner the original tracings of the completed
plans, corrected as built, for the project, such tracings to
become the property of the Owner. ti
6. To indemnify, keep and save harmless, the Owner,' its agents,
officials and employees against all suits, claims, and
judgements, including attorney fees, that may result from the
Architect's, his agents, officers' , and employees' negligent ,
" acts, errors or omissions in connection with work performed
under this Agreement arising from injury to persons or
t, property. The Architect shall require all subcontractors to
Indemnify, keep and save harmless the Owner in the same manner rr
as is required of the Architect in this Agreement.
+ 7 . To comply with all local laws, ordinances and regulations 'r
applicable to the work.
8 . To accept compensation for the work herein described in such
amounts and at such periods as hereinafter provided and that

�* such compensation shall be satisfactory and sufficient payment
la' for all work performed, equipment or materials used, and
,r services rendered in connection with such work.

'a 10. To be responsible for the professional and technical accuracy i
and the coordination of all designs, drawings, specifications,
plans, cost estimates and other work or material furnished by
the Architects under this Agreement.

11. Represent that all designs, drawings, specifications, plans,
cost estimates and other work or material furnished under this '
Agreement, including an additions, alterations, or amendments
thereof, shall be free from errors, omissions, or negligence.
To correct or revise, without additional cost to the owner, kt
any defects, errors or deficiencies in Architect's performance
under this Agreement. pk
12 . To purchase and maintain, at Architect's expense, professional
liability insurance coverin errors omissions and negligent
` acts of the Architect, its agents, officers and employees, andkFg'i
that further protects the owner, its agents, officials and
` employees from claims, suits or judgment that may be based `'Yt
upon injury to person or property which may arise from the
performance of professional services caused by errors i ;y
omissions or negligent acts of the Architect, its agents,
officers and employees. Such policy of insurance shall be in
an amount of not less than $200, 000.00. In addition, af
comprehensive general liability policy of insurance shall be 7 "r,.
purchased and maintained at Architect' s expense, that protects .}

the owner, its agents, officials, and employees from claims, ;" x
judgments, suits or damages, or loss to persons or property
that arise out of, or result from Architect 's, its agents,
officers, and employees performance of work under this
Agreement. Such policy of insurance shall be in an amount of
not less than $500,000. 00. In addition, a Workman's s
a Compensation and Employer's Liability Policy shall be, procured
and maintained. This policy shall include an "all states"
endorsement. Said insurance policy shall also cover claims '
for injury, disease or death of employees which, for any
reason, does not fall within the provisions of the Workman's
Compensation Law. Liability limits shall be not less than:
Workman's Compensation -- Statutory
Employer's Liability $500, 000 each occurrence. k
Architect shall furnish the owner copies of all insurance
policies or certificates of insurance relating to the
insurance policies that must be maintained hereunder. In
addition, insurance policies applicable hereto shall contain
provision that the Owner shall be given thirty (30) day's
written notice by the insurance company before each policy is
substantially changed or cancelled. Architect shall require .
all subcontractors to purchase and maintain insurance in the
same manner and in the same amounts as the Architect is
required to purchase and maintain herein except the
subcontractors may carry errors and omission insurance in an t
°- amount proportionate to the share of work they are performing.

13 . ARCHITECT further agrees, covenants and represents that all
specifications and bid documents prepared in accordance with
the work required by this agreement shall contain a clause
that provides the following:
"Notwithstanding any thing to the contrary contained
in these bid documents or the contract to be awarded
herein, the CITY shall not be subject to arbitration
and any clause relating to arbitration contained in
these bid documents or in the contract to be awarded
herein shall be null and void.
THE OWNER AGREES:
A. To furnish all available data concerning the site, and the
Owner's staff shall relate any information available to it
which may assist the Architect with the project.

• B. To review plans and details submitted for review as
expeditiously as practical, and in sections of the work, if
practical, to the end of assisting the ARchitect to maintain,
as. nearly as possible, a continuous flow of work of the
project.
C. To pay the Architect for his services in accordance with
the requirements of this Agreement.
FIRE STATION PLANNING DESIGN AND CONSTRUCTION
III. PAYMENTS
The Owner agrees to pay the Architect for all services rendered
under this Agreement a fee which shall be six percent (6%) of the
construction cost not to exceed twenty-eight thousand dollars
($28, 000. 00) .
This fee shall be payable in installments not to exceed percentages
listed below, each of which shall be deemed to have been earned and
shall be due and payable upon the satisfactory performance of the
items of service as follows:
F 1. Fifteen percent of the fee will be paid upon the approval of
the completed Preliminary Phase as outlined in Section 11, 1.
2. An additional thirty-five percent of the fee will be paid upon
the approval of the Complete Working Drawings and
Specifications Phase as outlined in Section 11, 2 .
3. Upon the award of construction contract, payment shall be
increased to seventy-five per cent of the -above fee, less
previous payments.

The Architect agrees in the performance of this contract not to ,

national origin or ancestry, sex, religion, handicap, age, or

in all subcontracts let or awarded hereunder.
;t XII. ENGINEERING CONSULTANTS
The Architect agrees to employ a mechanical, structural, and
' electrical engineer, if necessary, as determined by the Architect
rr and Owner jointly, for design and inspection and to pay the
standard fee presently effective for such services.
XIII. DELAYED BIDDING
If bids are not taken within four months after the date of approval
of final drawings and specifications, and bids are requested and
received after the four months following approval of final working
ln: drawings and specifications; and the lowest acceptable bid(s)
received is over the approved estimate cost of construction, the
Owner shall pay the Architect for making the revisions to the
drawings and specifications that are necessary to reduce the cost
