MAYOR AND CITY CLERK To EXECUTE
COST OF THE CURB & LINCOLN
GUTTER
UNIVERSITY FOR PARTICIPA ON IN
PROJECT FOR CHESTNUT STREET.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,
AS FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized and
directed to execute an agreement with Lincoln University for,
participation in the cost of the curb & gutter project for Chestnut
Street. The amount of the contract shall not exceed $43 ,000. 00.
Section 2 . The agreement shall be substantially the same in
form and content as that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect
'i from and after the date of its passage and approval.

' AGREEME T FOR REIMBURSEMENT
THIS AGREEMENT made and entered this day of
1990, by and between the City of Jefferson, Missouri, municipal
corporation, hereinafter referred to as "City, " and Lincoln '
'
University, hereinafter referred to as "University" .�x 4+
". WHEREAS, the City has entered into a contract with Davijean, Inc. ,
;a d/b/a DJI Construction to perform certain work on the Chestnut
Street Project north of Leslie Boulevard adjacent to Lincoln 5,
-?- University's football stadium; and
FS. ♦.
WHEREAS, the University has agreed to reimburse the City for items
� . included in the contract, specifically Item 14, handrail, and Item
` 15, structural concrete for retaining wall.
BE IT MUTUALLY AGREED AS FOLLOWS:
1. City agrees to supervise and direct the project in all phases. '
2 . City shall be the sole owner of 'the improvements as complete
;.: 3 . Lincoln University agrees upon presentation of invoices to pay
t; thirty-seven thousand dollars ($37 , 000. 00) upon completion of
item 15, and up to five thousand six hundred dollars
($5, 600. 00) for item 14 , provided that Lincoln University
reserves the right to perform certain work on item 14 by
mutual agreement of the parties in lieu of the payment.

4 . Should Lincoln University
undertake the work on item 14 ,
directly, it shall be directed by Change order issued by the 4'
City which shall specify the amount to be adjusted in payment.

5. Liability. The parties mutually agree to the following:
a. In no event shall the City be liable to the University
for special , indirect, or consequential damages, except
those caused by the City's negligence, arising out of or
in any way connected with a breach of this contract. The
maximum liability of the City shall be limited to the
N amount of money to be paid or received by the City under
:.: this contract. ;
b. The University shall defend, indemnify, and hold the City
harmless from and against all claims, losses, and
liabilities arising out of personal injuries, including
death, and damage to property which are caused by the
University arising out of or in any way connected with
this contract.
