AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH CAPITAL MACHINE
COMPANY FOR WELDING SERVICES FOR THE CITY.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,

Section 1. The Mayor and City Clerk are hereby authorized and
T directed to execute an agreement with Capital Machine Company for
welding services for the City.
Section 2 . The agreement shall be substantially the same in
form and content -as that agreement attached hereto as Exhibit A.
Section 3 . This Ordinance shall be in full force and effect
from and after the date of its passage and approval.

AGREEMENT
THIS AGREEMENT made and n

` to as "City," and Capital Machine Company hereinafter referred to as "Contractor."
WHEREAS, City is in need of welding, lathe work, drilling-milling, manufacturing
s .t parts, etc., services periodically; and
WHEREAS, Contractor is willing to enter into this Agreement with respect to his
employment and services upon the terms and conditions herein set forth,
NOW, THEREFORE, be it agreed as follows:
1. Scope of Services. The scope of services for this contract shall consist of the
following:

a. Welding, lathe work, drilling-milling, manufacturing parts, etc.
a b. Purchase bar stock, channel iron, plate iron, stainless, plated and
hardened rubber supplies such as gasket material.
2. Qualifications and Equipment. The qualifications and equipment necessary for

, provider of this service shall be as follows:
ra. Competent welder and possess good fabrication and blacksmith skills.
`a b. Familiar with welding requirements for all type of construction
equipment.

AV.3 c. Service truck for performance of field work, equipped with, but not
limited to:
1. Portable arc welder, 250 amp minimum
A' 2. Acetylene/Oxygen commercial torch set
3. Mobile 20 CFM air compressor and air are unit
4. Various hand tools and hydraulic porto-powers and jacks as
generally associated with heavy equipment and repair
3. Contract Period. This contract shall be in effect from November 3, 1992,
through November 2, 1993.
4. Response Time. Repair service is to be provided on the same day the call is

{M. 5. PrevailinWae Law. To the extent that the work performed by Contractor

to execute this contract as determined by the Department of Labor and Industrial
Relations of Missouri,pursuant to Sections 290.210 through 290.340 inclusive,RSMo.
6. Rates. Service will be provided at the following rates:

7. Parts and Materials. Contractor shall provide materials and supplies to
;. complete the work unless City elects to so provide. In the event the Contractor
provides the materials or supplies, the Contractor will be reimbursed for his costs for
which he shall provide invoices. The Contractor shall be allowed to utilize the
following percentage markups on material Contractor provides:
Hot roll steel - $.50 per pound
Cold roll material - $.95 per pound
All other material - 25% per pound
. 8. Normal Work Hours. The quantity of work during normal work hours for

11. Insurance, Contractor agrees to obtain and maintain throughout the term of

A. Workmen's Compensation Insurance for all of its employees to be ,
engaged in work under this contract.
B. Contractor's Public Liability Insurance in an amount not less than
$1,000,000 for all claims arising out of a single occurrence and $100,000
for any one person in a single accident or occurrence, except for those
claims governed by the provisions of the Missouri Workmen's
Compensation Law, Chapter 287, RSMo., and Contractor's Property
Damage Insurance in an amount not less than $1,000,000 for all claims
arising out of a single accident or occurrence and $100,000 for any one
person in a single accident or occurrence.
C. Automobile Liability Insurance in an amount not less than $1,000,000
for all claims arising out of a single accident or occurrence and$100,000
for any one person in a single accident or occurrence.
D. Owner's Protective Liability Insurance-The Contractor shall also obtain
at its own expense and deliver to the City an Owner's Protective

Liability Insurance Policy naming the City of Jefferson as the insured,
in an amount not less than $1,000,000 for all claims arising out of a
single accident or occurrence and $100,000 for any one person in a
single accident or occurrence, except for those claims governed by the ;
provisions of the Missouri Workmen's Compensation Law, Chapter 287,
RSMo. No policy will be accepted which excludes liability for damage
to underground structures or by reason of blasting,explosion or collapse.
E. Subcontracts - In case any or all of this work is sublet, the Contractor
shall require the Subcontractor to procure and maintain all insurance
required in Subparagraphs (a), (b), and (c) hereof and in like amounts.
F. The Certificates of Insurance furnished to the City showing proof of
compliance with these insurance requirements shall contain a provision
that coverage under such policies shall not be cancelled or materially
changed until at least fifteen days prior written notice has been given
to the City.

12. Failure to Perform. Should Contractor fail to provide services as set forth t,+
pursuant to this contract, or fail to meet any of the contract provisions, this contract
may be cancelled at the sole option of the City upon giving five (5) days written notice
to Contractor.
