' AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH FEDERAL AVIATION
ADMINISTRATION FOR FUNDING OF UPDATING OF AIRPORT MASTER PLAN
THROUGH MISSOURI HIGHWAY AND TRANSPORTATION DEPARTMENT.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,
AS FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized
11' and directed to execute an agreement with Federal Aviation
Administration for funding of updating of Airport Master Plan
through Missouri Highway and Transportation Department.
Section 2 . The agreement shall be substantially the same in
form and content as that agreement attached hereto as Exhibit A.
' Section 3. This Ordinance shall be in full force and effect
from and after the date of its passage and approval.

AMENDMENT TO STATE BLOCK GRANT AGREEMENT
AMENDMENT 1
THIS AMENDMENT is entered into by the Missouri Highway and Transportation
r' Commission (hereinafter, "Commission") and the City of Jefferson (hereinafter,
"Sponsor").
WITNESSETH:
WHEREAS, the parties entered into this Agreement executed by the Sponsor on
September 12, 1990, and executed by the Commission on October 15, 1990,
(hereinafter, original Agreement) under which the Commission granted the sum not to
exceed $45,000 to the Sponsor to assist in master plan update;
WHEREAS, the Commission previously approved funds for the master plan
update; and
WHEREAS, the level of funding originally approved is not sufficient to cover the
=z, costs associated with additional update costs incurred; and
WHEREAS, the Commission has sufficient funds to increase the grant amount for
additional update costs incurred;
NOW, THEREFORE, in consideration of these mutual covenants, the parties
. agree as follows:
(1) The Commission grants to the Sponsor an additional sum not to exceed
$6,750 for additional update costs incurred subject to the following conditions:
(A) The Sponsor shall provide matching funds of not less than $750
toward the project in addition to those previously committed by the Sponsor in the
original Agreement.
(B) The project will be carried out in accordance with the assurances
(Exhibit 1) given by the Sponsor to the Commission as specified in the original
Agreement.
(C) This Amendment shall expire and the Commission shall not be
obligated to pay any part of the costs of the project unless this grant amendment has
been executed by the Sponsor on or before January 10, 1995, or such subsequent date
as may be prescribed in writing by the Commission.

STATE BLOCK GRANT AGREEMENT
THIS GRANT AGREEMENT is entered into by the Missouri
Highway and Transportation Commission (hereinafter, commission)
and the City of Jefferson (hereinafter, sponsor) . Reference will
also be made to the Federal Aviation Administration (hereinafter,
FAA) .
' WITNESSETH:
WHEREAS, Section 116 of the federal Airport Safety and
Capacity Expansion Act of 1987 amended the previous act of 1982
,F by adding new section 534 entitled "State Block Grant Pilot
Program" (49 U.S.C. App. 2227) ; and
WHEREAS, commission has been selected by FAA to admin-
ister state block grant funds under said program; and
WHEREAS, sponsor has applied to commission for a grant
under said program; and

WHEREAS, commission has agreed to award said funds to
sponsor with the understanding that such funds will be used .for a
project pursuant to this agreement for the purposes generally
described in sponsors grant application dated December 13 , 1989,
and specifically described as follows: Update Master Plan;
NOW, THEREFORE, in consideration of these mutual
covenants, promises, and representations, the parties agree as
follows:

(1) EURPASE: The purpose of this agreement is to
provide financial assistance to sponsor under the State Block
Grant Pilot Program.

(2) AUTHORIZATION OF CONTRACTUAL AGREEMENT BETWEEN
SPONSOR AND COMMISSION: In conjunction with sponsor entering

into this contractual agreement for the airport grant, the local
4 { governing body shall pass an ordinance or equivalent binding
` resolution of record authorizing the acceptance of the
g p grant and
all contractual conditions and covenants in association with it.

t The ordinance or resolution must also specify the authority of
the local officials to execute this agreement.
(3) AMOUNT OF GRANT: The amount of this grant is not
to exceed $45, 000.
'r (4) AMOUNT OF MATCHING FUNDS: The amount of local

matching funds to be furnished by sponsor is $5, 000.
Sponsor warrants to commission that it has sufficient
cash on deposit to provide the local matching funds to complete
the project.
(5) ALLOWABLE COSTS: Block grant funds shall not be
' used for any costs that are ineligible as defined in the Airport
and Airway Improvement Act of 1982 (as amended 1987) .
(6) WITHDRAWAL OF GRANT OFFER: Commission reserves
the right to amend or withdraw this grant offer at any time prior
to acceptance by the sponsor.
(7) EXPIRATION OF GRANT OFFER: This grant offer shall
expire and commission shall not be obligated to pay any part of
the costs of the project unless this grant agreement has been

(8) FEDERAL SHARE OF COSTS: Payment of the United
States share of the allowable project costs will be made pursuant
to and in accordance with the provisions of such regulations and
procedures as the Secretary of the U.S. Department of Transporta-
tion shall practice. Final determination of the United States
share will be based upon the audit of the total amount of
allowable project costs and settlement will be made for any

upward or downward adjustments to the federal share of costs.
(9) RECOVERY OF FEDERAL FUNDS: Sponsor shall take all

steps, including litigation if necessary, to recover federal
funds spent fraudulently, wastefully, or in violation of federal
antitrust statutes, or misused in any other manner in any project
upon which federal funds have been expended. For the purpose of
this grant agreement, the term "federal funds" means funds
however used or disbursed by sponsor that were originally paid
pursuant to this or any other federal grant agreement. Sponsor
shall return the recovered federal share, including funds

recovered by settlement, order or judgment, to commission. It
shall furnish to commission, upon request, all documents and
records pertaining to the determination of the amount of the
.,s federal share or to any settlement, litigation, negotiation, or
other efforts taken to recover such funds. All settlements or ,
other final positions of sponsor, in court or otherwise,
involving the recovery of such federal share shall be approved in
advance by commission.

(10) PAYMENT: Payments to sponsor are made on a reim-
bursement basis. Sponsor may request incremental payments during
rte the course of the project or a lump sum payment upon completion
of the work.
Sponsor may request reimbursement at any time subse-
quent to the execution of this agreement by both parties.
Requests for reimbursement must be supported with paid invoices
-° and/or cancelled checks.
When force account is used, the costs for in-kind
labor, equipment and materials may be submitted in letter form
with a breakdown of the number of hours and the hourly charges
for labor and equipment. Quantities of materials used and unit
'a. costs must also be included.

(11) AUDIT REQUIREMENTS: If the project covered under
this agreement will receive $25, 000 or more in federal funds, it
is subject to the federal Office of Management and Budget
Circular A-128 audit requirements. If the project will receive

less than $25, 000 in federal funds, sponsor will be exempt from
compliance with circular A-128 but will be governed by audit

requirements prescribed by state law or regulation.
' When sponsor's normal annual audit is completed,
sponsor shall provide to commission a copy of an audit report
that includes the disposition of all federal funds involved in

this project.
(12) APPENDIX: An appendix to this agreement is

attached. The appendix consists of forms and guidelines that

' sponsor will use to accomplish the requirements of this
agreement. Appendix items are provided under separate cover.
The contents of this appendix are hereby incorporated
into and made part of this agreement. 1
(13) SPECIAL CONDITIONS: The following special condi-
tions are hereby made part of this agreement:
A) All requirements of Federal Aviation
Administration ATP Project No. 3-29-0036-02
(1983 grant) including land acquisition,
title opinions on remaining parcels, as
acquired Exhibit "A" property map and final
pay requests to be completed prior to
� . closeout of this state block grant.
(14) ASSURANCES: Sponsor shall adhere to FAA standard

airport sponsor assurances and current FAA advisory circulars
(AC's) for Airport Improvement Program (AIP) projects as outlined
in attached EXHIBIT 1. These assurances and advisory circulars
incorporated are hereby orated into and made part of this agreement.

Sponsor shall review the assurances and advisory
circulars in EXHIBIT 1 and notify commission of any areas of non-
compliance within its existing facility and/or operations. All
non-compliance situations must be rectified before final accep-
tance of the project.
(15) DISADVANTAGED BUSINESS ENTERPRISES (DBE) -
PROFESSIONAL SERVICES: Disadvantaged business enterprises that
ti
provide professional services, such as architectural, engineer-
ing, surveying, real estate appraisals, accounting, etc. . . , will
be afforded full and affirmative opportunity to submit qualifica-
tion statements and will not be discriminated against on grounds
of race, color, sex or national origin in consideration for
selection for this project.

(16) gmATE NONDISCRIMINATION GCSE: Sponsor shall
comply with the provisions of Missouri Executive Order 87-6 to
ensure equal employment opportunity (EEO) . This order prohibits
discriminatory employment practices by sponsor or its
subcontractors based on race, color, religion, creed, national
origin, ancestry, sex or veteran or handicap status.

(17) PROJECT TIME PERIOD: The project period shall be
from date of execution by commission to June 30, 1991. For good
cause shown by sponsor, commission's chief engineer may, in
writing, extend the project time period.
Y, (18) DISPUTES: Any disputes of facts which might
develop as a result of this agreement shall be decided by commis-
sion.
` (19) INDEMNIFICATION: Sponsor shall be responsible for
any and all injury or damages as a result of any services and/or
goods rendered under the terms and conditions of this agreement.
In addition to the liability imposed upon sponsor on the account
of personal injury, bodily injury (including death) or property
damage suffered as a result of sponsor's performance under this
agreement, sponsor assumes the obligation to save commission,
including its agents, employees and assigns, harmless and to
indemnify commission, including its agents, employees and assigns
from every expense, liability or payment arising out of such
negligent act. Sponsor also agrees to hold commission, including
its agents, employees and assigns, harmless from any negligent

act or omission committed by any contractor or any other person '
employed by or under the supervision of sponsor for the term of
this agreement.
(20) _LAWS OF MISSOURI TO GOVERN: Although this agree-

ment shall be construed according to the laws of the state of

federal laws and regulations relating to the performance of this

(21) RIGHT OF COMMISSION TO TERMINATE AGREEMENT: Upon
written notice to sponsor, commission reserves the right to
suspend or terminate all or part of -the grant when sponsor is, or "1

has been, in violation of the terms of this agreement. Any lack
of progress which significantly endangers substantial performance
.; of the project within the specified time shall be deemed a viola-
tion of the terms of this agreement. The determination of lack
x
of progress shall be solely within the discretion of commission.
Once such determination is made, commission shall so notify
sponsor in writing. Termination of any part of the grant will
not invalidate obligations properly incurred by sponsor prior to
the date of termination.
(22) NOTIFICATION OF CHANGE: Sponsor shall immediately
notify commission of any change in conditions or law which may

to commission and/or its designees during the agreement period
and any extension thereof, and for three (3) years from the date
of final payment.
(24) OPERATIQN AND CONTROL OF AIRPOR-T: Sponsor agrees
as a condition to this grant to keep, operate, or control by
r= lease the airport for a period of not less than twenty (20) years
following the receipt of this grant.
(25) AMENDMENTS Any change in this agreement,
whether by modification and/or supplementation, must be accom-
plished by a formal agreement amendment signed and approved by
duly authorized representatives of sponsor and commission.
(26) ASSIGNMENT: Sponsor shall not assign or delegate
any interest in the agreement and shall not transfer any interest
in the agreement, (whether by assignment, delegation or novation)
without the prior written consent of commission.

(27) BANKRUPTCY : Upon filing for any bankruptcy or
insolvency proceeding by or against sponsor, whether voluntarily,
is
or upon the appointment of a receiver, trustee, or assignee, for
the. benefit of creditors, commission reserves the right and sole
discretion to either cancel this agreement or affirm the agree
ment and hold sponsor responsible for damages.
(28) COMMISSION'S REPRESENTATIVE: Commission' s chief
engineer is designated as commission's representative for the
purpose of administering the provisions of this agreement.
