MAYOR AND CITY CLERIC TO EXECUTE AN AGREEMENT WITH BUCHER, WILLIS }
AND RATLIFF FOR AIRPORT MASTER PLAN UPDATE. }
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,
AS FOLLOWS:

Section 1. The Mayor and City Clerk are hereby authorized
and directed to execute an agreement with Bucher, Willis and c#
r Ratliff for Airport Master Plan Update. The amount of the
contract shall not exceed $50, 000 . 00.
^k Section 2 . The agreement shall be substantially the same in ;
form and content as that agreement attached hereto as Exhibit A.
Section 3. This ordinance shall be in full force and effect
from and after the date of its passage and approval. '

I AGREEMENT FOR PLANNING SERVICES
THIS AGREEMENT, made thisday of in the year Nineteen
Hundred and Ninety.
BY AND BETWEEN Jefferson City,Missouri,hereinafter called the City; and Bucher,
Willis & Ratliff, Consulting Engineers, Planners and Architects of Kansas City, Missouri,
hereinafter called the Consultant. Although the Aviation Section of the Missouri Highway and
Transportation Department is not a party to this Agreement,it will administer funds,review and
approve documents,et cetera. The Aviation Section will be hereinafter referred to as"MHTD".
NOW,THEREFORE,the City and the Consultant,for the considerations hereinafter set
forth, agree as follows:
The City recognizes a need to prepare a Master Plan Update for the Jefferson City
Memorial Airport. The Consultant has been selected and agrees to perform the services required
{ to complete the Plan as per the following Articles:
r ARTICLE I
PROJECT SCOPE OF SERVICES

The project services will be done in accordance with the "Scope of Services" attached
hereto and made a part hereof.
ARTICLE H
?; TIME SCHEDULE
' The performance of this Agreement is contingent and valid only on the receipt by
Jefferson City of a State Block Grant under the Federal Airport and Airways Improvement
Program to prepare the Airport Master Plan Update. After receipt and acceptance of the grant
offer, the Consultant agrees to proceed with the project immediately upon execution by both
parties of this Agreement and receipt of a Notice to Proceed from the City, and to assign such
personnel as required to complete the scope of services within nine(9)months after the Notice

ARTICLE III
COMPENSATION AND METHOD OF PAYMENT
The City agrees to pay the Consultant in progress payments for the services stated above,
according to the rates set out in Appendix 2. Total compensation under this contract shall not ;.
exceed Fifty Thousand Dollars ($30,000).
Monthly billings shall be made by the Consultant to the City.
ARTICLE IV
44 STANDARD DOT TITLE VI ASSURANCE

5° During the performance of this Contract, the Consultant for itself, its assignees and
successors in interest agree as follows:
1. Compliance with Regulations: The Consultant shall comply with the regula-
tions relative to nondiscrimination in Federally-assisted programs under Title 49,
Federal Regulations, Part 21, as they may be amended from time to time,
(hereinafter referred to as the Regulations), which are herein incorporated by
reference and made a part of this Contract.
2. Nondiscrimination: The Consultant, with regard to the work performed by it
during the Contract, shall not discriminate on the grounds of race, color, or
n„ ® national origin in the selection or retention of subcontractors,including procure-
ments of materials and leases of equipment. The Consultant shall not participate
either directly or indirectly in the discrimination prohibited by Section 21.3 and
Appendix B of the regulations: The Consultant shall abide by the City's Affirm-
ative Action Plan and the Missouri statutory requirements in regard to discrimina-
tion.

s 3. Solicitations for Subcontracts, Including Procurements of Materials and
Equipment: In all solicitations either by competitive bidding or negotiation
3 made by the Consultant for work to be performed under a subcontract including
procurements of materials or leases of equipment, each potential subcontractor
or supplier shall be notified by the Consultant of the Consultant's obligations
under this Contract and the Regulations relative to nondiscrimination on the
grounds of race,color,or national origin.
4. Information and Reports: The Consultant shall provide all information and
reports required by the Regulations or directives issued pursuant thereto, and
shall permit access to its books,records,accounts,other sources of information,
and its facilities as may be determined by the City, the State, or the Federal
Aviation Administration to be pertinent to ascertain compliance with such
Regulations, orders and instructions. Where any information required of a
Consultant is in the exclusive possession of another who fails or refuses to furnish

;F 5. Sanctions for Noncompliance: In the event of the Consultant's noncompliance
with the nondiscrimination provisions of this Contract,the City shall impose such

6. Incorporation of Provisions: The Consultant shall include the provisions of
paragraphs 1 through 5 in every subcontract,including procurement of materials z

rty and leases of equipment,unless exempted by the Regulations or directives issued
'` . pursuant thereto. The Consultant shall take such action, with respect to any
subcontract or procurement, as the City or the Federal Aviation Administration
' may direct as a means of enforcing such provisions including sanctions for
y' noncompliance; provided, however, that in the event a Consultant becomes
! involved in or is threatened with litigation with a subcontractor or supplier as a
result of such direction,the Consultant may request the sponsor to enter into such

litigation to protect the interests of the sponsor and in addition the Consultant
. . may request the United States to enter into such litigation to protect the interests
z* of the United States.
ARTICLE V ,
NUSCELLANEOUS PROVISIONS
1. Change in Scope: The scope of services described herein shall be subject to
modification or supplement only upon the written agreement of the contracting +
parties and MHTD. Any such modification in the scope of the services shall be

incorporated in this Agreement by supplemental agreement. Fees for additional
' services shall be negotiated in conjunction with development of the Supplemental f
Agreement.
2. Termination of Contract(All Contracts in Excess of$10,000):
IPA a. The Sponsor may,by written notice,terminate this contract in whole or
in part at any tune, either for the Sponsors convenience or because of
failure to fulfill the contract obligations. Upon receipt of such notice,

otherwise)and all materials as may have been accumulated in performing
this contract,whether completed or in process, delivered to the Sponsor.
b. If the termination is for the convenience of the Sponsor, an equitable
adjustment in the contract price shall be made, but no amount shall be
allowed for anticipated profit on unperformed services.
C. If the termination is due to failure to fulfill the contractor's obligations,
the Sponsor may take over the work and prosecute the same to completion
by contract or otherwise. In such case,the contractor shall be liable to the
Sponsor for any additional cost occasioned to the Sponsor thereby.
d. If, after notice of termination for failure to fulfill contract obligations, it
is determined that the contractor had not so failed, the termination shall
be deemed to have been effected for the convenience of the Sponsor. In
such event, adjustment in the contract price shall be made as provided in
paragraph 2 of this clause.
e. The rights and remedies of the Sponsor provided in this clause are in
addition to any other rights and remedies provided by law or under this
contract.
3. Binding Upon Successors: This Agreement shall be binding upon the under-
signed parties,their successors,partners,assigns,and legal representatives.
4. Ownership of Documents: All original drawings shall be submitted to and
• become the property of the City.
5. Rights to Inventions (All Contracts): All rights to inventions and materials
generated under this contract are subject to regulations issued by the F.A.A. and
the Sponsor of the Federal grant under which this contract is executed. Informa-
tion regarding these rights is available from the F.A.A.and the Sponsor.
6. Disclaimer Statement: The Consultant agrees that all final published documents.
and reports shall contain on the inside front cover the required disclaimer
statement as applicable at the time of their preparation. The current disclaimer,
in accordance with F.A.A. Order 5100.38A,is as follows:
The preparation of the document was financed in part through a planning
grant from the Federal Aviation Administration as provided under Section
505 of the Airport and Airway Improvement Act of 1982, as amended.
The contents do not necessarily reflect the official views or policy of the
F.A.A. Acceptance of this report by the F.A.A. does not in any way
constitute a commitment on the part of the United States to participate in

any development depicted therein nor does it indicate that the proposed
development is environmentally acceptable in accordance with appro-
priate public laws.
7. Quarterly Progress Reports: Quarterly progress reports will be submitted to
the City and MHTD by the Consultant within five (5) days following the
i beginning of each quarter.

8. Procurement Standards: The Consultant understands and agrees that the type
of instruments used (i.e., fixed price contracts, cost reimbursable contracts,
purchase orders,incentive contractors,etc.),shall be appropriate for the particular
procurement and for promoting the best interest of the Airport Master Plan under
s; the State Block Grant/Airport Improvement Program(A.I.P.). Furthermore,the
` Consultant certifies that the"cost-plus-a-percentage-of-cost"method of contract-
ing shall not be used. Standards identified in 49 CFR 18.36 will be utilized.
9. Inspection of Records: The Consultant shall maintain an acceptable cost
accounting system. The Sponsor,MHTD,the Federal Aviation Administration,
and the Comptroller General of the United States shall have access to any books,
documents,paper, and records of the Consultant which are directly pertinent to
p' the specific agreement for the purposes of making an audit,examination,excerpts,
and transcriptions. The Consultant shall maintain all required records for three
a years after the Sponsor makes final payment and all other pending matters are
closed.
10. Breach of Contract Terms - Sanctions: Any violation or breach of the terms
of this agreement on the part of the Consultant or subcontractor may result in the
suspension or termination of this agreement or such other action which may be
necessary to enforce the rights of the parties of this agreement.

Subcontracts: The Consultant,by submission of an offer and/or execution of an
agreement for services,certifies that it:
t a. is not owned or controlled by one or more citizens of a foreign country
2 included in the list of countries that discriminate against U.S. firms
published by the Office of the United States Trade Representative
(USTR);
b. has not knowingly entered into any agreement or subagreement for this
project with a person that is a citizen or national of a foreign country on
b said list, or is owned or controlled directly or indirectly by one or more
citizens or nationals of a foreign country on said list:

C, has not procured any product nor subcontracted for the supply of any
product for use on the project that is produced in a foreign country on said
list.
Unless the restrictions of this clause are waived by the Secretary of
Transportation in accordance with 49 CFR 30,17, no contract or agree-
ment shall be awarded to a contractor, subcontractor,or consultant who
is unable to certify to the above. If the consultant/contractor knowingly
procures or subcontracts for the supply of any product or service of a
foreign country on said list for use on the project, Ml'1TD may direct
# through the Sponsor cancellation of the contract/agreement at no cost to
the U. S. Government or the State of Missouri.
Further,the consultant/contractor agrees that,if awarded a contract result-
ing from this solicitation,it will incorporate this provision for certification
without modification in each contract/agreement and in all lower tier
subcontracts. The consultant/contractor may rely on the certification of
a prospective subcontractor unless it has knowledge that the certification
is erroneous.
The consultant/contractor shall provide immediate written notice to the
sponsor if the contractor learns that its certification or that of a subcontrac-
tor was erroneous when submitted or has become erroneous by reason of
changed circumstances. The subcontractor agrees to provide immediate
written notice to the consultant/contractor if at any time it learns that its
+ certification was erroneous by reason of changed circumstances.
This certification is a material representation of fact upon which reliance
was placed when making the award. If it is later determined that the
consultant/contractor or subcontractor knowingly rendered an erroneous
certification,the MIND may direct through the Sponsor cancellation of

the contract/agreement or subcontract for default at no cost to the U. S.
Government or the State of Missouri.
Nothing contained in the foregoing shall be construed to require estab-
lishment of a system of records in order to render, in good faith, the
certification required by this provision. The knowledge and information
of a consultant/contractor is not required to exceed that which is normally
possessed by a prudent person in the ordinary course of business dealings.

This certification concerns a matter within the jurisdiction of an agency
of the United States of America and the making of a false, fictitious, or
fraudulent certification may render the maker subject to prosecution under
Title 18, United States Code,Section 1001.

SCOPE OF SERVICES

STAGE 1 Prior to initiation of the Master Plan program, a "kick-off"
meeting will be held with the Airport Advisory Committee to
discuss the Scope of Services,project schedule,and Commit-
tee review process. Continuous coordination with,and input
from,the Committee throughout the plan process is essential
for a workable course of action to result.
Element 1 -Inventory
Task 1.1 Review Existing Data
Existing data on aircraft activity and area socio-economic
characteristics will be assembled from local, state, regional
and federal sources and reviewed to provide a basis for the
forecasts of aviation demand. The existing airport will be site
1, inspected to detennine the types and condition of facilities
and development constraints,if any.
Task 1.2 Aerial Photos

local airport improvement priorities.These responses will be

Task 1.6 Wind Analysis
A wind rose will be prepared to indicate wind coverage at
both 12 and 15 mph for various runway alignments.
Element 2 -Demand Forecasts
Task 2.1 Aircraft and Activity
Forecasts will be prepared for based aircraft, aircraft opera-
tions (activity), aircraft mix (types of aircraft), instrument
approach activity,and air passengers at Jefferson City for the
short(1990-1995),intermediate(1996-2000)and long(2001-
2010) range periods. City population forecasts, F.A.A.
registered aircraft data,and other data sources will be utilized.

Element 3 -Facility Requirements
Task 3.1 Identification of Required Facilities by Phase
Airport requirements at Jefferson City, based on the demand
. forecasts,will be identified by phase(short,intermediate and
long-range)and presented in tabular form. Specific facilities,
based on F.A.A./state criteria, safety and efficiency, will

Task 3.2 Evaluation of Development Alternatives
A preliminary Airport Layout Plan and report based on
careful consideration of all alternatives will be prepared to
graphically indicate the Consultant's general development

" hazard situation will be performed. Potential approaches to
reduce flood frequency at the airport site will be identified

and evaluated. These efforts will be Coordinated with the
Corps of Engineers office in Kansas City. A summary will
be included in the report text. A summary of the air passenger
service study will also be provided and related to facility
requirements. This report will be submitted to the City and
the Aviation Section of the Missouri Highway and Transpor-

Task 3.3 Meeting
A preliminary report will be prepared and submitted to the
City and the MHTD. A meeting (City/Consultant) will be

Element 4-Environmental Assessment
An Environmental Assessment will be prepared in accord-
ance with F.A.A. Order 5050.4A entitled "Airport Environ-
.: mental Handbook." Impacts to both the human and natural

r environments will be assessed. Economic and social factors,
aircraft noise,and land use patterns will be considered in the
human environmental analysis. Air quality, water, vegeta-
tion,wildlife, waterfowl, and natural resources will be con-
' sidered in the natural environmental analysis.
A project Public Hearing will be offered following comple-
tion of the preliminary environmental assessment report. If
apublic hearing is requested in writing,the City will advertise
and give notification(local newspaper)of the public hearing
at least thirty (30) days prior to the hearing. The City will
then hold the hearing with the assistance of the Consultant.
All comments received up to and during the hearing will be'

included in the public hearing transcript to be prepared by the
City. The Consultant will respond to all comments and
questions submitted prior to and during the hearing. These
< responses will be included in the final Environmental Assess-
ment which will be prepared in accordance with F.A.A.Order
5050.4A. The preliminary assessment with input from the
City, NUM personnel, Executive Order 12372 Agencies,
' the public hearing, and Consultant response will constitute
the final Environmental Assessment Report. This final report
i will be submitted to MHTD to initiate review.

One (1) copy of the "draft" Environmental Assessment will
be provided to MHTD for review. Ten (10) copies of the
"final"environmental assessment will be provided to NIHTD
for distribution and coordination. The final environmental
assesssment will be published separately as an independent
document and capable of standing alone.

The purpose of this plan is for utilization by the City in

of 1" = 1000' to show the area surrounding the airport.
Existing land use,the airport approach areas,existing airport
property limits,City limits,planning area,etc.,will be iden-
tified. Potential conflicts with respect to obstructions and

Task 5.6 On-Airport Land Use Plan
The On-Airport Land Use Plan will identify land use within
the airport property. Existing lease areas, additional areas
available for lease,and potential industrial development sites
will be identified.

A property map will be prepared to indicate the various tracts
r on the airport and how they were acquired(i,e.,federal funds,
surplus property,local funds only,etc.). Easements will also
be included.

Task 6.1 Schedule of Priorities
Information obtained from local industries, business firms,
and pilots will be related to physical improvements in order
of local importance. A general phasing program will be

Task 6.2 Cost Estimates

item. Quantities,unit costs,total cost and probable local costs
will be established for each item for each of the three phases.
The items included in each phase will be adjusted based on

Task 6.3 Financial Plan
The airport's development history will be researched to ideatify land credit opportunities, if any. Recominendations for
increasing airport revenues will be identified based on the
Consultant's experience at other similar airports. A method
of financing each development phase will be formulated with
emphasis on solving current problems economically. A
project to alleviate current deficiencies will be assembled and
a preapplication for federal assistance will be prepared, if
requested.

Task 7.2 Final Report
A final report will be assembled from the information

(10) preliminary copies for review. These copies will be
f submitted to the local review committee and F.A.A. to be
reviewed for thirty (30) days. If no comments are received
during that period, fifty (50) copies of the Final Report will
be printed and submitted to the City. Each Final Report will
contain reduced copies of the plan drawings. In addition,five
(5) sets of full-size prints of the drawings will be submitted
to the City along with the original mylar tracings.
