BY AND BETWEEN the City of Jefferson City, Missouri, hereinafter called the k "Sponsor", end Bucher, Willis & Ratliff, Consulting Engineers, Planners and Architects, with offices located in Kansas City, Missouri, hereinafter called the "Consultant". w WHEREAS, the Sponsor is desirous of making the following improvements to the Jefferson City Memorial Airport: If: 1. Install guidance signs for Runways 12-30 and 8-26 in accordance with Part 139, Federal Aviation Regulations; WHEREAS, the Sponsor has agreed to employ the Consultant to perform the engineering services in preparing designs, construction plans, contract documents/specifications, tabulation of construction quantities, and construction cost estimates for the above-stated airport p improvements, and for providing construction inspection for the above stated improvements, NOW, THEREFORE, in consideration of these premises and the mutual covenants contained, the parties hereto agree as follows: ARTICLE I F SCOPE OF SERVICES The Consultant, in consideration of the payment on the part of the Sponsor, agrees to I perform the planning and engineering services enumerated as follows: This scope of services will produce construction plans, contract documents/ specifications, tabulation of construction quantities, and estimates of construction costs. The ' Consuoltant will assist the Sponsor in the advertisement for construction bids, receipt of bids, ` award of construction contracts, material testing and inspection of construction. All services will be performed in accordance with good engineering practice and applicable published M design criteria of the Federal Aviation Administration (F.A.A.). The following is a detailed i description of the specific services by phase that are a duty of this Agreement. i A. Preliminary Engineering: 1. Site inspection. 2. Meeting with Sponsor. B. Construction Services, the Sponsor shall Mt compensate the Consultant on the basis of payroll cost times a factor of 2.32 plus the fixed , : _. payment for services rendered by principals and employees assigned to this project. , " For engineering services applicable to Item E., the Consultant shall submit monthly statements to the Sponsor for payroll costs and all other expenses incurred on the project and shall include a P ro-rata share of the fixed payment in proportion of the statement amount to the not-to-exceed amount. i`4 s5 ' The fixed payment to the Consultant for services as outlined in Item E., Constriction F Services shall be $1,257.73 and the total payment to the Consultant shall not exceed $9,642.00 ' { unless the construction contractor(s) exceeds a contract period of thirty (30) calendar days. If the construction period exceeds thirty (30) calendar days, the Consultant can renegotiate the fixed payment and not-to-exceed amount. Total compensation under this contract shall not exceed the sum of Twenty-One Thousand Dollars ($21,000.00). The Resident Inspector rate includes salary, overhead, mobilization, and demobilization. The travel on or off the job required of the Resident Engineer/Inspector will be compensated at $0.23/mile. It is intended that, under normal working conditions, the Resident lh';tr Engineer/Inspector will reside in the Jefferson City, Missouri, area. Travel expenses and labor � ` '�IA, �,NV",z will be charged for trips to and from the Bucher, Willis & Ratliff Kansas City office. � Progress payments shall be made to the Consultant within thirty (30) days of receipt of proper billing in accordance with the following: t`t L A. Construction Services Monthly Statement ARTICLE IV STANDARD DOT TITLE VI ASSURANCE During the performance of this Contract, the Consultant for itself, its assignees and + successors in interest agree as follows: 4 1. Comuliance with Regulations. The Consultant shall comply with the regulations w relative to nondiscrimination in Federally-assisted programs of the Department of Transportation (hereinafter "DOT") Title 49, Code of Federal Regulations, Part 21, as they may be amended from time to time, (hereinafter referred to as the Regulations), which are herein incorporated by reference and made a part ' of this Contract. 2. Nondiscrimination. The Consultant,with regard to the services performed during the Contract, shall not discriminate on the grounds of race, color, or national origin in the selection and retention of subcontractors, including procurement of K' materials and leases of equipment. The Consultant shall not participate either f. d . .. directly or indirectly in the discrimination prohibited by Section 21.5 of the h Regulations, including employment practices when the Contract covers a program I. set forth in Appendix B of the Regulations. r r 3. Solicitations for Subcontracts. including Procurement of Materials and p EQuipment. In all solicitations either by competitive bidding or negotiation made by the Consultant for services to be performed under a subcontract, including procurement of materials or leases of equipment, each potential subcontractor or supplier shall be notified by the Consultant of the Consultant's obligations under this Contract and the Regulations relative to nondiscrimination on the grounds of race, color, or national origin. 4. Information and Reyorts. The Consultant shall provide all information and E ; reports required by the Regulations or directives issued pursuant thereto, and shall permit access to its books, records, accounts, other sources of information, fi M and its facilities as may be determined by the Sponsor, MHTD, or the Federal Aviation Administration to be pertinent to ascertain compliance with such Regulations, orders and instructions. Sanctions for Noncompliance. In the event of the Consultant's noncompliance with the nondiscrimination provisions of this Contract, the Sponsor shall impose ' such Contract sanctions as it or the Federal Aviation Administration may determine to be appropriate, including, but not limited to: a. Withholding of payments to the Consultant under the Contract until the r ' Consultant complies; and/or b. Cancellation, termination or suspension of the Contract, in whole or in part. 6. Incorporation of Provisions. The Consultant shall include the provisions of paragraphs 1 through 6 in every subcontract, including procurement of materials and leases of equipment unless exempted by the Regulations or directives issued pursuant thereto. The Consultant shall take such action, with respect to any subcontract or procurement, as the 'Sponsor or the Federal Aviation Administration may direct as a means of enforcing such provisions including sanctions for non-compliance. Provided, however, that in the event a Consultant becomes involved in or is threatened with litigation with a subcontractor or supplier as a result of such direction, the Consultant may request the Sponsor to enter into such litigation to protect the interest of the Sponsor and, in addition, the Consultant may request the United States to enter into such E4 litigation to protect the interest of the United States. z' ARTICLE VI DISADVANTAGED BUSINESS ENTERPRISE (DBE) ASSURANCES y 1. Policv. It is the policy of the Department of Transportation (DOT) that disadvantaged business enterprises as defined in 49 CFR Part 23 shall have the " maximum opportunity to participate in the performance of contracts financed in whole or in part with Federal funds under this agreement. Consequently, the DBE requirements of 49 CFR Part 23 apply to this agreement. 2. DBE Obligation. The Consultant agrees to ensure that disadvantaged business enterprises as defined in 49 CFR Part 23 have the maximum opportunity to participate in the perform-ance of contracts and subcontracts financed in whole or in part with Federal funds provided under this agreement. In this regard, the Consultant shall take all necessary and reasonable steps in accordance with 49 CFR Part 23 to ensure that disadvantaged business enterprises have the maximum opportunity to compete for and perform contracts. Is not owned or controlled by one or more citizens or nationals of a foreign country included in the list of countries that discriminate against U.S. firms published by the Office of the United States 'Trade Representative (USTR); V 2, Has not knowingly entered into any contract or subcontract for this project with '+ a Consultant that is a citizen or national of a foreign country on said list, or is `{e owned or controlled directly by one or more citizens or nationals of a foreign .{ country on said list; tit y{: 3. Has not procured any product no* subcontracted for the supply of any product �. for use on the project that is produced in a foreign country on said list. Unless the restrictions of this clause are waived by the Secretary of Transportation in accordance with 49 CFR 30.17, no contract shall be awarded to a Consultant who is unable to certify to the above. If the Consultant knowingly procures or subcontracts for the supply of any product or service of a foreign country on the said list for use on the project, the i Federal Aviation Administration may direct, through the Sponsor, cancellation of the contract - at no (cost to the Government. � '(t ''✓ Further, the Consultant agrees that, if awarded a contract resulting from this solicitation, it will incorporate this provision for certification without modification in each contract and in <; <"IQ all lower tier sub-contracts. The Consultant may rely upon the certification of a prospective <. subconsultant unless it has knowledge that the certification is erroneous. :. The Consultant shall provide immediate written notice to the Sponsor if the Consultant learns that its certification or that of a subconsultant was erroneous when submitted or has become erroneous by reason of changed circumstances. The subconsultant agrees to provide Jy `. x, --•. immediate written notice to the Consultant, if at any time it learns that its certification was erroneous by reason of changed circumstances. y ' 1 This certification is a material representation of fact upon which reliance was placed when making the award. If it is later determined that the Consultant or subconsultant knowingly rendered an erroneous certification, the Federal Aviation Administration may direct, through the Sponsor, cancellation of the contract or subcontract for default at no cost to the Govemment. Nothing contained in the foregoing shall be construed to require establishment of a I system of records in order to render, in good faith, the certification required by this provision. The knowledge and information of a Consultant is not required to exceed that which is ` normally possessed by a prudent person in the ordinary course of business dealings. :. The Scope of Services described herein shall be subject to M modification or supplement upon the written agreement of the contracting parties. ar' Any such modification in the Scope of Services shall be incorporated in this Agreement by supplemental agreement executed by both parties. r 2. Termination of Contract a. The Sponsor may, by written notice, terminate this contract in whole or in part at any time, either for the Sponsor's convenience or because of a' failure to fulfill the contract obligations. Upon receipt of such notice, services shall be immediately discontinued (unless the notice directs otherwise) and all materials as may have been accumulated in performing ;. this contract, whether completed or in process, delivered to the Sponsor. ' b. If the termination is for the convenience of the Sponsor, an equitable adjustment in the contract price shall be made, but no amount shall be s� allowed for anticipated profit on unperformed services. C. If the termination is due to failure the contractor's obligations, the Sponsor may take over the work and prosecute the same to completion by contract or otherwise. In such case, the contractor shall be liable to F.= the Sponsor for any additional cost occasioned to the Sponsor thereby. . d. If, after notice of termination for failure to fulfill contract obligations, '. it is determined that the contractor had not so failed, the termination ;i shall be deemed to have to have been effected for the convenience of the Sponsor. In such event, adjustment in the contract price shall be made as provided in paragraph 2 of this clause. e. The rights and remedies of the Sponsor provided in this clause are in addition to any other rights and remedies provided by law or under this contract. 3. Breach of Contract_Terms - Sanctions Any violation or breach of the terms, of this contract on the, part of the contractor or subcontractor may result in the suspension or termination of this contract or such other action which may be necessary to enforce the rights of K, the parties of this agreement. r. 4. Ownership of Drawings and Contract Documents. Original documents, tracings, plans, specifications and maps prepared or obtained under the terms of the Contract shall be delivered to and become the property of the Sponsor, and basic survey notes and sketches, charts, computations, and other data shall be made available upon request by the Sponsor without restriction or limitation A on their use. In the event any of the above documents are re-used by the Sponsor, the name plates will be removed and the .Consultant will be released 7 • �x and held harmless of subsequent liabilities. There shall be no legal limitations upon the Sponsor in the subsequent use of plans or ideas developed in this project and incorporated in the preliminary or final reports or plans for the subsequent preparation of construction plans. S. InsDection of Records. The contractor shall maintain an acceptable cost accouinting system. The Sponsor, the MHTD, the Federal Aviation Administration, and the Comptroller General of the United States shall have access to any books, documents, paper, and records of the contractor which are directly pertinent to the specific contract for the purposes of making an audit, examination, excerpts, and transcriptions.
