CONTRACT FOR PROFESSIONAL, SERVICES
PART I - AGREEMENT

WHEREAS, the City has entered into a contract with the

tick{. Missouri Department of Natural Resources, Division of Parks,
Recreation and Historic Preservation, Historic Preservation Program

(also commonly known as the Missouri State Historic Preservation
Office) for a Historic Preservation Fund grant to perform a survey
of historic structures located in an area bounded by the Missouri
t` River, McCarty Street, Adams Street and Mulberry Street; and
WHEREAS, the City entered into a contract dated August 21,
1989, with the Contractor for Phase I of the historic preservation
study and is now desirous of proceeding with Phase II; and
WHEREAS, the City desires to engage Contractor to render
certain services in connection therewith;
NOW, THEREFORE, the aforementioned parties agree to the

1. SCOPE OF SERVICES
Contractor shall, in a satisfactory and proper manner, perform
' the following tasks:
° r Task 1. Workshop Number One
4'' The contractor will meet with local individuals to better
understand
preservation needs and objectives. Particular attention
will be directed to those individuals who are preparing the draft
ordinance. The contractor will review findings from the survey
phase, highlighting special issued, potential problems and
1y` opportunities identified. The contractor will review general
directions to be represented in the guidelines, addressing major
issues by topic, aesthetic benefits associated with implementation
and economic issues and opportunities.

Task 2. Working Draft of Guidelines
The contractor will prepare appropriate text and graphic
materials in preliminary form in order to address the following
rt matters, which will be incorporated into the final guidelines

The contractor will meet with the city and local representa-
tives in order to discuss the guidelines in draft form and to

.n . review substantive issues associated with their implementation.
The contractor will present the preliminary recommendations con-
•.` twined in the draft and discuss options and alternatives with
respect to these recommendations. This second work session will
J„ allow for discussion among all interested parties as a basis for
refinement of the materials presented in draft form.

Task 4. Preparation of Final Guidelines

Based on input f rom the city and other
obtained at the time of the mid-term workshop, the contractor
will take the preliminary written and draft graphic materials and
turn them into a final set of guidelines suitable for adoption �
Y`A and issuance by the city. The final document will include a sec-
tion on implementation, relating the guidelines to the proposed

ordinance presently being prepared and to other policies and pro-
t"`! grams which can be used to translate the guidelines into action.
It will also include a glossary of terms for ready understanding
" b the general public of the document and terms within it. The

contractor will provide a photo-ready set and ten copies of the
;4t documents for review and distribution by the city.
Task 5. Final Preparation
The contractor will participate in a final meeting in
Jefferson City in order to review recommendations and the guide-
' lines in final form. The contractor will comment on the proposed

ordinance and other implementation alternatives in connection

with the guidelines and possible incentives to expedite their
acceptance.
Project work will be submitted and all payments made pert the
milestone/payment schedule and project budget which follows. A.
2. APPLICABLE STANDARDS
In performing the above-mentioned services the contractor
shall refer to and, to the maximum extent possible, prepare the
guidelines in conformance with the Secretary of the Interiors
"Standards and Guidelines for Archeology and Historic Preserva-
tion" ; the State Historic Preservation Officer (SHPO) shall pro-
vide the contractor with a copy of the Standards and any changes
which may occur in the course of this contract.

'yf 3. TIME OF PERFORMANCE
H The services of contractor shall commence as soon as practi-
cable after the execution of this contract or at a time accept-
able to both contractor and the city and shall be undertaken and
completed in such sequence as to assure their expeditious comple-
tion in light of the purposes of this contract; but in any event,
all of the services required hereunder shall be completed by
August 15, 1991.

4 . COMPENSATION/VERIFICATION AND METHOD OF PAYMENT
The City agrees to pay Contractor the sum of $13 , 980. Funds
shall be disbursed upon successful completion of the above stated
milestone/payment schedule.
In every case, payment shall be subject to receipt of a
requisition for payment from the Contractor specifying that he has
performed work under the Contract in conformance with the Contract
and that he is entitled to receive the amount requisitioned under
the terms of the Contract. Satisfactory performance required under
the Contract shall be determined by
the Missouri Department of
Natural Resources.
Ye 5. OTHER OBLIGATIONS
The Contractor shall be obligated, within this Contract, to
pick up, beginning with the starting date of th is contract, all
costs of photography, travel, copying, typing, wordprocessingi
needed to
5s, mailing, phone calls and any expendable supplies that are n
complete this Contract. The City shall pick up all the costs of
bookkeeping, administration, payment processing, record retention,
and any other operational costs not specified above.
6. PROJECT ADMINISTRATION
The Contractor shall arrange conferences periodically between
himself and a duly appointed representative(s) of the Missouri
Department of Natural Resources and/or the city to ensure work
progress in accordance with the approved project.
The Contractor, at such times and in such form as the Missouri
Department of Natural Resources and/or the City may require, shall

The Contractor shall furnish
periodic reports pertaining to
the services undertaken pursuant to this Contract and the costs
and obligations incurred or to be incurred in connection there-
; '' with. Materials gathered pursuant to this agreement shall be
available for inspection, at the contractor's place of business, 'h

by either the Missouri Department of Natural Resources and/or the
City upon a one-week request. k
7. QWNERSHIR_OF DOCUMENTS
All documents, forms, plane, maps, research notes, pho-
tographs
and negatives, and any other materials accumulated or
produced by the Contractor as a part of this contract shall s;
k, become the property of the City, however, all such documents and
materials shall remain available for use by the Contractor.
8. AMENDMENTS
f.} No substantial changes in this Contract may occur without
Tt` t prior written approval from both the City and the Department of
Natural Resources (hereinafter called "the Department") . '
Approved changes in the scope of work or budget shall be incorpo-
rated in written amendment to the agreement.
9. TERMINATION FOR CAUSE
,. The City and the Department, acting in conjunction, may sus-
pend or terminate this Contract in whole, or in part, at any time
before the date of completion, whenever it is determined that the
Contractor has failed to comply with the provisions of the Con-

tract. The City and the Department shall promptly notify the
Grp Contractor in writing of such a determination and the reasons for
the suspension or termination, together with the effective date.
' On such event, all draft and finished project work, maps, pho-
tographs, repots, etc. prepared under this contract shall, at the
f' discretion of the City, become its property and the Contractor
shall be entitled to receive just and equitable compensation for
any work satisfactorily completed hereunder.
10. TERMINATION FOR CONVENIENCE
The City or the Consultant may terminate this Contract in
whole or in part, when both parties agree that the continuation
of the project would not produce beneficial results commensurate
with the further expenditure of funds. The Contractor may termi-
nate the agreement at any time prior to the commencement of the
project.

3 . RECORDS AND AUDITS " r
The Contractor shall maintain accounts and records, including .N �

account for all costs pertaining to the Contract and such other
records as may be deemed necessary by the Department of Natural ,
Resources, to assure proper accounting for all activity funds, both

or any authorized representative, and will be retained for three ?'

The Contractor may not expend grant funds for the use of

authorization for the use of non-public information on the basis
that the use is for the public good.
