AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH MISSOURI STATE
EMPLOYEES RETIREMENT SYSTEM (MOSERS) FOR CONTRIBUTION TO STREETS
AND LAND DEVELOPMENT.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS:
;r Section 1. The Mayor and City Clerk are hereby authorized and
directed to execute an agreement with Missouri State Employees `
Retirement System (MOSERS) for contribution to streets and land
development.
Section 2. The agreement shall be substantially the same in ,
form and content as that agreement attached hereto as Exhibit A.
Section 3 . This Ordinance shall be in full force and effect
from and after the date of its passage and approval .

AGREEMENT
THIS AGREEMENT dated this da y of 1990 r

z made by and between the City of Jefferson, M' ssauri, a municipal
corporation, (the "City") and the Missouri State Employees
Retirement System, a body corporate ("MOSERS") .
WHEREAS, MOSERS has entered into that certain contract for
Sale of Real Estate dated September 17, 1990, by and between MOSERS
and Capital City Industrial Corporation
p (the "Seller") whereby
Seller has agreed to sell and MOSERS has agreed to ":a

certain real property located in the County of Cole, State of
Missouri, and more particularly described on Exhibit A attached
hereto and incorporated herein by reference (the "Property") ;) ; and

` WHEREAS, presently Edgewood and Wildwood Drives (the "Drives")

NOW, THEREFORE, in consideration of Ten Dollars ($10. 00) and
other good and valuable consideration, the receipt and sufficiency
of which is hereby acknowledged, the parties hereby agree as
follows: m

1. The City, within twelve 12 months following the date hereof
'- shall submit plans and specifications to MOSERS for the
proposed construction and extension of the Drives together
with an estimated budget with respect to such construction and
extension which budget shall be divided into the estimated r ,
�> cost for Wildwood Drive and Edgewood Drive, respectively. ' ", �•
Within forty-five (45) days following MOSERS receipt of the ` • l .
City's proposed plans and specifications and estimated budget
for the construction and extension of the Drives, MOSERS shall
approve or disapprove the same and shall specify in any notice
of disapproval MOSERS ' reason for such disapproval. The City
shall make any revisions to the plans and specifications which
are mutually agreed upon following receipt of the comments and
suggestions from MOSERS and shall submit such revised plans to '
MOSERS within forty-five y- (45) days following receipt of
MOSERS ' comments.
2 . The City shall commence such action as the City shall deem
necessary or appropriate to accomplish the construction and extension of Wildwood Drive not later than December 31, 1994,
and the construction and extension of Edgewood Drive not later

for all cost and expenses associated with the design,
administration and inspection with respect to the construction
and extension of the Drives and that MOSERS shall have no
liability therefor. ..r..
4. It is the intent of the City that a portion of the Property <};

which will be served by these roads be used for the location
of state office buildings. While recognizing that there are
variables involved in the location of state office buildings

which are beyond the control of either party, MOSERS agrees

that should it decide not to make a portion of the Property "x
available for the location of state office buildings for other yrt ;

that it shall bear one hundred percent (1000) of the cost of
the Drives set out in paragraph 3 above. In the event through
no fault of either party, the state chooses not to locate on
the Property, as evidenced by the failure to appropriate any � 4 , {

5 . The City shall complete the construction and extension of „h1

construction and extension of the Drives as set forth herein
is not completed within the time periods set forth in
paragraph 5 hereof subject to force majeure, the City, at .k

the amount of One Million Four Hundred Fifty-eight Thousan
