BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS

FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized and

` directed to execute an agreement with Steinmetz Automotive, Inc. , �t
for general automotive transmission repairs for all city. ^�
Section 2 . The agreement shall be substantially the same in
form and content as that agreement attached hereto as Exhibit A. F

AUTOMOTIVE TRANSMISSION REPAIR
THIS AGREEMENT made and entered this day of
1990, by and between the City of Jefferson, Missouri, a municipal ,. .
corporation, hereinafter referred to as "City, " and Steinmetz
Automotive, Inc. , hereinafter referred to as "Contractor. " wv.

WHEREAS, The City from time to time is in need of repairs for
automotive transmissions; and '

WHEREAS, Contractor is willing to enter into this Agreement ;
with respect to his employment and services upon the terms and

NOW, THEREFORE, be it agreed as follows: "S

1. Scope of Services. The scope of services for repair of
automotive transmissions shall consist of the followin4 ,.,:r
Repair all City vehicle transmissions with the exception of Allison ?
t ��w..
transmissions. All parts and materials supplied and used by the
' Contractor for transmission repair shall be new and equal to the
original manufacturer equipment, except as stated below:
No parts, accessories, or supplies shall be used which may '
void the vehicle manufacturers warranty. When not concerned
with the vehicle warranty the ordering department may
authorize use of rebuilt assemblies or sub-assemblies when
such is standard industry practice and the rebuilt item ;
carries the same warranty as the new assembly or sub-assembly.
Repairs shall be for the following:
` Front Wheel Drive; Chrysler, No. 404 ; Ford, No. ATX; and
,f Chevrolet, No. 125 .
Rear Wheel Drive; Chrysler, No. 727 & 904 ; Ford, No. C3 , C4 &

C6; Chevrolet No. 350, 400 & 70OR �
2 . Contract Period. This contract shall be in effect from `t
October 1, 1990 through September 30, 1991. With the written
{: consent of both parties, the contract may be extended on an annual

basis for two (2) additional one year periods at the same rate
provided ninety (90) days notice of non-renewal shall be given by
either party. t

3 . Contract Amount. The amount of the contract shall be
$7,000.00.
4 . Payment. Payment shall be made to Contractor by City upon
submission of an itemized statement following completion of the
project.

5. Indemnity. Contractor agrees to indemnify and hold harmless

7. Authorization for Service/Repair. The Department of
Transportation or his designee shall be the authorized
representative of the City for the authorization of service and/or t,

8. Failure to Perform. Should Contractor fail to provide �

} r services as set forth pursuant to this contract, or fail to meet
. � : this contract may be canceled at
any of the contract provisions,
the sole option of the City upon giving f ive (5) days written
notice to Contractor.

° 9. Cancellation. This contract shall be subject to cancellation
by the City at any time following fifteen (15) days notice.
