MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH BOYD, BROWN,

' BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS:
Section 1 . The Mayor and City Clerk are hereby authorized and
'J directed to execute an agreement with Boyd, Brown, Stude and
Cambern for the design of the Jefferson Street Parking Garage. The
amount of the contract shall not exceed $68, 000. 00 .
Section 2 . The agreement shall be substantially the same in `
;7 form and content as that agreement attached hereto as Exhibit A.
Section 3 . This Ordinance shall be in full force and effect
from and after the date of its passage and approval..

DESIGfN/CONSTRUCTION AGREEMENT
THIS AGREEMENT made and entered into this day of
1990, by and between the City of Jefferson, Missouri, a municipalB
corporation, hereinafter referred to as "City, " and Boyd, Brown ,
Stude & Cambern, Consulting Engineers, 800 West 47th Street, Suite ,
.-� 600, Kansas City, Missouri, 64112 , hereinafter referred to as
"Consultant" .

THAT
{; , WHEREAS, the City desires to engage the Consultant to
render certain technical and professional services hereafter5`' i `
described in connection with the design/construction of Jefferson
Street Parking Garage and more particularly described in Exhibit I;

WHEREAS, the Consultant made certain representations and
statements to the City with respect to the provision of such
services and the City has accepted said representations and is
7° authorized by action of the City Council adopted November 5 1990 � ? 1
to enter into a contract with the Consultant for the performance of 1
- services by the Consultant.

NOW, THEREFORE, for the considerations herein expressed, it is
agreed by and between the City and the Consultant as follows:
1. The City agrees to engage the services of the Consultant to
,. perform the services hereinafter set forth in connection with

project described in Exhibit I.
f 2 . The City may add to Consultant services or delete there-from
activities of a similar nature to those set forth in paragraph 1,
provided that the total cost of such work does not exceed 'the total
cost allowance as specified in paragraph 6 hereof. The Consultant
.' shall undertake such changed activities only upon the direction of
the City. All such directives and changes shall be in written form
tand prepared and approved by the office of the Director of ,�
Transportation and shall be accepted and countersigned by the
Consultant or his agreed representatives.

3 . All information, data, and reports as are existing, available r
. and necessary for the carrying out of the work, shall be furnished
to the Consultant without charge by the City, and the City shall
cooperate with the Consultant in every reasonable way in carrying
' out the scope of services.
4 . The Consultant represents that Consultant has or will secure
at its own expense, all personnel required to perform the services r
,5. called for under this contract by Consultant. Such personnel
shall not be employees of or have any contractual relationship with the City except as employees of the Consultant. All of the
services required hereunder will be performed by the Consultant or
under Consultants direct supervision and all personnel engaged in

the work shall be fully qualified and shall be authorized under
state and local law to perform such services. None of the work or •N;'.

I services covered by this contract shall be subcontracted without y .. ,

{ 5. The services of the Consultant shall commence as directed in
the Notice to Proceed and shall be undertaken and completed in such
sequence as to assure their expeditious completion in the light of
the purposes of the contract, but in any event, all of the s ervices Y
required hereunder shall be completed within four calendar months
from the date of execution of this contract.
6 . The City agrees to pay the Consultant in accordance with theFr_,, p
terms set forth in Exhibit I, which shall constitute complete r ,..

It is expressly understood that in no event with the total
compensation and reimbursement to be paid to the Consultant under =r,..:, <.»,t

` and mutually agreed to in writing by both the City and the ' "y~'
Consultant. No change shall be made unless there is a substantial

7 . The City will pay the Consultant in accordance with the rate
set forth below, which shall constitute full and complete ,
compensation for the Consultant services hereunder. Such compere- �>
sation will be paid in progress payments, as established by the x>
City. The final payment will be subject to receipt of a requisi-
tion for payment and a statement of services rendered from the

Consultant that the Consultant fully performed with work to be paid a
for in such progress payments in conformance with the contract.

?} 8. If, through any cause, the Consultant shall fail to fulfill in
timely and proper manner its obligations under this contract, or if i
the Consultant shall violate any of the covenants, agreements, or
h•. stipulations of this contract, the City shall thereupon have the
right to terminate this contract by giving written notice to the
Consultant of such termination and specifying the effective date
thereof, at least five (5) days before the effective day of such
' termination.
f^ City or Consultant may without cause terminate this contract
':. upon 30 days prior written notice. In either such event, all
finished or unfinished documents, data, studies, surveys, drawings,
maps, models, photographs and reports or other materials prepared
' by the Consultant under this contract shall, at the option of the
City, become its property, and the Consultant shall be entitled to
receive just and equitable compensation for any satisfactory work
completed on such documents and other materials. Notwithstanding
the above, the Consultant shall not be relieved of liability to the �•
City for damages sustained by the City by virtue of any such breach
of the contract by the Consultant.

j 9 . The Consultant shall not assign any interest in this contract, ak '
and shall not transfer an interest in the same

assignment or novation) , without prior written consent of the City '`'
thereto. Any such assignment is expressly subject to all rights �,,` • ;
and remedies of the City under this agreement, including the right
Ft to change or delete activities from the contract or to terminate 5
the same as provided herein, and no such assignment shall require '
the City to give any notice to any such assignee of any actions
/ which the City may take under this agreement, though City will
attempt to so notify any such assignee. ;;'
10. Any reports, data, or similar information given to or prepared

any individual or organization by the Consultant without prior

12 . The Consultant is an independent contractor and nothing

13 . The Consultant shall not be entitled to any of the benefits y`
established for the employees of the City nor be covered by the
Workmen's Compensation Program of the City. '
l 14. The parties mutually agree to the following:
a. In no event shall the City be liable to the Consultant
for special, indirect, or consequential damages, except `
those caused by the City' s negligence, arising out of or
in any way connected with a breach of this contract. The f`

x b, The Consultant shall defend, indemnify, and hold the City txi
harmless from and against all claims, losses, and
liabilities arising out of personal injuries, including
death, and damage to property which are caused by the
Consultant arising out of or in any way connected with
this contract.
15. All notices required or permitted hereinunder and required to r
be in writing may be given by first class mail addressed to City at
320 E. McCarty, Jefferson City, Missouri 65101, and Consultant at
800 West 47th Street, Suite 600, Kansas City, Missouri, 64112 . The

We are pleased to submit this proposal to provide Professional Engineering and
Architectural Services in connection with the above referenced project. We list ;
below our proposed Scope of Services.
` s BBSC SCOPE OF SERVICES
I. Preliminary Design Phase
A. Develop preliminary plan drawings for a two level garage at this site
based upon the schematic plan furnished you on August 14, 1990. The
drawings will include a garage of approximately 20,000 square feet,
revision of the existing lot grading reducing the slope to a maximum
a of 10 percent, incorporating retaining walls west of the garage to allow this regrading, and providing a stairway at the southeast
' corner from grade to the upper level. Preliminary drawings to ti
.' • include recommendations for exterior treatment that will be
compatible with the surrounding buildings.
B. Perform a preliminary structural analysis to define recommended type

`• C. Review the existing soil report to insure that the proposed garage
structure is compatible with the geotechnical requirements.
D. Provide a written report to the City Director of Transportation
including evaluations, recommendations, cost estimates and probable

E. Meet with the City to review the submittal and project requirements.
II. Final Design Phase
A. Complete the design and contract drawings for the above noted garage
facility incorporating City review comments.
B. Prepare contract Specifications for the project. Apply for State
Wage Determinations.
C. Update the Engineer's Cost Estimate.
D. Submit the plans, specifications and cost estimate to the City
Director of Transportation for review.

E. Meet with the City to discuss their review, project scheduling and
then to incorporate any desired revisions.
111. Bidding Phase
A. Distribute documents to prospective bidders. Prepare any necessary
addendums and contract document interpretations with approval of the
Director.
B. Assist the City in evaluating bids and provide recommendations to
the Director.
IV. Construction Phase
A. Provide construction Administration for rehabilitation of the garage.
B. Review contractor submittals and shop drawings for conformance with
the contract documents.
C. Review contractor monthly pay requests for conformity to the
completed construction.
D. Provide part-time observation of construction services. Reference
is made to Appendix A for estimated number of site visits upon which
contract fee is based.
E. Provide closeout punch list inspections.
F. Provide the City with a set of reproducible record documents based
upon records maintained by the contractor.
SERVICES BY OTHERS
1. It is assumed that the Owner will
make available all existing site
topographical and utility surveys and other information, which will
accurately portray the existing site features.
2. It is assumed that the Owner will make available the existing subsurface
exploration and foundation engineering report for use in designing the new
arage. It is further assumed that the Owner will provide for any desired
discovery and removal of contaminated subsoil materials.
3• It is assumed that the Owner or Contractor will provide for all laboratory
testing of materials during construction.
4. It is assumed that the power company will design, detail and perform
construction work associated with the relocation of existing transformer

and related existing power utilities.
5. It is assumed that the City will reimburse the Engineer for printing and
mailing expenses associated with distribution of bid documents.
COMPENSATION AND COMPLETION SCHEDULE
For the above noted Scope
of Services, the City will reimburse BBSC at our
standard hourly rates for the actual time expended on the project, with the
understanding that the maximum fee will not exceed $68,000 without the City s
written permission. I
We attach Appendix A giving our estimated manhour
requirements, standard hourly rates, and estimated fee computations.
