ORDINANCE NO.
AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH VANLOO ELECTRIC
FOR ELECTRICAL SERVICES TO CITY BUILDINGS.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
...... FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized and
directed to execute an agreement with VanLoo Electric for
Y41 electrical services to City buildings. The amount of the contract
shall not exceed $15, 000. 00.
Section 2. The agreement shall be substantially the same in
form and content as that agreement attached hereto as Exhibit A.
Section 3. This ordinance shall be in full force and effect
from and after the date of its passage and approval.

ELECTRICAL SERVICES AGREEMENT
THIS AGREEMENT made and entered this 10 tL day of ,; 4,

Electric, hereinafter referred to as "Contractor. "

a. WHEREAS, the City of Jefferson is desirous of obtaining

services for the performance of authorized electrical work in City
buildings; ; and
WHEREAS, Contractor is willing to enter into this Agreement
with respect to his employment and services upon the terms and
conditions herein set44;

}A' 1. Scope of Services. The scope of services for authorizedg;5 `"a

2 . Contract Period. This contract shall be in effect from ,

November 1, 1990, through October 31, 1991. With the consent of
both parties, the contract may be extended for two (2) additional

Thousand Dollars ($15, 000.00) .

4 . Payment. Payment shall be made to Contractor by City upon
submission of an itemized statement following completion of the
project.
+` 5. Indemnity. Contractor agrees to indemnify and hold harmless
the City for any and all damages, injuries, actions, costs,
attorney' s fees and other expenses whatsoever arising out of the :a
Mv' performance of said work whether the property or persons damaged

are the servants and employees of the Contractor or third parties
in no manner connected with said work.
6. Prevailing Waae Law. To the extent that the work performed by
contractor is subject to prevailing wage law, principal contractor
; ,. and all subcontractors shall pay not less than the prevailing wage
r hourly rate for each craft or type of workman required to execute

Industrial Relations of Missouri, pursuant to Sections 290. 010 to

Should both parties choose to exercise the option of renewal of
this contract, a three percent (3%) increase shall be applied to

the above rates for the first renewal and a five percent (5%)
increase shall be applied to the rates for the second renewal .
8. Parts and Materials. The City of Jefferson shall provide
material and supplies necessary to complete the work from the State

of Missouri convenience contract unless the City elects not to so �•':
provide. In the event that the City does not provide materials,
the contractor shall provide same and will be reimbursed for his
costs for which he will provide invoices. All work shall be
4.F according to the provisions of the 1984 National Electrical Code

and the provisions of the current and/or any revised Code as
published by the National Fire Protection Association.
9. Unclassified Work. Should the nature of a repair require
labor, equipment and/or material not susceptible to classification
under any items scheduled in the contract, the City can authorize
r the use of the unclassified labor. The rule for unclassified labor
shall be the number of hours actually worked and the repairs plus
} " reasonable travel time and will consist of the individual 's hourly
rate plus hourly fringe benefits plus employer's payroll
contributions with a fifteen percent (15%) additional for overhead
and profit.
Payment for equipment not susceptible to classification under
any scheduled items in the contract, will be limited to:

WITNESSETH:
In consideration of the mutual covenants herein contained and other good and valuable consideration, the
' parties hereto agree as follows:
I. Appointment and Authority. That, upon the terms and conditions herein set forth, Company hereby
appoints Agent its agent for the purpose of and with authority to solicit applications for insurance and bonds,
} deliver and countersign policies and endorsements thereon, deliver bonds, collect premiums for transmission
to Company, bind Company temporarily to permit transmission of applications for insurance and endorsements ''t;s,;2rs'r4 y,
to Company for approval and processing or disapproval, such authority to bind Company being subject to such

restrictions as may be outlined in Company manual or otherwise imposed by Company from time to time.
Nothing contained herein shall be construed to create the relation of employer and employee between Com-
pany and Agent. Agent shall be free to exercise his own judgment as to persons from whom he will solicitYgr ;,: y .t•
Insurance or bonds and the time and place of solicitation, but Company may from time to time prescribe under- ¢j� 4f

i writing rules and regulations respecting the conduct of the business covered hereby (not interfering with such
freedom of action of Agent), which underwriting rules and regulations shall be observed by Agent.
II. Commissions. Company agrees to pay Agent commissions on all premiums remitted upon business sol-
icited by him at the percentages determined in accordance with the commission schedule of Company in effect
at the beginning of the policy period or term as stated in the original policy or in any extension or renewal
thereof, or inception date of a Surety Bond, or effective date of annual or three-year premium period of a Fidelity
Bond. No reduction in any rate of commission, as specified in the commission schedule, may be made until
the Company has had such rate of commission in effect for a period of one year and the Company has given
Agent at least 90-days notice of any proposed reduction in such rate of commission.
III. Supplies. Supplies furnished by Company to Agent for Agent's use in the conduct of his business shall
be property of Company and shall at all times be subject to the inspection and control of Company. Company
shall not otherwise be liable for any of Agent's expenses other than those which it may expressly agree to
assume as a result of negotiations between the parties.
IV. Remittance of Premiums. Premiums shall be considered due from Agent on the first day of the month
following the month in which the policy or bond, additional premium, or excess audit has been charged to j
Agent's statement. If Agent has not remitted all such monies to Company within forty-five days from the end
of the month in which the business is charged, all unrernitted items in the statement shall become delinquent.
Any credit given by Agent to an Insured shall be at Agent's own risk, and any of the provisions herein contained
shall not be construed as an authorization'for the extension of credit by Agent to an Insured on behalf of Com-
pany. Company may, at its option, take over for collection any and all delinquent items in Agent's statement
not collected or remitted for by Agent and in such event, Agent agrees to waive commission thereon.
