f BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,
AS FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized and directed to
execute an agreement with Burns & McDonnell for design of Frog Hollow Arterial
System. The amount of the contract shall not exceed $205,000.00.
Section 2. The agreement shall be substantially the same in form and content
as that agreement attached hereto as Exhibit A.

Section 3. This Ordinance shall be in full force and effect from and after the
date of its passage and approval.

WHEREAS, the City of Jefferson, Missouri, a municipal corporation, hereinafter referred to as City, ,. .:.

WHEREAS, the Contract was for certain technical professional services described in Exhibit A to the Y ;

NOW, THEREFORE, be it agreed as follows:

B. Paragraph 6, entitled"Compensation,"to the Contract of April 16, 1991, is hereby amended to read
as follows:
6. Compensation, The City will pay the Engineer in accordance with the
rate set forth below, which shall constitute full and complete compensation for the
Engineer services hereunder. Such compensation will be paid in progress payments,
as established by the City. The final payment will be subject to receipt of a requisition `
for payment and a statement of services rendered from the Engineer that the Engineer
fully performed with work to be paid for in progress payments in conformance with the
Contract. It is expressly understood that in no event will the total compensation and ,
reimbursement to be paid to the Engineer under the terms of this Contract exceed the
sum of Three Hundred Forty-Three Thousand Five Hundred Seventy-Nine Dollars
($343,579.00) for all services required unless specifically and mutually agreed to in
writing by both the City and Engineer. No change shall be made unless there is a
substantial and significant difference between the work originally contemplated by
this agreement and the work actually required.

a. For the services outlined in Paragraph 1 - SCOPE OF SERVICES,
the City agrees to pay the Engineer a fee computed on the basis of(1)
hourly rates indicated in the rate sheet BMR798(attached hereto as
UP Exhibit B and made part of this Contract), such rates include base
� salary cost,direct payroll additives, general administrative overhead
and profit, and (2) reimbursable direct expenses. The term "base
salary coat" shall be the actual amounts paid employees of the
Engineer, prior to deductions or withholding, based on each
employee's hourly rate. Base salary dons not include direct payroll ?
additives, general and administrative overhead and profit. The term
"directive payroll additives" shall include payroll tax, retirement,
health and accident insurance,vacation pay, holiday pay,sick leave
pay and incentive pay. The term "general and administrative A;

overhead"shall include such indirect costa as clerical,telephone,dues
W; and subscriptions, accounting services,office supplies, maintenance,
z depreciation, general insurance, rent, general taxes, survey stakes,
equipment rental, non-profit salary cost and non-profit general
expense. The maximum compensation encumbered under this

b. Reimbursable direct expenses chargeable to the project, which are

C. Partial periodic monthly payments shall be made to the Engineer by 1

a: (1) The Engineer shall render an itemized monthly statement to
the City for work performed and costs incurred during the
preceding month.

(2) The monthly installments and current total billings shall not
be disproportionate to work progress as reported by the
Engineer.
(3) The entire amount due shall be paid each month provided
x the maximum billing amount has not been exceeded.

C. It is hereby agreed to by the parties that the contract period be extended to provide for final plans
ready for bid by November 10, 1998.

1. Retrieve and reactivate most current roadway drawings and design files and review status relating

to unresolved issues and remaining project design tasks. Participate in project status review
meeting and collect current development plans.

2. Review most current development plans for the Kaufman and Chamber of Commerce properties
relating to overall impacts to right-of-way and current design of Edgewood Drive, Phase 2, betweens
Wildwood and Fairground. Specific stormwater provision included in current development plans
..s to be incorporated into the Edgewood Drive design include:
a. Proposed stormwater detention basis between stations 32+00 and 41+00, left.
b. Proposed channel modifications and new culvert crossing at station 51+00. :

design skewed culvert .

CONTRACT FOR ENGINEERING SERVICES
T IS AGREEMENT, made and entered into this `J day of

is agreed by and between the City and the Engineer as follows :

s�+< � 1. Scope of Services. The Engineer agrees to perform the
following engineering and administrative services for the project:

4 ; 2 . Additions or Deletions to Services . The City may add to
` Engineer services or delete there-from activities of a similar X'
nature to those set forth in paragraph 1, provided that the total
cost of such work does not exceed the total cost allowance as
specified in paragraph 6 hereof. The Engineer shall undertake such
changed activities only upon the direction of the City. All such
directives and changes shall be in written form and prepared and
approved by the office of the Director of Public Works and shall be
accepted and countersigned by the Engineer or his agreed
representatives .
The Engineer will perform any additional work requested by the
City which is not specifically covered in the scope of work as
defined herein at a reasonable fee or compensation to be agreed to '

' be required.

The City will furnish, as required for the work and not at the
expense of the Engineer, the following items : " f
a. Property, boundary, easement, right-of-way, topographic,
and utility surveys and property descriptions when such
information is required.
b. All maps, drawings, records, audits, annual reports, and -

which may be useful in the work involved under this a

4 . Personnel To Be Provided. The Engineer represents that
Engineer has or will secure at its own expense,P all personnel
required to perform the services called for under this contract by
Engineer. Such personnel shall not be employees of or have any
contractual relationship with the City except as employees of the
Engineer. All of the services required hereunder will be performed

None of the work or services covered by this contract shall be

5. Notice to Proceed. The services of the Engineer shall
commence as directed in the Notice to Proceed and shall bey

undertaken and completed in such sequence as to assure their
x expeditious completion in the light of the purposes of the
contract, but in any event, all of the services required hereunder '
shall be completed within nine (9) months from the date of
t; execution of this contract. Final plans for Edgeweed Drive from
Wildwood Drive to Stadium Boulevard and for Wildwood Drive from >,
Missouri Boulevard to Edgewood Drive submitted to City for final °
,h review by August 31, 1991, with final plans submitted to MOSERS for
a review by September 20, 1991.
6 . Compensation. The City will pay the Engineer in
accordance with the rate set forth below, which shall constitute
full and complete compensation for the Engineer services hereunder. g
Such compensation will be paid in progress payments, as established
by the City. The final payment will be subject to receipt of a �?
requisition for payment and a statement of services rendered from
the Engineer that the Engineer fully performed with work to be paid
for in such progress payments in conformance with the contract. It '
is expressly understood that in no event will the total compen-
sation and reimbursement to be paid to the Engineer under the terms
of this contract exceed the sum of Two Hundred Five Thousand

For the services covered by this Contract the City agrees to
pay the Engineer as follows:
a. For the services outlined in Paragraph 1 - SCOPE OF

7 . Failure to Perform, Cancellation. If, through any cause,

of liability to the City for damages sustained by the City by

8 . Assignment ._ The Engineer shall not assign any interest in
this contract, and shall not transfer any interest in the same

of the City thereto. Any such assignment is expressly subject to
all rights and remedies of the City under this agreement, including
the right to change or delete activities from the contract or to
terminate the same as provided herein, and no such assignment shall

' 9 . Confidentiality. Any reports, data, or similar
information given to or prepared or assembled by the Engineer under
this contract which the City requests to be kept as confidential

10 . Nondiscrimination. The Engineer agrees in the performance

race, creed, color, national origin or ancestry, sex, religion,
handicap, age, or political opinion or affiliation, against any

11 . Independent Contractor_ The Engineer is an independent
+ contractor and nothing contained herein shall constitute or
designate the Engineer or any of its agents or employees as agents {
N or employees of the City.
12 . Benefits Not Available. The Engineer shall not be
entitled to any of the benefits established for the employees of
the City nor be covered by the Workmen's Compensation Program of
the City.
13 . Liability. The ,yf
parties mutually agree to the fallowing: �
a. In no event shall the City be liable to the Engineer for
special, indirect, or consequential damages, except those
caused by the City's negligence, arising out of or in any s'
way connected with a breach of this contract . The maximum
liability of the City shall be limited to the amount of q
money to be paid or received by the City under this
contract.
b. The Engineer shall indemnify, and hold the City harmless
from and against all claims, losses, and liabilities
arising out of personal injuries, including death, and

connected with this contract.

14 . Documents . That reproducibles of tracings and maps
prepared or obtained under the terms of this Contract shall be
delivered upon request to and become the property of the City upon
termination or completion of the work. Copies of basic survey
notes and sketches, charts, computations and other data prepared or
obtained under this Contract shall be made available, upon request,
to the City without restrictions or limitations on their use. When
such copies are requested, the City agrees to pay the En
cost of copying and delivering same. Engineer its
15 . Nonsolicitation. The Engineer warrants that he had not
employed or retained any company or person, other than a bona fide
employee working solely for the Engineer, to solicit or secure this
Contract, and that he has not paid or agreed.to pay any company or
person, other than a bona fide employee working solely for the
Engineer, any fee, commission, percentage, brokerage fee, gifts, or
any other consideration, contingent upon or resulting from the
award or making of this Contract. For breach or violation of this
warranty, the City shall have the right to annul this Contract
' without liability, or, in its discretion, to deduct from the
Contract price or consideration, or otherwise recover the full
AOL amount of such fee, commission, percentage, brokerage fee, gifts,

SCOPE OF ENGINEERING SERVICES

1. PROJECT LOCATION: The "project" includes West Edgewood Drive as an ,
arterial street from Stadium Drive to Fairgrounds Road and Wildwood ` y`
Drive from its existing termination near Missouri Boulevard south to
Rock Ridge Road. Major component project elements to be included in ;
the project design are: ?�
a. Clearing and grading
b. Pavements, curbs, and walks
c. Storm drainage facilities
d. Street lighting
e. Utility coordination
f. Seeding, sodding, and erosion control
Preliminary design only is included for Wildwood Drive south of West ;
Edgewood Drive.
2. STORM DRAINAGE STUDY: Conduct a study of the storm drainage system
tributary and adjacent to the project to develop recommendations for
project design of drainage detention and conveyance facilities, and
to provide recommendations for planning of future development of
drainage systems in the tributary watershed. Specific services are: �
t a. Review of data from all previous studies furnished by the CITY.
b. Review of current and planned land uses, and existing major
storm drainage facilities as determined from field observations f
by the ENGINEER, and from CITY and County records and zoning
information.
c. Perform hydrologic analyses and computer modeling to
verify/determine existing and future peak flows for Frog Hollow
Branch based on current and proposed future land use conditions.
d. Perform hydraulic analyses and modeling to verify/determine
flood elevations on Frog Hollow Branch based on both current and
N future peak flows,
e. Perform computer modeling of major drainage facilities,
including detention or other control measures to evaluate the
effects on peak flows within the drainage basin.
f. Perform a hydrologic analyses and concept design for a potential
"off-channel" detention basin generally located on a site

3. SURVEYS: Perform (by subcontract) field right-of-way and
topographic surveys to supplement the aerial topographic survey to
be furnished by the CITY to the ENGINEER for use as the basis of
computerized design of the roadway grading and related facilities.
Include the following survey tasks:
a. FJ.pld stake and reference the project centerline for later
construction staking recovery.
b. Set and describe project bench marks 4.
c. Tie the project centerline to section and ownership lines as
necessary for writing right-of-way and easement descriptions.
d. Tie the project centerline to available Missouri Highway and
Transportation Department survey controls for their proposed
Route 179 extension across the project.
e. Obtain supplemental field topography and cross sections as
necessary for the design of roadway channel crossings and at
project connections to existing roadways.
4. PRELIMINARY DESIGN: Perform preliminary design of the project to
5. evaluate grade/alignment/right-of-way alternatives and to establish
the basic project design to be developed in the final design plans
and specifications. Tasks included are:
a. Create a terrain data base from the aerial topographic survey,

rectified during digitizing, for use in subsequent compu terized •
f project design and drafting.
b. Define alternative alignments, profiles, and finish "typical"
sections using integrated coordinate geometry modules.
c. Computer cut existing and finish cross sections referenced to
the terrain model .
d. Prepare alternative alignment plans and estimates for CITY
selection/concurrence on final alignment, profile grade, and
section. Alternatives shall include both a "Greenway" and
initial construction as a two-lane uncurbed roadway.
5. UTILITY COORDINATION: Assist the CITY in the coordination of the
project design with concurrent relocations and/or extensions of
utility facilities within the project right-of-way and easements,
including the following tasks:
a. Meet with utilities to identify and arrange for field location
of their facilities prior to supplemental surveys.
b. Furnish each utility with base plans for their verification of
the location of their existing facilities.
c. Furnish each utility with preliminary design plans for the
project accompanied by a written outline of the relocations that
are necessary.
d. Meet with utilities to review their relocation plans and
schedules and establish coordination for project-interutility
matters.
