Section 1. The Mayor and City Clerk are hereby authorized and directed to
execute a lease agreement with Midwest Tours and Travel, Inc., for the property
located at 620 West McCarty.

Section 2. The agreement shall be substantially the same in form and content
as that agreement attached hereto as Exhibit A.

Section 3. This Ordinance shall be in full force and effect from and after the

LEASE EXTENSION AGREEMENT

' THIS LEASE EXTENSION AGREEMENT,executed on this W - day of
1993,by and between the City of Jefferson,Missouri,herein termed"Lessor", and M4'west Tours and

Travel, Inc., hereinafter termed "Lessee".
. ^ WHEREAS Lessee wishes to extend the term of the lease contained in the original Lease
executed on September 1, 1991;
=}r WHEREAS, the extended term of the lease will be September 10, 1993 through September 9,
1994

' NOW, THEREFORE, the Lessor and Lessee agree to the following:
1. The term of the lease shall be extended to commence on September 10, 1993, at 12:01
a.m., and end on September 9, 1994 at midnight.
h `Y 3. Paragraph 3 of the original Lease, executed on September 1, 1991, shall be amended
as follows:
2. RENT
The rent for the term of this lease shall be Five Hundred Ten Dollars($510.00)
payable in advance on the 1st day of each month conditioned upon inter-city bus
service remaining in operation. In the event inter-city bus service is not in operation,
the rent for the term of this lease shall be One Hundred Seventy-five Dollars($175.00)
payable in advance on the 1st day of each month. Such rental payments shall be made
t at the City of Jefferson, 320 East McCarty Street, Jefferson City, Missouri 65101.
' 3. All other conditions shall remain in effect as stated in the original Lease executed on
September 1, 1991.

LEASE EX'T'ENSION AGREEMENT
HIS LEASE EXTENSION AGREEMENT, executed on this day of
, 1992, by and between the City of Jefferson, Missouri, herein
termed "Lessor", and Midwest Tours and Travel, Inc., hereinafter termed "Lessee".
WHEREAS, Lessee wishes to extend the term of the lease contained in the
original Lease executed on September 1, 1991;
WHEREAS,the extended term of the lease will be September 10, 1992 through
September 9, 1993.
NOW, THEREFORE, the Lessor and Lessee agree to the following:
1. The term of the lease shall be extended to commence on September 10,
1992, at 12:01 a.m., and end on September 9, 1993 at midnight.
3. Paragraph 3 of the original Lease, executed on September 10 1991, shall
be amended as follows:

LEASE AGREEMENT
THIS LEASE AGREEMENT is made and entered into on this 1st day of
September, 1991,by anc:'aetween the City of Jefferson,Missouri,hereinafter referred
'.; to as "Lessor", and Midwest Tours and Travel, Inc., hereinafter referred to as
"Lessee."
1. WARRANTY OF TITLE Lessor represents and warrants that:
A. Lessor has a title interest to the premises and has full right and power
to grant the estate demised and to execute and perform this lease; 4

' B. The premises is now and will remain free and clear of all encumbrances ,t l

C. The intended use of that premises for a bus terminal is permitted by all _
applicable zoning laws and regulations; and

to install equipment required for such services, which services may include, but shall
not be limited to: vending of food, snacks,non-alcoholic beverages, and cigarettes; pay
telephones; lockers; coin-operated newspaper stands; and Western Union.
5. PERMITS AND CERTIFICATE OF OCCUPANCY
Lessor represents and warrants that it shall:

operate its business at and from the leased premises;

variances and maintain same during the term of this lease; and
C. Secure any and all required building and associated permits.

Lessee agrees that the leased premises shall be used for:
a) inter-city bus service purposes, including but not limited to sales of #f
` } tickets, loading and discharge of passengers and baggage, handling of
baggage, staging and storage of equipment and materials to provide for
the safety, comfort, and convenience of its passengers, handling of r
package express shipments and package express shippers, charter ,;

C) other use proposed by Lessee subject to Lessor approval.
f 7. NO WASTE, NUISANCE, or UNLAWFUL USE +„
Lessee shall not commit or allow to be committed any waste on the leased

the leased premises to be used for any unlawful purpose.
8. INGRESS AND EGRESS

;F Lessee shall have the right of ingress and egress to and from the leased
premises and shall not be restricted in the operation of its motor buses to and from
the leased premises.
' 9. UTILITIES "
S[{{ Lessor shall assure the leased premises are served with water, electricity, gas,

#r' heat,air conditioning,and other utility services required for Lessee's use. Such utility
,z6 services shall be separately metered and Lessee shall pay such separately metered
charges for utilities furnished to the leased premises and consumed by Lessee.
10. MAINTENANCE AND REPAIR
` Lessee, at its sole cost and expense, shall remove snow and ice from the
' sidewalks of the leased premises, and shall perform routine service and maintenance
to the leased premises to keep same in good repair and appearance, ordinary wear
and tear and loss by fire or other casualty excepted. In no event shall Lessee be
required to make physical changes to the leased premises. Except as provided above,
' Lessor, at its sole cost and expense, shall perform all other service and maintenance,
including but not limited to: the structural foundation of the building, roof and walls;

Lessee agrees to pay and to protect, indemnify and save harmless Lessor from and
against any and all liabilities, damages, costs, expenses, causes of action, shits,
claims, demands, or judgments of any nature whatsoever arising from injury to or the
death of persons or damage to property on the leased premises caused by any act or
omission of Lessee.
14. DAMAGE OR DESTRUCTION
In the event of destruction of, or substantial damage to the building located
j upon the leased premises during the term of this lease, Lessor shall have the option,
within a reasonable time after such damage or destruction, of either replacing or y.
rebuilding the building, and in such manner and according to such plans and
specifications as are satisfactory or, declining to do so, in which latter event Lessee
shall have the option of terminating this lease by written notice. If said lease is not
terminated by Lessee or if Lessor shall elect to rebuild or replace the damaged or
destroyed building, then and in such event the rental hereinabove provided for or a
just and proportional part thereof according to the nature and extent of the damage
sustained shall be abated until said building has been repaired or replaced as
