"City", entered into a Contract with the Curators of Lincoln University, hereinafter referred to as
"Operator",on December 3, 1991;
WHEREAS, the Contract was for operation and management of a public access channel;'and
WHEREAS, the Contract was previously amended and renewed; and

r; WHERE AS,the parties wish to renew the Contract for a one year period on the same terms and
conditions as currently exist. `1

1. Section 5 of the Contract dated December 3, 1991, as amended by Ordinance 12002 is '2

AMENDMENT TO CONTRACT FOR SERVICES IN CONJUNCTION
WITH PUBLIC ACCESS CA!I`V
WHEREAS, the City of Jefferson, Missouri, a municipal corporation hereinafter
designated "City", entered into a Contract with the Curators of Lincoln Universit7,
hereinafter referred to as "Operator", on December 3, 1991;
WHEREAS, the Contract was for operation and management of a public access
channel; and
WHEREAS, the parties wish to renew the Contract for a one year period.
NOW, THEREFORE, be it agreed as follows:
1. Section 5 of the Contract dated December 3, 1991, is amended to read as
follows:
5. Term of Agreement. The term of this agreement shall be for a period of
one year, commencing November 1, 1992, and ending on October 31, 1993; with
six (6) one (1) year extensions covering up to and including a period of seven
years.
Following the end of the initial term of this agreement, City and Operator may agree
to extend this agreement for one additional consecutive one year term by mutual
consent and agreement as to each such one year term, provided that such final
extension shall extend no longer than October 31, 1999.
2. All other sections of the Contract dated December 3, 1991, shall remain in
effect as stated.

The state legal expense fund handles liability claims on a

case-by-case basis . Lincoln ' s equipment is covered under the
state property insurance plan. Lincoln University employees are
covered under workmen ' s compensation . City owned equipment would
not be covered under the University insurance plan. Lincoln Uni-
versity recommends that the city include its public access -

ment under its existing property insurance plan or purchase addi-
tional coverage for this equipment .

Lincoln University currently uses Sonitrol Security Systems
and Lincoln security to protect the Elliff Hall communications

facilities . Lincoln University will continue to provide adequate

equipment .

Jefferson City, Missouri 65101, and Curators of Lincoln University, Jefferson City,
J: Missouri, 65101 hereinafter referred to as the "Operator'; ,
t WITNESSETH:
Whereas, in response to invitations for proposals by City, Operator submitted ,
��. its proposal which is dated July, 1991, and is filed with the City Clerk of the City; •, ��x�,t

Whereas, City determined that the proposal of Operator, as modified and
amended and supplemented herein, is in the best interest of City and that Operator
is qualified and capable of providing the services which are required by City; and
Whereas, City desires to engage the Operator to render certain technical and E
professional services hereafter described in connection with the operation and
t management of a public access channel; and }'
Whereas, City recognizes that the funding provided for in this contract will go
towards the maintenance of the current program level and not necessitate additional
programming; and
Whereas, City recognizes that the Operator does not consider the funding
designated by this contract to be adequate to support the channel through the end
of the contract; and
Whereas, the City will request from the cable company the use of the monies
designated for equipment purchase to be used for access equipment maintenance and
repair; and
Whereas,despite the outcome of the above request,the City recognizes that the
Operator is not liable for the repair and maintenance of the equipment above what a
the operational funds will allow.
Now, therefore, in consideration of the premises and promises and terms and
conditions hereinafter set forth the parties agree as follows:

1. Proposal. The term "proposal" as used herein refers to the proposal made and '

2. Operation and Management. Operator shall assemble, install, operate,

r4. 4. Personnel To Be Provided. The Operator represents that Operator as or
will secure at its own expense, all personnel required to perform the services called
for under this contract by Operator. Such personnel shall not be employees of or
have any contractual relationship with the City except as employees of the Operator.
All of the services required hereunder will be performed by the Operator or under
Operator's direct supervision and all personnel engaged in the work shall be fully
qualified and shall be authorized under state and local law to perform such services. w
None of the work or services covered by this contract shall be subcontracted without
the written approval of the City. Q
5. Term. of Agreement. The original term of this agreement shall be for a >,

7, Rates and Charges. Operator may impose and collect charges for the use and
services of the facility from users and customers after approval of the rates by the
R Cable Quality Commission and the City Council.

8. Failure to Perform, Cancellation. If,through any cause, the Operator shall
fail to fulfill in timely and proper manner its obligations under this contract, except
as provided under item 22 "Force Majeure", or if the Operator shall violate any of the
` covenants, agreements, or stipulations of this contract, the City shall give written t
"r notice of such default to the Operator. Operator shall have thirty (30) days after
receipt of notice to cure said default. Upon the failure of Operator to cure the default
the City shall have the right to terminate this contract by giving five days written �z •='
notice to the Operator of such termination and specifying the effective date thereof.
City or Operator may without cause terminate this contract upon 60 days Prior {�} 5
. written notice. In either such event, all finished or unfinished documents, data,
studies surveys, tapes, and reports or other materials
prepared by the Operator
under this contract shall, at the option of the City, become its property.
E Notwithstanding the above, the Operator shall not be relieved of liability to the
City for damages sustained by the City by virtue of any such breach of the contract
r by the Operator.
4 9. Assignment. The Operator shall not assign any interest in this contract, and
shall not transfer any interest in the same (whether by assignment or novation),
without nor written consent of the City thereto. An such assignment

right to change or delete activities from the contract or to terminate the same as h :

10. Nondiscrimination. The Operator agrees in the performance of this contract
Ott' not to discriminate on the ground or because of race, creed, color, national origin or
ancestry, sex, religion, handicap, age, or political opinion or affiliation, against any
employee of Operator or applicant for employment and shall include a similar
F, provision in all subcontracts let or awarded hereunder.
11. Independent Contractor. The Operator's relationship to the City as
established herein is as an independent contractor and nothing contained herein shall
constitute or designate the Operator or any of its agents or employees as agents or
employees of the City. ;
12. Benefits Not Available. The Operator's employees shall not be entitled to
any of the benefits established for the employees of the City nor be covered by the

a. In no event shall the City be liable to the Operator forspecial, indirect

to Equipment. Title to all equipment purchased with City funds at the

sabotage; lack of adequate fuel r

a' 24. Entire Agreement. This agreement embodies the entire understanding

Operator shall at all times observe and comply with the provisions of the
charter, ordinances and regulations of the City and state and federal laws, rules and

upon the work or affecting the materials supplied to or by them under the agreement.
Notwithstanding any other term, provision, or condition herein, each and every term,
provision and condition herein is subject to the provisions of the charter of the City
and the ordinances enacted thereunder. City represents that it has the authority

agreement, to the knowledge of City, is in violation of said charter.
