AN ORDINANCE OF
THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH }
CRAFT, FRIDKIN & RHYNE FOR LEGAL SERVICES CASE NO. V 91- 5'k.
934CC, CITY OF JEFFERSON, MISSOURI, VERSES DEPARTMENT OF
NATURAL RESOURCES AND WILLIAM WEBSTER, ATTORNEY GENERAL.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON,
MISSOURI, AS FOLLOWS:

Section 1. The Mayor and City Clerk are hereby authorized and directed to
r execute an agreement with Craft, Fridkin & Rhyne for legal services in Case No. x ��
CV191-934CC, City of Jefferson, Missouri, v. Department of Natural Resources
and William Webster, Attorney General. The amount expended f or the contract
shll not exceed Fifteen Thousand Dollars ($15,000.00) from the commencement of
a ,
the action.
Section 2. The agreement shall be substantially the same in form and
content as that agreement attached hereto as Exhibit A.
� s Section 3. The Mayor and City Clerk are further authorized to sign the
agreements with any public entity that so desires to join the City of Jefferson in ;
the above referenced action, Such agreements shall be substantially the same in
form and content as that agreement attached hereto as Exhibit B.
Section 4. This Ordinance shall be in full force and effect fi om and after
the date of its passage and approval.

CONTRACT FOR LEGAL SERVICES '

Jefferson, a municipal corporation existing in the State of Missouri, hereinafter
referred to as "City," and the law firm of Craft, Fridkin & Rhyne, 310 Monroe Street,
r . Jefferson City, Missouri, 65101, hereinafter referred to as Attorney.
In consideration of the mutual promises and agreements herein contained the City

x ; hires the firm of Craft, Fridkin & Rhyne as attorney for the services stated below,
and said attorney agrees to work for the City under the following terms hereby
agreed on by both parties:
1. The services performed by attorney shall be:
a. Representation in conjunction with the City Counselor of City as
Plaintiff in Cole County Circuit Case Number CV191-934CC, captioned
City of Jefferson, Missouri v. Missouri Department of Naturalz„r.
Resources. Additionally will represent additional plaintiffs as may join `
by agreement.

2. Attorney shall commence work on September 16. 1991. The contract shall` continue until October 31, 1992, or until. the attorney satisfactorily completes the
{' tasks or project assigned in paragraph 1. The City will be the sole judge of successful 4?
project completion.
' 3. City may terminate this contract at any time because of the attorney's violation
of instructions or rules of the City, or failure of the attorney to comply with any one
.; of his agreements herein set out, or for unsatisfactory services rendered hereunder,
or for other reasons unrelated to performance. s,
4. City shall have the option to renew this contract for an additional time period,
provided the attorney is notified of the City's desire to exercise this option prior to
March 16, 1991.
5. Attorney agrees:
A. Not to engage in any other business or legal work that would compromise
x. their services to the City under this contract, or create a conflict of interest therein.
B. Not to, either during the term of employment or at any time thereafter,
disclose to any person, firm, or corporation any information concerning the business
or affairs of the City to which may have been acquired in the course of their
employment with the City, either for their own benefit or to the detriment of the City.
