r 1. SALE OF PROPERTY. For and in consideration of the mutual obligations of ;r
the parties hereto the Seller hereby agrees to sell and convey unto Buyer and Buyer

2. SALE PRICE. The price for the said property shall be Thirty-Seven Thousand

3. CLOSING. The sale under this contract shall be closed at the offices of Seller

require correction, then the time of closing may be extended by the application of the

Y' 5, ABSTRACT OF TITLE. The Seller shall within ten (10) days from the date
hereof deliver to the Buyer an Abstract of Title to said property certified to date by
a competent abstractor showing the title marketable in fact in the Seller and taxes,
assessments,judgments and mechanics liens of record affecting said property, subject f

payment of Seller's obligation under this paragraph and shall be assigned to Buyer r," tix

for prorated taxes hereunder, and if such deposit is not sufficient to satisfy Seller's
obligation hereunder, Seller shall pay to Buyer the amount of any difference.
10. LIQUIDATED DAMAGES. It is understood and agreed that, because of the
commitments of the parties, time is of the essence of this agreement, and if the Seller
have kept Seller's part of this agreement by furnishing marketable title as herein
provided, and the Buyer fail to comply with the requirements of this agreement

within ten (10) days thereafter, then the money deposited as aforesaid shall be paid
over to the Seller as liquidated damages, actual damages being difficult if not
impossible to ascertain, and this agreement may or may not be thereafter operative, ;
at the option of the Seller.
11. CONTINGENCIES. This contract is contingent upon the following: ' ' -f '•
a. Absence of any environment hazard which would cause the property to
fall within the jurisdiction of the Missouri Department of Natural
Resources or the Federal Environmental Protection Agency. T
b. Absence of any items of cultural significance which would cause any
part of the property to come within the jurisdiction of Department of

12. SPECIAL CONSIDERATIONS.
a. Buyer will erect proper signs identifying its property. ;
b. Seller will provide curb, drive approach, and storm drainage to contain
runoff from the remainder of Cit y Lot 12 wi thin two y ears.

C. Buyer will retain a 24 foot drive approach to the property and vacate ��•, f

14. LAW OF MISSOURI. The contract shall be construed according to the laws
of the State of Missouri. Seller shall comply with all local, state and federal laws and tr
regulations related to the performance of the contact to the extent that the same may
be applicable.
15. ENTIRE AGREEMENT. The entire agreement between the Buyer and Seller .
shall consist of this contract. ='

This letter is sent in respone to our recent conversation
relating to the parcel of land outlined on the attached
sketches north of the Family Benefit Life Insurance Bldg.
Having completed the schematic drawings for the future
expansion of the existing facility, it appears the Owner
will be required to construct a 4-story structure to ac-
com.;iodate projected growth.
After evaluating the extreme differences in building
elevations, the proposed expansion on the existing property
will detract considerable from the building appearance +`
and operational efficiency of its tennant.
Based on the previous, the Owner is requesting the City
of Jefferson to consider the sale of the 80 .38 ' X 93 .45 '
tract as noted on the enclosed sketches .
