AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING
THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH VON

BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,
AS FOLLOWS: «
Section 1. The Mayor and City Clerk are hereby authorized and directed to
execute an agreement with Von Hoffmann Press, Inc., for the relocation of a sanitary
t : sewer line. The amount contributed by Von Hoffmann Press, Inc. for the agreement
shall not exceed $25,000-00.
Section 2. The agreement shall be substantially the same in form and content
as that agreement attached hereto as Exhibit A.

SEWED, LINE ]RELOCATION AGREEMENT
This agreement is entered into this day of 1992
+ „ between the City of Jefferson a municipal corporation existing under the laws of the

State of Missouri("City")and Von Hoffmann Press, Inc., a Missouri corporation("Von
Hoffmann")
In consideration of the covenants and agreements hereinafter set forth, it is agreed
as follows:
d r 1. Von Hoffmann plans to expand its current facilities over an existing
:. easement described in paragraph 2 below causing the City to move a section of the
North Wears Creek northwest main sewer line from an area near manhole 332 and t;
'-; re-connect it near manhole number 329 in Norman Subdivision. The re-connected {
line will be as near the creek as possible and will be a minimum of 15 feet south of
a line which is a straight line extension o£the south face of the resent 1990 building

addition for a distance of 500 feet from the southeast corner of that present 1990

addition with the exact legal description to be prepared by the City, as approved by
Von Hoffmann and then attached to this Agreement as Exhibit B hereto.

2. City agrees to abandon that portion of the easement from Von Hoffmann
to the City dated February 12 1992 that easement representing the portion of the
sewer line which will be rerouted upon receipt of the new easement as described in } 't
' paragraphs 1 and 3 hereof(hereinafter the "Easement"), and to file for recording an � '�ri '
appropriate document evidencing said abandonment. , , k�

3. Von Hoffmann agrees to grant the City the Easement for the new sewer
line location in substantially the same format as the easement dated February 12 "�I

a copy of which is attached as Exhibit A, over and across a strip of land 20 feet '
wide as referred to in paragraph 1 hereof and as to be more specifically described on x ;
Exhibit B hereto.
4. Von Hoffmann will grant the Easement for the purpose of constructing :
sewers or pipelines to a width of 20 feet, extending along the line followed by the 1
A:_n sewer or pipeline now leading to the main. No sewer or pipeline shall be constructed
outside of this 20-foot strip.
5. Von Hoffmann grants City the right and privilege to use as much
additional ground on either or both sides of the 20-foot strip as may be necessary for "
=} initial construction of the pipeline but without materially interfering vrith Von
Hoffmann's normal operations.

6. During construction Von Hoffmann agrees that it and/or its successors
and assigns, will permit the City through its proper officers, agents, or employees at
' all time, when necessary or convenient, and upon reasonable advance notice to go
over and upon the land adjacent to the Easement in order to perform acts necessary 3 } t
or convenient for City in order to carry into effect the purposes for which this

Relocation Agreement is made. ;
7. Neither Von Hoffmann, nor City, nor their respective assigns, and ,'''' ``'
successors, nor any person or persons for either of them or in their name or behalf,
shall make an use of the above-described remises in a manner that is inconsistent Y }qtr

with, or in any way interferes with the use by the City of the Easement.

�. 8. The City will be responsible for any damage to crops, trees, shrubbery, r t� i

fences, improvements, and the land itself, resulting directly from the activities , s

authorized under this Agreement, either by repairing the damage or by making a
cash settlement with Von Hoffmann.
9. Von Hoffmann retains the right to pave over any portion of the .M`_'
Easement for purposes of a parking lot or driveway.
10. Von Hoffmann may proceed with expansion of its building over the
existing sewer easement prior to relocation of the sewer easement by the City.
11. The City agrees that Von Hoffmann may continue its normal operations '
during construction of this new relocated sewer line and that the City and its
contractors shall cooperate and coordinate efforts to provide minimum disruption to - r
Von Hoffmann's operations.

12. The City assumes responsibility for contracting and relocating the sewer .
line.
13. Von Hoffmann agrees to pay the City one-half of the cost of construction
of the relocated sewer line but such amount shall not exceed a total contribution of
$25,000. Said amount to be paid within thirty (30) days of receipt of an invoice
showing either total cost or costs in excess of$50,000. ?.

14. The parties agree that upon completion of the relocated sewer,
j performance of all conditions contained in this agreement relating thereto, and the
a'f recording of a new Easement agreement in the form of Exhibit A, this agreement will
;r terminate and the parties will thereafter be governed by the terms of the Easement
as recorded.
