The purpose of this document is to establish a mutual understanding of the

all radio, telephone, and any other electronic hardware and equipment necessary for

6. Purchase of.Equipment
A. The City through its Purchasing Agent shall facilitate the purchasing,
x storing, and distribution of all supplies and materials under the provisions of this
agreement.
B. The County and City must approve in advance all equipment that is +.
purchased for the provision of communications services under this agreement and
except as otherwise provided, each party shall retain title to whatever equipment is
purchased by such entity and contributed to this undertaking. Such equipment shall
F be compatible with equipment operated by the City.

C. All County property located at 401 Monroe during the term of this
agreement shall be maintained and serviced b the City but shall be insured for loss

by the County.
D. All costs related to maintenance and service of equipment under this
agreement shall be paid by the County or the City, based on ownership, except as VIA
provided in paragraph 6.C.
E. Ownership of supplies, materials, and equipment purchased shall be
mutually agreed upon by the City and County, in writing. Such agreement shall be
executed by the City and County prior to the delivery of said supplies, materials, and
equipment.

F. Other equipment shall be purchased when necessary,in order to perform
the requirements of this agreement. Such purchases shall be approved by the City
and County.
G. The County shall provide the equipment set out in Exhibit C at its sole
cost and expense as soon after November 1, 1992, as possible.
7. Maintenance of Equipment
� •_ Maintenance of equipment shall be the responsibility of the title holder thereto
' as shown in Attachment B except that all items of equipment h sicall located at

401 Monroe Street shall be maintained by the City.
8. Commencement of Services
A. Any employees needed under the terms of this agreement will be
employed no later than December 31, 1992.

C. Basic communications services to be pruvided under this agreement by
.a employees referenced in paragraph 2A above, shall commence on a county-wide basis

conditions:
°r (1) The County providing the City with rural street addresses and u 3

response information per each residential and business address in the

(2) The receipt of an upgraded computer on or before three months #
after the date of this agreement.
The six month beginning date shall be adjusted for each day the above `
information is received after ninety (90) days from the date of this agreement.
h D. Enhanced communications services to be provided under this agreement
shall commence on a county-wide basis within twelve (12) months of the date of this
T' agreement subject to availability of equipment and service from United Telephone s, -

9. Data-Ownership
t r^< All data entered into the City's Computer Aided Dispatch (CAD) system for all �:sf
County member departments will remain the property of the County. The County "
agrees to pay the City all reasonable costs for the data entries. Upon termination of °?
this agreement, or any extension of this agreement, City agrees to provide file tapes rs`
to County at City's cost. City shall have the right to maintain and keep duplicate
copies of all data.
10. Joint Communications Operations Committee •��
A. Purpose. A "Joint Communications Operations Committee" will be
formed from representatives of the several County members, including the City of
" Jefferson. The Joint Communications Operations Committee will advise

City Police Department on call answering and communications procedures for law
,.; enforcement and fire communications throughout Cole County,including response to
mutual aid calls into other counties.
<_ B. Membership. The Joint Communications Operations Committee shall
consist of a member from the Jefferson City Eire Department, a member of the
Jefferson City Police Department, a representative of the Cole County Sheriffs
k Y Department, two representatives of other agencies who agree to terms of the Joint
Communications Agreement, one member of the legislative body of the City, and one
member of the legislative body of the County.
C. The Joint Communications Operations Committee shall meet at least
quarterly, elect officers, and shall have one year terms. No person shall be appointed

for more than two (2) complete consecutive terms, except that a person appointed to s r{
fill a vacancy in an unexpired terns may serve the remainder of the unexpired term
and may also be appointed to two (2) additional full terms. All persons appointed
shall attend at least two-thirds of the regularly scheduled meetings. Should any >y
member fail to attend two-thirds of the meetings occurring in any one year measured
from the time of their appointment their position shall be deemed vacant and a
replacement shall be named as provided. °
D. The Joint Communications Operations Committee shall monitor the
performance of the Communications Center of the Jefferson City Police Department :w
and will make recommendations for improved communications. The City agrees to
make reasonable efforts to follow the Joint Communications Operations Committee

1.1. Term

agreement shall begin on the 1st day of November, 1992 and 4
terminate sixty (60) months thereafter, on October 31, 1997. The County shall, six3 ' ,
(6) months prior to the date of termination of this agreement, notify the City, inf'i;,
' writing, of its desire to continue joint communications with the City. Should the .;s.l.
' County holdover beyond the termination date, this agreement shall continue on aff}q,
month-to-month basis, at a reasonable consideration as determined by the City. :.
During the holdover period all the terms of the agreement, except the amount of w
consideration shall remain in full force and effect. In no event shall the holdover
period extend beyond twelve (12) months.

B. This agreement shall be contingent upon receipt of sufficient tax
revenues by both the City and the County to cover all the expenses and payments 3
referenced in this agreement.

C. Should any amounts due the City for compensation from the County r
under this agreement remain unpaid for more than sixty (60) days after receipt by
the County of appropriate documentation from the City, the City may terminate this
contract by giving the County thirty (30) days notice of its intent to terminate.

, ykh, The Laws of the State of Missouri shall govern the validity, performance, and
;f enforcement of this agreement.
13. Addition of Member Departments to Joint Conununications

The consideration for services provided to the County by the City may be
adjusted,if additional departments or districts contract for communications with the
City. Changes in consideration shall be mutually agreed upon by the County and
City, at such time as additional communications services are requested. Prior to
commencement of any communications services,all necessary information concerning

14. Consideration and Pa„ ment Schedule
In consideration for providing the services enumerated in this agreement, the
. County shall pay the City as set forth below:
A. City shall submit to County monthly statements in arrears,accompanied

by appropriate documentation, for communications services beginning on December
1, 1992, for the period November 1 through November 30, 1992.

C. The County shall pay the City upon presentation of appropriate
documentation and statements by the City.

15. Notices
All notices required or permitted hereunder and required to be in writing may
be given by first class mail. If to City, notice shall be sent to the Police Chief at 401
Monroe, Jefferson City, Missouri 65101 and to the City Counselor at 320 East

McCarty, Jefferson City, Missouri 65101. If to the County notice shall be sent to the
Cole County Commission at the Cole County Courthouse, Jefferson City, Missouri
65101, and to the Cole County Prosecutor at the Cole County Courthouse, Jefferson
City, Missouri 65101. The date of delivery of any notice shall be the date falling on
the second full day after the day of its mailing.
16. Agreement-Binding
This agreement is to be binding on the successors and assigns of the parties
