THOMAS AND TAOS t United Telephone Company of Missouri ( "Company" ) and the City of r %4 ,Jef so re , Missouri ( "Subscriber") hereby agree as follows: ; r � 1. The Subscriber hereby applies for 9-1-1 iniversal Emergency Number Service ( "9-1-1 Service" ) offered by the Company. The 9-1-1 Service may be provided by the Company pursuant- to and under 'the terms and conditions of tariffs as may be in effect from time to time and supplemented by the terms of this Service Application (also referred to herein as "Agreement" ) . In the event r, of a conflict between the terms of any applicable tariff and thist> Agreement, the terms of the tariff control. 2. The Company hereby agrees to furnish the Subscriber 9-1-1 Service. The Subscriber agrees that minimum participation in the 9-1-1 Service shall include all police and fire units that request to be included and are located within both the Subscriber's j geographical boundaries and the geographical area within which the a,•.aa;: Company rovides telephone exchange service. Subscriber understands and agrees that Company's undertaking to provide 9-1-1 Service is _' ': limited to those areas in which Company is authorized to provide local exchange service. To the extent Subscriber desires to have areas or communities in which the Company is not authorized to provide local exchange service included within the 9-1-1 Service ."; , system, Subscriber agrees it will make application to the appropriate `' telephone companies for the inclusion of the non-Company territory within a 9-1-1 Service system. ` ~ 3. The Company installed the initial 9-1-1 Services in ,duly. 1993. 4. The Company and the Subscriber agreed upon the anticipated configuration of equipment and lines necessary to provide ; ' 9-1-1. Service to the Subscriber. That configuration is described in r ar j Schedules A and B to this Agreement. The estimated charges of service based upon that configuration are: ¥„ f Total Monthly Recurrin g Charges : $ 10 .921 .5 , The actual charges for 9-1-1 Service will be based upon the final configuration of 9-1-1 equipment and lines agreed upon by the Company and the Subscriber. If this Agreement is canceled by the Subscriber the date the 9-1-1 system is placed in service, the Subscriber ragrees # i to pay to the Company the costs the Company has incurred by reason of C (Y{ its undertaking to develop, engineer, and place the 9-1-1 system in service. The 9-1-1 Service provided is subject to all times to any }r r applicable tariffs of the Company as may be on file with the Missouri Public Service Commission, including all rules and regulations either in such tariffs or in applicable orders or decisions of the Missouri Public Service Commission. The rates charged for 9-1-1 'Service do not contemplate the inspection or constant monitoring of facilities by the Company to discover errors, defects and malfunctions in the service, nor does the Company undertake such responsibility. The Subscriber shall make ks�` g .` such operational tests of its own equipment as are required, in the judgment of the Subscriber, to determine whether its equipment is functioning properly for its use. The Subscriber shall promptly notify the Company if it discovers or has reason to believe, after `rt, making operational tests on its own equipment, that the facilities of ;.. service being provided by the Company are not functioning properly. '` EF A The Company's liability for any loss or damage arising from errors, ' interruptions, defects, failures, or malfunctions of the 9-1-1 Service,. or any part thereof, including any and all equipment and ' j data processing systems associated with the service or any part + ther_eof, shall not exceed an amount equal to the pro rata charges for the service affected during the period of time the service was fully or partially inoperative. 12 . The Subscriber assumes all risks connected with the service, t t, N including service interruption or failure of call completion, whether _: resulting from network failure, network blockage or from any other. cause. ' 1 13 . The Subscriber may elect to have the 9-1-1 calls routed over the long distance network rather than over dedicated circuits. By executing this Agreement, the representative signing on behalf of the Subscriber specifically represents and affirms that he ;', ;. has been duly authorized by the appropriate governing body of the Subscriber to execute this Agreement and to commit the Subscriber for ar ' the payment of the monies required, and that such authorization has .; been granted in accordance with all applicable laws, including any Missouri contracting law provisions applicable to counties. Further, the Subscriber's representative agrees to furnish to the Company, upon request, copies of all documents evidencing the granting of such authority. x �'r 15. ALI Software - This is United's maintenance charges for f the Hewlett Packard computer and ALI Software which will be located at the Jefferson City Police Department to hold the subscriber data base used for the E-9-1-1 System. Data Base Management - This is the monthly maintenance cost t to make nightly updates from United's customer billing •„ �f system to the Hewlett Packard located at the Police 'yh Department for keeping the data base up to date. The Subscriber hereby applies for 9-1-1 Universal Emergency Number Service ( 9-1-1 Service ' ) offered by the Company. 'The 9-1=1 Service may be provided by the Company pursuant to and under the terms and conditions of tariffs as may be in effect from time to time and supplemented by the terms of this Service Application (also referred to herein as "Agreement" ) . In the event of a conflict between the terms of any applicable tariff and this Agreement, the terms of the tariff control . 2. The Company hereby agrees to furnish the Subscriber 9-1-1 Service. The Subscriber agrees that minimum participation in the .' 9-1-1 Service shall include all police and fire units that request to � be included and are located within both the Subscriber's geographical boundaries and the geographical area within which the Company provides telephone exchange service.
