United Telephone Company of Missouri ( "Company" ) and the City of

%4 ,Jef so re , Missouri ( "Subscriber") hereby agree as follows: ;

1. The Subscriber hereby applies for 9-1-1 iniversal
Emergency Number Service ( "9-1-1 Service" ) offered by the Company.
The 9-1-1 Service may be provided by the Company pursuant- to and
under 'the terms and conditions of tariffs as may be in effect from
time to time and supplemented by the terms of this Service
Application (also referred to herein as "Agreement" ) . In the event r,
of a conflict between the terms of any applicable tariff and thist>
Agreement, the terms of the tariff control.
2. The Company hereby agrees to furnish the Subscriber
9-1-1 Service. The Subscriber agrees that minimum participation in
the 9-1-1 Service shall include all police and fire units that
request to be included and are located within both the Subscriber's
j geographical boundaries and the geographical area within which the a,•.aa;:
Company rovides telephone exchange service. Subscriber understands
and agrees that Company's undertaking to provide 9-1-1 Service is _' ':
limited to those areas in which Company is authorized to provide
local exchange service. To the extent Subscriber desires to have
areas or communities in which the Company is not authorized to
provide local exchange service included within the 9-1-1 Service ."; ,
system, Subscriber agrees it will make application to the appropriate `'
telephone companies for the inclusion of the non-Company territory
within a 9-1-1 Service system.
` ~ 3. The Company installed the initial 9-1-1 Services in
,duly. 1993.
4. The Company and the Subscriber agreed upon the
anticipated configuration of equipment and lines necessary to provide ; '
9-1-1. Service to the Subscriber. That configuration is described in r ar
j Schedules A and B to this Agreement. The estimated charges of
service based upon that configuration are: ¥„ f

The actual charges for 9-1-1 Service will be based upon the final
configuration of 9-1-1 equipment and lines agreed upon by the Company
and the Subscriber. If charges for the 9-1-1 Service are contained y
in any applicable tariffs, such charges remain subject to change

5. The Terms of the revised remaining agreement will be

7 . If this Agreement is canceled by the Subscriber
the date the 9-1-1 system is placed in service, the Subscriber ragrees #

service. Such reimbursement shall not exceed the Total Service $

applicable tariffs of the Company as may be on file with the Missouri
Public Service Commission, including all rules and regulations either
in such tariffs or in applicable orders or decisions of the Missouri
Public Service Commission. In addition, the 9-1-1 Service is
provided subject to the following:

C. The rates charged for 9-1-1 'Service do not contemplate
the inspection or constant monitoring of facilities by the Company to
discover errors, defects and malfunctions in the service, nor does
the Company undertake such responsibility. The Subscriber shall make

.` such operational tests of its own equipment as are required, in the
judgment of the Subscriber, to determine whether its equipment is
functioning properly for its use. The Subscriber shall promptly
notify the Company if it discovers or has reason to believe, after

making operational tests on its own equipment, that the facilities of ;..
service being provided by the Company are not functioning properly. '` EF
A The Company's liability for any loss or damage arising from errors,
' interruptions, defects, failures, or malfunctions of the 9-1-1
Service,. or any part thereof, including any and all equipment and '
j data processing systems associated with the service or any part
+ ther_eof, shall not exceed an amount equal to the pro rata charges for
the service affected during the period of time the service was fully
or partially inoperative.
12 . The Subscriber assumes all risks connected with the service,

including service interruption or failure of call completion, whether _:
resulting from network failure, network blockage or from any other.

14 . By executing this Agreement, the representative signing on
behalf of the Subscriber specifically represents and affirms that he ;', ;.
has been duly authorized by the appropriate governing body of the
Subscriber to execute this Agreement and to commit the Subscriber for ar

been granted in accordance with all applicable laws, including any
Missouri contracting law provisions applicable to counties. Further,
the Subscriber's representative agrees to furnish to the Company,
upon request, copies of all documents evidencing the granting of such
authority.

16. The Company and the Subscriber agree that this Agreement, and ,

contract.

Answering Point at the Jefferson City Police Department.

ALI Software - This is United's maintenance charges for
f the Hewlett Packard computer and ALI Software which will be
located at the Jefferson City Police Department to hold the
subscriber data base used for the E-9-1-1 System. This
includes 5 informer_ displays .
E. Data Base Management - This is the monthly maintenance cost
t to make nightly updates from United's customer billing

system to the Hewlett Packard located at the Police
'yh Department for keeping the data base up to date.
F. Existing 9-1-1 Cost - This is the existing monthly cost for

United Telephone Company of Missouri ( "Company" ) and the City of
Jefferson, Missouri ( "Subscriber" ) hereby agree as follows : '•:;;�;w•s r',"°.r'
1 . The Subscriber hereby applies for 9-1-1 Universal Emergency
Number Service ( 9-1-1 Service ' ) offered by the Company. 'The 9-1=1
Service may be provided by the Company pursuant to and under the
terms and conditions of tariffs as may be in effect from time to time
and supplemented by the terms of this Service Application (also
referred to herein as "Agreement" ) . In the event of a conflict
between the terms of any applicable tariff and this Agreement, the
terms of the tariff control .
2. The Company hereby agrees to furnish the Subscriber 9-1-1
Service. The Subscriber agrees that minimum participation in the .'
9-1-1 Service shall include all police and fire units that request to �
be included and are located within both the Subscriber's geographical
boundaries and the geographical area within which the Company
provides telephone exchange service. Subscriber understands and
agrees that Company's undertaking to provide '9-1--1 Service is limited
I to those areas in which Company is authorized to P rovide local "
exchange service. To the extent Subscriber desires to have areas or
communities in which the Company is not authorized to provide local
exchange service included within the 9-1-1 Service system, Subscriber4 ,;;;.3�: z
agrees it will make application to the appropriate telephone
companies for the inclusion: of the non-Company territory within a

3 . The Company will exercise its best efforts to place the

4 . The Company and the Subscriber have agreed upon the

5 . The Term of the agreement will be 5 years . In the event
Subscriber cancels this agreement before the end of term, the

shall be due and payable as of the date the 9-•1-1 Service is fully

7 . If this Agreement is canceled by the Subscriber prior to
the date the 9-1-1 system is placed in service, the Subscriber agrees
to pay to the Company the costs the Company has incurred by reason of
I its undertaking to develop, engineer, and place the 9-1-1 system in
"II service. Such reimbursement shall not exceed the Total Service
Establishment and Installation charges indicated in Paragraph 4 of

8. If, based on changes in applicable tariff rates or changes
in the configuration of the service from that indicated in Scheduler`,`:)r::
A and B to this Agreement, the actual monthly recurring charge for
9-1-1 Service differs from the amount indicated in Paragraph 4 of
this Agreement, additional payments or appropriate reductions shall
be apportioned pro-rata, based on the amounts indicated in Paragraph .. t

9 . After completion of the installation of the 9-1-1 Service, sjF

A. 9-1-1 Service is provided solely for the benefit of
the Subscriber. The provision of such service shall not be '

behalf of, any third person or other legal entity.
B. The Company does no t undertake to answer and forward

C. The rates charged for 9-1-1 Service do not contemplate

the inspection or constant monitoring of facilities by the Company to r
discover errors, defects and malfunctions in the service, nor does
the Company undertake such responsibility. The Subscriber shall make' G

Subscriber' s acts or omissions .

make nightly updates from United's customer billing system to

United Telephone Company of Missouri ( "Company" ) and the City of
Jefferson, Missouri ( "Subscriber" ) hereby agree as follows :
1 . The Subscriber hereby applies for 9-1-1 Universal Emergencyr"°`
' Number Service ( "9-1-1 Service" ) offered by the Company. The 9-1-1
Service may be provided by the Company pursuant to and under the
terms and conditions of tarif f s as may be in of f ect from time to 'time
and supplemented by the terms of this Service Application (also &f ,N
referred to herein as "Agreement" ) . In the event of a conflict
between the terms of any applicable tariff and this Agreement, the
terms of the tariff control .
2 . The Company hereby agrees to furnish the Subscriber 9-1-1
Service. The Subscriber agrees that minimum participation in the
9-1-1 Service shall include all police and fire units that request to ::.T,,.r, f:,•_, ;
be included and are located within both the Subscriber' s geographical
-� boundaries and the geographical area within which the Company
provides telephone exchange service. Subscriber understands and `' "t.
agrees that Company's undertaking to provide 9-1-1 Service is limited a€ '

exchange service. To the extent Subscriber desires to have areas or
communities in which the Company is not authorized to provide local
exchange service included within the 9-1-1 Service system, Subscriber
agrees it will make application to the appropriate telephone
companies for the inclusion of the non-Company territory within a " ' s
9-1-1 Service system.
3 . The Company will exercise its best efforts to place the
9-1-1 Service in service by December 1 , 1993 . '

The purpose of Schedule B is to provide a description of the 9-1-1 t'*;

A. Central Office Modifications - This is the cost to modify .k
United' s Exchange Offices in Cole County to be able to provide

jj B. Networking - This is the cost to provide 2 dedicated lines
from each one of the towns to carry the 9-1-1 calls to the

C. ANI Trunking Equipment - This is equipment cost to be added at
United's Jefferson City Central Office for Store and Forward 4,
Circuits to work in conjunction with the existing Jefferson. 'w

the Police Department's AS 400 computer for keeping the data

the Jefferson City Basic 9-1-1 services with ANI . This
includes the ringdown circuits to the responding agencies.

Departments, hospitals, or any other responding agency who
desires this service, approved by the City.

I . Definition of Confidential Information
A. "Confidential Information" shall mean information notz y
generally known to the public which is used, developed, or obtained by :34

analysis, drawings, reports , computer software (including systems) ,
applications, and program listings, manuals and documentation accounting ' -f
and business methods inventions, and all similar and related information ,J.,

number, address, or name associated with the telephone number used by
persons accessing the E9-1-1 service to be provided by United d City

B. Confidential Information shall not include any information .,t
that has been published by others in a form generally available to the

such information. Information shall not be deemed to have been
published merely because individual portions of the information have
been separately published, but only if all the material features
comprising such information have been published in combination.
II . Non-disclosure and Use of Confidential Information
Unless a party shall first secure the written consent of the other
parties , it shall not disclose or use at any time, either during the
term of or after expiration of an E9-1-1 service agreement, any
Confidential Information of which a party becomes aware, whether or not
any such information is developed by said party, except to the extent
such disclosure or use is required in the performance of its duties
under the E9-1-1 service agreement. Each party shall take all
" appropriate steps to safeguard the Confidential Information exchanged
and to protect such information against disclosure, misuse, espionage, z`
loss, and theft . Each party acknowledges• that failure to comply with
' this paragraph may irreparably harm the business of the other.

charts, customer information, and any other material containing
Confidential Information, no matter where such material is located and
